These terms and conditions apply to and are incorporated by reference into the Purchase Order between COMPANY and CONTRACTOR, as identified on the face of the Purchase Order (the “CONTRACT”). If a master agreement between the parties exists and is currently in place, the terms and conditions of such agreement shall prevail over these terms and conditions. In all other instances, these terms and conditions are binding between COMPANY and CONTRACTOR and supersede and replace any CONTRACTOR terms and conditions. In no event shall CONTRACTOR’s terms and conditions be incorporated in this CONTRACT, and COMPANY shall not be bound thereby. In the event CONTRACTOR’s proposal or quote is attached to, or referenced in, any portion of the CONTRACT or description of the SCOPE, any terms, conditions, qualifications, obligations, price related information or rights set forth therein are excluded, of no consequence and do not bind the parties.
