ROYALTIES. In the event a royalty split between Licensor and Licensee is provided by the Special Terms and Conditions), Licensee shall have the right to retain from Gross Receipts the percentage of royalties allocated to it pursuant to the Special Terms and Conditions and shall remit to Licensor the percentage of royalties due and payable to Licensor in accordance with the Special Terms and Conditions, this obligation being of the essence of this Agreement.
