Táto dohoda vo vzťahu k realizácii Strategického Parku vypracovaná podľa § 269 ods. 2 zákona č. 513/1991 Zb. Obchodný zákonník v znení neskorších predpisov (ďalej len „Dohoda“) je uzatvorená dňa 1. júla 2022 medzi týmito stranami:
(1.) EJL Slovakia s. r. o., so sídlom Xxxxxxxxx 00, Xxxxxxxxxx - mestská časť Staré Mesto 811 01, IČO: 54 490 383, zapísaná v obchodnom registri Okresného súdu Bratislava I, Oddiel Sro, vložka číslo: 159207/B (ďalej len „Spoločnosť“),
(2.) Košický samosprávny kraj, so sídlom Xxxxxxxx Xxxxxxxx xxxxx 0, 000 00 Xxxxxx, Xxxxxxxxx xxxxxxxxx, IČO: 35 541 016 (ďalej len „Košický samosprávny kraj“) a
(3.) Xxxxxxxxx xxxxxxxxx, xxxxxxxx xxxxxxxxxxxxxxx Xxxxxxxxxxxx xxxxxxxxxxxx Xxxxxxxxxx xxxxxxxxx (xxxxx len „Slovensko“)
(Spoločnosť, Košický samosprávny kraj a Slovensko ďalej spoločne len „Strany“ a každá samostatne len „Strana“).
PREAMBULA
A. KEĎŽE jedným z cieľov zákona č. 371/2021 Z. z. o významných investíciách je vytvoriť vhodné podmienky pre realizáciu významných investícií na Slovensku; This Agreement regarding the implementation of the Strategic Park drafted according to the Section 269 (2) of the Act No. 513/1991 Coll., Commercial Code as amended (the "Agreement") is entered into this 1 day of July 2022 by and between the following parties:
(1.) EJL Slovakia s. r. o., with its seat at Xxxxxxxxx 00, Xxxxxxxxxx - mestská časť Staré Mesto 811 01, ID No: 54 490 383, registred with the commercial register kept by the District Court Bratislava I, Section Sro, File No: 159207/B (hereinafter referred to as the "Company"),
(2.) the Košice Self-Governing Region, with its seat at Xxxxxxxx Xxxxxxxx xxxxx 0, 000 00 Xxxxxx, xxx Xxxxxx Xxxxxxxx Id. No.: 35 541 016 (hereinafter referred to as the "Košice Self-Governing Region") and
(3.) the Slovak Republic, acting through the Ministry of Economy of the Slovak Republic (hereinafter referred to as “Slovakia”)
(The Company, the Košice Self-Governing Region and Slovakia hereinafter together referred to as the "Parties" and each individually as a "Party").
PREAMBLE
A. WHEREAS one of the objectives of Act No. 371/2021 Coll. on Significant Investments is to create appropriate conditions for the implementation of significant investments in

B. KEĎŽE Slovensko v rámci svojej priority znižovania regionálnych rozdielov prostredníctvom budovania priemyselných parkov v súčasnosti realizuje prostredníctvom Valaliky Industrial Park, s. r. o. (ako je tento pojem definovaný nižšie) výstavbu priemyseln=ho parku v územnom obvode Košického samosprávneho kraja a Mesta Košice (ďalej len „Strategický Park“), ktorý zabezpečí podmienky pre budúce investície a využitie potenciálnymi investormi v oblasti priemyselnej výroby, služieb, výskumu a vývoja, čo prispeje k všeobecnému rozvoju, zvýšeniu zamestnanosti, zlepšeniu dopravnej infraštruktúry Košického samosprávneho kraja a Mesta Košice, ako aj k zvýšeniu HDP;
C. KEĎŽE Spoločnosť má záujem zriadiť v rámci Strategického Parku nový výrobný závod, spoliehajúc sa na prijaté záväzky a podporu, ktoré poskytne Košický samosprávny kraj a Slovensko podľa tejto Dohody a v súlade s jej podmienkami;
D. KEĎŽE Košický samosprávny kraj privítal myšlienku výstavby Strategického Parku, vrátane, nie však výlučne aj Projektu, a uznáva jej významný pozitívny prínos pre rozvoj hospodárstva celého Košického samosprávneho kraja a taktiež uznávaja zvýšené potreby na verejnú infraštruktúru a komunitné služby, ktoré realizácia Slovakia;
B. WHEREAS Slovakia, as part of its priority to reduce regional disparities through the construction of industrial parks, is currently implementing through Valaliky Industrial Park, s.r.o. (as this term is defined below) the construction of the industrial park in the territorial district of the Košice Self- Governing Region and the City of Košice (the “Strategic Park”), providing conditions for future investment and use by potential investors in the field of industrial production, services, research and development, which will contribute to general development, increase employment, improve the transport infrastructure of the Košice Self-Governing Region and the City of Košice, as well as lead to an increase in GDP;
C. WHEREAS the Company is interested in establishing a new manufacturing plant within the Strategic Park, in reliance on the commitments made and support agreed to be provided by the Košice Self-Governing Region and Slovakia under this Agreement and subject to its terms;
D. WHEREAS the Košice Self-Governing Region has welcomed the idea of the construction of the Strategic Park, including without limitation the Project, and recognizes its significant positive contribution to the development of the economy of the entire Košice Self- Governing Region and also recognizes the

Strategického Parku prinesie v dôsledku dočasného a trvalého nárastu počtu obyvateľov a priemyselných prevádzok;
E. KEĎŽE Slovensko, konajúce prostredníctvom Ministerstva hospodárstva Slovenskej republiky, spoločnsoť Valaliky Industrial Park, s. r. o. (ako je tento pojem definovaný nižšie) a Spoločnosť uzavreli Investičnú zmluvu (ďalej len „Investičná zmluva“), týkajúcu sa realizácie Projektu a spološnosť Valaliky Industrial Park, s. r. o. a Spoločnosť uzavreli Zmluvu o budúcich zmluvách, týkajúcu sa budúcej kúpy pozemkov v Strategickom Parku;
F. KEĎŽE Spoločnosť uzatvorila s mestom Košice a obcou Valaliky samostatné dohody vo vzťahu k realizácii Projektu (ako je tento pojem definovaný nižšie), ktorými sa mesto Košice a obec Valaliky zaviazali spolupracovať, koordinovať a v čo najväčšej možnej miere podporovať realizáciu Strategického Parku za podmienok uvedených v týchto dohodách.
G. KEĎŽE sa Strany dohodli, že spoločná podpora, spolupráca a koordinácia Košického samosprávneho kraja, mesta Košice a obce Valaliky a ďalších verejných subjektov, orgánov a inštitúcií je nevyhnutná pre výstavbu Strategického Parku, vrátane, increased needs on the public infrastructure and community services that the implementation of the Strategic Park will result in as a consequence of a temporary and permanent increase of population and industrial operations;
E. WHEREAS Slovakia, acting through the Ministry of Economy of the Slovak Republic, Valaliky Industrial Park s.r.o. and the Company have entered into the Investment Agreement (hereinafter referred to as the “Investment Agreement”) regarding the implementation of the Project and Valaliky Industrial Park s.r.o. and the Company have entered into an Agreement on Future Agreements regarding the future purchase of land within the Strategic Park;
F. WHEREAS the Company has entered into separate agreements with the City of Košice, and the Municipality of Valaliky regarding the implementation of the Strategic Park through which the City of Košice and the Municipality of Valaliky have undertaken to cooperate, coordinate and to the greatest possible extent support the implementation of the Strategic Park under the terms and conditions of those agreements;
G. WHEREAS the Parties agree that the joint support, cooperation, and coordination of the Košice Self-Governing Region, the City of Košice, and the Municipality of Valaliky and other public entities, authorities and agencies is necessary for the construction of

ale nie výlučne, Projektu, ktorý zabezpečí prípravu územia vhodného na realizáciu nových investícií a ktorý navyše vytvorí predpoklad pre vytvorenie niekoľkých tisícok priamych nových pracovných miest a tým zvýši sekundárnu zamestnanosť v oblasti subdodávateľskej siete;
H. KEĎŽE Strany majú záujem o úspešné dokončenie výstavby Strategického Parku, v záujme dosiahnutia tohto cieľa sa Strany rozhodli vymedziť svoje úlohy a povinnosti v tejto Dohode.
STRANY SA PRETO DOHODLI TAKTO:
1. DEFINÍCIE
1.1 V tejto Dohode:
Dôverné informácie znamenajú rozsah informácií definovaných v bode 5.1 tejto Dohody.
Všeobecná mapa znamená situačný plán pripojený k tejto dohode ako Príloha č. 1 (Všeobecná mapa), na ktorom je znázornená poloha Strategického Parku.
Projekt znamená výstavbu a následnú prevádzku továrne na výrobu automobilov v Strategickom Parku v súlade s parametrami the Strategic Park, including without limitation the Project, in order to ensure the preparation of an area suitable for the implementation of new investments and which will, moreover, create a prerequisite for the creation of several thousand direct new jobs and thus increase secondary employment in the area of the subcontracting network;
H. WHEREAS the Parties are interested in the successful construction of the Strategic Park; in order to achieve this objective, the Parties have decided to define their respective roles and obligations as set out in this Agreement.
THE PARTIES HAVE THUS AGREED AS FOLLOWS:
1. DEFINITIONS
1.1 In this Agreement:
Confidential Information means the scope of information defined in Section 5.1 of this Agreement.
General Map means the location plan attached to this Agreement as Annex 1 (General Map) showing the location of the Strategic Park.
Project means the Company’s establishment and subsequent operation of a car manufacturing plant within the Strategic Park plant in accordance with the

stanovenými v Prílohe č. 2 (Opis Projektu), ktorú bude realizovať Spoločnosť.
Verejná infraštruktúra znamená verejnú infraštruktúru, ktorá sa vybuduje v Strategickom Parku v súlade s parametrami a špecifikáciou uvedenými v Prílohe č. 3 (Verejná infraštruktúra).
Požadovaná súčinnosť znamená okamžité poskytnutie akejkoľvek primeranej podpory, súhlasov, informácií, dokumentov, oprávnení, osvedčení, potvrdení, schválení alebo pokynov, ktoré môžu byť potrebné a/alebo ktoré môže ktorákoľvek Strana odôvodnene požadovať od ostatných Strán na úspešné a riadne plnenie záväzkov podľa tejto Dohody.
Tretia strana znamená akúkoľvek fyzickú alebo právnickú osobu, ktorá nie je Xxxxxxx alebo jej spriaznenou osobou.
Inžinierske siete znamenajú verejné inžinierske siete, ktoré budú vybudované na / pod a pripojené k pozemkom Strategického Parku alebo v jeho blízkosti.
Valaliky Industrial Park, s. r. o. znamená spoločnosť Valaliky Industrial Park, s. r. o., so sídlom Mlynské Nivy 44/A, 827 15 Bratislava, IČO 54 485 053, zapísanú v Obchodnom registri Okresného súdu Bratislava I, odd: Sro, vložka č.: 159129/B, ktorá je 100% dcérskou spoločnosťou Ministerstva hospodárstva Slovenskej republiky, teda je ovládaná Slovenskom. parameters set out in Annex 2 (Project Description).
Public Infrastructure means the public infrastructure which shall be constructed within the Strategic Park in accordance with the parameters and specifications given in Annex 3 (Public infrastructure).
Required Co-operation means the prompt provision of any reasonable support, consents, information, documents, authorizations, certificates, confirmations, approvals, or instructions as may be necessary and/or as any Party may reasonably require from the other Parties for the successful and orderly performance of the obligations under this Agreement.
Third Party means any natural person or legal entity other than a Party or any affiliate thereof.
Utilities means the public utilities that will be constructed on/under and connected to the Strategic Park or in the vicinity thereof.
Valaliky Industrial Park, s.r.o. means Valaliky Industrial Park, s.r.o., with its registered office at Mlynské Nivy 44/A, 827 15 Bratislava, ID No. 54 485 053, registered in the Commercial Register of the District Court Bratislava I, Section: Sro, Insert No.: 159129/B, which is a 100 % owned subsidiary of the Ministry of Economy of the Slovak Republic, thus controlled by Slovakia.

2. ÚVODNÉ USTANOVENIA
2.1 Táto Dohoda je vyjadrením podpory Košického samosprávneho kraja pri realizácii Strategického Parku, vrátane, ale nie výlučne, Projektu.
2.2 Na základe vyššie uvedených predpokladov a deklarovaných záujmov sa Strany zaväzujú v maximálnej možnej miere zabezpečiť dosiahnutie spoločných záujmov Strán s cieľom pripraviť mesto na realizáciu Strategického Parku tak, aby bol čo najúspešnejší. V tejto súvislosti sa Košický samosprávna kraj a Slovensko zaväzujú poskytovať Požadovanú súčinnosť za účelom naplnenie cieľov uvedených v tejto Dohode.
2.3 Slovensko prostredníctvom Ministerstva hospodárstva Slovenskej republiky poskytne Košickému samosprávnemu kraju podporu a finančnú pomoc potrebnú pre Košický samosprávny kraj na plnenie úloh a záväzkov stanovených v tejto Dohode, vrátane tých, ktoré sú potrebné na plnenie cieľov Projektu, Požadovanej súčinnosti a požiadaviek rozvoja a výstavby Verejnej infraštruktúry, Inžinierskych sietí a ďalších služieb súvisiacich so Strategickým Parkom.
3. PREDMET TEJTO DOHODY
2. INTRODUCTORY PROVISIONS
2.1 This Agreement is an expression of the Kosice Self-Governing Region’s support for the implementation of the Strategic Park, including without limitation the Project.
2.2 On the basis of the foregoing premises and declared interests, the Parties undertake to ensure, to the maximum extent possible, the achievement of the common interests of the Parties to prepare the region for the implementation of the Strategic Park, to make it as successful as possible. In this regard, the Kosice Self-Governing Region and Slovakia undertake to provide the Required Co-operation for the purpose of implementing the objectives set out in this Agreement.
2.3 Slovakia, acting through the Ministry of Economy of the Slovak Republic, shall provide support and financial assistance to the Košice Self-Governing Region required to enable the Košice Self-Governing Region to fulfil the tasks and obligations as provided in this Agreement, including those necessary to fulfil the objectives of the Project, the Required Co-operation and the requirements of the development and construction of the Public Infrastructure, Utilities and other services associated with the Strategic Park.
3. SUBJECT OF THIS AGREEMENT

3.1 Predmetom tejto Dohody sú záväzky Strán v súvislosti s realizáciou Strategického Parku, vrátane, ale nie výlučne, Projektu, a rozvojom a výstavbou Verejnej infraštruktúry a Inžinierskych sietí a ďalších služieb potrebných na splnenie zvýšených očakávaní a potrieb Košického samosprávneho kraja.	3.1 This Agreement concerns the obligations of the Parties in relation to the implementation of the Strategic Park, including without limitation the Project, and the development and construction of Public Infrastructure and Utilities and other services needed in order to meet the increased expectations and needs on the Košice Self-Governing Region.
3.2 Košický samosprávny kraj sa zaväzuje v rámci prípustných zákonných limitov:	3.2 The Košice Self-Governing Region undertakes to within the permissible legal boundaries:
3.2.1 zabezpečiť zavedenie nových liniek verejnej dopravy do Strategického Parku pre splnenie potrieb dochádzky zamestnancov do Strategického Parku vrátane Projektu, s prihliadnutím na možné nastavenie zmien v prevádzke Spoločnosti a ostatných možných investorov s ambíciou propagovať dochádzku verejnou dopravou;	3.2.1 ensure introduction of new public transport lines to the Strategic Park to meet the needs of the commuting employees to the Strategic Park, including the Project, taking into account the Company's and other investors’ possible settings of shifts in the operation with the ambition to promote commuting by public transport;
3.2.2 v rámci svojich kompetencií a v rámci dlhodobého a krátkodobého plánovania dopravnej kapacity zohľadniť zvýšený objem prepravy tovaru a osôb, ktorý sa uskutoční v dôsledku Strategického Parku, a prijať potrebné rozhodnutia na zabezpečenie efektívnej infraštruktúry a dopravných tokov bez obmedzení.;	3.2.2 within its competence and within its long- and short-term transport capacity planning, take into consideration the increased amount of goods and people transports that will take place as a result of the Strategic Park and take necessary decisions to secure an efficient infrastructure and traffic flows without constraints;

3.2.3 s prihliadnutím na dopravné toky a dopravné špičky, zabezpečiť rozvoj a údržbu ciest II. a III. triedy zlepšením stavu a dopravného napojenia týchto ciest na hlavné komunikačné ťahy v Košickom samosprávnom kraji s cieľom modernizovať cestnú dopravu a zvýšiť jej atraktivitu v Košickom samosprávnom kraji;	3.2.3 taking the flows and peak hours into account, ensure the development and maintenance of class II and class III roads by improving the condition and traffic connection of these roads to the main communication routes in the Košice Self- Governing Region, in order to modernise road transport and increase its attractiveness in the Košice Self-Governing Region;
3.2.4 najneskôr do 31. 12. 2025 zabezpečiť rozšírenie existujúcej infraštruktúry odstavných plôch pre nákladné vozidlá vrátane sociálnych zariadení a parkovacích miest, aby sa zabezpečila podpora celého Strategického Parku;	3.2.4 no later than by 31 December 2025 ensure expansion of the existing truck waiting area infrastructure, including bathroom facilities and parking spaces, in order to support the entire Strategic Park;
3.2.5 podporiť zriadenie infraštruktúry na nabíjanie nákladných vozidiel na odstavných plochách pre nákladné vozidlá s cieľom podporiť celý Strategický Park;	3.2.5 support the establishment of truck charging infrastructure at the truck waiting area in order to support the entire Strategic Park;
3.2.6 spolu s ďalšími príslušnými orgánmi verejnej správy zabezpečiť vybudovanie cyklotrasy umiestnenej a v tvare podporujúcom dochádzanie na bicykli z Mesta Košice k hlavným bránam Strategického Parku;	3.2.6 together with other relevant public parties, ensure the establishment of a bicycle path, located and in a shape that promotes commuting by bicycle,

	from the City of Košice to the main gates of the Strategic Park;
3.2.7 zabezpečiť a umožniť Spoločnosti v rámci svojich kompetencií potrebný prístup investorom v Strategicko Parku k Inžinierským sieťam (pričom sa na účely odstránenia pochybností rozumie, že Spoločnosť bude znášať náklady na pripojenie Projektu k takýmto Inžinierskym sieťam);	3.2.7 ensure and enable, within its competence, for the investors in the Strategic Park the necessary access to Utilities (it being understood, for the avoidance of doubt, that the Company shall assume the cost related to the connection of the Project to such Utilities);
3.2.8 poskytnúť investorom v Strategickom ParkuPožadovanú súčinnosť pri zriaďovaní a rozvoji obnoviteľných zdrojov energie, ako sú veterná, solárna a geotermálna energia, s cieľom dosiahnuť klimaticky neutrálne zásobovanie energiou pre potreby investorov v Strategickom Parku;	3.2.8 provide all Required Cooperation to the investors in the Strategic Park for the establishment and development of renewable energy sources, such as wind, solar and geothermal in order to achieve a climate neutral energy supply to the needs of the investors in the Strategic Park;
3.2.9 ako súčasť profilu Strategického Parku poskytnúť všetku Požadovanú súčinnosť na podporu rozvoja a dlhodobej ochrany oblastí zlepšenia biodiverzity v blízkosti Strategického Parku;	3.2.9 as part of the profile of the Strategic Park, provide all Required Cooperation to support the development and long term protection of biodiversity improvement areas in the vicinity of the Strategic Park;
3.2.10 Poskytnúť všetku potrebnú spoluprácu na posilnenie a zvýšenie kvality vzdelávania v Meste Košice, v školách	3.2.10 provide all Required Cooperation to strengthen and improve the quality of education in the City of Košice, in schools established by

	zriadených Košickým samosprávnym krajom, čo zahŕňa najmä, ale nie výlučne, zriadenie a rozšírenie medzinárodného vzdelávania (IB curriculum) v anglickom jazyku pre stredné školy do 19 rokov, za účelom zabezpečenia kapacít a dostupnosti pre školopovinné deti z rodín vyslaných zamestnancov;		Košice Self-Governing Region, which includes in particular but not exclusively, establishment and expansion of English speaking international education (IB curriculum) for high schools up to 19 years, to ensure capacity and access for school children from expat families;
3.2.11	podporovať stredné odborné vzdelanie v Košickom samosprávnom kraji, a to najmä, nie však výlučne, vytváraním nových odborov vzdelávania relevantných pre investorov v Strategickom Parku a / alebo úpravou učebných plánov existujúcich odborov vzdelávania a / alebo zvyšovaním kapacít existujúcich odborov vzdelávania podľa potrieb investorov v Strategickom Parku a poskytovaním potrebnej súčinnosti a podpory školám a investorom Strategického Parku v systéme duálneho vzdelávania;	3.2.11	support the secondary vocational education in the Košice Self- Governing Region, in particular but not exclusively by creation of new fields of education relevant to the investors in the Strategic Park and / or by modification of curricula of the existing fields of education and / or by increasing the capacities of the existing fields of education, according to the needs of the investors in the Strategic Park and by providing necessary cooperation and support to schools and Strategic Park investors in the dual education system;
3.2.12	v spolupráci so Spoločnosťou podporovať zvyšovanie počtu strojárskych a iných relevantných študijných odborov ktoré sú relevantné pre	3.2.12	support, in collaboration with the Company, to increase the number of engineering and other relevant courses at universities and technical schools, established by the Košice Self-

	automobilový priemysel na univerzitách a technických školách zriadených Košickým samosprávnym krajom;		Governing Region relevant for the automotive industry;
3.2.13	podporovať zriadenie rezidenčnej výstavby tretími poskytovateľmi v dochádzkovej vzdialenosti od Strategického Parku, aby sa umožnilo bývanie krajanov;	3.2.13	support the establishment of residential developments by third party providers within the commuting area of the Strategic Park to enable housing of expats;
3.2.14	zvýšiť propagáciu a poskytnúť všetku Požadovanú súčinnosť, ktorá xxxxxx xxxxx xxxxxx xxxxxxxxxx xxxxxxxxx xxxxxxx a výstavbu bytových domov a ubytovacích zariadení v meste Košice a v Košickom kraji s cieľom uspokojiť zvýšenú potrebu takéhoto bývania v dôsledku Strategického Parku;	3.2.14	increase the promotion and provide all Required Cooperation to enable the establishment of affordable rental housing and the construction of residential buildings and accommodation facilities in the City of Kosice and in the Košice region, in order to meet the increased need for such, due to the Strategic Park;
3.2.15	zabezpečiť pridelenie dedikovanej kontaktnej osoby / osôb z Košického samosprávneho kraja pre Spoločnosť s cieľom uľahčiť komunikáciu Spoločnosti s príslušnými orgánmi Košického samosprávneho kraja zabezpečiť koordináciu činností rôznych miestnych orgánov vo vzťahu k Spoločnosti;	3.2.15	ensure the allocation of dedicated contact person/s from the Region for the Company, in order to facilitate the communication of the Company with the relevant local authorities of the Košice Self-Governing Region and to ensure the coordination of the activities of the local authorities of the Košice Self-Governing Region in relation to the Company;

3.2.16	prostredníctvom svojich príslušných orgánov zabezpečiť všetku Požadovanú súčinnosť potrebnú na to, aby Valaliky Industrial Park, s. r. o. alebo Spoločnosť získala (alebo inak zabezpečila) najmä, nie však výlučne, stavebné povolenia, environmentálne povolenia a iné súvisiace povolenia, rozhodnutia alebo dokumenty v čo najkratšom možnom zákonom stanovenom čase, vrátane vylúčenia a / alebo odňatia odkladného účinku odvolania proti takýmto povoleniam, rozhodnutiam alebo dokumentom;	3.2.16	ensure, through its competent authorities, necessary cooperation with Valaliky Industrial Park, s.r.o. or with the Company, to obtain (or otherwise secure), without limitation, building permits, environmental permits and other related permits, decisions or documents within the shortest possible time allowed in law, including the waiver and/or withdrawal of the suspensive effect of appeals against such permits, decisions or documents;
3.2.17	podporovať a koordinovať dostupnosť lekárskej a stomatologickej starostlivosti, ako aj systém lekárskej pohotovosti s rýchlou reakčnou dobou, Košický samosprávny kraj odporučí poskytovateľov lekárskej a stomatologickej starostlivosti, ktorí ovládajú anglický jazyk, alebo takýto personál zamestná a poskytne Spoločnosti zoznam takýchto poskytovateľov lekárskej a stomatologickej starostlivosti do štyroch (4) mesiacov od	3.2.17	support and coordinate availability of medical and dental care as well as medical emergency system with fast reaction time, The Košice Self- Governing Region shall recommend medical and dental care providers who are fluent in English or employ such personnel and shall provide a list of such medical and dental care provideors to the Company within four (4) months after

uzavretia tejto Dohody.

3.2.18 zabezpečiť, aby každý zamestnanec Košického samosprávneho kraja, ktorý prichádza do styku so Spoločnosťou, absolvoval príslušné a platné školenie

o dodržiavaní protikorupčných predpisov. Košický samosprávny kraj poskytne Spoločnosti na požiadanie do 5 dní doklad o absolvovaní takéhoto školenia.

3.3 S výnimkou ustanovení bodov 3.2.6, 3.2.15 a 3.2.17 Dohody, Košický samosprávny kraj vypracuje a poskytne Spoločnosti podrobný plán s určenými záväznými krokmi a časovým harmonogramom plnenia každého z vyššie uvedených záväzkov do štyroch (4) mesiacov od uzavretia tejto Dohody;

3.4 Košický samosprávny kraj sa zaväzuje voči Slovensku:

3.4.1 poskytnúť všetku Požadovanú súčinnosť v rámci svojich právomocí a právnych hraníc s cieľom podporiť Slovensko pri zabezpečovaní uvedenia Verejnej infraštruktúry do prevádzky podľa časového plánu Strategického Parku podľa Prílohy č. 4 (Časový plán);

3.5 Slovensko sa zaväzuje:

conclusion of this Agreement.;

3.2.18 ensure that every employee of the Košice Self-Governing Region that interacts with the Company receivse training on relevant and applicable anti- corruption lelgislation. The Košice Self-Governing Region shall provide proof of the completion of such training to the Company upon request within 5 days.

3.3 Except for clauses 3.2.6, 3.2.15 and 3.2.17 of the Agreement, the Košice Self- Governing Region shall draft and provide a detailed plan to the Company with specified binding steps and timeline to fulfil each of the hereabove obligations within four (4) months after conclusion of this Agreement.

3.4 The Košice Self-Governing Region undertakes towards Slovakia to:

3.4.1 provide all Required Cooperation to support Slovakia to fulfil its undertaking to put Public Infrastructure into operation according to the timeplan of the Strategic Park as per Annex 4 (Timeplan).

3.5 Slovakia undertakes:

3.5.1 zabezpečiť, aby v štátnom rozpočte na jednotlivé roky boli v príslušných rozpočtových kapitolách vyčlenené dostatočné finančné prostriedky na plnenie záväzkov Košického samosprávneho kraja uvedených v bode 3.2 tejto Dohody, a	3.5.1 to ensure that the state budget for individual years allocates sufficient funds in the relevant budget chapters to meet the obligations of the Košice Self- Governing Region specified in clause 3.2 hereto; and
3.5.2 s cieľom prilákať a udržať investorov v Strategickom Parku vyvinúť maximálne úsilie na zvýšenie počtu technických a iných relevantných študijných programov na univerzitách a odborných školách a ďalej tieto študijné programy propagovať.	3.5.2 in order to attract and retain investors in the Strategic Park to make every effort to increase the number of engineering and other relevant study programs at universities and vocational schools and to further promote these study programs.
3.6 Spoločnosť sa zaväzuje poskytnúť Košickému samosprávnemu kraju a Slovensku Požadovanú primeranú súčinnosť v rozsahu potrebnom pri plnení ich záväzkov podľa tohto bodu 3 Dohody.	3.6 The Company undertakes to provide Required Co-operation to the Košice Self- Governing Region and Slovakia to the extent reasonably necessary in the process of fulfilling their contractual undertakings under this Article 3 of the Agreement.
	4. DURATION OF THE AGREEMENT
4. TRVANIE DOHODY
4.1 Táto Dohoda sa xxxxxxxx xx xxxx xxxxxx xx 00. decembra 2028, pokiaľ nebude ukončená skôr na základe vzájomnej dohody Strán.	4.1 This Agreement is entered into for a definite time period until 31 December 2028, unless terminated earlier by mutual agreement of the Parties.
4.2 Strana môže odstúpiť od tejto Dohody len vtedy, ak druhá Strana poruší niektorú zo	4.2 A Party may withdraw from this Agreement only if the other Party breaches any of its obligations under this Agreement and does

svojich povinností vyplývajúcich z tejto Dohody a riadne neodstráni svoje porušenie do 30 dní odo dňa doručenia výzvy na nápravu od neporušujúcej Strany, v ktorej ju informuje o možnosti odstúpenia od Dohody. V prípade odstúpenia od Dohody táto Dohoda zaniká dňom doručenia písomného oznámenia o odstúpení od Dohody Strane, ktorá Dohodu porušila.
5. DÔVERNÉ INFORMÁCIE
5.1 Strany sa dohodli, že príloha 2 je dôvernou informáciou (ďalej len „Dôverná informácia“). Každá Strana zachováva dôvernosť Dôverných informácií, pokiaľ platné právne predpisy nevyžadujú inak. Záväzok Strán uvedený v tomto článku tejto Dohody nie je časovo obmedzený a zostáva zachovaný aj po ukončení tejto Dohody. Vyššie uvedený záväzok sa nevzťahuje na informácie, ktoré sa stanú všeobecne známymi inak ako porušením tohto ustanovenia.
5.2 Strany sa zaväzujú, že Dôverné informácie neposkytnú tretím stranám ani neumožnia tretím stranám prístup k Dôverným informáciám bez predchádzajúceho písomného súhlasu druhej Strany.
6. ZÁVEREČNÉ USTANOVENIA
6.1 Táto Dohoda sa riadi právnym poriadkom Slovenskej republiky. not duly remedy its breach within 30 days from the date of receipt of a notice to remedy from the non-breaching Party informing it of the possibility of withdrawal. In the event of withdrawal, this Agreement shall terminate on the date of delivery of a written notice of withdrawal to the breaching Party.
5. CONFIDENTIAL INFORMATION
5.1 The Parties agree that Schedule 2 is Confidential Information ("Confidential Information"). Each Party shall maintain the confidentiality of Confidential Information unless otherwise required by applicable law. The obligation of the Parties set forth in this Article of this Agreement is not limited in time. The foregoing obligation shall not apply in relation to information that becomes generally available to the public other than due to a breach of this clause.
5.2 The Parties undertake not to disclose the Confidential Information to Third Parties or allow Third Parties access to the Confidential Information without prior written consent of the other Party.
6. FINAL PROVISIONS
6.1 This Agreement is governed by Slovak law.

6.2 Táto Xxxxxx je záväzná dňom jej podpísania všetkými Stranami a účinná dňom nasledujúcim po dni jej zverejnenia v Centrálnom registri zmlúv. Košický samosprávny kraj bez zbytočného odkladu po podpise tejto Dohody všetkými Stranami zverejní túto dohodu v Centrálnom registri zmlúv, okrem Prílohy č. 2, ktorá nebude zverejnená v Centrálnom registri zmlúv.
6.3 Strany sa budú usilovať o bezodkladné urovnanie všetkých sporov, ktoré vzniknú v súvislosti s plnením záväzkov podľa tejto Dohody alebo v súvislosti s ňou, prostredníctvom rokovania a vzájomnej dohody. Ak sa Stranám nepodarí urovnať takýto spor do 30 (tridsiatich) dní od jeho vzniku spor bude s konečnou platnosťou vyriešený podľa Pravidiel rozhodcovského konania Medzinárodnej obchodnej komory jedným alebo viacerými rozhodcami vymenovanými v súlade s uvedenými pravidlami. Miestom rozhodcovského konania bude Bratislava a konanie sa bude viesť v anglickom jazyku.
6.4 Túto dohodu možno zmeniť a doplniť len písomnou dohodou Strán.
6.5 Nasledujúce prílohy tvoria neoddeliteľnú súčasť tejto Dohody:
Príloha č. 1: Všeobecná mapa Príloha č. 2: Opis Projektu 6.2 This Agreement is binding upon its execution by all of the Parties and effective on the day following of its publication in the Central Register of Contracts (Centrálny register zmlúv). Without undue delay after signing of this Agreement by all of the Parties, the Košice Self – Governing Region shall publish this Agreement in the Central Register of Contracts (Centrálny register zmlúv), except Schedule 2 which shall not be published in the Central Register of Contracts
6.3 The Parties shall aim to immediately settle by discussion and mutual agreement any disputes arising in connection with the fulfilment of commitments under the Agreement or in connection therewith. If the Parties are unable to settle any such dispute within 30 (thirty) days of the origin of that dispute, the dispute shall be finally settled by finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules. The seat of the proceedings shall be Bratislava, Slovakia, and the proceedings shall be conducted in the English language.
6.4 This Agreement may be amended by a written agreement of the Parties only.
6.5 The following Annexes form an integral part of this Agreement:

6.6 Táto Dohoda je vyhotovená v 3 (troch) rovnopisoch samostatne v anglickom a slovenskom jazyku, po 1 (jednom) pre každú zo Strán v každej jatykovej mutácií. V prípade konfliktu medzi mutáciami má prednosť anglická jazyková mutácia.
6.7 Strany vyhlasujú, že si túto Dohodu riadne a dôsledne prečítali a porozumeli jej obsahu, že táto Dohoda je prejavom ich slobodnej a vážnej vôle zbavenej akéhokoľvek omylu, že túto Dohodu neuzatvárajú pod nátlakom ani za zvlášť nevýhodných podmienok, čo potvrdzujú pripojením podpisov osôb oprávnených konať v mene Strán uvedených nižšie. Strany zároveň vyjadrujú svoju vôľu byť viazané ustanoveniami tejto Dohody.

6.6 This Agreement is drawn up in 3 (three) counterparts in the English language, 1 (one) for each of the Parties.
6.7 The Parties declare that they have duly and thoroughly read and understood the contents of this Agreement, that this Agreement is the expression of their free and serious will free from any mistake, that they do not enter into this Agreement under duress or on particularly unfavourable terms, which they confirm by the attachment of signatures of the persons authorised to act on behalf of the Parties below. The Parties also express their intention to be bound by the provisions of this Agreement.
