The General Conditions attached to this agreement constitute an integral part of the agreement. In case of discrepancy between the above conditions and the General Conditions, the first shall prevail.

ANNEX A GENERAL CONDITIONS
1) Definitions: in this Agreement the following expressions shall have the following meanings:
1) Channels: channels/services that are identified in whole or in part by distinctive signs of any kind and/or its assignees that are distributed individually and/or together with other services/channels within packages (in this latter case, a subscription fee/global consideration shall be charged for receipt of the package). The exercise of sVOD, VOD (if granted) and PPV (if granted) rights is no subject to restraints as for the number or denomination of the Channels of exploitation;
2) Civil Code or c.c.: the Italian Civil Code, approved by royal decree n. 252 on March 16th, 1942 and any modification thereof, that regulates civil matters (i.e. relationships between private parties) and commercial matters through a body of written rules.
3) Television Distribution: any utilization of the Audiovisual works which falls into the scope of the definition of communication to the public pursuant to article 3.1. of the Directive 29/01/CE: “Member States shall provide authors with the exclusive right to authorise or prohibit any communication to the public of their works, by wire or wireless means, including the making available to the public of their works in such a way that members of the public may access them from a place and at a time individually chosen by them”. Television Distribution includes distribution directed to a public present or distant by means, inter alia, of IPTV, Internet, dvb–h (digital video broadcasting handheld) and/or UMTS technologies.
4) Electronic Sell Through (also “EST”): the electronic sale of an audiovisual product – in accordance with custom and practice in the retail market for the purchase of such audiovisual product on a physical support such as VHS or DVD - by means of a point-to-point distribution service, in Encrypted Form, through which an authorised recipient may purchase, at a place and at a time individually chosen by such recipient, such a single audiovisual work for permanent retention and unlimited subsequent replays, upon payment, for such single audiovisual product, of a single fee that is unaffected by the purchase or the offer of other programs, products or services of any kind.
5) Encrypted Form: any measure or technological system by means of which the intelligible receipt of any Television Distribution is subject to a preliminary individual authorization;
6) Free TV: any and all forms of Television Distribution which may be intelligibly received free of charge, including, without limitation, any transmission that may be intelligibly received free of charge through any decoder or similar device also without conditional access module (“free- to-air”). Subject to the foregoing, any transmission shall be deemed Free TV although its reception is subject to any taxes or fees (other than “subscription fees” as set out below in the definition of Pay TV) charged for the utilization of any devices that may be necessary for viewing;
7) Internet: the non-proprietary network (i.e., accessible on a worldwide basis and open to the general public) that is based on a global IP address and which connects computers or similar receiving devices which communicate using a common TCP/IP protocol allowing bi-directional access for originating and receiving data;
8) Pay TV: any and all forms of Television Distribution, delivered in an Encrypted form, which are available on a periodic basis solely pursuant to a subscription agreement providing for the payment of a fee (“subscription fee”) for the privilege of receiving contents that are organized in a programming schedule by the Pay TV service/channel editor and that are exhibited at a

timing set out by the said editor. For the purposes of this Agreement, Pay TV rights shall include subscription VOD (“sVOD”), subscription pay-per-day, pay-per-period, pay-per- weekend rights of exploitation of the Audiovisual works;
9) Pay per View/PPV/Near Video on Demand (hereinafter “Pay per View/PPV”): any and all forms of Television Distribution, delivered in an Encrypted Form of a single Audiovisual work at a time scheduled by the provider of the service and which are accessible on the basis of a temporary authorization that allows solely the single viewing of such single Audiovisual work upon payment of a single fee that is unaffected by the purchase or the offer of other programs, products or services of any kind;
10) Video on Demand (hereinafter, “VOD”): any and all forms of Television Distribution, delivered in an Encrypted Form of a single audiovisual work accessible upon individual demand in a place and at a time of the viewer’s choosing upon payment for a single viewing of a single fee that is unaffected by the purchase or the offer of other programs, products or services of any kind;
11) SVOD, any and all forms of Television Distribution, delivered in an Encrypted Form, which are available on a periodic basis solely pursuant to a subscription agreement providing for the payment of a fee for the privilege of receiving multiple programs, either individually or as part of a service/channel accessible upon individual demand in a place and at a time of the viewer’s choosing;
2. Rights:
a. Each Programme(s), including title, copyright notice, credits, and billings, shall be broadcast or exhibited by Licensee only as specified in the Basic Terms to which these Standard Terms and Conditions are attached ("Basic Terms"). Licensee shall not authorise any broadcast or exhibition hereunder to be amplified, retransmitted or relayed on the same or on any other frequency by any translator or booster station, community antenna or any other device or method not authorised herein. If any such unauthorised broadcast or exhibition occurs, Licensee will promptly pay Licensor any and all funds it receives as a result of such a broadcast or exhibition. Licensor shall have the right, in its sole discretion, to withdraw any and all programs licensed hereunder (in which event Licensee will not exhibit or broadcast the programs withdrawn) if Licensor determines that exhibition or broadcast of any such Programme(s) would or might (1) infringe upon the rights of others, (2) violate any law, court order, governmental regulation or other ruling or order of any other governmental body or (3) subject Licensor to any liability or to litigation or threatened litigation. If any Programme(s) is withdrawn, Licensor shall have the right, in its sole discretion, to deliver a substitute Programme(s) of comparable quality and value as determined by Licensor in its sole discretion; to reduce the number of programs licensed hereunder and give a proportionate credit against the license fee; or to extend the license period of any such Programme(s) for a term equal to the term during which such Programme(s) is withdrawn.
b. Licensee shall be entitled to broadcast during the License Period extracts from the Programme(s) not exceeding two minutes in total length solely for the purpose of promoting the broadcast of the Programme(s) by Licensee and for pre- and post-broadcast bona fide comment and review purposes and not otherwise.
3. Expiration of Rights:
It is understood that once Licensee has effected all permitted runs, the rights shall revert automatically to Licensor.

4. Editing:
a. The Licensee may edit any Programme(s) or eliminate any part thereof in order to meet the requirements of time in the telecasting of the Programme(s) or to insert commercial breaks or to ensure that the programmes contain no commercial endorsement of any product, service, individual, company or for reasons of censorship or otherwise, subject to the following sub- clauses.
b. No cut in film or elimination from videotape is to impair artistic or pictorial quality of the programmes or materially interfere with its continuity.
c. Unless expressly authorised by the Licensor, the Licensee will not erase signals recorded on to a videotape belonging to the Licensor. If the Licensee wishes to eliminate any part of the Programme(s) for telecast as provided in sub-clause a), the Licensee shall effect this by re- recording the Programme(s) on to the Licensee's own videotape on the understanding that on completion of the authorised number of runs, all signals so recorded will be erased.
d. If the Licensee removes any materials from any Programme(s) on film, the Licensee shall at Licensee's expense restore the Programme(s) to its original state prior to despatch at the Licensor's instructions.
e. Upon notice to the Licensor, the Licensee may subtitle the Programme(s) at the Licensee's expense, provided that the Licensee indemnifies the Licensor for any claims arising out of the subtitles of the Programme(s).
f. The Licensee may not dub the Programme(s) into any other language unless agreed otherwise in writing between the Parties.
5. Copyright Registration:
Licensee shall be responsible for obtaining copyright registration of the Programme(s) in the Territory at its sole cost and expense.
6. Assignment:
Licensee undertakes not to assign to a third party any rights acquired under this Agreement without the written consent of the Licensor. The expression "Licensor" and "Licensee" wherever used herein are deemed to include their successors and assigns.
7. Frequency:
Unless otherwise specified in the Schedule, Licensee shall determine the frequency for exhibiting or broadcasting the Programme(s) licensed hereunder. It is understood, however, that all licensed exhibition or broadcasting shall be deemed completed by not later than the expiration of the term of the agreement.
8. Payment:
Licensee agrees to pay for the number of broadcasts or exhibitions authorised hereunder in the manner specified in the Basic Terms, whether or not such broadcasts or exhibitions actually occur, except as otherwise specifically provided hereunder. If all licensed broadcasts or exhibitions are completed prior to the completion of the payments referred to hereunder, Xxxxxxxx agrees to pay Licensor the remaining moneys payable hereunder by no later than the first day of the month following the last broadcast or exhibition.
9. Materials:
a. Licensor will deliver to Licensee one transmission element of each Programme(s) as described in the Basic Terms. Delivery by Licensor shall be deemed completed when Licensor has placed said transmission element in the possession of an air express company or other carrier selected by Licensor for Programme(s) licensed hereunder. If Licensor determines that exhibition or broadcast of any such Programme(s) would or might (1) infringe upon the rights of others, (2) violate any law, court order, governmental regulation or other ruling or order of any other governmental body or (3) subject Licensor to any liability or to litigation or threatened litigation, if

any Programme(s) is withdrawn, Licensor shall have the right, in its sole discretion, to deliver a substitute Programme(s) of comparable quality and value as determined by Licensor in its sole discretion; to reduce the number of programmes licensed hereunder and give a proportionate credit against the license fee; or to extend the license period of any such Programme(s) for a term equal to the term during which such Programme(s) is withdrawn.
b. Shipping charges, insurance, custom duties, brokerage charges and other handling charges in connection with the delivery and return of each print shall be borne by Licensee.
c. If Licensee delays the return of any element, Licensee shall pay Licensor any loss or damage so caused thereby. If Licensee fails to return any transmission element for any reason, or same is damaged between the time of delivery by Licensor and return by Licensee, Licensee shall immediately advise Licensor by wire and pay Licensor the cost of replacement. Such payment shall not transfer title to Licensee or anyone else. Property damaged when returned by Licensee shall be deemed damaged by Licensee unless, prior to broadcasting or exhibiting such print, Licensee shall have wired Licensor that such an element was damaged on receipt, detailing the nature and footage damaged.
10. Technical acceptance:
a. The Licensor warrants the Programme(s) to be technically and physically of a commercial acceptable quality. If any of the Programme(s) are technically or physically defective, the Licensee is entitled to reject those Programme(s) by notice in writing to the Licensor by letter, telegram, telefax within thirty (30) days of receipt of the Programme(s). Such written notice shall include a detailed technical quality report of the Programme(s).
b. On receiving that notification, the Licensor shall deliver to the Licensee replacement of the rejected Programme(s) at the Licensor's own expense by air-freight before the day of telecast of the Programme(s). The Licensee shall return the rejected Programme(s) to the Licensor at the Licensor's expense at the original point of despatch or such other address as the Licensor nominates.
11. Taxes:
Licensee shall pay and hold Licensor forever harmless from all taxes, customs duties, levies, imposts, censorship charges, and any other charges (including interest and penalties on any such amount), now or hereafter imposed or based upon or resulting from the licensing, rental, delivery, import, export, exhibition, possession or use hereunder to or by Licensee of the programs or any print thereof. Licensee shall not be credited with any tax legally required to be withheld by Licensee from any payment made to Licensor until official governmental receipts for such withheld taxes have actually been received by Licensor.
12. Usage Reports:
Licensee shall notify Licensor by ten (10) days after the end of each calendar month in which any broadcast or exhibition is scheduled as to the Programme(s) title and the date of each broadcast or exhibition during the preceding month.
13. Music:
Licensor warrants that performing rights in music contained in said programs are:
a. controlled by SIAE, BMI, ASCAP, or SESAC, or any other performing rights society having jurisdiction, or
b. be in the public domain, or
c. controlled by Licensor to the extent necessary to permit Licensee's broadcast or exhibition and Licensor agrees to indemnity Licensee against liability or expenses, including reasonable attorney's fees, arising out of the performance of such Licensor controlled music.

If music in category (a) is included in a Programme(s), Licensor will advise Licensee of the title, composer, and publisher and Licensee will procure and pay for a license to perform such music. Licensee agrees to indemnity Licensor against any liability or expenses, including reasonable attorney's fees, arising out of Licensee's performance of any music in category (a).
Licensor shall not be liable for damages for any breach of the warranty set forth in this paragraph unless prompt written notice of the claim is given by Licensee. Licensee agrees to co-operate fully with Licensor in the defence and adjustment of all claims.
14. Commercials:
Licensee, at its cost, may insert commercials in each Programme(s) only at places designated by the Licensor's leader strips. Commercials shall be made and broadcast by Licensee without any liability to Licensor and will be inserted so as not to damage or alter the print. All commercials shall be removed prior to the return of each print to Licensor.
15. Alteration:
Except for insertion of commercials as herein authorised, Licensee shall not cut or alter a print unless otherwise notified by Licensor, or copy, sublet or part with possession of a Programme(s) except as necessary to permit the exhibition or broadcast or shipment to Licensor thereof.
16. Advertising:
Licensee may use, prior to the broadcast or exhibition of each Programme(s), the names and likeness' of performers and the title of the Programme(s) in advertising the broadcast or exhibition thereof provided no such use is an implied or direct endorsement of any product or service. All credits and billings in such advertising to be as designated by Licensor.
17. Acts of God:
If either party is prevented from broadcasting or exhibiting any Programme(s), or prevented from performing hereunder, by labour disputes, Acts of God, war, fire, governmental regulations, transportation failure, defective or destroyed transmission elements or any other similar or dissimilar causes beyond the control of such party, such delay or failure to perform shall be excused and the party so prevented or delayed shall not be liable therefor. If Licensor is so prevented or delayed, it shall use diligent efforts to deliver another Programme(s) of comparable quality which shall be deemed to be one of the programs hereunder. If Licensee is so prevented it shall broadcast or exhibit the omitted Programme(s) in the week following the completion of the scheduled broadcasting or exhibition hereunder, provided Licensor receives notice thereof by two
(2) weeks prior to such
rescheduled date. Such broadcast or exhibition shall not be permitted hereunder if it conflicts with any commitment of Licensor in existence when Licensor receives such notice and of which conflict Licensor notifies Licensee within three (3) days, excluding Sundays and holidays, thereafter. The total number of broadcasts or exhibitions authorised and to be paid for hereunder shall be reduced by such omitted broadcasts or exhibitions and the total license fee shall be reduced accordingly only if no substitute Programme(s) is delivered or if such rescheduled broadcast or exhibition is not so permitted.
18. Defaults:
The following shall be events of default by Licensee hereunder: if Licensee (1) or any other person shall commence any proceeding regarding Licensee's solvency under any bankruptcy, insolvency, or other similar law, or (2) shall seek the appointment of, or there shall be appointed, a receiver, liquidator, trustee or similar officer for Licensee or a substantial part of its property, or (3) shall make an assignment for the benefit of creditors, or (4) shall fail or admit in writing its inability to pay its debts as they become due, or (5) shall apply for a moratorium on payments, or in the case of a company a resolution is passed or an order is made for the winding up of the company, or (6)

shall breach any material provision hereof, or (7) shall breach any other provision hereof, which breach is not ended and remedied within five (5) days after notice thereof by Licensor.
Upon the occurrence of any event of default, Licensor may, in addition to any other rights it may have, at its option, declare this agreement terminated, and the balance of the total net license fee and other amounts payable to Licensor hereunder immediately due and payable. Licensor may, during the existence of an unremedied breach of this agreement, suspend delivery to or broadcasting or exhibition by Licensee, or both, of all programs hereunder. If Licensor so elects, any breach of any other agreement between Licensee and Licensor which would constitute an event of default hereunder, shall be deemed an event of default under this agreement. Therefore in addition to all other remedies available to Licensor, Licensor shall be entitled, upon any event of default specified in (6) and (7) above, to recover from Licensee as liquidated damages the full unpaid net license fee for all broadcasts or exhibitions actually occur and, in addition, an attorney's fee of 15% thereof, if an attorney is retained by Licensor at any time to enforce provisions hereof. Licensor shall not be liable for loss of profits or consequential or incidental damages of any kind as the result of any breach of this agreement.
19. Reservation of rights:
Licensor reserves all rights in and to each licensed Programme(s) and its contents, except as may be expressly and specifically licensed to Licensee, and Licensor may exercise any of its reserved rights without limitation, unless expressly provided otherwise herein, and regardless of the extent to which such exercise is competitive with Licensee or the license herein granted.
20. General:
All notices hereunder must be in writing and sent by registered mail or by telegram unless otherwise specified. Waiver of any breach shall not be construed as a waiver of any other breach. This agreement may not be assigned in whole or in part by Licensee without Licensor's prior written consent. Licensor may assign, pledge or convey this agreement in whole or in part. Irrespective of the place of execution and performance, this agreement shall by governed by, and construed and enforced in the accordance with, the laws of the plaintiff's country applicable to the agreements executed and to be wholly performed therein. This agreement is the entire agreement of the parties. All prior understandings, oral and written, if any, for the broadcasting or exhibition hereunder have been merged herein or, if not merged, are hereby cancelled. No representations have been made by Licensor except those expressly set forth herein. Any amendment or discharge of this agreement must be in writing and signed by Licensee and on behalf of Licensor by its authorised signer. Licensor's rights and/or payments due hereunder shall not be subject to any claim of Licensee under any other agreement between Licensee and Licensor
. Paragraph titles are for identification and shall have no effect in the application or construction of the provisions hereof.
