FUND TRANSFER AGREEMENT

Hereinafter referred to as the “STUBA”,

The Establishments are hereinafter, jointly or individually, referred to as the “Parties” or the “Party”.

RECITALS

Whereas:

UM has been awarded by the CE with a grant for the action entitled “ImageInLife” with Grant Agreement n°721537.

In addition, the partners of ImageInLife concluded the Consortium Agreement n°160889 in order to specify with respect to the Project the relationship among the Parties, in particular concerning the organisation of the work between the Parties, the management of the Project and the rights and obligations of the Parties concerning inter alia liability, Access Rights and dispute resolution.

According to article 7.2.2.3 of the Consortium Agreement, the Research, Training and Network Costs centralised by the Coordinator should be redistributed to the Parties in charge of organising and hosting network events, short-courses and workshops.

The STUBA organises a Midterm review meeting of the project which is an important milestone of the action. This meeting will gather all the actors of the project including European Commission’s representatives. It will also include two workshops on transferable skills for project’s fellows. The whole meeting starts on 18th February and ends on 23rd February 2019 and it will take place in STUBA locations.

The Parties agree to enter into this fund transfer agreement, together with its appendixes (hereinafter referred to as the "Agreement") in order to transfer the budget related to this meeting organisation.

THE FOLLOWING HAS BEEN AGREED UPON:

Article 1 – Purpose of Agreement

The purpose of this Agreement is to define the conditions of financial participation of UM.

Article 2 – Financial conditions

As consideration for the undertakings made by the Parties, pursuant to this Agreement and in accordance with the financial appendix (Appendix 1), UM undertakes to pay STUBA a sum of 9 000 euros (amount VAT excluded), in two transfers.

The first transfer will be done at the signature of the Agreement for an amount of 6 300 euros (70% of the total amount). The remaining balance (30% of the total amount) will be transferred after realization of the workshop, upon submission of invoices to UM.

This amount is paid by UM to STUBA, upon presentation of an invoice, by transfer to the account opened in the name of Slovenska technicka univerzita v Bratislave, account opened at the Statna pokladnica.

All payments must have the Contract reference UM 190035 Invoices are sent to UM to the attention of Ms Xxxxxxxx Xxxxxxxxx. Article 3 – Use of funds

STUBA compromises to use the funds only to cover the expanses of the event prepared in the frame of ImageInLife.

In case that the amount paid by UM would exceed the global amount of the invoices submitted, STUBA compromises to return the overpayment.

Article 4 – Term

This Agreement takes effect at the signature of the Agreement and lasts until 30th April, 2019.

Article 5 – Applicable law - Disputes

This agreement is governed by French legislation and regulations.

In the event of a problem with construction, or failure to perform this agreement, the Parties shall endeavour to settle their disagreement out-of-court.

Were the disagreement to persist, the competent French Courts shall have sole jurisdiction.
