Návaznost na rámcovou smlouvu Continuity with the Framework Agreement	Tato smlouva navazuje na rámcovou smlouvu o spolupráci ze dne 12. února 2020. This agreement is an extension of the Framework Cooperation Agreement of February 12, 2020
Předmět smlouvy Subject of the Agreement	Předmětem této smlouvy je stanovení podmínek, za jakých poskytovatel poskytne objednateli služby dle dohodnutého rozsahu spolupráce. V rámci programu spolupráce existují 3 úrovně spolupráce (SME partner, Partner a Strategický partner), které jsou popsány v příloze A této smlouvy. Poskytovatel se zavazuje sjednané plnění provést včas a ve sjednané kvalitě. Objednatel se zavazuje uhradit poskytovateli za poskytnuté služby dohodnutou cenu. The subject of this agreement is to establish the conditions under which the provider will provide the client with services according to the agreed scope of cooperation. Within the cooperation programme, there are 3 levels of cooperation (SME Partner, Partner and Strategic Partner), which are described in Annex A to this agreement. The provider undertakes to carry out the agreed performance on time and to the agreed quality. The client undertakes to pay the provider the agreed price for the services provided.

PODROBNEˇ JSˇI' PODMI'NKY SMLOUVY / MORE DETAILED AGREEMENT TERMS

I. PŘEDMĚT SMLOUVY
1. Předmět této smlouvy je popsán v části první v bodě „Předmět smlouvy“.
2. Tato smlouva navazuje na rámcovou smlouvu popsanou v části první v bodě „Návaznost na rámcovou smlouvu“.
3. Rozsah úrovní spolupráce a služeb je popsán v příloze A, která je nedílnou součástí této smlouvy.
II. TRVÁNÍ SPOLUPRÁCE
1. Trvání spolupráce se sjednává na dobu určitou, viz část první této smlouvy.
III. CENA A PLATEBNÍ PODMÍNKY
1. Celková cena za plnění předmětu smlouvy bez DPH je uvedena v části první v bodě „Cena“.
2. Výše uvedená cena v sobě zahrnuje veškeré nezbytné náklady poskytovatele, jako jsou např. administrativní práce, telefony, cestovné apod. spojené s poskytováním služeb dle této smlouvy. 3. Cena bude uhrazena objednatelem na základě daňového dokladu – faktury vystavené poskytovatelem k datu uvedenému v části první v bodě „Datum vystavení faktury“, které bude současně datem uskutečnění zdanitelného plnění. Daňový doklad bude vystaven nejpozději do desátého kalendářního dne následujícího I. SUBJECT MATTER OF THE AGREEMENT
1. The subject matter of this agreement is described in Part One under the heading "Subject of the Agreement".
2. This agreement is a continuation of the Framework agreement described in Part One, under the heading 'Continuity with the Framework Agreement.
3. The scope of the levels of cooperation and services is described in Annex A, which forms an integral part of this agreement.
II. DURATION OF THE COOPERATION
1. The duration of cooperation is negotiated for a definite period, see Part One of this Agreement.
III. PRICE AND TERMS OF PAYMENT 1. The total price for the performance of the subject of the contract excluding VAT is specified in Part One under the heading "Price".
2. The above described price includes all necessary expenses of the provider, such as administrative work, phones, travel costs, etc., which are related to the performing of the services under this agreement.
3. The price will be paid by the client based on the invoice (tax document) issued by the provider on date specified in Part One under the heading "Invoice Date", that will also be the date of the taxable transaction. The invoice will be issued no later than the tenth calendar day of the following month with

4. Daňový doklad – faktura musí obsahovat veškeré náležitosti daňového dokladu stanovené zákonem č. 235/2004 Sb., o dani z přidané hodnoty, ve znění pozdějších předpisů. Objednatel je oprávněn před uplynutím lhůty splatnosti vrátit daňový doklad – fakturu, pokud tento neobsahuje požadované náležitosti nebo obsahuje nesprávné cenové údaje. Oprávněným vrácením daňového dokladu – faktury přestává běžet původní lhůta splatnosti. Opravený nebo přepracovaný daňový doklad – faktura bude opatřen novou lhůtou splatnosti.
5. Cena za plnění předmětu smlouvy bude objednatelem hrazena bezhotovostním převodem na bankovní účet poskytovatele uvedený na daňovém dokladu - faktuře.
6. Případné navýšení rozsahu předmětu plnění dohodnutého smluvními stranami v čl. II. bude předmětem dodatku k této smlouvě.
IV. POVINNOSTI OBJEDNATELE
1. Objednatel se zavazuje poskytovat součinnost k řádnému zajištění služeb poskytovatelem.
2. Objednatel se zavazuje uhradit cenu ve výši a způsobem dle této smlouvy na základě poskytovatelem předložených daňových dokladů.
3. Objednatel si je vědom povinnosti poskytovatele zveřejňovat závěrečné práce v souladu se zákonem č. 111/1998 Sb., zákon o vysokých školách a o změně a doplnění dalších zákonů (zákon o vysokých školách). Objednatel je tedy povinen v případě vedení závěrečných prací definovat, které the maturity period specified in Part One under the heading "Invoice Due Date".
4. The invoice has to contain all the requirements of a tax document as defined by Act No. 235/2004 Coll., on Value Added Tax, as amended. The client is entitled to return the invoice before the due date, if it does not contain required information or it contains incorrect information on the price. The original maturity period shall cease to run upon legitimate return of the invoice. A corrected or revised invoice will be provided with a new maturity date.
5. The price for the performance of the agreement will be paid by the client by bank transfer to the provider’s bank account as indicated in the invoice.
6. Any potential increase in the scope of the performance agreed by the contracting parties in Article II. will be the subject of an amendment to this agreement.
IV. OBLIGATIONS OF THE CLIENT
1. The client undertakes to provide assistance to ensure proper performance of the services by the provider. 2. The client undertakes to pay the price equal to and in accordance with the agreement based on the invoices submitted by the provider.
3. The client is aware of the obligation of the provider to publish theses in accordance with the Act No. 111/1998 Coll., on Higher Education Institutions and on Amendments to other Acts (The Higher Education Act). In the case of thesis supervision the client is obliged to define which information

4. Za objednatele je kontaktní osobou ve věcech této smlouvy osoba uvedená v části první v bodě „Kontaktní osoba objednatele“.
V. POVINNOSTI POSKYTOVATELE
1. Poskytovatel je povinen postupovat s náležitou odbornou péčí v souladu s platnými právními předpisy, chránit práva a oprávněné zájmy objednatele. K plnění předmětu smlouvy je poskytovatel povinen důsledně využívat všechny zákonné prostředky a uplatňovat vše, co podle svého odborného přesvědčení a příkazů objednatele pokládá za prospěšné.
2. Poskytovatel zodpovídá zejména za poskytnutí součinnosti studentovi ohledně požadavků kladených na formu, náročnost a další náležitosti závěrečných prací. Prostřednictvím pověřeného zaměstnance sleduje dodržení časového rámce řádného dokončení závěrečné práce. V případě detekce možných problémů s postupem prací je tento zaměstnanec povinen informovat poskytovatele.
3. Po ukončení smluvního vztahu je poskytovatel povinen bez zbytečného odkladu vrátit objednateli veškeré vypůjčené podklady, které mu objednatel předal v rámci plnění této smlouvy. Poskytovatel je oprávněn pořizovat si z podkladů předaných mu objednatelem kopie pro dokumentaci své činnosti. provided to the student regarding the topic of the thesis meets the definition of the client’s trade secrets, and as such shall not be a part of the thesis.
4. The client’s contact person in matters of this agreement is the person specified in Part One under the heading "Client Contact Person".
V. OBLIGATIONS OF THE PROVIDER
1. The provider is obliged to proceed with due professional care and in accordance with applicable laws and regulations to protect the rights and legitimate interests of the client. The provider has to use all legal means and in the course of the performance of this agreement to implement any further steps which may be beneficial according to the provider’s professional beliefs and orders of the client.
2. The provider is responsible particularly for cooperation with the student concerning the requirements for the form, difficulty and other requisites of the theses. The provider monitors the time frame for proper completion of the thesis through an authorised employee. In case any potential problems are become clear in the course of the work process this authorised employee must inform the provider. 3. Following termination of the agreement, the provider is obliged to return any documents the client had lent to the provider in association with the performance of this agreement to the client without undue delay. The provider is entitled to make copies of the client’s materials to document the provider’s activities.

4. Za poskytovatele je kontaktní osobou ve věcech této smlouvy osoba uvedená v části první v bodě „Kontaktní osoba poskytovatele“.
VI. ZÁVĚREČNÁ USTANOVENÍ
1. Smluvní strany se dohodly, že tato smlouva a právní vztahy neupravené touto smlouvou se řídí výhradně příslušnými právními předpisy České republiky, zejména příslušnými ustanoveními zákona č. 89/2012 Sb., občanský zákoník.
2. Smlouvu lze měnit nebo doplňovat pouze písemnými číslovanými dodatky podepsanými oběma smluvními stranami.
3. Nevynutitelnost a/nebo neplatnost a/nebo neúčinnost kteréhokoli ujednání této smlouvy neovlivní vynutitelnost a/nebo platnost a/nebo účinnost jejích ostatních ujednání. V případě, že by jakékoli ujednání smlouvy mělo pozbýt platnosti a/nebo účinnosti, zavazují se tímto smluvní strany zahájit jednání a v co možná nejkratším termínu se dohodnout na přijatelném způsobu provedení záměrů obsažených v takovém ujednání, jež platnosti a/nebo účinnosti a/nebo vynutitelnosti pozbylo.
4. Veškeré spory vzniklé z právních vztahů založených smlouvou i z později uzavřených smluv prováděcích budou přednostně řešeny vzájemným jednáním a dohodou. V případě řešení sporů soudní cestou se smluvní strany dohodly, že místně příslušným soudem bude soud v Brně.

VI. FINAL PROVISIONS
1. The contracting parties agree that this agreement and the legal relations not covered by this agreement shall be governed exclusively by the laws of the Czech Republic, in particular by the relevant provisions of Act No. 89/2012 Coll., the Civil Code.
2. This agreement can be amended or supplemented only by written, numbered amendments signed by both contracting parties.
3. Unenforceability and/or invalidity and/or ineffectiveness of any provision of this agreement shall not affect the enforceability and/or force and/or efficiency of its other provisions. Should any provision of the agreement expire and/or lose effectiveness, the contracting parties undertake to begin negotiations and in the shortest possible time to agree on an acceptable method of implementation of the intentions contained in provision, which lost validity and/or effectiveness and/or enforceability.
4. Any dispute arising out of legal relationships established by the agreement and also by any later concluded implementing agreements will preferentially be settled by mutual negotiation and agreement. Should any dispute be settled by court, the contracting parties agree that a court in Brno will have the territorial jurisdiction. 5. This agreement may be terminated by a written agreement between the contracting parties, including the date on which the

vzájemného vypořádání práv a povinností smluvních stran.
6. Xxxxxxxxx ze smluvních stran je oprávněna tuto smlouvu vypovědět bez udání důvodů. Výpověď musí být písemná. Výpovědní lhůta činí 1 (jeden) měsíc a počíná běžet ode dne doručení výpovědi druhé smluvní straně.
7. Smluvní strany jsou povinny bez zbytečného odkladu oznámit písemně druhé smluvní straně změnu údajů v úvodu smlouvy.
8. Za písemnou formu oznámení se pro účely této smlouvy pokládají také oznámení učiněná elektronickou poštou na dohodnuté e-mailové adresy.
9. Strany se dohodly, že postoupení práv a povinností ze smlouvy třetí osobě je možné pouze se souhlasem druhé smluvní strany.
10. Smluvní strany prohlašují, že si tuto smlouvu před jejím podpisem přečetly, že byla uzavřena po řádném uvážení, svobodně a vážně, bez výhrad a s plným pochopením jejího významu, nikoli pod nátlakem nebo v tísni, s jejím obsahem bezvýhradně souhlasí a na důkaz toho připojují podpisy svých oprávněných zástupců.
11. Rozhodným zněním této Smlouvy je znění v českém jazyce. agreement will be terminated and the method of settlement of mutual rights and obligations of the contracting parties.
6. Any of the contracting parties may terminate this agreement without giving reasons. The notice has to be submitted in writing. The notice period shall be 1 (one) month and shall run from the date of delivery of the notice to the other contracting party.
7. Each contracting party is obliged to promptly notify the other contracting party in writing that the data in the preamble have changed.
8. The notifications made by electronic mail to the agreed e-mail addresses are considered as being made in written form for the purposes of this agreement.
9. The contracting parties have concluded that the transfer of rights and obligations arising from this agreement to the third party are possible only with the consent of the other contracting party.
10. The contracting parties declare that they have carefully read this agreement, that it was concluded after due consideration, freely, seriously, without reservation and with full understanding of its terms not under any duress or coercion, the contracting parties unconditionally agree with its content and thus attach the signatures of their representatives.
11. The Czech version of this agreement is decisive.

ČÁST TŘETÍ / PART THREE

PODPISY / SIGNATURES

1. Tato smlouva je vyhotovena v elektronické formě, nebo ve dvou (2) listinných vyhotoveních, přičemž každá ze smluvních stran obdrží jedno (1) vyhotovení.
2. Smluvní strany si jsou vědomy povinnosti stanovené zákonem č. 340/2015 Sb. (zákon o registru smluv), a v případě, že bude v souladu s tímto zákonem nutné uveřejnit tuto smlouvu, smluvní strany souhlasí s jejím uveřejněním, stejně jako s uveřejněním případných dohod (dodatků), kterými se tato smlouva doplňuje, mění, nahrazuje nebo ruší, a to prostřednictvím registru smluv. Smluvní strany se dohodly, že uveřejnění smlouvy v souladu s výše citovaným zákonem zajistí poskytovatel. Objednatel zveřejnění zkontroluje a upozorní poskytovatele na případné nedostatky.
3. Tato smlouva je uzavřena dnem podpisu poslední smluvní stranou. Smlouva nabývá účinnosti nejdříve dnem 1. 1. 2024, nebo dnem jejího zveřejnění v registru smluv v případě, že podléhá povinnosti zveřejnění v registru smluv, podle toho, který den nastane později. 1. The agreement is executed in electronic form or in 2 (two) paper copies; of which each party shall retain 1 (one).
2. The contracting parties are aware of the requirements under Act No. 340/2015 Coll. (The Contract Repository Act), and if it is necessary according to this Act to publish this agreement, the contracting parties agree with its publication in the Contract Repository, as well as with the publication of any agreements (amendments), which supplement, change, replace or cancel this agreement. The contracting parties agree that the publication of the agreement in accordance with the above-mentioned Act is ensured by the provider. The client shall check its publication and shall warn the provider of any defects.
3. The agreement is concluded on the date of signature by the last contracting party. The agreement shall come into legal effect no earlier than 1 January 2024 or on the date of its publication in the Contract Repository if it is subject to the obligation to be published in the Contract Repository, whichever is later.

Popis služeb v rámci jednotlivých úrovní spolupráce

Poskytovatel se touto smlouvou zavazuje poskytnout objednateli tyto služby v rámci jednotlivých úrovní spolupráce:

SME Partner

a. v případě zájmu objednatele participovat na zadávání témat závěrečných prací, vyhledávat potenciální konzultanty nebo vedoucí těchto prací z řad zaměstnanců poskytovatele, v případě dohody na znění zadání a na osobě konzultanta a vedoucího práce garantuje poskytovatel řádné vypsání a vedení studentských závěrečných prací, zodpovídá za splnění požadavků poskytovatele kladených na formu, náročnost a další náležitosti závěrečných prací, včetně dodržení časového rámce řádného dokončení závěrečné práce,

b. umožnit objednateli zúčastnit se kolokvia fakulty a seminářů odborných skupin,

c. prezentovat nabídky pracovních stáží u objednatele,

d. informovat studenty o pracovních příležitostech u objednatele,

e. vytvořit podmínky pro prezentaci a propagaci objednatele u poskytovatele i při společných akcích

a to i vůči třetím subjektům,

f. účast a umístění stánku objednatele na setkání s průmyslovými partnery, které poskytovatel

pravidelně pořádá.

Partner

Spolupráce v úrovni Partner zahrnuje body a. – f. výše a navíc:

g. vyhledávat témata společných výzkumných a vývojových projektů – v případě shody smluvních stran na tématu projektu bude jeho řešení realizováno na základě samostatné smlouvy.

Strategický partner

Spolupráce v úrovni Strategický Partner zahrnuje body a. – g. výše a navíc:

h. umožnit objednateli vyjadřovat se k osnovám předmětů a spolupracovat na tvorbě studijních programů a úpravě profilu absolventa podle potřeb aplikační sféry.

ANNEX A

Description of Services within each Level of Cooperation

By this agreement, the provider undertakes to provide the client with the following services within the individual levels of cooperation:

SME Partner

a. in the case of the client's interest in participating in the assignment of the topics of final theses, in searching for potential consultants or supervisors of these works from among the provider's employees, in the case of agreement on the wording of the assignment and on the person of the consultant and the supervisor, the provider guarantees the proper listing and management of student final theses, is responsible for meeting the requirements of the provider for the form, difficulty and other requisites of final theses, including compliance with the time frame for the proper completion of the final thesis,

b. to enable the client to participate in faculty colloquia and seminars of expert groups,

c. to display offers of internships at the client,

d. to inform students about job opportunities at the client,

e. to create conditions for the presentation and promotion of the client at the provider and at joint events, even towards third parties,

f. to participate and to erect the client's stand at meetings with industrial partners regularly organized by the provider.

Partner

Cooperation at the Partner level includes points a. – f. above and in addition:

g. to search for topics of joint research and development projects – if the contracting parties agree on the topic of the project, its project will be implemented on the basis of a separate agreement.

Strategic Partner

Cooperation at Strategic Partner level includes points a. – g. above and in addition:

h. to enable the client to comment on the curriculum of courses and to cooperate on the creation of study programmes and adjustment of the graduate profile according to the needs of the application sphere.
