Obchodní podmínky Plastoplan s.r.o.
1 Úvodní údaje
1.1 Obchodní podmínky společnosti Plastoplan s.r.o., se sídlem Nupaky 232, CZ25101, IČ 45808856 (dále jen „OP“) se použijí na všechny kupní smlouvy společnosti Plastoplan s.r.o. (dále jen „prodávající“), na jejichž základě prodávající prodává kupujícímu zboží. Pokud uzavřená kupní smlouva obsahuje úpravu odlišnou od OP, má úprava v kupní smlouvě v daném rozsahu přednost před OP.
1.2 Smluvní vztah mezi prodávajícím a kupujícím, jehož předmětem je dodání zboží, (dále jen“kupní smlouva“) vzniká:
a) podpisem písemné smlouvy prodávajícím a kupujícím, není-li ve smlouvě stanoveno jinak, nebo
b) písemným potvrzením objednávky kupujícího prodávajícím, nebo
c) jiným způsobem, ale jen tehdy, pokud je tento definován v rámcové kupní smlouvě
1.3 Nabídky prodávajícího jsou nezávazné a nejsou návrhem na uzavření kupní smlouvy. Ústně dohodnutá ujednání pracovníků prodávajícího vyžadují ke své účinnosti písemné potvrzení prodávajícího.
1.4 Jakékoli jiné podmínky obsažené ve všeobecných obchodních či jiných podmínkách kupujícího, formulářových smlouvách, potvrzeních apod., které zašle kupující s objednávkou se nestávají za žádných okolností obsahem kupní smlouvy, a to i bez výslovného odmítnutí prodávajícím.
2 Cena, množství, rámcové kupní smlouvy
2.1 Není-li v kupní smlouvě dohodnuto jinak, zavazuje se kupující zaplatit prodávajícímu za zboží cenu dle aktuální cenové nabídky nebo ceníku.
2.2 Ceny jsou stanoveny k okamžiku výstupu ze skladu. Tyto ceny nezahrnují přepravné, pojištění a zákonnou daň z přidané hodnoty, které budou účtovány nad rámec dohodnuté ceny, pokud není dohodnuto jinak.
2.3 Prodávající si vyhrazuje právo změnit dodané množství zboží vyráběného na zakázku v rozsahu ±10% objednaného množství zboží.
2.4 Prodávající umožní uzavření rámcové kupní smlouvy na dohodnuté množství s postupnými odběry zboží. Nejzazší termín dodání je 6 měsíců od naskladnění zboží u prodávajícího, pokud není dohodnuto jinak. Po uplynutí této doby bude zboží dodáno a vyfakturováno kupujícímu.
3 Fakturace, platební podmínky a způsob úhrady
3.1 Prodávající je oprávněn vystavit zálohovou fakturu, a to až do 100% ceny zboží. Úhrada zálohové faktury je podmínkou dodání zboží. Uhrazená záloha bude odečtena od celkové ceny na konečné faktuře – daňovém dokladu.
3.2 Splatnost zálohových faktur je stanovena na 5 pracovních dnů ode dne vystavení, pokud není dohodnuto jinak.
3.3 Splatnost konečných faktur je stanovena na 14 pracovních dnů ode dne vystavení, pokud není dohodnuto nebo kupní smlouvou stanoveno jinak.
3.4 V případě prodlení kupujícího s úhradou ceny činí úrok z prodlení ve výši 0,05 % denně z dlužné částky.
3.5 Kupující není oprávněn k jednostrannému zápočtu svých pohledávek proti pohledávkám prodávajícího. Takovýto zápočet lze provést pouze na základě dohody prodávajícího s kupujícím.
3.6 Prodávající je oprávněn svou pohledávku za objednatelem postoupit, popř. s ní naložit jiným způsobem.
3.7 Pokud bude kupující v prodlení s úhradou jakéhokoliv závazku vůči prodávajícímu, je prodávající oprávněn pozastavit dle svého uvážení plnění všech uzavřených kupních smluv s kupujícím, a to až do úplného uhrazení všech splatných závazků kupujícího.
4 Termín a místo dodání zboží
4.1 Pokud termín a místo dodání zboží není dohodnuto v kupní smlouvě mezi prodávajícím a kupujícím, je místem dodání zboží sklad prodávajícího, v termínu dle aktuálních dodacích lhůt prodávajícího. Prodávající je oprávněn dodat zboží i před termínem dodání. Informace o dodacích lhůtách poskytnuté kupujícímu jsou orientační, prodávající si vyhrazuje právo změnit konečný termín dodání v závislosti na aktuální situaci u výrobce zboží.
4.2 Prodávající je oprávněn prodloužit termín dodání zboží, pokud
je kupující v prodlení s úhradou zálohové faktury za zboží. Termín dodání se pak prodlužuje o počet dnů prodlení kupujícího se splněním jeho povinnosti dle tohoto odstavce.
4.3 Dostane-li se kupující do prodlení se splněním závazku převzít od prodávajícího zboží, prodávající má nárok na plnou náhradu škody (všech nákladů) způsobené prodávajícímu porušením povinností kupujícího zboží včas převzít.
5 Přechod vlastnictví
5.1 Dodané zboží zůstává ve vlastnictví prodávajícího až do úplného zaplacení daňového dokladu, kterým je zboží fakturováno. Kupující je povinen zboží řádně uskladnit a řádně o něj pečovat.
5.2 Prodávající je oprávněn požadovat vydání zboží v jeho vlastnictví v případě, že je kupující v prodlení s úhradou pohledávek prodávajícího. Kupující tímto prohlašuje, že souhlasí s tím, aby osoby pověřené prodávajícím k převzetí a odvezení zboží, mohly vstoupit a vjet na místo, kde se zboží nachází, a toto bez překážek naložit a odvézt.
6 Nebezpečí škody
6.1 Nebezpečí škody na zboží přechází na kupujícího okamžikem, kdy kupující od prodávajícího zboží převezme. V případě, že se kupující dostane do prodlení s povinností převzít zboží dodané v souladu se smlouvou, přechází na kupujícího nebezpečí škody na zboží okamžikem, kdy je zboží prodávajícím pro kupujícího k převzetí připraveno. Tento okamžik je tak považován za splnění závazku prodávajícího.
6.2 Jestliže je prodávající povinen dle smlouvy odeslat zboží kupujícímu, přechází nebezpečí škody na zboží na kupujícího předáním zboží prvnímu přepravci pro přepravu do místa určení.
7 Odpovědnost za vady, náhrada škody
7.1 Kupující je povinen prodávajícímu vadu zboží písemně oznámit bez zbytečného odkladu poté, co vadu zjistí. V oznámení kupující přesně specifikuje vadu zboží. Oznámení vady zašle kupující na e-mail: xxxxxx@xxxxxxxxxx.xx nebo fax: x000 000 000 000. Prodávající je oprávněn rozhodnout, jakým způsobem bude vada odstraněna.
7.2 Odpovědnost prodávajícího za škodu vzniklou kupujícímu na základě kupní smlouvy je omezena částkou odpovídající výši kupní ceny zboží dle příslušné kupní smlouvy. Toto neplatí pro škodu způsobenou úmyslně.
8 Vyšší moc
8.1 V případě výskytu události vyšší moci se o dobu, po kterou se projevují účinky vyšší moci, prodlužuje termín dodání zboží.
8.2 Prodávající je povinen kupujícího o výskytu událostí vyšší moci bez zbytečného prodlení písemně informovat.
8.3 Za událost vyšší moci jsou považovány události, které nemohou být ovlivněny smluvními stranami, pokud nastanou po uzavření kupní smlouvy a znemožňují její plnění, zejména: pracovní konflikty a všechny události vymykající se vůli obou stran, jako havárie, epidemie, oheň, přírodní katastrofy, mobilizace, válka, povstání, zabavení věci, embargo, všeobecný nedostatek dopravních prostředků, všeobecný nedostatek vstupních materiálů a surovin, apod.
8.4 Pokud účinky vyšší moci trvají déle než 3 měsíce, je kterákoliv strana oprávněna odstoupit písemně od kupní smlouvy.
9 Závěrečná ustanovení
9.1 Na právní vztahy vyplývající z uzavřených kupních smluv se vztahují příslušné české právní předpisy zejména odpovídající ustanovení obchodního zákoníku.
9.2 Všechny spory se smluvní strany zavazují řešit smírnou cestou.
9.3 Nedojde-li k dohodě dle bodu 9.2, bude k soudnímu řízení příslušný obecný soud prodávajícího.
9.4 Je-li nebo stane-li se některé ustanovení těchto OP neplatným nebo neúčinným, nejsou tím ostatní ustanovení dotčena. Neplatné nebo neúčinné ustanovení bude nahrazeno takovým ustanovením, které se právně nejvíce blíží smyslu a účelu neplatného nebo neúčinného ustanovení.
9.5 Prodávající si vyhrazuje právo tyto OP kdykoliv změnit.
9.6 Tyto Obchodní podmínky nabývají účinnosti dne 1.2.2013
General Terms and Conditions of Plastoplan s.r.o.
1 Preamble
1.1 The General Terms and Conditions of Plastoplan s.r.o., with its seat at Nupaky 232, CZ25101, Company’s ID 45808856 (hereinafter referred to as “GTC”), shall apply to all purchase contracts of Plastoplan s.r.o. (hereinafter referred to as the “Seller”) pursuant to which the Seller sells goods to the Buyer. If a concluded purchase contract contains a provision different from GTC, the provision in the Purchase Contract shall prevail over GTC in the respective extent.
1.2 The contractual relation between the Seller and the Buyer the subject-matter of which is delivery of goods (hereinafter referred to as the “Purchase Contract“) arises:
a) Upon signing of a written contract by the Seller and the Buyer unless provided otherwise in the contract, or
b) Upon a written acknowledgement of the Buyer’s order by the Seller, or
c) In another manner, however only when the latter is defined in a master purchase agreement.
1.3 Offers made by the Seller are not binding and are not a proposal for a purchase contract to be concluded. Any oral agreements arranged by the Seller’s employees shall require the Seller’s written authorization to come to effect.
1.4 Any other terms and conditions contained in the General Terms and Conditions of the Buyer, form contracts, acknowledgements, etc. which the Buyer sends in together with its order shall not become a content of the Purchase Contract in no case whatsoever, including when they have not been expressly rejected by the Seller.
2 Price, Quantity, Master Purchase Agreements
2.1 Unless agreed otherwise in the Purchase Contract, the Buyer undertakes to pay the Seller the price for goods according to the current price quote or price list.
2.2 Prices shall be determined as of the moment of goods leaving the warehouse. The prices shall not include transportation costs, insurance and statutory value added tax which will be charged in addition to the agreed price unless stipulated otherwise.
2.3 The Seller reserves itself the right to change any delivered quantity of goods produced to order within the range of ±10% of an ordered quantity of goods.
2.4 The Seller shall enable a master purchase agreement to be concluded for an agreed quantity with sequential offtakes of goods. The latest delivery date shall be 6 months after stocking of goods at the Seller unless agreed otherwise. After the elapse of the time goods shall be delivered and invoiced to the Buyer.
3 Invoicing, Terms of Payment and Reimbursement Method
3.1 The Seller shall be entitled to make out an invoice for advance payment up to 100% of the price of goods. Settlement of an invoice for advance payment is a precondition for delivery of goods. Any settled advance payment shall be deducted from the total price on the final invoice – tax document.
3.2 The maturity of invoices for advance payments has been determined to be 5 working days after the date of issue unless agreed otherwise.
3.3 The maturity of final invoices has been determined to be 14 working days after the date of issue unless agreed or stipulated in the Purchase Contract otherwise.
3.4 Should the Buyer get in delay with payment of the price, the interest on late payment shall be 0,05 % of the sum in arrears daily.
3.5 The Buyer shall not be entitled to any unilateral offset of its receivables against the Seller’s receivables. Such offsetting may be executed only by agreement between the Seller and the Buyer.
3.6 The Seller shall be entitled to transfer its amount receivable from the Buyer or to handle it in another manner, as the case may be.
3.7 Should the Buyer get in delay with payment of any liabilities towards the Seller, the Seller shall be entitled, at its sole discretion, to suspend the performance of all Purchase Contracts concluded with the Buyer until any and all liabilities of the Buyer have been fully settled.
4 The Date and Place of Goods Delivery
4.1 If the date and place of delivery of goods is not agreed in the Purchase Contract between the Seller and the Buyer, the place of delivery of goods shall be the Seller’s warehouse, and the date shall be within the term according to the Seller’s current delivery times. The Seller shall also be entitled to deliver goods prior to the date of delivery. Information about delivery times provided to the Buyer is orientational; the Seller reserves itself the right to change the final date of delivery depending on the current situation at the goods producer’s organisation.
4.2 The Seller shall be entitled to prolong the date of goods delivery if the Buyer is in delay with settlement of an invoice for advance payment for the goods. The date of delivery will then be prolonged by the number of days of the Buyer’s delay in meeting the Buyer’s
obligation pursuant to this paragraph.
4.3 Should the Buyer get in delay in meeting its obligation to take over goods from the Seller, the Seller shall be entitled to a full compensation of the damage (any and all costs) caused to the Seller by breaching the Buyer’s obligation to take over the goods in a timely manner.
5 Transfer of Ownership
5.1 Delivered goods remain in the Seller’s ownership until the tax document made out as a bill for the goods has been fully settled. The Buyer shall be obliged to store the goods properly and take proper care of them.
5.2 The Seller shall be entitled to request any goods in its ownership to be returned to the Seller in case the Buyer is in delay with payment of the Seller’s receivables. The Buyer hereby declares that it agrees on persons authorized by the Seller to take over and take away such goods to be able to enter and drive into the place where the goods are located and to upload and take off the goods without any obstructions.
6 Damage Risks
6.1 The risks of damage to goods shall be transferred to the Buyer upon the moment when the Buyer takes goods over from the Seller. Should the Buyer get in delay with its obligation to take over any goods delivered in accordance with the Purchase Contract, the risk of damage to goods shall be transferred to the Buyer upon the moment when goods for the Buyer are prepared to be taken over. The moment is thus considered to be the moment when the Seller’s obligation is met.
6.2 If the Seller is obliged under the contract to send goods to the Buyer, the risk of damage shall be transferred to the Buyer upon hand-over of the goods to the first forwarding agent for their transportation to the place of destination.
7 Liability for Defects, Compensation for Damage
7.1 The Buyer shall be obliged to notify the Seller about any defect in goods in writing without unnecessary delay after the Buyer detects such a defect. In its notice, the Buyer shall exactly specify a defect in goods. The Buyer shall send a defect notice to the e-mail address: xxxxxx@xxxxxxxxxx.xx or to the fax number: x000 000 000 000. The Seller shall be entitled to decide on the manner of elimination of a defect.
7.2 The Seller’s liability for any damage suffered by the Buyer pursuant to the Purchase Contract shall be limited to the sum corresponding to the amount of the purchase price for goods pursuant to the Purchase Contract in question. This shall not apply to any intentional damage.
8 Force Majeure
8.1 In the case of occurrence of any force majeure events, the date of delivery of goods shall be postponed by the time during which effects of force majeure manifest themselves.
8.2 The Seller shall be obliged to inform the Buyer about occurrence of force majeure in writing without unnecessary delay.
8.3 Any events shall be considered to be a force majeure event. that cannot be influenced by the contracting parties, when they occur after the Purchase Contract was concluded and they make performance of the Purchase Contract impossible, especially: labour disputes and any events outside of the parties’ will, such as accidents, epidemics, fire, natural disasters, mobilisation, war, uprising, confiscation of a thing, embargo, general shortage of means of transport, general shortage of input materials and raw materials, etc.
8.4 Should the effects of force majeure last longer than for 3 months, either party shall be entitled to withdraw from the contract in writing.
9 Final Provisions
9.1 The legal relations arising from concluded purchase contracts shall be governed by Czech legal regulations, especially the applicable provisions of the Commercial Code.
9.2 The parties undertake to settle any disputes amicably.
9.3 When the parties fail to reach a settlement pursuant to par. 9.2, the Seller’s general court shall have the jurisdiction.
9.4 If any of the provisions of these GTC is or becomes invalid or ineffective, the other provisions shall not be affected by this. Any invalid or ineffective provision shall be substituted with such a provision that will be as close as possible to the meaning and purpose of the invalid or ineffective provision.
9.5 The Seller reserves itself the right to amend these GTC at any time.
9.6 These General terms and Conditions shall come to effect on February 1, 2013.
