Dear Sir or Madam:
Reference is xxxxxx made to that certain Television License Agreement by and between UNIVERSAL STUDIOS LIMITED (“Licensor”) and RADIO AND TELEVISION OF SLOVAKIA
(“Licensee”) dated August 4, 2015 (the “Agreement”). Capitalized terms used and not otherwise defined in this amendment letter (this “Amendment”) shall have the meanings ascribed to them in the Agreement.
WHEREAS, Licensor and Licensee have agreed the following:
- the feature films THE HOLIDAY and MIAMI VICE ('06) shall be withdrawn from the Agreement and replaced with the feature films THE GAME and SCHINDLER'S LIST; and
- the License Periods of CURIOUS XXXXXX #1 and LAND BEFORE TIME #1 as licensed under the Agreement shall be amended.
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged by the parties, Licensor and Licensee hereby agree to amend the Agreement as follows:
1. The lists of Programs to be delivered upon receipt of the 1st and 2nd installments as specified in sub-paragraph a. of the paragraph entitled DELIVERY AND RETURN OF MATERIALS of the Additional Provisions of Agreement shall be deleted in their entirety and replaced with the following:

2. The following shall be added to the Rider of the Agreement:
"5. The following restrictions shall apply only to the feature film entitled "SCHINDLER'S LIST":
A. EDITING: No editing or time compression may take place. The feature film shall be transmitted in its full running time of approximately 3 hours 15 minutes.
B. SPONSORSHIP: No sponsorship by alcohol, tobacco, personal hygiene products or oil companies. All commercial messages must be placed before or after the feature film or at places designated by Licensor and shall be tastefully consistent with the serious matter of the film and must be of an institutional-type only i.e. PBS-type.
C. PROMOTION/PUBLICITY: No promotion or publicity of the feature film to the media or trade until 120 days prior to the date of availability for broadcast and until 30 days prior to such date to viewers.
D. LOGO: No super imposed network/station logo over the feature film is permitted."
3. The Exhibit A attached to the Agreement shall be deleted in its entirety and replaced with the Exhibit A attached hereto.
Except as amended by this Amendment, the Agreement shall remain in full force and effect. To the extent the terms of the Agreement are not inconsistent with the terms of this Amendment, the terms of the Agreement shall govern this Amendment. In the event of any conflict between a provision or provisions in this Amendment and the Agreement, the relevant provision(s) of this Amendment shall govern.
