Contract on the provision of foreign language teaching

ve smyslu ustanovení c. 89/2012 Sb., uzavřely níže uvedené smluvní strany následující smlouvu:

2. Předmět smlouvy

2.1. Předmětem smlouvy je úprava smluvních podmínek pro zajištění výuky anglického jazyka. Výuka je vedena rodilým mluvčím.

2.2. Výuka anglického jazyka se uskuteční v prostorách odběratele: Mateřská škola Lechowiczova 3110/8. 702 00 Ostrava

3. Doba plnění a rozsah

3.1. Smlouva se uzavírá na dobu určitou: od 1.10.2018 do 30.6.2019

3.2. Xxxxxx je sjednán následovně. Výuka bude realizována v celkovém rozsahu 20h týdně (1200 minut) dle výkazu práce lektora.

3.3. Dojde-li ke zrušení hodiny ze strany dodavatele nebo odběratele - výuka bude nahrazena na základě vzájemné dohody.

4. Cena a platební podmínky 4.1. Smluvní strany se dohodly na níže uvedených cenách:

4.2. Částka odpovídající počtu odučených hodin bude jednou měsíčně fakturována odběrateli. Úrok z prodlení je dohodnut ve výši stanovené nařízení vlády č. 351/2013 Sb. v platném znění.

4.3. Odběratel je povinen řádně a včas platit dodavateli prováděnou výuku v souladu s finančními podmínkami podle této smlouvy.

4.4. Platba bude poukazována na výše uvedený účet dodavatele v termínu dle splatnosti faktur.

Doba splatnosti daňových dokladů (faktur) se sjednává na 30 dní ode dne vystavení.

4.5. Vznikne-li ze smlouvy pohledávka dodavatele vůči odběrateli:

a) je postoupení pohledávky dodavatelem třetí osobě bez předchozího písemného souhlasu objednatele neplatné

b) bude zastavení pohledávky dodavatelem třetí osobě bez předchozího písemného souhlasu odběratele sankcionováno smluvní pokutou ve výši 10 % z nominální výše zastavené pohledávky, která se nezapočítává na náhradu škody, vzniklé porušením uvedeného závazku c) je započtení této pohledávky možné pouze písemnou dohodou obou stran, jinak je neplatné.

5. Výukové materiály

Výukové materiály a další náplň výuky se budou přizpůsobovat individuálním potřebám odběratele.

6. Povinnosti smluvních stran

6.1. Povinnosti dodavatele:

Provádět výuku anglického jazyka v řádné kvalitě, v dohodnutém rozsahu a čase. Výuku angličtiny začleňovat do učiteli vybraných vzdělávacích činností.Vytvářet plán činností, ten konzultovat a předávat do třídního vzdělávacího programu. Rádným způsobem vést prezenční listinu a výkaz o počtu odučených hodin a tento na požádání předložit odběrateli, kopie budou přílohou měsíčních faktur.

6.2. Povinnosti odběratele:

Určit zaměstnance oprávněného ke komunikaci s dodavatelem.

Odběratel je oprávněn provádět kontrolu probíhající jazykové výuky. O každé provedené kontrole bude vyhotoven zápis.

7. Ostatní ujednání

7.1. Smluvní vztah daný touto smlouvou může zaniknout:

- po vzájemné dohodě ( s 2 měsíční výpovědní lhůtou)

- uplynutím doby stanovené článkem 3.1

- při podstatném porušení podmínek

7.2. Tato smlouvaje vyhotovena ve dvou vyhotoveních, každý s platností originálu, z nichž každá ze smluvních stran obdrží po jednom výtisku.

7.3. Obě smluvní strany jsou povinny si bez zbytečného odkladu sdělit veškeré skutečnosti, které se dotýkají změn některého z jejich základních identifikačních údajů vč. jejich vstupu do likvidace, prohlášení o úpadku, konkursu a jejich právního nástupnictví.

7.4. Měnit a doplňovat smlouvu je možno pouze se souhlasem obou smluvních stran, a to formou písemných, vzestupně očíslovaných a oboustranně podepsaných dodatků, které se stávají nedílnou součástí smlouvy.

7.5. Smluvní strany se zavazují zachovávat mlčenlivost ohledně podmínek této smlouvy, a to i po skončení této smlouvy.

7.6. Smluvní strany prohlašují, že si tuto smlouvu před podepsáním přečetly a že nebyla sjednána v tísni, ani za jinak jednostranně nevýhodných podmínek.

7.7. Smluvní strany se dohodly, že jejich další vzájemné vztahy vzniklé z této smlouvy se řídí Občanským zákoníkem.

2. Subject of the contract

2.1. The subject of the contract is to modify the contractual terms and conditions to ensure English language teaching. Teaching is conducted by native speakers.

2.2. Teaching English will také plače at the customefs premises: Mateřská xxxxx Xxxxxxxxxxxx 0000/0, 000 00 Xxxxxxx

3. Time period

3.1. The contract is agreed for a fíxed period: from 1.10.2018 to 30.6.2019

3.2. The range is negotiated as follows. Teaching will consist of a total of 20h per week (1200 minutes) according to the lecturefs report.

3.3. If the supplier or customer cancels the lesson. the lesson will be replaced by mutual agreement.

4. Price and Payment Terms

4.1. The parties agreed on the following prices:

4.2. The amount corresponding to the number of hours worked will be billed once a month to the customer. Default interest is agreed at the level of Government Decree No. 351/2013 Coll. as amended.

4.3. The customer is obliged to pay properly and in good time to the contractor the amount invoiced in accordance with with the financial terms and conditions of this agreement.

4.4. Payment will be made to the above-mentioned contractoťs account on the due dáte of the invoice.

The maturity of tax documents (invoices) is negotiated for 30 days from the dáte of issue.

4.5. If the Contractor's receivable arises from the contract against the customer: (a) the assignment of the claim by the supplier to a third party without the prior written consent of the customer is invalid

b) the termination of the contract by the contractor to a third party without the prior written consent of the customer shall be penalized by a contractual fine of 10% of the nominal amount of the pledged receivable which shall not be included in the damages resulting from the breach of the said obligation

c) the settlement of this claim is possible only by written agreement of both parties, otherwise it is invalid.

5. Teaching materials

Teaching materials and other teaching content will be tailored to the individual needs of the customer.

6. Obligations of the Contracting Parties

6.1. Obligations of the contractor:

To teach English in good quality, in the agreed range and time. English language education to be integrated with the head teachefs educational activities. Create a pian of activities, consult with the head teacher, and submit pian to the class educational program. To be on time and to correctly complete the attendance sheet and the report on the number of hours worked and to present it on request to the customer, the copies will be attached to monthly invoices.

6.2. Contractor Obligations:

Identify employees authorized to communicate with the contractor.

The contractor is authorized to check the ongoing language instruction. Every record will be written out.

7. Other arrangements

7.1. The contractual relationship provided in this agreement may be terminated:

- by mutual agreement (with 2 months notice period)

- the period laid down in Article 3.1

- in čase of substantial breach of the conditions

7.2. This Agreement shall be drawn up in duplicate, each of which shall be authentic, of which each Contracting Party shall receive one copy per party.

7.3. Both parties are obliged to communicate without undue delay any facts that affect changes in one of their basic identification data, incl. their entry into liquidation, bankruptcy declaration, bankruptcy and their legal succession.

7.4. It is only possible with the agreement of both parties to amend and supplement the contract in the form of written, upwardly numbered and signed two-way amendments, which become an integrál part of the contract.

7.5. The Parties undertake to maintain confidentiality regarding the terms of this Agreement, even after the termination of this Agreement.

7.6. The Contracting Parties declare that they háve read this Agreement before signing it and that it has not been negotiated in distress or otherwise unilaterally unfavourable conditions. 7.7. The Parties agree that their further mutual relations arising from this Agreement are governed by the Civil Code.
