OBCHODNÍ PODMÍNKY UBYTOVACÍCH SLUŽEB CENTRUM BABYLON, a. s.

1 Platnost obchodních podmínek ubytovacích služeb CENTRUM BABYLON, a. s. (dále jen OPUS)
1.1 Tyto OPUS upravují obchodní vztahy mezi CENTRUM BABYLON, a. s. (dále jen CB) a zákazníkem CB (dále jen zákazník). Jsou nedílnou součástí každého písemného smluvního vztahu týkajícího se poskytování ubytuvacích služeb CB zákazníkovi CB.
1.2 Tyto OPUS platí v plném rozsahu, pokud si CB a zákazník nedohodnou písemně jinak. Obchodní nabídky, návrhy smluv, objednávky a smlouvy na dodávky služeb, zboží a jiných plnění se vypracovávají na základě těchto OPUS, ustanovení těchto OPUS uplatňuje CB i v případech, kdy mezi CB a zákazníkem dojde k plnění, aniž byl uzavřen písemný smluvní vztah.
2 Nabídka, objednávka a uzavření smlouvy
2.1 Na základě poptávky zákazníka a projednání jeho požadavků CB zpracovává a zákazníkovi předkládá písemnou obchodní nabídku, případně návrh smlouvy. Platnost písemných obchodních nabídek nebo návrhů smluv předložených CB činí nanejvýš jeden kalendářní měsíc ode dne jejich vyhotovení, není-li v nich uveden kratší termín.
2.2 Podklady přiložené k nabídkám, jako jsou specifikace služeb apod., jsou pouze informativní, pokud je CB neoznačí výslovně jako závazné.
2.3 Zaměstnanci CB nejsou oprávněni sjednávat ústní vedlejší dohody nebo dávat ústní ujištění nad rámec písemné obchodní nabídky, návrhu smlouvy či těchto OPUS.
2.4 Zákazník předává případné objednávky CB vždy písemnou formou, a to osobně, faxem nebo v elektronické podobě.
2.5 Předáním písemné objednávky zákazník potvrzuje svůj souhlas s těmito
OPUS.
2.6 Obchodně závazkový vztah mezi zákazníkem a CB vznikne na základě objednávky zákazníka pouze tehdy, obsahuje-li objednávka zákazníka všechny nezbytné náležitosti smlouvy a je zákazníkovi potvrzena oprávněnou osobou ze strany CB.
2.7 Obchodně závazkový vztah mezi CB a zákazníkem je zpravidla upraven písemnou smlouvou, podepsanou z obou stran oprávněnými osobami; a to SMLOUVOU UBYTOVACÍ podle §§ 754 a násl. zákona č. 40/1964, občanský zákoník.
2.8 Návrh smlouvy zpracovává a předkládá zpravidla CB. Smlouva musí být vyhotovena vždy písemně a nejméně ve dvou vyhotoveních, z nichž každá strana obdrží po podpisu alespoň jedno.
3 Ceny
3.1 Základní ceny zboží a služeb jsou stanoveny ceníky CB, platnými pro období, kterého se poskytování ubytovacích služeb týká.
3.2 Informativní ceník CB je k dispozici na xxx.XxxxxxxXxxxxxx.xx, aktuální
ceníky jsou k dispozici na obchodních místech CB.
3.3 Rozhodující jsou ceny uvedené v aktuálním ceníku CB, pokud není písemně dohodnuto jinak. Aktuální ceník služeb je zpravidla přílohou smlouvy.
3.4 Při dodávkách služeb s dlouhodobým plněním si CB vyhrazuje právo
změny cen při změnách cen vstupů.
4 Platební podmínky
4.1 Platby zákazníků za dodávky služeb CB se uskutečňují takto:
4.1.1 CB je oprávněna vystavit zálohovou fakturu ve výši 80 % dohodnuté celkové ceny za plnění předmětu smlouvy, pokud není ve smlouvě ujednáno jinak.
4.1.2 CB je oprávněna vystavit zálohovou fakturu ve výši 100% dohodnuté vratné zálohy na plnění poskytovaná „ad hoc“ v průběhu plnění předmětu smlouvy.
4.1.3 Zaplacením se rozumí připsání platby na účet CB, nebo zaplacení v hotovosti na pokladně CB. Pouze na základě zvláštní písemné dohody může CB akceptovat i potvrzení o provedení platby před jejím připsáním na účet CB, např. po předložení originálu výpisu z bankovního účtu zákazníka s příslušnou platbou.
4.1.4 CB vystaví a zákazníkovi zašle fakturu (daňový doklad) zahrnující vyúčtování případných záloh po uskutečnění zdanitelného plnění, nejpozději však do 5 dnů.
4.2 V případě, že je zákazník s jakoukoliv platbou v prodlení, je CB oprávněna zákazníkovi účtovat a zákazník je povinen CB zaplatit smluvní úroky z prodlení ve výši 0,05 % z dlužné částky (minimálně však 20 Kč) za každý den prodlení. CB je dále oprávněna tuto skutečnost a údaje podle článku 8.1. těchto OPUS zveřejnit, případně za tímto účelem předat třetí osobě.
4.3 Nezaplacení zálohových faktur, nebo i průběžně vystavovaných faktur za již splněné služby, v termínu splatnosti je podstatným porušením smluvního vztahu. V tomto případě je CB oprávněna zrušit rezervaci dalšího ubytování a
jednostranně odstoupit od smluvního vztahu včetně vyúčtování dohodnutých stornopodmínek.
4.4 Doba splatnosti faktur, vyúčtování úroků z prodlení a smluvních pokut je stanovena na 14 dnů. Vyúčtování úroků z prodlení a smluvních pokut je CB oprávněna započíst při vyúčtování případných záloh.
5 Podmínky poskytnutí ubytování CB
5.1 Termíny ubytování jsou pro CB závazné, pokud jsou uvedeny v písemné smlouvě nebo v objednávce zákazníka potvrzené CB.
5.2 Vytvoří-li se překážky, bránící CB v dodání služeb, informuje o tomto
neprodleně zákazníka a dohodne s ním další postup.
5.3 V případě, že zákazník stornuje nebo nečerpá smluvně dohodnuté ubytování, ať zcela nebo jen z části, je zákazník povinen uhradit smluvní pokutu (storno poplatky) podle podmínek, které CB uplatňuje při rezervacích ubytování pro skupiny zákazníků nad 20 osob v jednom termínu takto:
a) Při stornování sjednaných služeb v termínu 29 až 21 dnů před příjezdem, ve výši 30 % ceny stornovaných služeb,
b) při stornování v termínu 20 až 7 dnů před příjezdem ve výši 80 % z ceny
stornovaných služeb,
c) při stornování v termínu 6 dnů a méně před příjezdem, případně při nečerpání sjednaných služeb
ve výši 100 % ze stornovaných služeb.
d) Pro skupiny zákazníků nad 100 osob v jednom termínu je toto ustanovení OPUS závazné a není možnove smlouvě sjednat nižší smluvní pokutu.
5.4 Při rezervacích ubytování jednotlivců takto:
a) Při stornování sjednaných služeb v termínu 2-1 den před příjezdem ve výši 50% z ceny objednaných služeb první noci,
b) při nedojezdu(no show) ve výši 100% z ceny objednaných služeb první noci,
c) při zkrácení pobytu bydlícího hosta ve výši 100% z následující noci.
5.5 V případě nečerpání rezervovaných služeb hrazených předem(formou zálohy) , nedojde k vrácení zaplacené zálohy, ale bude umožněno pouze nové čerpání rezervovaných služeb v náhradním termínu.
5.6 Podmínky poskytování ubytovacích služeb jsou stanoveny Ubytovacím
řádem Hotelu**** BABYLON.
6 Reklamace služeb
6.1 Reklamace služeb se řídí Reklamačním řádem CB, který je pro ubytovaného zákazníka k dispozici na provozovně Hotel**** BABYLON.
7 Oprávnění jednat za zákazníka
7.1 Veškeré úkony, z nichž vyplývají jakékoli závazky CB nebo ve prospěch CB, může jménem zákazníka provádět pouze osoba k tomu oprávněná, tj. statutární orgán zákazníka a další osoby, které jsou k tomu oprávněné podle zápisu v Obchodním rejstříku. Ostatní osoby mohou za zákazníka takto jednat pouze, předloží-li písemnou plnou moc vystavenou oprávněnou osobou zákazníka.
8 Ochrana a uchování dat
8.1 CB je oprávněna evidovat a zpracovávat pro svoji potřebu data o zákazníkovi získané z obchodních vztahů nebo v souvislosti s nimi, pocházející jak od zákazníka samotného, tak od třetích osob.
8.2 CB si vyhrazuje právo použít fotografie, filmové a zvukové záznamy ze všech akcí konaných ve všech prostorách CB pro své reklamní a marketingové účely.
9 Okolnosti vylučující odpovědnost
9.1 Okolnosti vylučující odpovědnost CB představují události, které CB při péči, kterou lze na něm vyžadovat, nemůže odvrátit, např. válka, povstání, stávky, různá opatření úřadů, přírodní události, dále CB nezaviněná zpoždění dodávek materiálu, energií a jiné podobné události způsobené vyšší mocí, které naruší plnění smluvních povinností.
10 Použitelné právo, závěrečná ustanovení
10.1 Pro tyto všeobecné obchodní podmínky a veškeré právní vztahy mezi CB a zákazníkem platí právní řád České republiky.
10.2 V případě, že některé z ustanovení těchto OPUS se stane neplatným, neúčinným nebo neproveditelným, nebude tímto dotčena platnost a účinnost ostatních ustanovení těchto OPUS.
10.3 Spory vzniklé mezi smluvními stranami při plnění smluvních závazků, budou přednostně řešeny mimosoudní cestou, v případě soudního sporu je soudním místem soud místně příslušný sídlu CB.
10.4 Obě smluvní strany prohlašují, že souhlasí s obsahem těchto OPUS na základě své svobodné a pravé vůle a na důkaz toho připojují své podpisy.

COMMERCIAL TERMS OF ACCOMMODATION SERVICES PROVIDED BY CENTRUM BABYLON,
a.s.

1 Validity of the Commercial Terms of Accommodation Services provided by CENTRUM BABYLON, a.s. (hereinafter the CTAS)
1.1 These CTAS shall govern any business relationships between CENTRUM BABYLON, a.s. (hereinafter “CB”) and a CB´s customer (hereinafter “the Customer”). They are an integral part of each written contractual relationship concerning provision of accommodation services by CB to the Customer.
1.2 These CTAS shall apply in full scope unless CB and the Customer agree otherwise. Any quotations, drafts of agreements, purchase orders and contracts for delivery of services, goods and other performances shall be drafted on the basis of these CTAS; the CTAS provisions shall apply even in cases when there has been performance between CB and the Customer without the Parties having entered into a written contractual relationship.
2 Quotation, order and conclusion of a contract
2.1 Based on a Customer´s enquiry and after negotiations about Xxxxxxxx´s requests CB shall elaborate and present to the Customer a written quotation or, as the case may be, a draft contract. Validity of written quotations or draft contracts as presented by CB is one calendar month at the maximum from the day of their execution, unless these documents stipulate a shorter term.
2.2 Any documents, such as a specification of services, etc., attached to quotations, will only have informative character unless CB identifies them expressly as binding.
2.3 CB´s employees are not entitled to negotiate any oral supplementary agreements or give oral assurance beyond the framework of a written quotation, of a draft contract or these CTAS.
2.4 The Customer shall always place any orders with CB in writing, either personally, via fax or electronically.
2.5 By submission of its written order the Customer acknowledges its consent with these CTAS.
2.6 A commercial-obligatory relationship between CB and the Customer shall arise on the basis of a Customer´s order only if the Customer´s order contains all essential elements of a contract and if the order is confirmed by an authorized representative on the CB´s part.
2.7 A commercial-obligatory relationship between CB and the Customer is usually regulated with a written contract signed by authorized representatives of both Parties, i.e. A CONTRACT ON PROVISION OF ACCOMMODATION SERVICES under Section 754 et seq. of the Act No. 40/1964, Civil Code.
2.8 It will usually be CB who will draft and present a draft contract. Such a contract must always be executed in writing, be in two counterparts at least, and each Party will always receive at least one copy.
3 Prices
3.1 Basic prices of goods and services are stipulated in CB price-lists, valid for the period which applies to provision of particular accommodation services.
3.2 An informative CB price-list is available at xxx.XxxxxxxXxxxxxx.xx; current price lists are available at CB´s places of business.
3.3 Unless otherwise stipulated in writing, the prices specified in a current CB price-list will be decisive. A current price-list is usually attached to a contract as its annex.
3.4 When delivering services with a long-term performance CB reserves the right to change prices when input prices change.
4 Payment terms and conditions
4.1 Payments by Customers for delivery of CB services shall be made as follows:
4.1.1 Unless otherwise provided for in a contract, CB is entitled to issue an advance-payment invoice amounting to 80% of the agreed total price of performance of the subject-matter of the particular contract.
4.1.2 CB is entitled to issue an advance-payment invoice amounting to 100% of an agreed refundable advance for performances provided ad hoc during the course of performance of a subject-matter of the particular contract.
4.1.3 Payment shall mean crediting an amount to a CB´s bank account or cash payment in the CB´s cash office. Only based on a special written agreement may CB also accept a confirmation of payment before its crediting to the CB´s bank account, e.g. after presentation of the original of a Customer´s bank account statement evidencing that particular payment.
4.1.4 CB shall issue and send to the Customer an invoice (a tax document) including the charging of any possible advance payments after completion of a taxable supply transaction, but within 5 days at the latest.
4.2 In case the Customer is in default with any payment, CB is entitled to charge the Customer a contractual interest on default amounting to 0.05% of the outstanding amount (however, a minimum of CZK 20) for each day of delay, and the Customer is obligated to pay is. CB is further entitled to publish this fact and the data under Article 8.1 of the CTAS or, as the case may be, may hand over such data to a third party for the above purpose.
4.3 Failure to pay in time any advance-payment invoices or any continuously issued invoices for already performed services represents a material breach of the contractual relationship. In that case CB is entitled to cancel booking of further accommodation and withdraw from the contractual relationship, including the charging of agreed cancellation fees.
4.4 Payment term of invoices, charging of interest on default and contractual penalties will be 14 days. CB is entitled to charge any interest on default or contractual penalties when charging any possible advance payments.
5 Conditions for provision of accommodation by CB
5.1 Terms of accommodations are binding on CB if they are given in a written contract or a Customer´s order acknowledged by CB.
5.2 Should any impediments to accommodation services to be provided by CB arise, CB shall inform the Customer immediately and agree on further steps with the Customer.
5.3 In case the Customer cancels or does not use the accommodation services as agreed in the contract, the Customer is obligated to pay a contractual penalty (cancellation fee) under the terms and conditions that CB applies on bookings of accommodation for groups of Customers consisting of more than 20 people in one term as follows:
a) if Customers cancel agreed services from 29 to 21 days before arrival, they shall pay a cancellation fee amounting to 30% of the price of the cancelled services;
b) if cancelling accommodation services from 20 to 7 days before arrival, they shall pay a cancellation fee amounting to 80% of the price of the cancelled services;
c) if cancelling accommodation services from 6 to fewer days before arrival or, as the case may be, if not using the services at all, the Customers shall pay a cancellation fee amounting to 100% of the price of the cancelled services;
d) This provision of the CTAS is binding on groups of Customer consisting of more than 100 people intending to come in one term, and a lower contractual penalty cannot be agreed in the contract.
5.4 When booking accommodation for individuals, the conditions are as follows:
a) If cancelling any agreed services 2 days or 1 day before your arrival, you shall pay 50% of the price of the ordered services for the first night;
b) In case of no show by you, you shall pay 100% of the price of the ordered services for the first night;
c) when making your stay shorter, we shall charge you 100% of the price of the following night.
5.5 In case of failure to use any booked services paid in advance (advance payment), we shall not refund you the already paid advance, but you will be allowed to utilize the booked services in another term.
5.6 Terms and conditions of provision of accommodation services are governed by the Accommodation Rules of the Hotel**** BABYLON.
6 Complaints about services
6.1 Complaints about services shall be governed by the CB´s Complaint Rules of Order that are available for any Customer on the operational premises of the Hotel**** BABYLON.
7 Authorization to act for the Customer
7.1 All acts from which any obligations for CB or in favour of CB arise may be made in the name of the Customer only by a person authorized to act so, i.e. an authorized representative of the Customer and other persons that are entitled to do so based on an entry in the Register of Companies. Other persons may act for the Customer only if they submit a written power of
attorney issued by a Customer´s respective authorized person.
8 Data protection and saving
8.1 CB is entitled to register and process for its need any data about the Customer obtained from business relations or in connection with them, either obtained from the Customer itself or from third parties.
8.2 CB reserves the right to use photographs, video and sound recordings from all events organized in all CB premises for its advertising and marketing purposes.
9 Circumstances excluding liability
9.1 Circumstances excluding CB´s liability shall be represented any events that CB cannot avert despite all care that can be reasonably required from it,
e.g. a war, uprising, strikes, various provisions made by authorities, natural catastrophes, and any delays in supply of materials and utilities with no fault at CB´s part, and any other similar events caused by an act of God that may disrupt performance of the contractual duties by CB.
10 Applicable law, final provisions
10.1 The legal order of the Czech Republic shall apply to these General Commercial Terms and all legal relationships between CB and Customer.
10.2 In case any of the provisions of the CTAS becomes invalid, ineffective or unenforceable, validity and effect of the other provisions of the CTAS shall not be affected.
10.3 Any disputes arisen between the Contracting Parties during performance of their contractual obligations will be settled preferably out of court; in case of settling a dispute before court , a court with territorial jurisdiction over CB shall be used.
10.4 Both Contracting Parties represent that, based on their free and true will, they agree with the contents of these CTAS, in witness whereof they set their hands and attach their signatures

11 Gültigkeit der Geschäftsbedingungen für Unterbringungsdienste von CENTRUM BABYLON, a. s. (nachstehend kurz OPUS genannt)
11.1 Diese OPUS regeln die Geschäftsbedingungen zwischen CENTRUM BABYLON, a. s. (nachstehend kurz CB genannt) und dem Kunden von CB (nachstehend kurz Kunde genannt). Diese bilden einen untrennbaren Bestandteil einer jeden die Bereitstellung von Unterbringungsdiensten durch CB dem Kunden von CB betreffenden schriftlichen Vertragsbeziehung.
11.2 Diese OPUS gelten in vollem Umfang, wenn CB und der Kunde schriftlich nichts anderes vereinbaren. Geschäftsangebote, Vertragsentwürfe, Bestellungen und Verträge für die Bereitstellung von Dienstleistungen, Waren und von sonstigen Leistungen werden auf Basis dieser OPUS erstellt, die Bestimmungen dieser OPUS werden von CB auch in Fällen geltend gemacht, wenn es zwischen CB und dem Kunden zu Leistungen kommt, ohne dass ein schriftliches Vertragsverhältnis eingegangen gewesen wäre.
12 Angebot, Bestellung und Vertragsabschluss
12.1 Basierend auf Anfrage des Kunden und seinen besprochenen Anforderungen wird CB ein schriftliches Geschäftsangebot, ggf. einen Vertragsentwurf ausarbeiten und dem Kunden vorlegen. Die Gültigkeit von durch CB vorgelegten schriftlichen Geschäftsangeboten oder Vertragsentwürfen beträgt höchstens einen Kalendermonat ab dem Tag deren Ausfertigung, falls darin keine kürzere Frist angegeben wurde.
12.2 Angebote begleitende Unterlagen, wie Spezifikationen von Dienstleistungen usw., sind nur informativ, falls diese von CB nicht ausdrücklich als verbindlich bezeichnet werden.
12.3 Mitarbeiter von CB sind nicht berechtigt, über den Rahmen des schriftlichen Geschäftsangebotes, Vertragsentwurfes oder dieser OPUS mündliche Nebenabreden auszuhandeln oder mündliche Zusicherungen abzugeben.
12.4 Der Kunde überreicht CB eventuelle Bestellungen immer in schriftlicher Form, und zwar persönlich, per Fax oder in elektronischer Form.
12.5 Durch die Übergabe der schriftlichen Bestellung bestätigt der Kunde seine Akzeptanz dieser OPUS.
12.6 Die Geschäfts-Vertragsbeziehung zwischen dem Kunden und CB entsteht anhand einer Bestellung des Kunden nur dann, wenn die Bestellung des Kunden alle notwendigen Gehörigkeiten eines Vertrages enthält und dem Kunden von einer seitens CB autorisierten Person bestätigt wird.
12.7 Die Geschäfts-Vertragsbeziehung zwischen CB und dem Kunden wird in der Regel durch einen schriftlichen, auf beiden Seiten von einer berechtigten Person unterzeichneten Vertrag geregelt; und zwar durch einen BEHERBERGUNGSVERTRAG gemäß §§ 754 und ff Gesetzes Nr. 40/1964, Bürgerliches Gesetzbuch.
12.8 Der Vertragsentwurf wird in der Regel von CB vorbereitet und vorgelegt. Der Vertrag muss immer schriftlich und mindestens in zwei Ausfertigungen erstellt werden, davon erhält nach der Unterzeichnung jede der Parteien mindestens eine Ausfertigung.
13 Preise
13.1Die Grundpreise für Waren und Dienstleistungen werden von CB in gültigen Preislisten für den Zeitraum festgesetzt, den die Bereitstellung von Unterbringungsdiensten betrifft.
13.2 Eine informative Preisliste von CB steht auf xxx.XxxxxxxXxxxxxx.xx zur Verfügung, aktuelle Preislisten stehen in den CB-Geschäftsstellen zur Verfügung.
13.3 Entscheidend sind die in der aktuellen CB-Preisliste angeführten Preise, falls schriftlich nichts anderes vereinbart wurde. Eine aktuelle Preisliste der Dienstleistungen bildet in der Regel eine Anlage des Vertrages.
13.4 Bei der Lieferung von Dienstleistungen mit Langzeitleistung behält sich CB das Recht vor, bei Änderungen der Eingangspreise die Preise zu ändern.
14 Zahlungsbedingungen
14.1 Die Zahlungen der Kunden für Lieferung von Dienstleistungen durch CB werden wie folgt vorgenommen:
14.1.1CB ist berechtigt, eine Anzahlungsrechnung in Höhe von 80 % des vereinbarten Gesamtpreises für die Erfüllung des Vertragsgegenstandes auszustellen, falls im Vertrag nicht anderes vereinbart wurde.
14.1.2CB ist berechtigt, eine Anzahlungsrechnung in Höhe von 100% der vereinbarten rückzahlungspflichtigen Anzahlung für die während der Leistung des Vertragsgegenstandes „ad hoc“ bereitgestellten Leistungen auszustellen.
14.1.3Unter Bezahlung versteht sich die auf das Konto von CB eingegangene Zahlung oder eine Zahlung in bar an der Kasse von CB. Nur anhand einer separaten schriftlichen Vereinbarung kann CB auch eine Bestätigung über vorgenommene Einzahlung vor deren Gutschrift auf das Konto von CB akzeptieren, z.B. nach Vorlage eines Originals des Bankkontoauszuges des Kunden mit der entsprechenden Zahlung.
14.1.4 CB stellt nach der Verwirklichung der steuerbaren Leistung, spätestens aber innerhalb von 5 Tagen, eine die Abrechnung eventueller Anzahlungen beinhaltende Rechnung (Steuerbeleg) aus und sendet diese an den Kunden.
14.2 Für den Fall, dass sich der Kunde mit einer beliebigen Zahlung in Verzug befindet, ist CB berechtigt, dem Kunden die Vertragsverzugszinsen in Höhe von 0,05% des schuldigen Betrages (mindestens allerdings 20 CZK) pro Verzugstag zu verrechnen und der Kunde ist verpflichtet, diese an CB zu bezahlen. CB ist ferner berechtigt, diese Tatsache und Informationen gemäß Artikel 8.1. dieser OPUS zu veröffentlichen, ggf. zu diesem Zweck an einen Dritten zu übergeben.
14.3 Die Nichtbezahlung von Anzahlungsrechnungen oder auch der laufend ausgestellten Rechnungen für bereits erbrachte Dienstleistungen innerhalb der Fälligkeitsfrist stellt eine wesentliche Verletzung der Vertragsbeziehung dar. In diesem Fall ist CB berechtigt, die Buchung einer weiteren Unterbringung zu stornieren und vom Vertrag einseitig zurückzutreten, einschließlich einer Abrechnung der vereinbarten Stornobedingungen.
14.4 Die Fälligkeitsfrist der Rechnungen, der Abrechnung von Verzugszinsen und Vertragsstrafen wurde auf 14 Tage festgelegt. CB ist berechtigt, die Abrechnung der Verzugszinsen und Vertragsstrafen bei der Abrechnung von eventuellen Anzahlungen aufzurechnen.
15 Bedingungen für die Gewährung von CB-Unterkünften
15.1 Die Unterbringungstermine sind für CB verbindlich, wenn diese im schriftlichen Vertrag oder in der Bestellung des Kunden angeführt sind, die CB bestätigt hat.
15.2Wenn Hindernisse auftreten, die CB an der Erbringung von Dienstleistungen hindern, so wird der Kunde unverzüglich informiert und es werden mit ihm weitere Schritte vereinbart.
15.3 In dem Fall, dass der Kunde die vertraglich vereinbarte Unterbringung, ob im Ganzen oder zum Teil, storniert oder nicht in Anspruch nimmt, ist der Kunde verpflichtet, entsprechend Bedingungen, die CB bei der Buchung von Unterbringung für Gruppen von Kunden von mehr als 20 Personen für einen Termin geltend macht, eine Vertragsstrafe (Stornogebühr) wie folgt zu bezahlen:
e) Bei Stornierung der vereinbarten Dienstleistungen 29 bis 21 Tage vor der Anreise, in Höhe von 30 % des Preises der stornierten Dienstleistungen,
f) bei Stornierung 20 bis 7 Tage vor der Anreise in Höhe von 80 % des Preises der stornierten Dienstleistungen,
g) bei Stornierung 6 Tage und weniger vor der Anreise, ggf. wenn vereinbarte Dienstleistungen nicht genutzt werden, in Höhe von 100 % der stornierten Dienstleistungen.
h) Für Kundengruppen von mehr als 100 Personen für einen Termin, ist diese OPUS-Bestimmung verbindlich und im Vertrag kann keine niedrigere Vertragsstrafe vereinbart werden.
15.4 Bei Unterbringungsbuchungen von Einzelpersonen wie folgt:
d) Bei Stornierung von vereinbarten Dienstleistungen 2-1 Tag vor der Anreise in Höhe von 50% des Preises für bestellte Dienstleistungen der ersten Nacht,
e) wenn es zu keiner Anreise kommt (no show) in Höhe von 100% des Preises der bestellten Dienstleistungen der ersten Nacht,
f) bei einer Verkürzung des Aufenthaltes eines residierenden Gastes in Höhe von 100% von der nachfolgenden Nacht.
15.5 Im Falle der Nichtnutzung der gebuchten im Voraus (in Form einer Anzahlung) bezahlten Dienstleistungen, werden die bezahlten Anzahlungen nicht zurückerstattet, es wird aber eine neue Nutzung der gebuchten Dienstleistungen zu einem Ersatztermin ermöglicht.
15.6 Die Bedingungen für die Bereitstellung von Unterbringungsdienstleistungen sind in der Unterbringungsordnung des **** Hotels BABYLON festgelegt.
16 Reklamation von Dienstleistungen
16.1 Reklamationen von Dienstleistungen richten sich nach der CB- Reklamationsordnung, die dem einquartierten Kunden in der Betriebsstätte des
**** Hotels BABYLON zur Verfügung steht.
17 Berechtigung, für den Kunden zu handeln
17.1 Alle Handlungen aus denen irgendwelche Verpflichtungen von CB oder zu Gunsten von CB hervorgehen, kann im Namen des Kunden nur eine dazu berechtigte Person, d.h. das statutarische Organ des Kunden und weitere Personen vornehmen, die dazu entsprechend der Eintragung im Handelsregister berechtigt sind. Andere Personen können auf diese Weise für den Kunden nur nach der Vorlage einer von einer berechtigten Person des Kunden ausgestellten Vollmacht handeln.
18 Schutz und Aufbewahrung von Daten
18.1 CB ist berechtigt, für ihren Bedarf aus Geschäftsbeziehungen oder im Zusammenhang damit erworbene Daten über den Kunden, die von dem Kunden selbst und von Dritten stammen, zu erfassen und zu verarbeiten.
18.2 CB behält sich das Recht vor, Fotografien, Film- und Tonaufnahmen von xxxxx in Räumlichkeiten von CB abgehaltenen Veranstaltungen für ihre Werbe- und Marketingzwecke zu nutzen.
19 Umstände, die eine Haftung ausschließen
19.1Umstände die eine Haftung von CB ausschließen, stellen Begebenheiten dar, die von CB bei aller Sorgfalt, die von ihr verlangt werden kann, nicht abgewendet werden können, wie Xxxxx, Streiks, verschiedene behördliche Maßnahmen, Naturereignisse, ferner von CB nicht verursachte Verzögerungen bei Materiallieferungen und sonstige ähnliche durch höhere Gewalt verursachte Ereignisse, die die Erfüllung der vertraglichen Verpflichtungen stören.
20 Anwendbares Recht, abschließende Bestimmungen
20.1 Für diese allgemeinen Geschäftsbedingungen und alle Rechtsbeziehungen zwischen CB und dem Kunden ist die Rechtsordnung der Tschechischen Republik gültig.
20.2 In dem Fall, dass eine der Bestimmungen dieser OPUS ungültig, unwirksam oder undurchführbar wird, bleibt dadurch die Gültigkeit und Wirksamkeit der übrigen Bestimmungen dieser OPUS unberührt.
20.3 Zwischen den Vertragsparteien bei der Erfüllung vertraglicher Verpflichtungen entstandene Streitigkeiten werden in erster Linie außergerichtlich gelöst, im Falle eines Rechtsstreits ist der Gerichtsort das für den Sitz von CB örtlich zuständige Gericht.
20.4 Beide Vertragsparteien erklären, dem Inhalt dieser OPUS auf Basis ihres freien und echten Willens zuzustimmen und fügen als Beweis dessen ihre Unterschriften hinzu.
