- hereinafter called "Licensor" - - hereinafter called "Licensee" -

Licensor hereby grants to Licensee, subject to the full payment of the license fee, and Licensee accepts, a limited license under copyright to exhibit by means of television broadcast the following programs (hereinafter collectively referred to as the "Program", and each being a “Program”) subject to the terms and conditions hereinafter set forth:

Rights: Exclusive Free Digital Terrestrial TV Rights

This includes simultaneous broadcast by cable and satellite

Non-exclusive catch up rights for 14 days after each broadcast via xxx.xxxx.xx (geo-blocking shall be ensured, no download)

Number of runs: 2 (two) plus a quick repeat each within 48 hours License period: 1 January 2019 – 31 March 2022

License territory: Slovakia

License fee: total of € 20.100,-- (see Appendix I)

(cf. Special Clauses Prov. 3 last sentence)

Terms of payment: after signature of the agreement and delivery of the material,

but not later than 31 January 2019.

Special Clauses:

1. The rights in a dubbed version produced by Licensee during the license period remain vested in their entirety in Licensee after the expiration of the license period. Licensee shall not be entitled to broadcast or exploit or authorise any third party to broadcast or exploit such version after the expiration of the license period. Licensor is at any time entitled to have access to the foreign language version installed by Licensee, subject, however, to paying 50 % of the dubbing costs of Licensee.

2. Should Licensee be required by the fiscal authorities to withhold any amounts from the License Fee, Licensor shall provide Licensee with a tax residence certificate issued for such purpose in order to benefit from any tax reduction pursuant to the applicable Tax Treaty. In any event, Licensee shall provide Licensor with a tax certificate evidencing payment of such amount on Licensor’s behalf.

3. Licensee shall provide to Licensor its EU VAT Registration Number (including the member state prefix), hereinafter referred to as the "VAT Number", as follows:

Licensee herewith confirms to be registered under this VAT number and that any changes thereto will be communicated to Licensor immediately. Licensor is entitled to quote such VAT number for any business transaction with Licensee whatsoever. In the event that Licensee should fail to provide said VAT Number, then Licensor will charge German VAT on its services.

4. According to the provisions of the Act No. 40/1964 Zb. Civil Code “Radio and Television of Slovakia” is obliged to publish this Contract via Central Register of the Government Office of Slovak Republic in its full wording. This contract will come in to effect on the day following after the day of publishing of this contract.

The General Terms and Conditions attached are hereby incorporated and made part of this agreement. In the event of any conflict between the Specific Terms and Conditions as set out hereinabove and the General Terms and Conditions, the Specific Terms and Conditions of this License Contract shall control.

GENERAL TERMS AND CONDITIONS

I. Rights Licensed

1. Licensor warrants and represents that subject to the terms and provisions of this agreement the rights hereby granted include all rights in and to the Program for all pur- poses with exception of all copyrights and ancillary copyrights in and to the music embodied in the Program. Unless anything contained in this agreement to the contrary the rights as granted hereunder are granted on an exclusive basis and shall not include satellite, cable and pay television rights, nor shall they comprise near-video-on-demand or video-on-demand.

2. Licensee agrees that it will not permit the Program to be telecast unless Licensee has first obtained, at its own cost and expense, a valid license from the performing rights society having jurisdiction permitting Licensee to reproduce and perform music which forms a part of the Program. Licensor will provide Licensee with the respective music cue sheets.

3. Unless otherwise provided in this agreement, Licensee is not entitled to grant the rights granted hereunder to any third party or to authorize others to broadcast the Program.

4. Licensee shall indemnify and hold Licensor harmless from any and all damages, liabilities, costs or expenses (including reasonable legal fees) arising from any breach of any of Licensee's warranties and obligations hereunder.

5. Licensee shall notify Licensor of the broadcasts of the Program immediately after transmission.

II. Materials

1. Subject to the terms and conditions of this agreement, Licensor will upon Licensee's written request supply Licensee on loan with the material described herein. Upon receipt of the material of the Program Licensee shall examine said material and shall give Licensor immediate written notice if the material is not physically suitable for telecast. Licensor shall remedy such defect or make timely substitution of a physically suitable print of the Program at no additional cost or expense to Licensee. If none of the remedies or substitutions as above specified is available and provided that Licensee has given written notice to Licensor to make such remedies or substitutions within a period of 3 weeks upon receipt of such notice, then Licensee shall be relieved of its contract obligations in so far as such scheduled Program is concerned, and the license fees payable by Licensee hereunder shall be reduced by a proportionate part thereof.

2. The material will be considered as having been supplied and accepted under the terms of the agreement unless Licensee submits a written claim within 4 weeks after the receipt of the material.

3. All costs of delivery and return of material furnished by Licensor shall be borne by Licensee.

4. Licensee shall, at its own cost, obtain all permissions necessary for the import of the transmission material into the licensed territory and for the remittance of any sums of money to Licensor.

5. Unless otherwise provided in this agreement, all materials relating to the Program may not be used, dealt with or otherwise disposed of except as provided herein.

6. Licensee shall return the material furnished by Licensor on loan within 8 weeks after receipt to Licensor. In so far as Licensee has paid for the material delivered by Licensor and in the event that Licensee shall so elect, Licensee may after the expiration of the license term either return such material to Licensor or destroy it, in which case Licensee upon Licensor's request will provide Licensor with a certificate of destruction.

III. Dubbing and editing

1. Licensee may dub or subtitle or cause to be dubbed or subtitled the Program only in its vernacular tongue without any cost or expense therefor to Licensor.

2. Unless otherwise provided in this agreement or permitted in writing by Licensor, Licensee shall not cut, edit or otherwise change the Program. Licensee hereby warrants and represents that dubbing and any other change of the Program made or caused to be made by Licensee does not violate the droit moral or any other right in or to the Program owned by any person whatsoever.

3. At all times Licensee shall broadcast the Program with its copyright notice, production and other credits. In the event of adaptations according to subsections 1 and 2 the Program shall bear an adaptation credit.

4. Licensee shall return all material, including material adapted in accordance with subsections 1 and 2, to Licensor in the same condition as delivered except for normal wear and tear, however, should the material exhibit cuts, damage or other alterations Licensee is obliged to bear all costs related thereto, especially costs for restoring the material to the same condition in which it was delivered.

IV. Payments

2. If payment in other than Euro (€) is agreed upon in this agreement and, before receipt of the sum due by Licensor, a change in the exchange rate takes place which entails that Licensor shall not receive at least the equivalent due in Euro (€) at the time of the conclusion of the agreement, Licensee shall be obligated to restitute the difference.

V. Miscellaneous

1. It is agreed that in the event any provision of this agreement shall be invalid, same shall not affect the validity of the other provisions of this agreement which shall notwithstanding continue in full force and effect.

2. This agreement shall be governed and interpreted in all respects according to the laws of the Federal Republic of Germany and the Hamburg courts shall be competent of jurisdiction.

3. This agreement expresses the entire understanding between the parties and may not be modified, renewed, extended or discharged except by an instrument in writing signed by both parties.
