Preambula

Tieto Všeobecné obchodné podmienky spoločnosti Investin, o.c.p., a.s. viažuce sa k Mandátnej zmluve o obstaraní kúpy alebo predaja cenných papierov (ďalej len

„obchodné podmienky“) sú neoddeliteľnou súčasťou Mandátnej zmluvy o obstaraní kúpy alebo predaja cenných papierov (ďalej len

„Zmluva“) a ich aktuálne znenie sa nachádza na internetovej stránke spoločnosti Investin, o.c.p., a.s. Tieto obchodné podmienky vytvárajú pravidlá pre realizáciu nákupu alebo predaja finančných nástrojov na základe uzatvorenej Zmluvy.

I.

Definícia pojmov

Zákon o cenných papieroch – zákon č. 566/2001 Z.z. o cenných papieroch a investičných službách a o zmene a doplnení niektorých zákonov v znení neskorších predpisov.

Obchodný zákonník – Obchodný zákonník č. 513/1991 Zb. v znení neskorších predpisov.

AML zákon – zákon č. 297/2008 Z.z. o ochrane pred legalizáciou príjmov z trestnej činnosti a o ochrane pred financovaním terorizmu a o zmene a doplnení niektorých zákonov v znení neskorších predpisov.

Internetová stránka mandatára - webové sídlo mandatára xxx.xxxxxxxx-xxx.xx.

CP - cenný papier v zmysle zákona o cenných papieroch.

Finančný nástroj – finančné nástroje podľa § 5 ods. 1 písm. a) až c) zákona o cenných

Preamble

These General Terms and Conditions of the company Investin, o.c.p., a.s. relating to the Mandate Contract for Arranging the Purchase or Sale of Securities (hereinafter referred to as the “Terms and Conditions”) are an integral part of the Mandate Contract for Arranging the Purchase or Sale of Securities (hereinafter referred to as the “Contract”) and their current wording can be found on website of the company Investin, o.c.p., a.s. These Terms and Conditions create rules for the purchase or sale of financial instruments based on the concluded Contract.

Definition of Terms

Securities Act - Act No. 566/2001 Coll., on securities and investment services and on amendments to certain laws, as amended.

Commercial Code - Commercial Code No. 513/1991 Coll., as amended.

AML Act - Act No. 297/2008 Coll., on protection against money laundering and terrorist financing and on amendments to certain laws, as amended.

Mandating Agent's website - the Mandating Agent's website xxx.xxxxxxxx-xxx.xx.

CP - a security within the meaning of the Securities Act.

Financial instrument - financial instruments according to Section 5, paragraph 1(a) to (c) of the Securities Act. The Mandating Agent does not provide the Client with investment services

ETF (Exchange Traded Fund) - typ podielového fondu, ktorý je obchodovaný na zahraničnom trhu.

Zahraničný trh - trh s finančnými nástrojmi mimo územia Slovenskej republiky, na ktorom má mandatár zmluvne zaistenú možnosť vysporiadania obchodov na ňom uzavretých. Zahraničným trhom sa rozumie burza cenných papierov, OTC trh (mimoburzový trh CP) alebo ECN (elektronický burzový systém).

Broker (obchodník s cennými papiermi) – broker (banka resp. obchodník s cennými papiermi), ktorý zastupuje mandatára na

príslušnom, najmä zahraničnom trhu, s ktorým

je mandatár v obchodnom vzťahu.

Obchod s finančným nástrojom - obstaranie nákupu, predaja alebo pôžičky príslušných finančných nástrojov. Tam, kde obchodné podmienky či Zmluva pojednávajú o nákupe alebo predaji finančných nástrojov, rozumie sa tým i nákupná resp. predajná pôžička finančných nástrojov v zmysle zákona o cenných papieroch.

Obchodné podmienky pre zahraničný trh - podmienky organizátora zahraničného trhu alebo príslušného brokera vypracované pre

zahraničný trh, prípadne skupinu zahraničných

trhov.

Klientsky účet – účet majiteľa cenných papierov mandanta, ktorý je vedený emitentom alebo brokerom ako samostatný účet mandanta.

On-line obchodovanie (on-line režim) – obchodovanie s finančnými nástrojmi, uskutočňované mandantom prostredníctvom elektronickej platformy mandatára ROYAL MARKET. Mandatár poskytuje pri on-line obchodovaní mandantovi investičnú službu podľa § 6 ods. 1 písm. a) alebo b) zákona

related to financial instruments other than those mentioned in the previous sentence.

ETF (Exchange Traded Fund) - a type of mutual fund that is traded on the foreign market.

Foreign market - a market with financial instruments outside the territory of the Slovak Republic on which the Mandating Agent has contractually guaranteed the possibility of settlement of transactions concluded on it. The foreign market means a stock exchange, OTC market (over-the-counter CP market) or ECN (electronic exchange system).

Broker (securities dealer) – a broker (bank or securities dealer) who represents the Mandating Agent on the relevant market, especially foreign market, with which the Mandating Agent has a business relationship.

Business with a financial instrument - arrangement of the purchase, sale or loan of relevant financial instruments. Where the Terms and Conditions or the Contract deal with the purchase or sale of financial instruments, this also means the purchase or sales loan of financial instruments within the meaning of the Securities Act.

Terms and conditions for a foreign market - terms and conditions of a foreign market organizer or the relevant broker prepared for a foreign market or a group of foreign markets.

Client account - the account of the Client's securities owner, which is maintained by the issuer or broker as a separate Client's account. On-line trading (on-line mode) - trading with financial instruments, performed by the Client via the ROYAL MARKET electronic platform of the Mandating Agent. During on-line trading, the Mandating Agent provides the Client with an investment service according to Section 6, paragraph 1(a) or (b) of the Securities Act (i.e. acceptance and forwarding of the Client's instruction regarding one or more financial instruments or performance of the Client's instruction on his account).

ROYAL MARKET – elektronická platforma mandatára, umožňujúca mandantovi on-line obchodovanie s finančnými nástrojmi.

Záväzný pokyn - pokyn mandanta udelený mandatárovi na kúpu alebo predaj finančných nástrojov.

Čiastočne realizovaný pokyn - pokyn mandanta, ktorý bol realizovaný iba čiastočne, a to z dôvodu nedostatočného množstva finančných nástrojov v ponuke alebo dopyte.

K-pokyn - pokyn na kúpu finančných nástrojov. P-pokyn - pokyn na predaj finančných nástrojov.

Prevodný príkaz banke – príkaz na prevod peňažných prostriedkov z bankového účtu mandanta na mandatárom určený bankový účet, ktorý mandant udeľuje banke. Bankový účet mandanta, z ktorého budú zasielané peňažné prostriedky na účet emitenta alebo brokera musí byť vedený na meno mandanta. Mandant môže udeliť prevodný príkaz banke ako štandardný bankový prevod alebo tiež tak, že nahrá svoju platobnú kartu v elektronickej platforme ROYAL MARKET, prostredníctvom ktorej bude mandatár automaticky sťahovať platby vo výške určenej mandantom v K- pokyne.

Pokyn na výplatu - pokyn na prevod

peňažných prostriedkov z klientskeho účtu mandanta na bankový účet mandanta uvedený v Zmluve, resp. na iný bankový účet mandanta, určený mandantom.

Odmena mandatára – odmena mandatára stanovená Cenníkom služieb (ďalej len „Cenník služieb“), ktorú je mandant povinný zaplatiť mandatárovi za riadne obstaranie obchodu s finančnými nástrojmi. Odmena nezahŕňa náklady mandatára vynaložené v súvislosti s obstaraním obchodu, ani bankové poplatky

ROYAL MARKET - an electronic platform of the Mandating Agent, enabling the Client to trade financial instruments on-line.

Binding instruction - instruction of the Client given to the Mandating Agent to buy or sell financial instruments.

Partially performed instruction - an instruction of the Client that was only partially performed due to insufficient amount of financial instruments in the offer or demand.

K-instruction - an instruction to buy financial instruments.

P-instruction - an instruction to sell financial instruments.

Bank transfer order - an order to transfer funds from the Client's bank account to the bank account designated by the Mandating Agent, which the Client grants to the bank. The Client's bank account, from which funds shall be sent to the issuer's or broker's account, must be in the Client's name.

The Client can issue a transfer order to the bank as a standard bank transfer or by uploading his payment card in the ROYAL MARKET electronic platform, through which the Mandating Agent shall automatically download payments in the amount specified by the Client in the K-order.

Payment instruction - instruction to transfer funds from the Client's client account to the Client's bank account specified in the Contract, or to another bank account of the Client, designated by the Client.

Mandating Agent's remuneration - the Mandating Agent's remuneration established by the price list of services (hereinafter referred to as the “Price List of Services”), which the Client is obliged to pay to the Mandating Agent for the proper procurement of business with financial instruments. The remuneration does not include the Mandating Agent's costs incurred in connection with the acquisition of the trade, nor bank fees associated with the transactions of the

Bankové poplatky - poplatky spojené s prevodom peňažných prostriedkov mandanta z jeho bankového účtu na účet emitenta, príp. brokera a opačne, ako aj poplatky spojené s prevodom peňažných prostriedkov mandanta účtované platobnou bránou pri platbe mandanta kartou.

Trhová cena - cena na trhu v danom okamihu, za ktorú je možné nakupovať alebo predávať požadovaný finančný nástroj.

Kúpna cena – cena zodpovedajúca skutočnej cene, za ktorú bol obchod realizovaný.

Neprofesionálny klient – kategória klientov, ktorej prislúcha v zmysle zákona o cenných papieroch najvyššia úroveň ochrany klienta. Mandant je oprávnený písomne požiadať o preradenie do inej kategórie klientov než je kategória „neprofesionálny klient“ len za predpokladu, že spĺňa podmienky zaradenia do inej kategórie stanovené zákonom o cenných papieroch. Mandatár však výslovne upozorňuje mandanta, že so zaradením do inej kategórie klientov než je kategória „neprofesionálny klient“, je spojená nižšia úroveň ochrany klienta.

II.

Všeobecné podmienky

1. Mandatár je povinný chrániť všetky jemu známe záujmy mandanta súvisiace s plnením predmetu Zmluvy.

2. Mandatár umožňuje mandantovi obchodovanie s príslušnými finančnými nástrojmi, ktoré sú v čase uskutočnenia obchodu registrované na príslušnom trhu.

Client's funds in bank accounts, nor broker's fees, unless otherwise specified in the Price List of Services.

Costs - costs incurred by the Mandating Agent in fulfilling his obligation (especially fees of the foreign market, foreign registry, broker, issuer, market regulators, clearing institutions, etc.).

Bank fees - fees associated with the transfer of the Client's funds from his bank account to the issuer's account, or broker and vice versa, as well as fees associated with the transfer of the Client's funds charged by the payment gateway when the Client pays by card.

Market price - the price on the market at a given moment at which the desired financial instrument can be bought or sold.

Purchase price - the price corresponding to the current price at which the trade was executed. Non-professional client - the category of clients with the highest level of client protection in accordance with the Securities Act. The Client is entitled to request in writing to be reassigned to a different category of clients than the “non- professional client” category only on the condition that he meets the conditions for inclusion in a different category established by the Securities Act. However, the Mandating Agent expressly warns the Client that a lower level of client protection is associated with being classified in a client category other than the “non-professional client” category.

II

General Conditions

1. The Mandating Agent is obliged to protect all known interests of the Client related to the fulfilment of the subject of the Contract.

2. The Mandating Agent allows the Client to trade with the relevant financial

3. Mandatár vedie a účtuje mandantom zverené finančné nástroje a peňažné prostriedky oddelene od finančných nástrojov papierov a peňažných prostriedkov patriacich do jeho majetku, ako aj oddelene od finančných nástrojov a peňažných prostriedkov iných klientov mandatára.

4. Finančné nástroje a peňažné prostriedky mandanta sa nachádzajú na klientskom účte mandanta vedenom emitentom alebo brokerom, ktorý mu na základe udeleného plnomocenstva otvorí u emitenta alebo brokera mandatár. Mandant bude mať uzatvorenú zmluvu o klientskom účte priamo s príslušným emitentom alebo brokerom. Uzatvorením takejto zmluvy s príslušným emitentom alebo brokerom mandant akceptuje všetky podmienky príslušného emitenta alebo brokera. Súčasťou zmluvného vzťahu medzi mandantom a príslušným emitentom alebo brokerom sú aj všeobecné obchodné podmienky príslušného emitenta alebo brokera.

5. Mandant a mandatár záväzne vyhlasujú, že zmluvný vzťah, ktorý má mandant uzavretý s príslušným emitentom alebo brokerom (všetky zmluvy, dohody, obchodné podmienky a ich prílohy a pod.), je výhradným zmluvným vzťahom medzi mandantom a príslušným emitentom alebo brokerom, do ktorého mandatár nemá možnosť žiadnym spôsobom zasahovať a všetky prípadné práva a povinnosti realizované na základe tohto zmluvného vzťahu, sú výlučne záležitosťou mandanta a príslušného emitenta alebo brokera. To sa v plnom rozsahu vzťahuje aj na prípadné sankcie alebo akékoľvek iné nároky uplatňované príslušným emitentom alebo brokerom voči mandantovi, za ktoré nesie zodpovednosť výlučne mandant. Mandant v žiadnom prípade nemôže prenášať na mandatára zodpovednosť mandanta, vyplývajúcu pre mandanta zo zmluvného

3. The Mandating Agent keeps and accounts for the financial instruments and funds entrusted by the Client separately from the financial instruments, papers and funds belonging to his property, as well as

separately from the financial instruments and funds of other clients of the Mandating Agent.

4. The Client's financial instruments and funds are located in the Client's client account maintained by the issuer or broker, which, based on the granted power of

attorney, is opened by the Mandating Agent at the issuer or broker. The Client shall have a client account contract concluded directly with the relevant issuer or broker. By concluding such a contract with the respective issuer or broker, the Client accepts all the conditions of the respective issuer or broker. The general terms and conditions of the respective issuer or broker are also part of the contractual relationship between the Client and the relevant issuer or broker.

5. The Client and the Mandating Agent declare bindingly that the contractual relationship concluded by the Client with the relevant issuer or broker (all contracts, agreements, terms and conditions of

business and their appendices, etc.) is an exclusive contractual relationship between the Client and the relevant issuer or broker, and the Mandating Agent does not have the possibility to interfere in it in any way, and all possible rights and obligations performed on the basis of this contractual relationship are exclusively a matter of the Client and the relevant issuer or broker. This also fully applies to any sanctions or any other claims applied by the relevant issuer or broker in relation to the Client, for which the Client is solely responsible. In no

6. Mandant alebo jeho zástupca je povinný v súlade s ustanovením § 73a ods. 1 a 2 zákona o cenných papieroch mandatárovi poskytnúť a/alebo umožniť získať kopírovaním, skenovaním alebo iným zaznamenávaním osobné údaje v rozsahu stanovenom v § 73a ods. 1 zákona o cenných papieroch. Mandatár je podľa § 73a ods. 3 zákona o cenných papieroch oprávnený aj bez súhlasu a informovania mandanta alebo jeho zástupcu zisťovať, získavať, zaznamenávať, uchovávať, využívať a inak spracúvať osobné údaje a iné údaje v rozsahu podľa § 73a ods.

1 zákona o cenných papieroch. Údaje, na ktoré sa vzťahuje § 73a ods. 1 až 3 zákona o cenných papieroch, je mandatár povinný sprístupniť a poskytovať na spracúvanie emitentovi alebo brokerovi.

7. Vzhľadom na to, že mandatár nevedie mandantovi klientsky účet neposkytuje mandantovi vedľajšiu investičnú službu držiteľskej správy.

8. Mandatár je oprávnený použiť na splnenie svojho záväzku aj inú osobu.

9. V prípade, že sa niektoré ustanovenia Zmluvy, obchodných podmienok alebo ich príloh stanú v dôsledku zmien v legislatíve Slovenskej republiky neúčinnými, strácajú účinnosť aj v zmluvnom vzťahu medzi mandatárom a mandantom. Tým nie je tým dotknutá účinnosť ostatných ustanovení Zmluvy.

10. Obchodné podmienky tvoria neoddeliteľnú súčasť Zmluvy, pričom bližšie upravujú zmluvný vzťah medzi mandatárom a mandantom. Pokiaľ v obchodných podmienkach nie je vylúčená platnosť tohto ustanovenia, pre zmluvný vzťah medzi mandatárom a mandantom majú vždy prednosť a platia ustanovenia obchodných

6. In accordance with the provisions of Section 73a, paragraphs 1 and 2 of the Securities Act, the Client, or his representative, is obliged to provide and/or

enable the Mandating Agent to obtain personal data by copying, scanning or recorded in other way to the extent set out in Section 73a, paragraph 1 of the Securities Act. According to Section 73a, paragraph 3 of the Securities Act, the Mandating Agent is entitled, even without the consent and notification of the Client or his representative, to find out, obtain, record, store, use and otherwise process personal data and other data to the extent according to Section 73a, paragraph 1 of the Securities Act. The Mandating Agent is obliged to make the data covered by Section 73a, paragraphs 1 to 3 of the Securities Act available and provide them for processing to the issuer or broker.

7. Due to the fact that the Mandating Agent does not maintain a client account for the Client, he does not provide the Client with the secondary investment service of

holding management.

8. The Mandating Agent is entitled to use another person to fulfil his obligation.

9. In the case that some provisions of the Contract, Terms and Conditions or their annexes become ineffective as a result of changes in the legislation of the Slovak

Republic, they also lose their effectiveness in the contractual relationship between the Mandating Agent and the Client. This does not affect the effectiveness of the other provisions of the Contract.

III.

Postup pri uzatváraní zmluvy

1. Uzavretiu Zmluvy predchádza identifikácia a overenie identifikácie mandanta, a to buď

(i) za jeho fyzickej prítomnosti alebo (ii) ak mandant nie je fyzicky prítomný s použitím technických prostriedkov, prostredníctvom ktorých je možné vykonať overenie identifikácie na úrovni, ktorá je z hľadiska dôveryhodnosti výsledku overenia obdobná overeniu za fyzickej prítomnosti mandanta, pričom v tomto prípade mandatár vykoná zvýšenú starostlivosť podľa § 12 ods. 2 písm. a) AML zákona, a to nasledovnom rozsahu:

a) vykoná identifikáciu mandanta na

základe dvoch preukazov totožnosti, pričom aspoň jeden musí byť s jeho obrazovou podobizňou;

b) vyžiada si od mandanta písomné potvrdenie vydané inou finančnou inštitúciou (napr. bankou) so sídlom na území SR alebo iného členského štátu EÚ, že je jej klientom, alebo

c) zabezpečí vykonanie prvej platby prostredníctvom účtu vedeného na meno mandanta v banke so sídlom na území SR alebo v zahraničnej banke pôsobiacej na území členského štátu EÚ, ak mandant predložil doklad preukazujúci existenciu takéhoto účtu

/napr. výpis z účtu alebo mandant nahrá (uvedie) údaje zo svojej platobnej karty do elektronickej platformy ROYAL MARKET/.

Na vyvrátenie akýchkoľvek pochybností platí, že všetky doklady, resp. listiny, ktoré

10. The Terms and Conditions form an integral part of the Contract, while they regulate the contractual relationship between the Mandating Agent and the Client. Unless

the validity of this provision is excluded in the Terms and Conditions, for the contractual relationship between the Mandating Agent and the Client, the provisions of the Terms and Conditions always take precedence and apply over the provisions of the Contract, while this also applies in the event that any provision of the Contract comes into conflict with the Terms and Conditions.

III

Procedure for Concluding a Contract

1. The conclusion of the Contract is preceded by the identification and verification of the Client's identification, either (i) in his physical presence or (ii) if the Client is not physically present using technical means through which it is possible to verify the identification at a level that is reliable from the point of view of the result verifications similar to the verification in the physical presence of the Client, while, in this case, the Mandating Agent performs increased care according to Section 12, paragraph 2(a) of the AML Act, to the following extent:

a) he performs the identification of the Client on the basis of two identity cards,

at least one of which must be with his photograph;

b) requests a written confirmation from the Client issued by another financial institution (e.g. a bank) based in the Slovak Republic or another EU member state that he is its client, or

c) ensures that the first payment is made through an account held in the name of the Client in a bank based in the Slovak Republic or in a foreign bank operating in

mandant predloží mandatárovi za účelom jeho identifikácie a overenia jeho identifikácie, musia byť vyhotovené v slovenskom jazyku (okrem dokladov, resp. listín vyhotovených v českom jazyku), ak mandatár neurčí inak. V prípade, že preložené doklady, resp. listiny sú vydané, resp. pravosť podpisov na nich je úradne osvedčená mimo územia Slovenskej republiky, je mandatár oprávnený požadovať vyššie overenie takýchto dokladov, resp. listín alebo osvedčenia pravosti podpisov (super legalizácia), resp. osvedčenie (Apostille), a zároveň úradný preklad týchto dokladov, resp. listín do slovenského jazyka (okrem dokladov, resp. listín vyhotovených v českom jazyku), ak mandatár neurčí inak. Mandatár zároveň uvádza, že ak neurčí inak, akceptuje zo strany zahraničných mandantov výlučne také cudzojazyčné doklady, resp. listiny, ktoré budú obsahovať potrebné údaje napísané latinkou.

2. Mandatár je povinný požiadať mandanta o poskytnutie informácie o jeho finančnej situácii, o skúsenostiach a znalostiach v oblasti obchodovania so zvolenými CP a o zámeroch, ktoré chce dosiahnuť prostredníctvom obchodovania so zvolenými CP. Túto povinnosť splní mandatár prostredníctvom investičného profilu zisteného na základe mandantom vyplneného investičného dotazníka klienta (ďalej len „Investičný dotazník“), v ktorom je mandant povinný zodpovedať na stanovené otázky (tzv. test primeranosti) a ktorý sa riadne vyplnený stáva súčasťou zmluvnej dokumentácie mandatára. Mandant je povinný poskytnúť mandatárovi dostatočné informácie o svojej finančnej situácii, o svojich investičných skúsenostiach a investičných zámeroch. Ak

For the avoidance of doubt, it applies that all documents, or documents that the Client submits to the Mandating Agent for the purpose of his identification and verification of his identification must be prepared in the Slovak language (except for documents or documents prepared in the Czech language), unless the Mandating Agent specifies otherwise. In the case that the translated documentation or documents are issued, or the authenticity of the signatures on them is officially certified outside the territory of the Slovak Republic, the Mandating Agent is entitled to request a higher verification of such documentation or documents or certificates of authenticity of signatures (super legalization) or a certificate (Apostille), and at the same time, an official translation of these documentation or documents in the Slovak language (except for documents or documents prepared in the Czech language), unless the Mandating Agent specifies otherwise. At the same time, the Mandating Agent states that, unless he specifies otherwise, he only accepts such foreign-language documentation or documents from foreign mandating agents that contain the necessary data written in Latin script.

2. The Mandating Agent is obliged to ask the Client to provide information on his financial situation, on his experience and knowledge in the field of trading with the selected securities and on the objectives he wants to

mandatár usúdi na základe informácií získaných tzv. testom primeranosti v Investičnom dotazníku, že zvolený CP nie je pre mandanta primeraný, mandatár na to mandanta upozorní v štandardizovanej forme. Mandant je povinný vyplniť aj AML dotazník, v ktorom mandant zodpovie otázky v oblasti boja proti legalizácii príjmov z trestnej činnosti a financovaniu terorizmu, pričom tento je, resp. sa stáva súčasťou Zmluvy.

3. Mandatár je oprávnený spoliehať sa na informácie, ktoré mu pri registrácii poskytol mandant, pričom v žiadnom prípade nezodpovedá za nepravdivé informácie poskytnuté mandantom.

4. Po úspešnej registrácii mandanta v elektronickej platforme ROYAL MARKET, oboznámení sa s podmienkami Zmluvy a všetkých jej príloh a po splnení všetkých ostatných povinností mandanta pred uzavretím Zmluvy, uzavrú zmluvné strany Zmluvu nasledovne:

a) k uzavretiu Zmluvy za fyzickej prítomnosti mandanta dochádza v písomnej forme vlastnoručnými podpismi zmluvných strán na papierovom vyhotovení Zmluvy v dvoch rovnopisoch, pričom jeden rovnopis zostáva mandantovi a jeden zostáva mandatárovi;

b) ak mandant nie je fyzicky prítomný a jeho identifikácia a jej overenie sa vykoná podľa odseku 1 bod (ii) tohto článku obchodných podmienok platí, že mandant Zmluvu uzavrie elektronickými prostriedkami

The Mandating Agent fulfils this obligation through the investment profile determined on the basis of the client's investment questionnaire filled out by the Client (hereinafter referred to as the “Investment Questionnaire”), in which the Client is required to answer the particular questions (the so-called adequacy test) and which, when properly completed, becomes part of the Mandating Agent's contractual documentation. The Client is obliged to provide the Mandating Agent with sufficient information about his financial situation, his investment experience and investment intentions. If the Mandating Agent judges, based on the information obtained from the so-called the adequacy test in the Investment Questionnaire, that the chosen security is not adequate for the Client, the Mandating Agent shall inform the Client of this in a standardized form. The Client is also obliged to fill out an AML questionnaire, in which the Client answers questions in the field of protection against money laundering and terrorist financing, and this becomes part of the Contract.

3. The Mandating Agent is entitled to rely on the information provided by the Client during registration, and he is not responsible for false information provided by the Client.

4. After successful registration of the Client in the ROYAL MARKET electronic platform, familiarization with the terms and conditions of the Contract and all its annexes, and after fulfilling all other obligations of the Client before concluding the Contract, the Contracting Parties conclude the Contract as follows:

a) the conclusion of the Contract in the physical presence of the Client takes

5. Pri oboch spôsoboch uzavretia Zmluvy je mandant povinný prihlásiť sa do elektronickej platformy ROYAL MARKET, prostredníctvom ktorej bude mandant zasielať peňažné prostriedky, podávať K- pokyny, P-pokyny, Pokyny na výplatu, komunikovať s mandatárom a uskutočňovať ďalšie úkony v zmysle týchto obchodných podmienok. Mandant sa bude do elektronickej platformy ROYAL MARKET prihlasovať prostredníctvom prihlasovacieho mena (e-mailová adresa) a hesla (minimálne 6-miestny údaj, ktorý si vygeneruje mandant pri registrácii v elektronickej platforme ROYAL MARKET).

6. Mandant po obdržaní Zmluvy, podá prevodný príkaz banke za účelom zaslania peňažných prostriedkov, určených na kúpu finančných nástrojov, na určený bankový účet. Zaslanie peňažných prostriedkov podľa predchádzajúcej vety sa uskutoční prostredníctvom elektronickej platformy ROYAL MARKET.

7. Mandant sa zaväzuje, že bude na klientsky účet priebežne po dobu trvania Zmluvy poukazovať peňažné prostriedky tak, aby tieto peňažné prostriedky v plnom rozsahu postačovali k úhrade kúpnej ceny finančných nástrojov, ktoré majú byť na základe záväzného pokynu mandanta obstarané, ako aj k úhrade odmeny mandatára, všetkých súvisiacich nákladov a bankových poplatkov.

8. Mandant sa zaväzuje pri uzavretí Zmluvy, ako aj počas celej doby jej trvania, bez zbytočného odkladu oznamovať mandatárovi všetky skutočnosti, ktoré sú

b) if the Client is not physically present and his identification and verification is performed in accordance with paragraph 1(ii) of this Article of the Terms and Conditions, it applies that

the Client concludes the Contract by electronic means via the ROYAL MARKET electronic platform and subsequently the Mandating Agent sends the Contract to the Client, including the necessary attachments by electronic means (by e-mail) to the Client's e-mail address.

5. In both ways of concluding the Contract, the Client is obliged to log into the ROYAL MARKET electronic platform, through which the Client shall send funds, submit K-orders, P-orders, payment instructions, communicate with the Mandating Agent and perform other actions in the sense of these Terms and Conditions. The Client shall log into the ROYAL MARKET electronic platform using a login name (e- mail address) and password (minimum 6- digit data generated by the Client when registering in the ROYAL MARKET electronic platform).

6. After receiving the Contract, the Client shall submit a transfer order to the bank for the purpose of sending funds intended for the purchase of financial instruments to the specified bank account. The sending of funds according to the previous sentence shall take place via the ROYAL MARKET electronic platform.

9. Mandant je povinný mandatárovi bez zbytočného odkladu po doručení žiadosti mandatára, poskytnúť všetky dokumenty, ktoré budú potrebné pri uzavretí Zmluvy alebo v priebehu spolupráce v zmysle uzavretej Zmluvy pri zastupovaní mandanta u emitentov, brokerov, na príslušných trhoch a v príslušných registroch.

10. Mandantom môže byť aj maloletý, za ktorého uzatvára Zmluvu s mandatárom a koná vo všetkých veciach voči mandatárovi z toho vyplývajúcich počas platnosti Zmluvy jeho zákonný zástupca, najdlhšie však do dosiahnutia plnoletosti maloletého. V tejto súvislosti zákonný zástupca vyhlasuje, že (i) jeho spôsobilosť na právne úkony nie je obmedzená, (ii) je zákonným zástupcom maloletého a (iii) nebol pozbavený rodičovských práv a povinností, ani nebol výkon jeho rodičovských práv a povinností obmedzený alebo pozastavený. Vyhlásenia uvedené v predchádzajúcej vete sa považujú zo strany zákonného zástupcu zopakované pri každom právnom úkone vykonanom zákonným zástupcom v mene maloletého voči mandatárovi. Údaje, ktoré z ich povahy nie je možné vyplniť v Zmluve podľa údajov maloletého (napr. email, telefonický kontakt), nahradí zákonný zástupca pri uzatváraní Zmluvy svojimi údajmi. Zákonný zástupca berie na vedomie, že po dosiahnutí plnoletosti maloletým stráca oprávnenie konať v mene maloletého a z toho dôvodu mu môže byť emitentom

7. The Client undertakes to transfer funds to the client's account on an ongoing basis for the duration of the Contract in such a way that these funds are sufficient in full to cover the purchase price of the financial instruments to be procured on the basis of the Client's binding instruction, as well as to pay the Mandating Agent's remuneration, and all related costs and bank fees.

8. When concluding the Contract, as well as during its entire duration, the Client undertakes to notify the Mandating Agent, without undue delay, all facts that are essential and necessary for the arrangement of the purchase or sale of financial instruments under the Contract, as well as any changes regarding the data previously provided to the Mandating Agent in connection with the conclusion of the Contract.

9. The Client is obliged to provide the Mandating Agent, without undue delay, after the Mandating Agent's request has been delivered, all the documents that will be necessary for the conclusion of the Contract or in the course of cooperation in terms of the concluded Contract when representing the Client with issuers, brokers, on the relevant markets and in the relevant registries.

10. The Client may also be a minor, for whom his legal representative concludes the Contract with the Mandating Agent and acts in all matters with respect to the Mandating Agent arising from the Contract during the term of the Contract, but no longer than until the minor reaches full age. In this context, the legal representative declares that (i) his capacity for legal acts is not limited, (ii) he is the legal representative of the minor and (iii)

Zároveň sa zákonný zástupca zaväzuje informovať maloletého, ktorý dosiahol plnoletosť, o povinnosti aktualizovať údaje, ktoré boli pri uzatváraní Zmluvy nahradené údajmi zákonného zástupcu (napr. email, telefonický kontakt) a oznámiť ich mandatárovi ako aj emitentovi alebo brokerovi.

IV.

Podávanie pokynov

1. K realizácii obchodov s finančnými nástrojmi sa využíva podávanie záväzných pokynov mandantom, a to prostredníctvom elektronickej platformy ROYAL MARKET. Mandatár vykoná záväzný pokyn mandanta na jeho klientskom účte. Na základe záväzného pokynu dáva mandant mandatárovi inštrukciu k nákupu alebo predaju vybraných finančných nástrojov, a to vždy prostredníctvom elektronickej platformy ROYAL MARKET.

2. Záväzný pokyn musí byť zrozumiteľný, určitý a úplný. Mandant je povinný v záväznom pokyne uviesť všetky údaje, ktoré sú mandatárom požadované. V prípade, ak mandant neuvedie v záväznom pokyne všetky požadované údaje, nebude jeho záväzný pokyn zrealizovaný.

3. Mandant môže podávať záväzné pokyny až po podpísaní Zmluvy obidvomi stranami a po pripísaní peňažných prostriedkov na klientsky účet mandanta vedený u emitenta alebo brokera.

4. Mandant môže zadávať záväzné pokyny kedykoľvek počas obchodného dňa.

he has not been deprived of parental rights and obligations, nor has the exercise of his parental rights and obligations been limited or suspended. The statements mentioned in the previous sentence are considered to be repeated by the legal representative in every legal act performed by the legal representative on behalf of the minor in relation to the Mandating Agent. Data that, due to their nature, cannot be filled in the Contract based on the minor's data (e.g. e- mail, telephone contact) shall be replaced by the legal representative with his own data when concluding the Contract. The legal representative acknowledges that after the minor reaches full age, he loses the authority to act on behalf of the minor and, for this reason, his access to the minor's client account may be blocked by the issuer or broker. At the same time, the legal representative undertakes to inform the minor, who has reached full age, about the obligation to update the data that were replaced by the data of the legal representative when concluding the Contract (e.g. e-mail, telephone contact) and to notify them to the Mandating Agent as well as the issuer or broker.

IV

Giving Instructions

1. The performance of trades with financial instruments uses the submission of binding instructions by the Client via the ROYAL MARKET electronic platform. The Mandating Agent performs the binding instruction of the Client on his client account. On the basis of a binding instruction, the Client instructs the Mandating Agent to buy or sell the selected financial instruments, always via the ROYAL MARKET electronic platform.

5. Záväzný pokyn mandanta vstupuje do platnosti jeho prijatím do obchodného systému mandatára a potvrdením mandantovi v obchodnom systéme mandatára. Všetky záväzné pokyny mandanta sú zaznamenávané v obchodnom systéme mandatára.

6. O stave zadávaného záväzného pokynu, ako aj o svojom portfóliu finančných nástrojov a stave peňažných prostriedkov je mandant informovaný prostredníctvom mandatára.

7. Obchodovanie so zahraničnými finančnými nástrojmi prostredníctvom mandatára nie je na úrovni mandatára limitované, pokiaľ ide o počet kusov a cenu finančných nástrojov. V prípade, ak zahraničný trh alebo broker alebo emitent stanovujú limity počtu kusov alebo ceny finančných nástrojov, sú mandatár a mandant týmito limitmi viazaní.

8. Mandant môže zadať iba taký záväzný pokyn na kúpu finančných nástrojov, na ktorý má dostatok peňažných prostriedkov (vrátane odmeny mandatára, nákladov, bankových poplatkov a pod.) na klientskom účte, alebo taký pokyn na predaj finančných nástrojov, na ktorý má dostatočný počet finančných nástrojov a dostatok peňažných prostriedkov na úhradu odmeny mandatára, nákladov a bankových poplatkov na klientskom účte.

9. Mandant nemôže zmeniť alebo zrušiť záväzný pokyn ktorý už bol zrealizovaný na príslušnom trhu alebo záväzný pokyn, ktorý ešte nebol zrealizovaný na príslušnom trhu, ale mandatár nemá objektívnu možnosť zmeniť alebo zrušiť takýto podaný záväzný pokyn z dôvodov daných na strane tretích

2. A binding instruction must be comprehensible, definite and complete. The Client is obliged to provide all the data required by the Mandating Agent in the binding instruction. If the Client does not provide all required data in the binding instruction, his binding instruction shall not be executed.

3. The Client may submit binding instructions only after the Contract has been signed by both Contracting Parties and after the funds have been credited to the Client's client account maintained with the issuer or broker.

4. The Client can give binding instructions at any time during the trading day.

5. The Client's binding instruction enters into force upon its acceptance into the Mandating Agent's trading system and confirmation to the Client in the Mandating Agent's trading system. All binding instructions of the Client are recorded in the Mandating Agent's trading system.

6. The Client is informed about the status of the entered binding instruction, as well as about his portfolio of financial instruments and the state of funds through the Mandating Agent.

7. Trading in foreign financial instruments through the Mandating Agent is not limited at the level of the Mandating Agent in terms of the number of pieces and the price of financial instruments. In the case that a foreign market or broker or issuer sets limits on the number of units or prices of financial instruments, the Mandating Agent and the Client are bound by these limits.

10. Po dobu, na ktorú mandant vydal záväzný pokyn k predaju finančných nástrojov, nie je mandant oprávnený s týmito finančnými nástrojmi nakladať.

11. Mandatár nie je povinný realizovať záväzný pokyn, ak je k jeho realizácii nevyhnutné plnomocenstvo vystavené mandantom, a toto plnomocenstvo nebude mandatárovi včas doručené.

12. Mandatár nie je povinný realizovať záväzný pokyn, alebo je oprávnený zrealizovať ho len čiastočne v prípade, ak aktuálny objem prostriedkov na klientskom účte nedosahuje výšku nevyhnutnú k úhrade ceny finančných nástrojov alebo požadovaného kolaterálu, ktoré majú byť na základe záväzného pokynu mandatárom obstarané a k úhrade odmeny mandatára, nákladov a bankových poplatkov.

13. Mandant súhlasí s prípadnou čiastočnou realizáciou záväzného pokynu – čiastočne realizovaný pokyn. Vzhľadom k tomu, že záväzný pokyn môže byť realizovaný čo i len z časti, môže prísť v týchto prípadoch k jeho kráteniu.

14. Pri podávaní záväzných pokynov bude mandant dodržiavať pravidlá podávania pokynov obsiahnuté v týchto obchodných podmienkach. Mandant ďalej súhlasí s tým, že mandatár bude pri činnosti realizovanej v zmysle Zmluvy postupovať v súlade s pravidlami záväznými pre príslušný

9. The Client cannot change or cancel a binding instruction that has already been performed on the relevant market or a binding instruction that has not yet been performed on the relevant market, but the Mandating Agent does not have an objective possibility to change or cancel such a submitted binding instruction for reasons given by third parties (e.g. the issuer, broker, foreign market, foreign register). The Mandating Agent is not liable in relation to the Client if, for the reasons stated, he does not have the possibility to change or cancel his binding instruction.

10. During the period for which the Client issued a binding instruction to sell financial instruments, the Client is not authorized to deal with these financial instruments.

11. The Mandating Agent is not obliged to implement a binding instruction if a power of attorney issued by the Client is necessary for its performance, and this power of attorney is not delivered to the Mandating Agent in time.

12. The Mandating Agent is not obliged to perform a binding instruction, or is authorized to perform it only partially if the current volume of funds on the client account does not reach the amount

Mandant môže prostredníctvom pokynu na výplatu kedykoľvek požiadať o vyplatenie peňažných prostriedkov zo svojho klientskeho účtu okrem doby, počas ktorej sú tieto prostriedky viazané aktívnym záväzným pokynom mandanta resp. nevysporiadaným záväzným pokynom mandanta (t.j. spravidla do 3 obchodných dní odo dňa realizácie záväzného pokynu mandanta). Pokyn na výplatu mandant podáva prostredníctvom elektronickej platformy ROYAL MARKET.

16. Mandant môže podať K-pokyn na základe jednorazového prevodného príkazu banke alebo si môže nastaviť pravidelné prevodné príkazy banke a uskutočňovať pravidelné investície do finančných nástrojov (výlučne v prípade ETF). V prípade pravidelných, resp. opakujúcich sa investícií, mandatár obstará kúpu ETF (rovnakých ako je uvedené v prvom pokyne) vždy po obdržaní peňažných prostriedkov od mandanta, čiže platba mandanta sa automaticky považuje za pokyn na kúpu ETF uvedených v pôvodnom K-pokyne. Udelením nového K-pokynu na kúpu ETF sa pôvodný K-pokyn automaticky zrušuje, a to v rozsahu, v akom sa nový K-pokyn nezhoduje s pôvodným K- pokynom.

17. Mandant môže prostredníctvom elektronickej platformy ROYAL MARKET podať P-pokyn, v ktorom vyberie finančné nástroje, ktorých predaj má mandatár vykonať. V prípade ETF môže mandant podať P-pokyn aj takým spôsobom, že udelí mandatárovi pokyn na výplatu, na základe ktorého mandatár uskutoční predaj finančných nástrojov mandanta v hodnote

13. The Client agrees to possible partial performance of the binding instruction - partially performed instruction. Due to the fact that the binding instruction can be performed even in part, it may be shortened in these cases.

14. When submitting binding instructions, the Client shall comply with the rules for submitting instructions contained in these Terms and Conditions. The Client further agrees that the Mandating Agent shall act in accordance with the rules binding for the relevant foreign market, the relevant foreign register and the rules of the broker and issuer in the activities performed in accordance with the Contract.

15. The Client can request the withdrawal of funds from his client account at any time by means of a payment instruction, except for the period during which these funds are bound by an active binding instruction of the Client or by an outstanding binding instruction of the Client (i.e. as a rule, within 3 trading days from the date of the performance of the binding instruction of the Client). The Client shall submit the payment instruction via the ROYAL MARKET electronic platform.

16. The Client can submit a K-instruction on the basis of a one-time transfer order to the bank or can set regular transfer orders to the bank and make regular investments in financial instruments (exclusively in the case

V.

Ďalšie ustanovenia o pokynoch

1. Mandant v záväznom pokyne (typ pokynu: market pokyn) súhlasí s tým, že záväzný pokyn bude realizovaný za aktuálne ponúkanú, resp. dopytovanú cenu na trhu. Market pokyn bude ihneď realizovaný (v prípade existujúceho dopytu alebo ponuky na trhu), avšak za aktuálnu cenu v ponuke alebo dopyte. Broker si v rámci Best Execution Policy vyhradzuje právo na to, aby pokyn mohol odoslať na trh ako limitný v rámci ochrany klienta (mandanta) pred realizáciou obchodu za nevýhodnú cenu. V prípade, že mandatár postúpi záväzný pokyn na vykonanie emitentovi, platnosť tohto pokynu sa skončí posledným dňom upisovacieho obdobia, to znamená, že takýto záväzný pokyn môže byť realizovaný až v posledný deň jeho platnosti, t.j. v posledný deň upisovacieho obdobia. Mandatár je oprávnený postupovať záväzné pokyny na vykonanie emitentovi alebo brokerovi hromadne, a to najmä pri záväzných pokynoch týkajúcich sa kúpy alebo predaja podielových listov alebo CP a majetkových účastí vo fondoch kolektívneho investovania.

2. Záväzný pokyn zaniká, ak bez zavinenia mandatára nebol pokyn na príslušnom trhu riadne realizovaný (pokyn mandanta sa na príslušnom trhu reálne neuskutočnil, pričom mandatár bol najskôr príslušným trhom alebo brokerom nesprávne informovaný o uskutočnení pokynu, a až neskôr mandatár obdržal správnu informáciu

Placing a new K-instruction to buy an ETF automatically cancels the original K- instruction to the extent that the new K- instruction does not match the original K- instruction.

17. The Client can submit a P-instruction via the ROYAL MARKET electronic platform, in which he selects the financial instruments to be sold by the Mandating Agent. In the case of an ETF, the Client can also submit a P-order in such a way that he gives the Mandating Agent a payment instruction, on the basis of which the Mandating Agent shall sell the Client's financial instruments in the value of the corresponding monetary amount specified in the payment instruction, if there are sufficient funds on the Client's client account.

V

Additional Provisions on Instructions

1. In the binding order (order type: market order), the Client agrees that the binding order shall be performed at the currently offered price, or the asking price on the market. The market order shall be performed immediately (in the case of an existing demand or offer on the market), but at the current price in the offer or demand. As part of the Best Execution Policy, the broker reserves the right to send the order to the market as a limit in order to protect the client (Client) from performing the trade at an unfavourable price. In the event that the

3. Záväzný pokyn tiež zaniká :

a) ukončením obchodovania s finančným nástrojom určeným v pokyne na príslušnom zahraničnom trhu;

b) okamihom doručenia pokynu na výplatu,

c) podaním nového K-pokynu, ktorým sa úplne alebo čiastočne ruší pôvodný K- pokyn v zmysle článku IV. ods. 16 posledná veta obchodných podmienok.

VI.

Evidencia peňažných prostriedkov a finančných nástrojov

1. Peňažné prostriedky a finančné nástroje mandanta sú vedené výlučne na mandantovom klientskom účte u emitenta alebo brokera. Xxxxxxxxx účet je vedený priamo na meno mandanta.

2. Mandatár vedie mandantovi vo svojich záznamoch evidenciu finančných nástrojov, ktoré pre mandanta na základe Zmluvy nadobudol alebo od mandanta prijal, alebo u ktorých má mandatár právo nakladať s finančnými nástrojmi.

3. Mandatár vedie aj evidenciu peňažných prostriedkov prijatých od mandanta, v ktorej sa zaznamenávajú pohyby peňažných prostriedkov na klientskom účte mandanta.

Mandating Agent forwards a binding instruction for performance to the issuer, the validity of this instruction ends on the last day of the subscription period, that is, such a binding instruction can be performed only on the last day of its validity, i.e. on the last day of the subscription period. The Mandating Agent is authorized to issue binding instructions for performance to the issuer or broker on a mass scale, especially for binding instructions regarding the purchase or sale of unit certificates or CP and equity participations in collective investment funds.

2. A binding instruction expires if, through no fault of the Mandating Agent, the instruction was not properly performed on the relevant market (the Mandating Agent's order was not actually performed on the relevant market, while the Client was first incorrectly informed by the relevant market or broker about the performance of the instruction, and only later did the Mandating Agent receive the correct information about the non-performance of the instruction), for reasons solely on the part of the relevant market or broker. The Mandating Agent is not obliged to renew the Client's instruction, but he is obliged to inform the Client, without undue delay, about the reasons on the part of the relevant market or broker that caused his instruction not to be performed. In the above-mentioned cases, the binding instruction expires even if the validity period specified in the instruction has not yet expired.

3. The binding instruction also expires:

a) by ending trading with the financial instrument specified in the instruction on the relevant foreign market;

4. Pravidelné investovanie nie je dlhodobým investičným sporením v zmysle § 7 ods. 11 Zákona o cenných papieroch.

5. V prospech klientskeho účtu mandanta budú pripisované dividendy plynúce z finančných nástrojov.

6. Mandant má nárok na výplatu dividendy v prípade, ak bol majiteľom finančných nástrojov v tzv. record day, t.j. v rozhodný deň pre právo na dividendu, ktorý určí emitent. Výplata dividendy je uskutočnená v emitentom stanovený výplatný deň (tzv. payment day), pričom vo výplatný deň je zrazená aj prípadná daň z dividendy.

7. Za vedenie klientskeho účtu u emitenta alebo brokera môže mandatár účtovať mandantovi osobitné poplatky určené v cenníku služieb.

8. Mandatár je povinný vo svojom informačnom systéme osobitne evidovať majetok mandanta, na ktorý sa vzťahuje systém ochrany klientov, zabezpečovaný Garančným fondom investícií.

VII.

Vysporiadanie obchodov s finančnými nástrojmi

1. Po zrealizovaní nákupu alebo predaja finančných nástrojov vykoná broker alebo emitent vysporiadanie obchodu v obvyklej dobe a obvyklým spôsobom podľa podmienok príslušného trhu alebo brokera alebo emitenta. Potvrdenie o vykonaní obchodu s finančnými nástrojmi poskytne mandatár mandantovi e-mailom alebo

b) upon delivery of the payment instruction,

c) by submitting a new K-instruction which completely or partially cancels the original K-instruction in accordance with Article IV, paragraph

16 last sentence of the Terms and Conditions.

VI

Records of Funds and Financial Instruments

1. The Client's funds and financial instruments are kept exclusively on the Client's client account with the issuer or broker. The client account is held directly in the name of the Client.

2. In his records, the Mandating Agent keeps records of the financial instruments that he acquired for the Client on the basis of the Contract or received from the Client, or for which the Mandating Agent has the right to dispose of the financial instruments.

3. The Mandating Agent gent also keeps records of funds received from the Client in which transactions of funds on the Client's client account are recorded.

4. Regular investing is not long-term investment savings according to Section 7, paragraph 11 of the Securities Act.

5. Dividends resulting from financial instruments shall be credited to the Client's client account.

6. The Client is entitled to a dividend payment if he was the owner of financial instruments in the so-called record day, i.e. on the decisive date for the right to a dividend,

2. Peňažné prostriedky zinkasované brokerom alebo emitentom za predaj finančných nástrojov mandanta, budú pripísané v prospech klientskeho účtu mandanta, a to po odrátaní odmeny brokera, emitenta, mandatára, nákladov a bankových poplatkov v zmysle Cenníka služieb.

3. Mandatár je povinný zabezpečiť, aby broker alebo emitent vyplatil mandantovi na ním určený bankový účet peňažné prostriedky z klientskeho účtu mandanta, pokiaľ mandant udelí pokyn na výplatu prostredníctvom elektronickej platformy ROYAL MARKET. Pokyn na výplatu nebude realizovaný v prípade, ak je požadovaná suma na vyplatenie vyššia než zostatok vysporiadaných peňažných prostriedkov mandanta na jeho klientskom účte. Do doby, kým mandant udelí pokyn na výplatu peňažných prostriedkov, budú tieto prostriedky uložené na klientskom účte.

4. Finančné nástroje sú po obstaraní ich nákupu vedené na klientskom účte mandanta.

5. V prípade, že v ten istý deň dôjde k vysporiadaniu (vyrovnaniu) viacerých obchodov (nákup finančných nástrojov ako ich predaj), realizovaných na rovnakom trhu alebo na trhoch s rovnakým vysporiadaním obchodov, môžu byť tieto vysporiadané vzájomným i čiastočným zápočtom (saldom). Mandatár je oprávnený si jednostranne započítať svoje i nesplatné pohľadávky voči mandantovi voči splatným či nesplatným pohľadávkam mandanta voči mandatárovi, a to

7. For maintaining a client account with the issuer or broker, the Mandating Agent may charge the Client special fees specified in the Price List of services.

8. The Mandating Agent is obliged to separately record the Client's assets in its information system, which are covered by the client protection system provided by the Investment Guarantee Fund.

VII

Settlement of Trades with Financial Instruments

1. After the purchase or sale of financial instruments, the broker or issuer shall settle the trade at the usual time and in the usual manner according to the conditions of the relevant market or broker or issuer. The confirmation of the performance of the trade with financial instruments shall be provided by the Mandating Agent to the Client by e- mail or via the ROYAL MARKET electronic platform, no later than the next trading day after the performance of this trade.

2. The funds collected by the broker or the issuer for the sale of the Client's financial instruments shall be credited to the Client's client account, after deducting the remuneration of the broker, issuer, principal, costs and bank fees in accordance with the Price List of Services.

3. The Mandating Agent is obliged to ensure that the broker or the issuer pays the Client

Pre započítateľnú výšku takýchto pohľadávok je rozhodujúci devízový kurz peňažných prostriedkov v cudzej mene určený Európskou centrálnou bankou platný v deň, keď dochádza k právnemu úkonu smerujúcemu k zápočtu. Právo mandatára k realizácii zápočtu za účelom uspokojenia svojich pohľadávok vo vzťahu ku mandantovi vyplývajúcich zo Zmluvy, ako aj z akýchkoľvek iných zmlúv o cenných papieroch uzavretých medzi mandatárom a mandantom trvá i po zániku Zmluvy, ako aj iných zmlúv o cenných papieroch uzavretých medzi mandatárom a mandantom, a to až do úplného splatenia pohľadávok mandatára vrátane príslušenstva. Na základe dohody zmluvných strán nie je mandant oprávnený postúpiť na tretiu osobu resp. založiť akúkoľvek pohľadávku vo vzťahu ku mandatárovi.

6. V prípade omeškania vysporiadania (vyrovnania) obchodu s finančnými nástrojmi sa mandatár zaväzuje bezodkladne informovať mandanta o príčine oneskorenia a o náhradnom termíne vysporiadania.

7. Mandant udeľuje súhlas brokerovi, resp. emitentovi s inkasom peňažných prostriedkov zodpovedajúcim sume poplatkov prislúchajúcich mandatárovi a ich následným poukázaním mandatárovi.

The payment instruction shall not be implemented if the requested amount for payment is higher than the balance of settled funds of the Client on his client account. Until the Client instructs the payment of funds, these funds shall be deposited on the client account.

4. The financial instruments are kept on the Client's client account after their purchase.

5. In the event that, on the same day, there is a settlement of several trades (purchase of financial instruments as well as their sale), performed on the same market or on markets with the same settlement of trades, these can be settled by mutual and partial offsetting (balance). The Mandating Agent is entitled to unilaterally offset his and unpaid claims in relation to the Client against the Client's due and unpaid claims in relation to the Mandating Agent, from any securities contracts concluded between the Mandating Agent and the Client. The Mandating Agent is entitled to use receivables in different currencies for crediting. For the creditable amount of such receivables, the decisive exchange rate of funds in a foreign currency determined by the European Central Bank is valid on the day when the legal act leading to crediting takes place. The Mandating Agent's right to set off in order to satisfy its claims in relation to the Client arising from the Contract, as well as from any other contracts on securities concluded between the Mandating Agent and the Client, continues even after the termination of the Contract, as well as other contracts on securities concluded between

Práva a povinnosti zmluvných strán

1. Mandatár je povinný uskutočňovať svoju činnosť s náležitou odbornou starostlivosťou v záujme mandanta, pričom nesmie dávať prednosť obchodom na vlastný účet. Mandatár plní pokyny mandanta za čo najvýhodnejších podmienok.

2. Mandant je kedykoľvek počas trvania zmluvného vzťahu oprávnený uskutočniť zmenu svojich osobných údajov prostredníctvom elektronickej platformy ROYAL MARKET.

3. Xxxxxxx, ktorý je fyzickou osobou, záväzne prehlasuje, že je starší ako 18 rokov a má úplnú spôsobilosť na právne úkony.

4. Mandatár je povinný poskytnúť mandantovi dôležité informácie súvisiace s obchodom. Mandatár však nie je oprávnený ani autorizovaný poskytovať mandantovi investičné, daňové, právne a obchodné poradenstvo v súvislosti s obchodovaním s finančnými nástrojmi na zahraničných trhoch.

5. Mandatár je pri výkone svojej činnosti povinný vyhýbať sa konfliktu záujmov medzi ním a mandantom, ako aj medzi mandantom a inými klientmi mandatára. V prípade, že dôjde ku konfliktu záujmov medzi mandatárom a mandantom, je mandatár povinný uprednostniť záujmy mandanta pred vlastnými záujmami.

6. Mandatár nesmie pri svojej činnosti používať nepravdivé alebo zavádzajúce informácie pri propagácii obchodovania s finančnými nástrojmi, nesmie ponúkať

the Mandating Agent and the Client, until full repayment of the Mandating Agent's claims, including accessories. Based on the agreement of the Contracting Parties, the Client is not entitled to transfer a claim to a third party or establish any claim in relation to the Mandating Agent.

6. In the event of a delay in the settlement of the trade in financial instruments, the Mandating Agent undertakes to immediately inform the Client about the cause of the delay and about the alternative settlement date.

7. The Client gives consent to the broker or to the issuer with collection of funds corresponding to the amount of fees due to the Mandating Agent and their subsequent payment to the Mandating Agent.

VIII

Rights and Obligations of the Contracting Parties

1. The Mandating Agent is obliged to perform his activity with due professional care in the interest of the Client, while he must not give priority to business on his own account. The Mandating Agent fulfils the Client's instructions under the most favourable conditions.

2. At any time during the duration of the contractual relationship, the Client is entitled to change his personal data via the ROYAL MARKET electronic platform.

3. The Client, who is a natural person, bindingly declares that he is over 18 years of age and has full legal capacity.

4. The Mandating Agent is obliged to provide the Client with important business-related information. However, the Mandating Agent is not entitled or authorized to provide investment, tax, legal and business advice to

8. Mandant je povinný sledovať oznamy mandatára uverejňované na internetovej stránke. Mandatár nezodpovedá za prípadné škody alebo straty mandanta spôsobené v dôsledku skutočnosti, ktorú mandatár riadne oznámil na svojej internetovej stránke, avšak mandant sa s ňou neoboznámil.

9. V prípade, ak sa s emisiou zahraničných CP trvalo neobchoduje na žiadnom zahraničnom trhu resp. obchodovanie s touto emisiou neposkytuje žiadny zahraničný trh (OTC trh, transakčný agent, emitent a pod.) (ďalej len „bezcenné zahraničné CP“), je mandatár oprávnený požiadať brokera, resp. emitenta, aby zabezpečil prevod bezcenných zahraničných CP na ťarchu klientskeho účtu mandanta. O tom, či budú bezcenné zahraničné CP prevedené odplatne alebo bezodplatne, rozhoduje broker, resp. emitent. Mandatár upozorní e-mailom mandanta, že plánuje uskutočniť prevod bezcenných zahraničných CP na ťarchu jeho klientskeho účtu, pričom mu určí lehotu, v ktorej mandant môže odmietnuť takýto prevod bezcenných zahraničných CP zo svojho klientskeho účtu. Pokiaľ mandant v lehote určenej mandatárom prevod podľa predchádzajúcej vety neodmietne alebo mandatárovi vôbec neodpovie, zmluvné strany majú zato, že súhlas mandanta bol udelený. Za evidenciu bezcenných zahraničných CP môže broker,

5. In the performance of his activities, the Mandating Agent is obliged to avoid a conflict of interests between him and the Client, as well as between the Client and other clients of the Mandating Agent. In the event that there is a conflict of interests between the Mandating Agent and the Client, the Mandating Agent is obliged to prioritize the interests of the Client over his own interests.

6. In his activity, the Mandating Agent shall not use false or misleading information in the promotion of trading in financial instruments, he shall not offer benefits whose reliability he cannot guarantee and he shall not conceal important facts.

7. The Mandating Agent is obliged to document the way the transaction was performed and check the objectivity of the recorded data.

8. The Client is obliged to follow the notices of the Mandating Agent published on the website. The Mandating Agent is not responsible for any damages or losses of the Client caused as a result of a fact that the Mandating Agent duly announced on his website, but the Client was not familiar with.

9. In the event that the issue of foreign securities is not permanently traded on any foreign market or trading of this issue is not provided by any foreign market (OTC market, transaction agent, issuer, etc.) (hereinafter referred to as the “Worthless Foreign Securities”), the Mandating Agent is entitled to ask the broker or the issuer to ensure the transfer of Worthless Foreign

resp. emitent účtovať poplatok, ktorý v celom rozsahu hradí mandant.

10. Mandant berie na vedomie, že mandatár je oprávnený z dôvodu plnenia si zákonných povinností po celú doby účinnosti Zmluvy (i) nahrávať na záznamové zariadenie všetky hovory mandanta, obsahom ktorých môže byť aj odstránenie chýb v identifikácií mandanta uvedených v hlavičke Zmluvy, ako aj (ii) vyhotovovať technickými prostriedkami záznamy identifikácie a overenia identifikácie mandanta v prípade jeho fyzickej neprítomnosti podľa článku III. ods. 1 bod (ii) obchodných podmienok. Mandant berie na vedomie, že záznamy vyhotovené podľa predchádzajúcej vety tohto odseku obchodných podmienok sa uchovávajú počas piatich rokov a na žiadosť Národnej banky Slovenska počas siedmich rokov v zmysle ust. § 75 ods. 5 zákona o cenných papieroch, ak z osobitných právnych predpisov nevyplýva iná lehota (napr. § 19 AML zákona).

11. Za nedostupný majetok mandanta má mandant právo na náhradu z Garančného fondu investícií v eurách a Garančný fond investícií je povinný zaň poskytnúť náhradu v rozsahu a za podmienok ustanovených zákonom o cenných papieroch.

12. Za nedostupný chránený klientsky majetok poskytuje Garančný fond investícií náhradu jednému mandantovi alebo inej oprávnenej osobe za podmienok stanovených zákonom o cenných papieroch.

13. Podrobnejšie informácie o ochrane majetku mandanta sú uvedené v dokumentoch

„Všeobecné informácie poskytnuté klientovi alebo potenciálnemu klientovi pred

Securities to the debit of the Client's client account. The broker or issuer decides whether the Worthless Foreign Securities shall be transferred for a fee or free of charge. The Mandating Agent notifies the Client by e-mail that he plans to perform a transfer of Worthless Foreign Securities to the debit of his client account, specifying a period in which the Client can refuse such a transfer of the Worthless Foreign Securities from his client account. If the Client does not refuse the transfer according to the previous sentence or does not respond to the Mandating Agent at all within the period specified by the Mandating Agent, the Contracting Parties shall assume that the Client's consent has been granted. For the registration of the Worthless Foreign Securities, the broker or issuer may charge a fee which is paid in full by the Client.

10. The Client acknowledges that the Mandating Agent is entitled, due to the fulfilment of legal obligations, for the entire period of validity of the Contract, (i) to record on the recording device all calls of the Client, the content of which may also include the elimination of errors in the identification of the Client listed in the header of the Contract, as well as (ii) ) to use technical means to create records of identification and verification of the identification of the Client in the event of his physical absence according to Article III, paragraph 1(ii) of the Terms and Conditions. The Client acknowledges that the records prepared in accordance with the previous sentence of this paragraph of the Terms and Conditions are kept for five years and, at the request of the National Bank of Slovakia, for seven years in accordance with Section 75, paragraph 5 of the Securities Act, unless a different time period results from special

IX.

Predzmluvné informácie podľa zákona o cenných papieroch

1. Mandatár poskytuje mandantovi ešte pred poskytnutím investičnej služby nasledovné všeobecné informácie podľa zákona o cenných papieroch (ďalej len

„predzmluvné informácie“):

a) informácie o obchodníkovi s cennými papiermi;

b) informácie o finančných nástrojoch;

c) informácie o ochrane finančných nástrojov a peňažných prostriedkov klienta;

d) informácie o mieste výkonu;

e) informácieo nákladoch a poplatkoch spojených s poskytovanými službami;

f) ďalšie predzmluvné informácie určené mandatárom.

2. Tieto predzmluvné informácie sa nachádzajú na trvanlivom médiu, konkrétne v elektronickej platforme ROYAL MARKET, ako aj na internetovej stránke mandatára ako dokument „Všeobecné informácie poskytnuté klientovi alebo potenciálnemu klientovi pred poskytnutím investičnej služby“ a zároveň ich mandatár zasiela mandantovi e-mailom včas pred uzavretím Zmluvy.

3. Investičnú stratégiu si mandant určuje samostatne, mandatár len postupuje brokerovi na vykonanie na príslušnom trhu, alebo priamo emitentovi záväzné pokyny,

legal regulations (e.g. Section 19 of the AML Act).

11. For the Client's unavailable property, the Client has the right to compensation from the Investment Guarantee Fund in euros, and the Investment Guarantee Fund is obliged to provide compensation for it to the extent and under the conditions established by the Securities Act.

12. For unavailable protected client assets, the Investment Guarantee Fund provides compensation to one principal or another authorized person under the conditions set by the Securities Act.

13. More detailed information on the protection of the Client's property is provided in the documents “General information provided to the client or potential client before the provision of investment services” and “Information for clients about the Investment Guarantee Fund”, which are published on the Mandatign Agent's website.

IX

Pre-Contractual Information under the Securities Act

1. The Mandating Agent provides the Client with the following general information in accordance with the Securities Act (hereinafter referred to as the “Pre- Contractual Information”) before providing the investment service:

a) information about the securities dealer;

b) information about the financial instruments;

c) information on the protection of financial instruments and client funds;

4. Mandatár poskytuje mandantovi nasledovné informácie podľa § 73d ods. 1 písm. c) zákona o cenných papieroch (t.j. informácie o mieste výkonu služby): mandatár postúpi prijatý záväzný pokyn mandanta na jeho vykonanie na príslušný trh brokerovi alebo emitentovi, ktorý prostredníctvom svojho obchodného systému automaticky nasmeruje záväzný pokyn na vykonanie na príslušnú burzu cenných papierov, ECN alebo tvorcovi trhu (tzv. best execution policy: princíp najlepšieho vykonania pokynov). Zoznam miest výkonu sa nachádza na internetovej stránke v dokumente „Všeobecné informácie poskytnuté klientovi alebo potenciálnemu klientovi pred poskytnutím investičnej služby“.

5. Mandatár v súlade s ustanovením § 73d ods. 1 zákona o cenných papieroch poskytol mandantovi alebo mandantovi ako potenciálnemu klientovi informácie v zrozumiteľnej forme, ktoré sú potrebné na to, aby mohol mandant správne porozumieť charakteru a rizikám investičnej služby, konkrétnemu druhu ponúkaného CP a následne zodpovedne prijať investičné rozhodnutia, a to najmä podmienky Zmluvy a všetky informácie uvedené v Zmluve a jej prílohách, vrátane týchto predzmluvných informácií v zmysle § 73d a 73p ods. 3 zákona o cenných papieroch. Xxxxxxx záväzne vyhlasuje, že bol včas vopred riadne oboznámený s podmienkami Zmluvy a so všetkými informáciami

d) information about the place of performance;

e) information about the costs and fees associated with the services provided;

f) other pre-contractual information determined by the Mandating Agent.

2. This Pre-Contractual Information is available on a durable medium, specifically on the ROYAL MARKET electronic platform, as well as on the Mandating Agent's website as a document entitled “General information provided to the client or potential client before the provision of investment services” and at the same time the Mandating Agent sends it to the Client by e-mail in time before concluding the Contract.

3. The Client determines the investment strategy independently, the Mandating Agent only forwards the binding instructions to the broker for performance on the relevant market, or directly to the issuer, which the Client submits to him based on his own investment decision via the ROYAL MARKET electronic platform. From the point of view of the Mandating Agent, however, it is always a matter of the Client's investment decisions independent of the Mandatign Agent.

4. The Mandating Agent provides the following information to the Client in accordance with Section 73d, paragraph 1(c) of the Securities Act (i.e. information about the place of performance of the service): the Mandating Agent forwards the received Client's binding instruction for its performance on the relevant market to the broker or issuer, and he automatically directs the binding instruction for performance to the relevant stock exchange ECN or to the market maker

6. Mandatár poskytuje mandantovi nasledovné informácie o finančných zábezpekách vo vzťahu k CP alebo peňažným prostriedkom mandanta: mandatár má právo na jednostranné započítanie svojich pohľadávok voči mandantovi v prípadoch uvedených v článku VII. ods. 5 obchodných podmienok.

7. Mandatár v súlade s ustanovením § 73p ods.

3 zákona o cenných papieroch poskytuje mandantovi nasledovné informácie: mandatár poskytuje mandantovi investičnú službu podľa (i) § 6 ods. 1 písm. a) zákona o cenných papieroch, t.j. prijatie a postúpenie pokynu klienta týkajúceho sa jedného alebo viacerých CP. Mandatár iba prijíma záväzný pokyn a následne ho postupuje na vykonanie na príslušný trh.

Mandatár poskytuje mandantovi svoju

stratégiu vykonávania pokynov jej stálym uverejnením na internetovej stránke.

8. V prípade uzatvárania Zmluvy elektronickými prostriedkami podľa článku

III. ods. 4 písm. b) obchodných podmienok, mandatár poskytne mandantovi v postavení spotrebiteľa taktiež ďalšie informácie podľa príslušných právnych predpisov Slovenskej republiky upravujúcich poskytovanie finančných služieb na diaľku (zák. č. 266/2005 Z.z.), to pred samotným uzavretím Zmluvy na diaľku s výnimkou, ak sa vzhľadom na osobitné podmienky nebude Zmluva uzavretá spôsobom podľa článku III. ods. 4 písm. b)

5. In accordance with the provisions of Section 73d, paragraph 1 of the Securities Act, the Mandating Agent has provided the Client or the Client as a potential client with information in an understandable form, which is necessary for the Client to properly understand the nature and risks of the investment service, the specific type of CP offered and subsequently responsibly make investment decisions, in particular the terms of the Contract and all information stated in the Contract and its annexes, including this Pre-Contractual Information in accordance with Sections 73d and 73p, paragraph 3 of the Securities Act. The Client declares bindingly that he was duly familiarized with the Terms and Conditions of the Contract and with all the information stated in the Contract and in all its annexes, including this Pre-Contractual Information, in accordance with Sections 73d and 73p, paragraph 3 of the Securities Act, while confirming this fact by signing the Contract.

6. The Mandating Agent provides the Client with the following information about financial guarantees in relation to CP or the Client's funds: the Mandating Agent has the right to unilaterally set off his claims in relation to the Client in the cases specified in Article VII, paragraph 5 of the Terms and Conditions.

Informácie o rizikách obchodovania s finančnými nástrojmi

1. Mandatár výslovne upozorňuje mandanta na dôležité skutočnosti a riziká súvisiace s obchodovaním so zahraničnými finančnými nástrojmi na zahraničných trhoch. Predovšetkým mandatár upozorňuje mandanta na to, že obchodovanie so zahraničnými finančnými nástrojmi je aktivita zahŕňajúca vysoký stupeň rizika, ktorý vyplýva z používania finančnej sily a z rýchlo sa meniacich trhov cenných papierov. Mandant uznáva tieto riziká, ako aj skutočnosť, že tieto riziká môžu mať pre neho za následok finančné nevýhody a straty.

2. Mandant výslovne uznáva, že straty dosiahnuté pri obchodovaní so zahraničnými cennými papiermi na zahraničných trhoch znáša v plnom rozsahu sám a mandatár v tomto prípade nenesie žiadnu zodpovednosť, okrem prípadu, keď strata bola spôsobená porušením povinností mandatára vyplývajúcich zo Zmluvy alebo zo všeobecne záväzných právnych predpisov. Mandant podpisom Zmluvy potvrdzuje, že má dostatočné finančné možnosti na to, aby prijal a znášal riziká súvisiace s obchodovaním so zahraničnými cennými papiermi a čelil akýmkoľvek stratám vzniknutým v súvislosti s týmto obchodovaním.

3. Informácie alebo materiály, ktoré mandatár poskytuje mandantovi v žiadnom prípade

In accordance with the provisions of Section 73p, paragraph 3 of the Securities Act, the Mandating Agent provides the Client with the following information: the Mandating Agent provides the Client with an investment service in accordance with to (i) Section 6, paragraph 1(a) of the Securities Act, i.e. acceptance and forwarding of the client's instruction regarding one or more CP. The Mandating agent only accepts a binding instruction and then forwards it to the relevant market for performance.

permanently publishing it on the website.

8. In the case of concluding the Contract by electronic means according to Article III, paragraph 4(b) of the terms and Conditions, the Mandating Agent shall also provide the Client as a consumer with additional information in accordance with the relevant legislation of the Slovak Republic regulating the provision of financial services at a distance (Act No. 266/2005 Coll.), prior to the conclusion of the Contract at a distance, except if, due to special conditions, the Contract concluded in the manner referred to in Article III, paragraph 4(b) of the Terms and Conditions is not deemed to be a contract at a distance within the meaning of the Act No. 266/2005 Coll.

Information about the Risks of Trading with Financial Instruments

1. The Mandating Agent expressly draws the Client's attention to important facts and risks related to trading with foreign financial instruments on foreign markets. Above all, the Mandating Agent warns the Client that trading in foreign financial instruments is an activity involving a high degree of risk which

Investičné rozhodnutie mandanta o kúpe alebo predaji konkrétneho finančného nástroja je jeho individuálnym, slobodným a vážnym rozhodnutím, za ktoré mandatár v žiadnom prípade nezodpovedá.

4. Napriek tomu, že informácie poskytované mandatárom na jeho internetovej stránke pochádzajú z dôveryhodných zdrojov, spoliehanie sa na cenové kalkulácie a iné informácie je na vlastné riziko mandanta. Mandatár v žiadnom prípade nezodpovedá za straty, ktoré mandant utrpel využívaním týchto informácií pri obchodovaní. Neexistuje žiadna záruka nijakého druhu, výslovná alebo implikovaná, týkajúca sa informácií, ktoré má mandant k dispozícii od mandatára, najmä pokiaľ ide o záruku absolútnej vhodnosti pre uskutočnenie investície z hľadiska kladného výnosu.

5. Mandatár nemôže zodpovedať a nezodpovedá, že každý záväzný pokyn mandanta sa vykoná za najlepšiu cenu, a to predovšetkým z dôvodu, že mandatár nemusí mať prístup na každý zahraničný trh, na ktorom sa môže konkrétny zahraničný finančný nástroj obchodovať, alebo iné záväzné pokyny iných klientov mandatára sa môžu obchodovať pred záväzným pokynom mandanta a vyčerpať dostupný objem konkrétneho zahraničného finančného nástroja pri najlepšej cene, alebo záväzné pokyny mandanta môžu byť brokerom alebo zahraničným trhom presmerované mimo automatických exekučných systémov pre manuálne narábanie (v takom prípade sa vykonanie záväzného pokynu mandanta môže

2. The Client expressly acknowledges that losses incurred during trading with foreign securities on foreign markets are fully borne by the Client and the Mandating Agent bears no responsibility in this case, except in the case where the loss was caused by a breach of the Mandating Agent's obligations arising from the Contract or from the generally binding legal regulations. By signing the Contract, the Client confirms that he has sufficient financial capabilities to accept and bear the risks related to trading in foreign securities and to face any losses incurred in connection with this trading.

3. The information or materials provided by the

Mandating Agent to the Client in no way constitute a recommendation or guidance by the Mandating Agent to buy or sell financial instruments offered on the respective markets. The Client's investment decision to buy or sell a specific financial instrument is his individual, free and serious decision, for which the Mandating Agent is in no way responsible.

4. Despite the fact that the information provided by the Mandating Agent on his website comes from reliable sources, reliance on price calculations and other information is at the Client's own risk. The Mandating Agent is in no way responsible for the losses suffered by the Client by using this information in trading. There is no guarantee of any kind, express or implied, regarding the information available to the Client from the Mandating Agent, especially regarding the guarantee of absolute suitability for making

a) Trhové riziko: riziko vyplývajúce zo zmien výmenných kurzov, kreditného rozpätia, ceny akcií alebo trhovej volatility (premenlivosť ceny finančných nástrojov);

b) Úrokové riziko: riziko vyplývajúce zo zmien úrokových sadzieb;

c) Menové riziko: xxxxxx vyplývajúce z investovania v cudzej mene, ktoré spočíva v nebezpečenstve, že mena, v ktorej je aktívum denominované, sa v priebehu investičného obdobia znehodnotí oproti domácej mene a v dôsledku toho klesne výnos investície vyjadrený v domácej mene;

d) Riziko inflácie: xxxxxx vyplývajúce

z inflácie, t.j. zo znehodnocovania investovaných peňažných prostriedkov;

e) Riziko miesta výkonu: riziko spojené s trhom CP alebo miestom, kde dochádza k realizácii transakcií s príslušným finančným nástrojom.

8. Mandatár upozorňuje mandanta na možnú vysokú volatilitu cien finančných nástrojov hlavne na začiatku a na konci obchodného

5. The Mandating Agent cannot and does not guarantee that each binding instruction of the Client shall be performed at the best price, primarily because the Mandating Agent may not have access to every foreign market where a particular foreign financial instrument may be traded or other binding instructions of other clients of the Mandating Agent may be traded before the Client's binding instruction and exhaust the available volume of a particular foreign financial instrument at the best price, or the Client's binding instructions may be redirected by the broker or the foreign market outside the automatic performance systems for manual handling (in this case, the performance of the Client's binding instruction may be significantly delayed), or delays or failures of brokers' business systems or of foreign markets may prevent the performance of the Client's binding instruction, may cause a delay in the performance of the Client's binding instruction, or may cause the Client's binding instruction not to be performed at the best price.

6. The Mandating Agent does not recommend the Client to trade in financial instruments without activating and using real data.

7. The Mandating Agent expressly warns the Client of the following risks:

a) Market risk: risk arising from changes in exchange rates, credit spread, share price or market volatility (variability of the price of financial instruments);

Broker následne pristúpi k likvidácií (uzavretiu) niektorých finančných nástrojov na hotovostnom klientskom účte mandanta tak, aby boli splnené požiadavky pre držanie otvorených pozícií, alebo aby bola dostatočná hotovosť na hotovostnom klientskom účte mandanta. Počet kusov likvidovaných (uzatváraných) finančných nástrojov je štandardne 1 lót (t.j. 100 ks akcií). Ak je počet kusov finančných nástrojov menší ako 1 lót, broker uskutoční likvidáciu (uzavretie) všetkých finančných nástrojov.

XI.

Zisťovanie vlastníctva prostriedkov použitých na vykonanie obchodu

1. Mandatár je povinný pri každom obchode s hodnotou najmenej 15.000,- EUR (slovom pätnásťtisíc euro) zisťovať vlastníctvo prostriedkov použitých na vykonanie obchodu. Prostriedkami použitými na vykonanie obchodu sa rozumejú peňažné prostriedky a finančné nástroje.

b) Interest rate risk: the risk resulting from changes in interest rates;

c) Currency risk: the risk arising from investing in a foreign currency, which consists in the danger that the currency in which the asset is denominated will depreciate in relation to the domestic currency during the investment period and, as a result, the return on the investment expressed in the domestic currency will decrease;

d) Inflation risk: risk arising from inflation, i.e. from depreciation of invested funds;

e) Place of execution risk: the risk associated with the securities market or the place where transactions with the relevant financial instrument take place.

8. The Mandating Agent warns the Client about the possible high volatility of the prices of financial instruments, especially at the beginning and at the end of the trading day, as well as in the case of less liquid titles, which may cause the instruction to be performed at a disadvantageous price for the Client. The performance of a market instruction in this case may cause the purchase of financial instruments with a higher price in a higher volume than the available cash in the client cash account. Thus, the client account may go into debit, and the cash client account will not meet the conditions for covering open positions. The broker subsequently proceeds to the liquidation (closing) of some financial instruments on the Client's cash client account so that the requirements for holding open positions are met, or that there is sufficient cash on the Client's cash client account. 2. Vlastníctvo prostriedkov použitých na vykonanie obchodu sa zisťuje záväzným vyhlásením mandanta, v ktorom je mandant povinný uviesť, či sú tieto prostriedky jeho vlastníctvom. Záväzné vyhlásenie podľa predchádzajúcej vety uskutoční mandant elektronicky prostredníctvom elektronickej platformy ROYAL MARKET alebo písomne v listinnej forme. Ak sú prostriedky použité na vykonanie obchodu vlastníctvom inej osoby alebo je obchod vykonaný na iný účet ako účet mandanta, vo vyhlásení je mandant povinný uviesť :

a) meno, priezvisko, rodné číslo alebo

dátum narodenia a adresu trvalého pobytu fyzickej osoby, alebo

b) obchodné meno (názov), sídlo, a identifikačné číslo právnickej osoby, ak ho má pridelené, ktorej vlastníctvom sú prostriedky a na účet ktorej je obchod vykonaný.

3. Ak sú prostriedky použité na vykonanie obchodu vlastníctvom mandanta, ktorý vykonáva obchod na vlastný účet, mandant prehlási, že obchod s finančnými nástrojmi je realizovaný vlastnými prostriedkami. Ak sú prostriedky použité na vykonanie obchodu vlastníctvom inej osoby alebo je obchod vykonaný na iný účet ako účet mandanta, je mandant povinný pred udelením pokynu vyhotoviť písomné vyhlásenie o tom, že obchod s finančnými nástrojmi je realizovaný s cudzími prostriedkami a na cudzí účet.

4. Pokiaľ mandant nedodá mandatárovi vyhlásenie o vlastníctve prostriedkov v prípade, keď je na to podľa tohto článku povinný, mandatár je oprávnený odmietnuť vykonanie požadovaného obchodu.

XI

Determining the Ownership of the Funds used to Perform the Trade

1. The Mandating Agent is obliged to ascertain the ownership of the funds used to perform the trade for each transaction with a value above EUR 15,000 (in other words: fifteen thousand euros). The funds used to perform the trade are cash and financial instruments.

2. The ownership of the funds used to perform the trade is established by a binding statement of the Client, in which the Client is obliged to indicate whether these funds are his property. The binding statement according to the previous sentence shall be made by the Client electronically via the ROYAL MARKET electronic platform or in written form. If the funds used to perform the trade are owned by another person or the transaction is performed on an account other than the Client's account, the Client shall state the following in the statement:

a) name, surname, social security number or date of birth and

address of permanent residence of a natural person, or

5. Mandatár je povinný uschovávať doklady o zisťovaní vlastníctva prostriedkov použitých mandantom na vykonanie obchodu najmenej 10 (desať) rokov od ukončenia obchodu.

6. Mandatár je oprávnený spoliehať sa na vyhlásenie o vlastníctve prostriedkov, ktoré mu pri registrácii poskytol mandant, pričom v žiadnom prípade nezodpovedá za nepravdivé vyhlásenie poskytnuté mandantom.

XII.

Zodpovednosť za škodu

1. Mandatár zodpovedá v zmysle všeobecne záväzných právnych predpisov mandantovi za škodu, ktorú mu spôsobil porušením svojich povinností vyplývajúcich zo Zmluvy a obchodných podmienok.

2. Mandatár nenesie zodpovednosť za:

a) škodu spôsobenú nečinnosťou, nezrovnalosťou v evidencii, zlyhaním alebo chybou brokera, emitenta, organizátorov zahraničných trhov, zahraničných registrov, zahraničnými alebo tuzemskými bankami, prípadne inými osobami;

b) nemožnosť realizovania záväzného pokynu z dôvodu uvedenia chybných, neúplných alebo nepravdivých údajov mandantom v záväznom pokyne;

c) nemožnosť realizovania záväzného pokynu z dôvodu jeho odmietnutia brokerom, emitentom, príslušným trhom alebo registrom a v takom prípade je mandatár oprávnený zrušiť záväzný pokyn mandanta;

d) nemožnosť obchodovania s finančnými nástrojmi z dôvodu, ak hodnota čistá hodnota klientskeho účtu mandanta

b) business name, registered office, and identification number of the legal entity, if assigned, which owns the funds and on whose account the trade is performed.

3. If the funds used to perform the trade are owned by the Client who performs the trade on his own account, the Client declares that the trade with financial instruments is performed with his own funds. If the funds used to perform the trade are owned by another person or the trade is performed on an account other than the Client's account, the Client is obliged to prepare a written declaration that the trade in financial instruments is performed with foreign funds and on a foreign account before issuing the instruction.

4. If the Client does not provide the Mandating Agent with an ownership statement for the funds in the event that he is obliged to do so according to this Article, the Mandating Agent is entitled to refuse to perform the requested trade.

5. The Mandating Agent is obliged to keep the documents on ascertaining the ownership of the funds used by the Client to perform the trade for at least 10 (ten) years from the end of the trade.

6. The Mandating Agent is entitled to rely on the ownership statement for the funds provided by the Client during registration, while in no case is he liable for a false statement provided by the Client.

3. Mandatár nenesie zodpovednosť za priamu alebo nepriamu škodu, či akúkoľvek inú ujmu, ktorá môže mandantovi vzniknúť najmä z nasledujúcich dôvodov:

a) chybné zadanie záväzných pokynov, iných pokynov alebo príkazov a pod.;

b) neautorizovaný vstup alebo akékoľvek zásahy tretích osôb do elektronickej komunikácie medzi mandantom a mandatárom;

c) nekvalitná funkčnosť resp. nefunkčnosť softwarového a hardwarového či systémového vybavenia na strane mandanta;

d) počítačové vírusy;

e) prerušenie, nedostupnosť, nefunkčnosť alebo akékoľvek zlyhanie internetového pripojenia a/alebo komunikačných liniek;

f) nedostatky pri prenose dát od mandanta ku mandatárovi;

4. Mandatár nenesie žiadnu zodpovednosť za prípadnú škodu alebo záväzky, ktoré mandantovi vzniknú pri obchodovaní na klientskom účte, pokiaľ broker, príp. emitent:

Liability for Damage

1. In accordance with generally binding legal regulations, the Mandating Agent is liable to the Client for damage caused to him by breach of his obligations arising from the Contract and the terms and Conditions.

2. The Mandating Agent is not responsible for the following:

a) the damages caused by inactivity, inconsistency in records, failure or error of a broker, issuer, organizers of foreign markets, foreign registries, foreign or domestic banks, or other persons;

b) the impossibility of performing a binding instruction due to incorrect, incomplete or untrue data provided by the Client in the binding instruction;

c) the impossibility of performing a binding instruction due to its rejection by the broker, issuer, relevant market or registry, and in that case the Mandating Agent is entitled to cancel the Client's binding instruction;

d) the impossibility of trading with financial instruments due to the fact that the net value of the Client's client account falls below the threshold set by the broker or issuer;

e) the losses incurred by the Client as a result of market, interest or currency risk, inflation risk, venue risk or any other risk associated with investing in financial instruments;

f) the creditworthiness of the financial instruments in which the principal invested;

g) the damages that arise due to a breach of the Client's obligation;

a) pristúpi k likvidácii (uzavretiu) finančných nástrojov alebo iného majetku vedeného na klientskom účte mandanta;

b) pristúpi k likvidácii (uzavretiu) finančných nástrojov alebo iného majetku vedeného na hotovostnom klientskom účte mandanta z dôvodu neuhradených cien alebo poplatkov (napr. ceny za reálne dáta, ADR poplatky a pod.);

c) zruší alebo splní akýkoľvek nevybavený záväzný pokyn na kúpu alebo predaj akýchkoľvek finančných nástrojov alebo iného majetku mandanta;

d) uplatňuje záložné právo na akékoľvek alebo všetky finančné nástroje a iný majetok patriaci mandantovi, vedený na klientskom účte;

e) uzavrie sčasti alebo celkom klientsky účet mandanta;

f) preradí mandanta z kategórie typický denný klient do kategórie netypický denný klient.

5. Mandatár nie je zodpovedný za nedodržanie zmluvných ustanovení, pokiaľ sa tak stalo z dôvodov, ktoré nezavinil a ktoré sú mimo jeho kontroly (ďalej len

„vyššia moc“). Menovite (nie však výhradne) sa vyššou mocou rozumejú: všetky softwarové vady a počítačové vírusy (známe alebo ešte neobjavené) v použitých programoch tretích strán nutných na plnenie diela, fyzické podmienky prevádzky (napr. výpadok elektrického prúdu, výpadok telekomunikačnej linky, výpadok komunikačnej linky zabezpečujúcej dátovú komunikáciu s brokerom, blesk, povodeň, živelná pohroma, zemetrasenie a podobne) ako aj akékoľvek vojenské konflikty a operácie, a pod.

h) the possible encumbrances, in kind or obligations of purchased financial instruments or other legal defects that are not recorded in the relevant register.

3. The Mandating Agent is not responsible for direct or indirect damage or any other damage that may occur to the Client mainly due to the following reasons:

a) the incorrect entry of binding instructions, other instructions or orders, etc.;

b) unauthorized entry or any interventions by third parties in the electronic communication between the Client and the Mandating Agent;

c) low-quality functionality or non- functionality of software and hardware or system equipment on the Client's side;

d) computer viruses;

e) interruption, unavailability, malfunction or any failure of the internet connection and/or communication lines;

f) deficiencies in the transfer of data from the Client to the Mandating Agent.

4. The Mandating Agent bears no responsibility for any damage or liabilities incurred by the Client during trading on the client account, unless the broker, or issuer:

a) proceeds to the liquidation (closing) of financial instruments or other assets kept on the Client's client account;

b) proceeds to the liquidation (closing) of financial instruments or other assets held on the Client's cash client account due to unpaid prices or fees (e.g. prices for real data, ADR fees, etc.);

Prípadom vyššej moci sa rozumie na vôli mandatára nezávislá, neprekonateľná a nepredvídateľná udalosť, ktorú právne predpisy a súdna judikatúra považujú za okolnosť vylučujúcu zodpovednosť (t.j. prekážku, ktorá nastala nezávisle od vôle mandatára a bráni mu v splnení jeho povinnosti, ak nemožno rozumne predpokladať, že by mandatár túto prekážku alebo jej následky odvrátil alebo prekonal, a ďalej, že by v čase záväzku túto prekážku predvídal v súlade s § 374 Obchodného zákonníka), a ktorá mandatárovi z časti alebo celkom bráni plniť záväzky vyplývajúce zo Zmluvy.

7. V prípade, že udalosť označená ako prípad vyššej moci trvá po dobu dlhšiu ako 1 (jeden) mesiac odo dňa oznámenia tejto skutočnosti druhej zmluvnej strane, ktorákoľvek zo zmluvných strán je oprávnená zmluvu vypovedať bez nároku na náhradu škody.

8. V prípade, že nastane udalosť označená ako prípad vyššej moci, mandatár nezodpovedá za neplnenie svojich povinností vyplývajúcich z tejto Zmluvy, ktorých plneniu bráni udalosť označená ako prípad vyššej moci, a to po celú dobu trvania takejto udalosti. Prípadné škody spôsobené pôsobením vyššej moci znáša každá zmluvná strana v plnom rozsahu samostatne.

9. Mandatár sa zaväzuje, že bezodkladne začne plniť svoje záväzky, akonáhle sa skončí udalosť označená ako prípad vyššej moci. Pokiaľ zásah vyššej moci spôsobí oneskorenie plnenia niektorého zo zmluvných záväzkov, potom sa termíny plnenia týchto záväzkov a záväzkov časovo závisiacich od týchto oneskorených

c) cancels or fulfils any outstanding binding instruction to buy or sell any financial instruments or other assets of the Client;

d) asserts a lien on any or all financial instruments and other assets belonging to the Client held on the client account;

e) closes the Client's client account in whole or in part;

f) transfers the Client from the category of typical daily client to the category of non-typical daily client.

5. The Mandating Agent is not responsible for non-compliance with the contractual provisions, unless it has been caused by reasons beyond his control (hereinafter referred to as “Force Majeure”). Namely (but not exclusively), Force Majeure means: all software defects and computer viruses (known or not yet discovered) in used third- party programs necessary for the performance of the work, physical conditions of operation (e.g. power failure, telecommunication line failure, communication line failure ensuring data communication with the broker, lightning, flood, natural disaster, earthquake, etc.), as well as any military conflicts and operations, etc.

6. A case of Force Majeure means an event independent of the will of the Mandating Agent, insurmountable and unforeseeable, which legal regulations and court jurisprudence consider a circumstance excluding liability (i.e. an obstacle that occurred independently of the will of the Mandating Agent and prevents him from fulfilling his obligation, if it cannot reasonably be assumed that the Mandating Agent

XIII.

Sťažnosť

1. Mandant je oprávnený uplatniť u mandatára sťažnosť, a to bez zbytočného odkladu od okamihu, kedy malo prísť k porušeniu povinností mandatára.

2. Sťažnosť je mandatár povinný vybaviť spôsobom určeným v Reklamačnom poriadku, ktorého znenie je uverejnené na internetovej stránke mandatára. Reklamačný poriadok upravuje zároveň aj mechanizmus mimosúdneho riešenia sťažností klientov - mandantov.

XIV.

Komunikácia medzi zmluvnými stranami

1. Mandant vyslovene súhlasí, že v prípade, ak nie je v Zmluve alebo v týchto obchodných podmienkach ustanovené inak, bude komunikácia medzi mandantom a mandatárom uskutočňovaná prioritne prostredníctvom elektronickej platformy ROYAL MARKET.

2. Mandatár bude poskytovať mandantovi všetky informácie ustanovené všeobecne záväznými právnymi predpismi, vrátane predzmluvných informácií podľa zákona o cenných papieroch, na trvanlivom médiu, ktorým je prioritne elektronická platforma ROYAL MARKET. Mandant si zvolil formu poskytovania informácií na trvanlivom médiu podľa predchádzajúcej vety, pričom výslovne súhlasí s touto formou.

would prevent or overcome this obstacle or its consequences, and further, that at the time of the commitment, he would foresee this obstacle in accordance with Section 374 of the Commercial Code), and which partially or fully prevents the Mandating Agent from fulfilling the obligations arising from the Contract.

7. In the event that an event marked as a case of Force Majeure lasts longer than 1 (one) month from the date of notification of this fact to the other Contracting Party, any of the Contracting Parties is entitled to terminate the Contract without the right to compensation for damages.

8. In the event that an event marked as a case of Force Majeure occurs, the Mandating Agent is not responsible for the non- fulfilment of his obligations arising from this Contract, the fulfilment of which is prevented by an event marked as a case of Force Majeure, for the entire duration of such an event. Any damages caused by Force Majeure shall be fully borne by each Cntracting Party separately.

9. The Mandatign Agent undertakes to immediately begin fulfilling his obligations as soon as the event marked as a case of Force Majeure ends. If the event of Force Majeure causes a delay in the fulfilment of any of the contractual obligations, then the deadlines for the fulfilment of these obligations and obligations time-dependent on these delayed obligations are extended by the time during which the Force Majeure lasted or caused the delay.

3. Zmluvné strany spoločne záväzne prehlasujú, že ak mandatár poskytuje informácie mandantovi prostredníctvom elektronickej platformy ROYAL MARKET, avšak aj spôsobom uvedeným v písm. a) ods. 4 tohto článku obchodných podmienok (t.j. internetovej stránky mandatára), sú splnené nasledovné podmienky:

a) poskytovanie informácií touto formou je najvhodnejšie vzhľadom na súvislosti, za ktorých sa uskutočňuje obchodný vzťah medzi mandatárom a mandantom, pretože obchodný vzťah medzi nimi sa uskutočňuje prostredníctvom internetu

(elektronických prostriedkov komunikácie);

b) mandant podpisom Zmluvy udelil mandatárovi výslovný súhlas s touto formou poskytovania informácií;

c) mandatár oznámil mandantovi adresu internetovej stránky a miesto na internetovej stránke, kde sú tieto informácie k dispozícii;

d) informácie na internetovej stránke a v elektronickej platforme ROYAL MARKET sú aktualizované;

e) informácie sú na internetovej stránke a v elektronickej platforme ROYAL MARKET prístupné počas 24 hodín denne;

f) mandant poskytol mandatárovi svoju e-mailovú adresu.

4. Zmluvné strany sa dohodli, že napriek tomu, že komunikácia medzi zmluvnými stranami, ako aj poskytovanie informácií mandantovi sa prioritne uskutočňuje prostredníctvom elektronickej platformy ROYAL MARKET (trvanlivého média), môžu zmluvné strany využívať aj formy poskytovania informácií prostredníctvom iných druhov trvanlivých médií :

XIII

Complaint

1. The Client is entitled to lodge a complaint with the Mandating Agent without undue delay from the moment when the breach of the Mandating Agent's obligations should have occurred.

2. The Mandating Agent is obliged to process the complaint in the manner specified in the Complaints Procedure, the wording of which is published on the Mandating Agent's website. At the same time, the complaints procedure regulates the mechanism of out- of-court settlement of complaints of clients

- the Clients.

XIV

Communication between the Contracting Parties

1. The Client expressly agrees that, unless otherwise stipulated in the Contract or in these Terms and Conditions, the communication between the Client and the Mandating Agent shall take place primarily via the ROYAL MARKET electronic platform.

2. The Mandating Agent shall provide the Client with all information established by generally binding legal regulations, including the Pre- Contractual Information according to the Securities Act, on a durable medium, which is primarily the ROYAL MARKET electronic platform. The Client has chosen the form of providing information on a durable medium according to the previous sentence, while expressly agreeing to this form.

3. The Contracting Parties jointly declare bindingly that if the Mandating Agent provides information to the Client via the

a) internetová stránka mandatára,

b) elektronická pošta, ktorá bude zasielaná na elektronické adresy špecifikované v záhlaví Zmluvy,

c) listinná forma.

5. Mandant je povinný bezodkladne, najneskôr v nasledujúci pracovný deň, oznámiť mandatárovi každú zmenu svojej elektronickej adresy a telefónneho čísla a oznámiť túto zmenu mandatárovi. V prípade neoznámenia uvedených zmien nesie všetky riziká a škody s tým spojené. Mandatár nie je povinný vyhľadávať iný telefonický alebo e-mailový kontakt na mandanta, pokiaľ mandant nie je na dosiahnuteľný na svojom aktuálnom telefónom čísle alebo e-mailovej adrese, ktoré boli mandatárovi oznámené naposledy. Mandant je ďalej povinný bezodkladne oznámiť mandatárovi každú zmenu svojich ostatných osobných údajov, pričom nedodržanie tejto povinnosti ide na ťarchu mandanta.

XV.

Osobitné ustanovenia o Cenníku služieb

1. Mandant je povinný uhradiť mandatárovi odmenu za plnenie predmetu Zmluvy vo výške a spôsobom ustanoveným v mandatárovom Cenníku služieb, pokiaľ sa zmluvné strany nedohodnú inak. Mandant je povinný uhradiť mandatárovi tiež náklady, ktoré mandatár vynaložil pri plnení svojho záväzku a bankové poplatky. Uvedené náklady a bankové poplatky nie sú zahrnuté v odmene mandatára, ak Cenník služieb neurčuje inak.

2. Cenník služieb tvorí prílohu a neoddeliteľnú súčasť Zmluvy. Aktuálne znenie Xxxxxxx služieb mandatára so všetkými jeho

ROYAL MARKET electronic platform, but also in the manner specified in paragraph 4(a) of this Article of the Terms and Conditions (i.e. the Mandating Agent's website), the following conditions are met:

a) the provision of information in this form is most suitable considering the context in which the business relationship between the Mandating Agent and the Client is performed, since the business relationship between them is performed via the internet (electronic means of communication);

b) by signing the Contract, the Client has given the Mandating Agent explicit consent to this form of providing information;

c) the Mandating Agent has notified the Client of the address of the website and the place on the website where this information is available;

d) the information on the ROYAL MARKET website and electronic platform is updated;

e) the information is available 24 hours a day on the ROYAL MARKET website and electronic platform;

f) the Client has provided the Mandating Agent with his e-mail address.

4. The Contracting Parties have agreed that, despite the fact that communication between the Contracting Parties, as well as the provision of information to the Client, takes place primarily via the ROYAL MARKET electronic platform (durable media), the Contracting Parties may also use forms of

Mandatár je oprávnený meniť Cenník služieb jednostranne, pričom každá zmena Cenníka služieb nadobúda účinnosť a stáva sa záväznou pre obidve zmluvné strany dňom uverejnenia nového znenia Cenníka služieb na internetovej stránke. Nové, aktuálne znenie Cenníka služieb sa stáva neoddeliteľnou súčasťou Zmluvy.

5. V prípade, že mandant nebude so zmenou Xxxxxxx služieb súhlasiť, jeho nesúhlasné písomné stanovisko so zmenou Xxxxxxx služieb sa považuje za písomnú výpoveď Zmluvy, pokiaľ bude toto nesúhlasné písomné stanovisko mandanta doručené mandatárovi do 30 dní od účinnosti nového znenia Xxxxxxx služieb. Výpoveď je účinná k poslednému dňu kalendárneho mesiaca nasledujúceho po mesiaci, v ktorom bude nesúhlasné písomné stanovisko mandanta so zmeneným Cenníkom služieb doručené mandatárovi. Ak mandant vo vyššie uvedenej lehote (30 dní) nedoručí mandatárovi svoje nesúhlasné písomné stanovisko so zmenou Cenníka služieb, platí, že so zmenou Cenníka služieb súhlasí a vzájomné vzťahy mandatára a mandanta sa odo dňa účinnosti nového znenia Cenníka služieb riadia zmeneným Cenníkom služieb.

6. Mandant podpisom tejto Zmluvy prehlasuje, že má k dispozícii Xxxxxx služieb, pričom je s ním oboznámený a súhlasí s jeho znením.

XVI.

a) Mandating Agent's website,

b) electronic mail, which shall be sent to the electronic addresses specified in the header of the Contract,

c) documentary form.

5. The Client is obliged to notify the Mandating Agent of any change in his electronic address and telephone number without undeue delay, no later than on the next trading day, and to notify the Mandating Agent of this change. In the case of non- notification of the mentioned changes, he bears all the risks and damages associated with it. The Mandating Agent is not obliged to search for another telephone or e-mail contact for the Client, unless the Client can be reached at his current telephone number or e-mail address, which were last notified to the Mandating Agent. Furthermore, the Client is obliged to immediately notify the Mandating Agent of any change in his other personal data, while failure to comply with this obligation is the responsibility of the Client.

XV

Special Provisions on the Price List of Services

1. The Client is obliged to pay the Mandating Agent a fee for the fulfilment of the subject of the Contract in the amount and in the manner established in the Mandating Agent's Price List of Services, unless the Contracting Parties agree otherwise. The Client is also obliged to reimburse the Mandating Agent for the costs incurred by the Mandating Agent in fulfilling his obligation and bank fees. The stated costs and bank fees are not included in the

Osobitné ustanovenia o obchodných podmienkach

1. Aktuálne úplné znenie obchodných podmienok je k dispozícii na internetovej stránke mandatára a je pre obidve zmluvné strany záväzné.

2. Mandatár je oprávnený meniť obchodné podmienky jednostranne, pričom každá zmena obchodných podmienok nadobúda účinnosť a stáva sa záväznou pre obidve zmluvné strany dňom uverejnenia nového znenia obchodných podmienok na internetovej stránke. Nové, aktuálne znenie obchodných podmienok sa stáva neoddeliteľnou súčasťou Zmluvy.

3. V prípade, že mandant nebude so zmenou obchodných podmienok súhlasiť, jeho nesúhlasné písomné stanovisko so zmenou obchodných podmienok sa považuje za písomnú výpoveď Zmluvy, pokiaľ bude toto nesúhlasné písomné stanovisko mandanta doručené mandatárovi do 30 dní od účinnosti nového znenia obchodných podmienok. Výpoveď je účinná k poslednému dňu kalendárneho mesiaca nasledujúceho po mesiaci, v ktorom bude nesúhlasné písomné stanovisko mandanta so zmenenými obchodnými podmienkami doručené mandatárovi. Ak mandant vo vyššie uvedenej lehote (30 dní) nedoručí mandatárovi svoje nesúhlasné písomné stanovisko so zmenou obchodných podmienok, platí, že so zmenou obchodných podmienok súhlasí a vzájomné vzťahy mandatára a mandanta sa odo dňa účinnosti nového znenia obchodných podmienok riadia zmenenými obchodnými podmienkami.

Mandating Agent's remuneration, unless the Price List of services specifies otherwise.

2. The Price List of Services forms an annex and an integral part of the Contract. The current version of the Mandating Agent's Price List of Services with all its attachments can be found on the Mandating Agent's website.

3. The remuneration of the Mandating Agent is specified in the Price List of Services.

4. The Mandating Agent is entitled to change the Price List of Services unilaterally, while each change to the Price List of Services takes effect and becomes binding for both Contracting Parties on the day of publication of the new version of the Price List of Services on the website. The new, current wording of the Price List of Services becomes an integral part of the Contract.

5. In the event that the Client does not agree to the change in the Price List of Services, his written opinion disagreeing with the change in the Price List of Services is considered a written termination of the Contract, as long as this written opinion of the Client disagreeing is delivered to the Mandating Agent within 30 days from the effective date of the new version of the Price List of Services. The termination is effective as of the last day of the calendar month following the month in which the Client's written opinion disagreeing with the amended Price List of Services is delivered to the Mandating Agent. If the Client does not deliver his written statement of disagreement with the change in the Price List of Services to the Mandating Agent within the above-mentioned period (30 days), it means that he agrees with the change in the Price List of Services and the mutual relations between the Mandating

4. Mandant podpisom tejto Zmluvy prehlasuje, že má k dispozícii obchodné podmienky, pričom je s nimi oboznámený a súhlasí s ich znením.

XVII.

Osobitné ustanovenia o ukončení Zmluvy

1. Zmluvu je možné zrušiť na základe vzájomnej dohody oboch zmluvných strán v písomnej forme.

2. Zmluvu môže písomne vypovedať, ktorákoľvek zo zmluvných strán bez udania dôvodu, pričom výpovedná lehota je 1 (jeden) mesiac a začína sa počítať prvým kalendárnym dňom mesiaca nasledujúceho po mesiaci, v ktorom bola písomná výpoveď doručená druhej zmluvnej strane.

3. Od Zmluvy môže ktorákoľvek zmluvná strana odstúpiť len v prípadoch ustanovených v Zmluve, obchodných podmienkach alebo v prípadoch ustanovených zákonom, t.j. dôvod odstúpenia od Zmluvy musí skutočne existovať. Odstúpenie od Zmluvy je jednostranným právnym úkonom. Odstúpenie od Zmluvy musí mať písomnú formu, musí v ňom byť uvedený dôvod, pre ktorý oprávnená zmluvná strana od Zmluvy odstupuje a musí obsahovať podpis zmluvnej strany, ktorá od Zmluvy odstupuje, inak je odstúpenie od Zmluvy neplatné. Účinky odstúpenia od Zmluvy nastávajú doručením tohto prejavu vôle druhej zmluvnej strane (t.j. ex nunc).

4. Mandatár má právo od Zmluvy odstúpiť v nasledujúcich prípadoch:

a) ak mandant je v omeškaní s úhradou akejkoľvek platby o viac ako 90 (slovom: deväťdesiat) dní oproti

XVI

Special Provisions on the Terms and Conditions

2. The Mandating Agent is entitled to change the Terms and Conditions unilaterally, while each change of the Terms and Conditions takes effect and becomes binding for both Contracting Parties on the day of publication of the new wording of the Terms and Conditions on the website. The new, current wording of the Terms and Conditions becomes an integral part of the Contract.

3. In the event that the Client does not agree to the change in the Terms and Conditions, his written opinion disagreeing with the change in the Terms and conditions is considered a written termination of the Contract, as long as this written opinion of the Client disagreeing is delivered to the Mandating Agent within 30 days from the effective date of the new version of the Terms and Conditions. The termination is effective as of the last day of the calendar month following the month in which the Client's written opinion disapproving of the amended Terms and Conditions is delivered to the Mandating

b) ak mandant opakovane porušuje svoje povinnosti špecifikované v Zmluve a/alebo obchodných podmienkach;

c) ak mandant poruší svoju povinnosť oznámiť mandatárovi zmeny v údajoch podľa článku III. ods. 8 obchodných podmienok;

d) ak príslušný právny predpis (napr. AML zákon), alebo vnútorný predpis mandatára (napr. vnútorný predpis mandatára upravujúci program vlastnej činnosti zameranej proti legalizácii príjmov z trestnej činnosti a financovaniu terorizmu) ukladá mandatárovi ako finančnej inštitúcii povinnosť odmietnuť uzatvoriť obchodný vzťah, ukončiť obchodný vzťah alebo odmietnuť vykonanie obchodu (napr. ak je odôvodnený predpoklad, že mandantom alebo konečným užívateľom výhod je osoba, voči ktorej sú vykonávané medzinárodné sankcie podľa osobitného predpisu alebo osoba, ktorá môže byť vo vzťahu k osobe, voči ktorej sú vykonávané medzinárodné sankcie podľa osobitného predpisu, a pod.);

e) ak mandatár zistí, že mandant mu

uviedol vedome nepravdivé, neúplné alebo nesprávne údaje, ktoré môžu viesť k porušeniu príslušných právnych predpisov platných na území Slovenskej republiky a zároveň k hrozbe uloženiu sankcií pre mandatára.

If the Client does not deliver his written statement of disagreement with the change in the Terms and Conditions to the Mandating Agent within the above- mentioned period (30 days), it means that he agrees with the change in the Terms and Conditions and the mutual relations between the Mandating Agent and the Client are governed by the changed Terms and Conditions from the effective date of the new version of the Terms and Conditions.

4. By signing this Contract, the Client declares that he has the Terms and Conditions at his disposal and that he is familiar with them and agrees with their wording.

XVII

Special Provisions on the Termination of the Contract

1. The Contract can be cancelled based on the mutual agreement of both Contracting Parties in writing.

2. The Contract can be terminated in writing by any of the Contracting Parties without giving a reason, while the notice period is 1 (one) month and begins on the first calendar day of the month following the month in which the written termination was delivered to the other Contracting Party.

3. Either Contracting Party may withdraw from the Contract only in the cases provided for in the Contract, in the Terms and Conditions or in the cases provided for by law, i.e. the reason for withdrawing from the Contract must really exist. The withdrawal from the Contract is a unilateral legal act. The withdrawal from the Contract shall be made in writing, it shall state the reason for which the authorized Contracting Party withdraws from the Contract and it shall contain the

5. Mandant má právo od Zmluvy odstúpiť v nasledujúcich prípadoch:

a) ak mandatár opakovane porušuje svoje povinnosti špecifikované v Zmluve a/alebo obchodných podmienkach;

b) ak mandatár stratí oprávnenie vykonávať činnosť podľa Zmluvy.

6. Zmluvné strany sú v prípade ukončenia Zmluvy povinné uskutočniť všetky úkony potrebné na vyrovnanie vzájomných práv a záväzkov.

7. Mandant je povinný pri ukončení Zmluvy zadať pokyny na uzatvorenie všetkých pozícií finančných nástrojov vo svojom portfóliu a zároveň pokyny na konverziu finančných prostriedkov do jednej meny (to platí aj pre úhradu záväzkov v iných menách). Pokiaľ tak mandant neučiní ani v posledný deň trvania Zmluvy, jeho nečinnosť ide na ťarchu mandanta.

8. V prípade uzatvárania Zmluvy

elektronickými prostriedkami podľa článku

III. ods. 4 písm. b) obchodných podmienok mandant v postavení spotrebiteľa berie na vedomie, že vzhľadom na povahu investičnej služby brokerage súvisiacej s CP, ktorých cena závisí od zmien na finančnom trhu, na ktoré mandatár nemá vplyv, mandant v postavení spotrebiteľa nie je podľa príslušných právnych predpisov Slovenskej republiky upravujúcich poskytovanie finančných služieb na diaľku (zák. č. 266/2005 Z.z.) oprávnený bezdôvodne odstúpiť od Zmluvy uzatváranej na diaľku v lehote 14 kalendárnych dní od jej uzavretia.

XVIII.

Záverečné ustanovenia

1. Práva a záväzky mandatára a mandanta, ktoré nie sú upravené Zmluvou sa spravujú

4. The Mandating Agent has the right to withdraw from the Contract in the following cases:

a) if the Client is in delay with the payment of any payment by more than 90 (in words: ninety) days compared to its due date and does not pay it even in the additional period provided to him in the call by the Mandating Agent for a duration of at least 30 (in words: thirty) days;

b) if the Client repeatedly breaches his obligations specified in the Contract and/or the Terms and Conditions;

c) if the Client breaches his obligation to notify the Mandating Agent of changes in data according to Article III, paragraph of the Terms and Conditions;

d) if the relevant legal regulation (e.g. the AML Act) or the Mandatign Agent's internal regulation (e.g. the Mandating Agent's internal regulation governing the program of his own activities in the field of protection against money laundering and terrorist financing) imposes on the Mandating Agent as a financial institution the obligation to refuse to enter into a business relationship, to terminate the business relationship or refuse to perform the trade (e.g. if there is a reasonable assumption that the Client or the final user of the benefits is a person against whom international sanctions are implemented according to a special

príslušnými ustanoveniami zákona o cenných papieroch, Obchodného zákonníka a ostatných všeobecne záväzných právnych predpisov.

2. V prípade, že sa niektoré ustanovenia Zmluvy stanú v dôsledku zmien v legislatíve Slovenskej republiky neúčinnými, strácajú účinnosť aj v zmluvnom vzťahu medzi mandatárom a mandantom. Tým nie je dotknutá účinnosť ostatných ustanovení Zmluvy.

3. Všade tam, kde sa v obchodných podmienkach používa pojem Zmluva, rozumie sa tým Zmluva vrátane obchodných podmienok, Cenníka služieb, ako aj všetkých jej ostatných príloh.

4. Tieto obchodné podmienky sú vyhotovené dvojjazyčne, t.j. v slovenskom jazyku a v anglickom jazyku. V prípade akéhokoľvek sporu týkajúceho sa významu ktoréhokoľvek ustanovenia týchto obchodných podmienok alebo v prípade akejkoľvek nezrovnalosti medzi verziou obchodných podmienok v slovenskom jazyku a verziou obchodných podmienok v anglickom jazyku, je záväznou verziou obchodných podmienok verzia obchodných podmienok v slovenskom jazyku.

e) if the Mandating Agent finds out that the Client has knowingly provided him with false, incomplete or incorrect data, which may lead to a breach of the relevant legal regulations in force in the territory of the Slovak Republic and at the same time to the threat of imposing sanctions on the Mandating Agent.

5. The Client has the right to withdraw from the Contract in the following cases:

a) if the Mandating Agent repeatedly breaches his obligations specified in the Contract and/or the Terms and Conditions;

b) if the Mandating Agent loses the authorization to perform activities according to the Contract.

6. In the event of termination of the Contract, the Contracting Parties are obliged to take all actions necessary to settle mutual rights and obligations.

7. Upon termination of the Contract, the Client is obliged to enter instructions for closing all positions of financial instruments in his portfolio and, at the same time, instructions for the conversion of funds into one currency (this also applies to the payment of obligations in other currencies). If the Client does not do so even on the last day of the Contract, his inaction is borne by the Client.

8. In the case of concluding the Contract by electronic means according to Article III, paragraph 4(b) of the Terms and Conditions, the Client as a consumer acknowledges that,

due to the nature of the brokerage investment service related to securities, the price of which depends on changes in the financial market, on which the Mandating Agent has no influence, the Client as a consumer is not, according to the relevant legislation of the Slovak Republic governing the provision of financial services at a distance (Act No. 266/2005 Coll.), entitled to withdraw from the Contract concluded at a distance without giving a reason within 14 calendar days of its conclusion.

Final Provisions

1. The rights and obligations of the Mandating Agent and the Client which are not regulated by the Contract, are governed by the relevant provisions of the Securities Act, the Commercial Code and other generally binding legal regulations.

2. In the event that some provisions of the Contract become ineffective as a result of changes in the legislation of the Slovak Republic, they also lose their effectiveness in the contractual relationship between the Mandating Agent and the Client. This does not affect the effectiveness of other provisions of the Contract.

3. Wherever the term Contract is used in the Terms and conditions, it means the Contract, including the Terms and Conditions, the Price List of Services, as well as all its other annexes.

4. These Terms and Conditions are drawn up bilingually, i.e. in Slovak and English. In the case of any dispute regarding any provision hereof, or in the case of any discrepancy

between the version hereof in the Slovak language and the version hereof in the English language, the version hereof in the Slovak language shall prevail.
