LICENCE AGREEMENT
Date: As of May 08, 2013
LICENSE: Subject to timely payment of the License Fee in full and all other provisions and restrictions hereof and so long as Distributor is not in breach or default hereof, Tandem Communications GmbH, VAT No. DE202397654, located at Sonnenstr. 14, 80331 München ("Licensor") licenses the undersigned RTV – Rozhlas a Televizia Slovenska VAT No. SK2023169973, located at Xxxxxxx xxxxxx, 000 00 Xxxxxxxxxx (”Distributor"), and Distributor accepts from Licensor, a license for the Licensed Rights of the Program in the Territory during the Term. As used in the Licence Agreement, "Program” means any feature film, television program or its episodes or television series or other program or its episode(s) licensed herein. Reference to a one-hour or half-hour program or episode shall mean a commercial one-hour or commercial half-hour program or episode. The mention in this Licence Agreement of any rights not specifically licensed to Distributor as a Licensed Right does not grant to Distributor expressly or by implication any rights not specifically licensed as a Licensed Right. All of the foregoing defined terms shall have the meaning ascribed to them herein.

LICENSED RIGHTS: [X] Exclusive Free Television (Terrestrial, Cable and Satellite). License Fee: EUR 42.105,26 License Fee The License Fee is a minimum net sum with no deduction or withholding of any kind, but specifically excluding the applicable withholding tax, which may be deducted from the License Fee. All Payments shall be in EUR. NUMBER OF RUNS: A “Run” shall be defined as a single exhibition of the Program in any twenty-four (24) hour period. Plus one off-Prime Time rerun within 24 hours commencing on the start of each run. Prime Time shall be the time between 18:00 and 23:00 o’clock. DELIVERY MATERIALS: : Distributor shall be responsible for all material costs and shipping charges. The costs for digital delivery via Aspera shall be as follows: EUR65,- per approx. 45min for SD material and EUR98,- per approx. 45min for HD material. If Licensee do not notify Licensor of any defect in the Delivery Materials within 30 (thirty) days from receipt of the Delivery Materials, technical acceptance of the Delivery Materials shall be deemed to have taken place. | |

TERM: The “Term” of this Licence Agreement shall commence on the execution hereof and shall terminate the earlier of two (2) years from Start Date (April 01st, 2014 to be confirmed by Licensor) or after the completion of the last run granted herein.
PAYMENT TERMS: The License Fee is a minimum net sum with no deduction or withholding of any kind, including, but not limited to, for taxes of any kind. All Payments shall be in EUR. Fourty-Two-Thousand-One-Hundred-Five-Point-Two-Six EUR (42.105,26) shall be payable as follows:
EUR 8.421,05 (20%) due upon execution of this License Agreement.
EUR 33.684,21 (80%) due on January 31, 2014, subject to technical acceptance of the Delivery Materials.

HOMEVIDEO RELEASE: Distributor acknowledges and agrees that the home video release of the Program by Licensor or by Licensor’s designee may occur simultaneously with any premiere television broadcast in each country of the Territory and the promotion of such premiere in any country of the Territory shall be coordinated with the home video release and promotion. Moreover, Distributor acknowledges and agrees that the home video rights may be exploited prior to any television rights licensed to Distributor herein.

ADDITIONAL TERMS:
1. Free Television, or Free TV shall mean any linear program service that may be viewed via audio visual distribution by satellite, cable and terrestrial transmission without the payment of any charge in respect of such program service.
2. Should the Program for whatever reason not be produced by Licensor or within Licensor’s control, Licensor shall have no obligation to deliver the Program or an equivalent replacement title and all monies already paid by Distributor to Licensor as License Fee for the Program will be refunded to Distributor.
3. Distributor will comply at all times with all required screen credits, paid advertising, publicity and promotional requirements, name and likeness restrictions and other 3rd party obligations, as supplied by notice from Licensor prior to or contemporary with Delivery Materials, as well as with all guild and union requirements.
4. The Licensee shall examine the Delivery Materials upon receipt and shall notify the Licensor in writing as soon as reasonably practicable, but in any event within 30 (thirty) days from receipt of the Delivery Materials, of any defect that prevents use of the Delivery Materials (or any part thereof). If Licensee provides such a notice, Licensor shall remedy the deficiencies within 14 (fourteen) working days starting from Licensee’s request (“1st Cure Period”). If Licensor replaces any such non-conforming Delivery Materials with Delivery Materials that are also then found to be defective or non-conforming and/or does not deliver any replacement Delivery Materials within the 1st Cure Period, then Licensor shall remedy such deficiencies within another 14 (fourteen) working days starting
from Licensee’s request (“2nd Cure Period”). Both the 1st Cure Period and 2nd Cure Period are hereinafter defined as the “Cure Period”. If the Licensee does not notify the Licensor of any defect in the Delivery Materials within 30 (thirty) days from receipt of the Delivery Materials, acceptance of the Delivery Materials shall be deemed to have taken place.
5. Any exploitation on Pan-Eastern European PayTV / Basic Cable networks, including but not limited to networks such as AXN/NBC Universal/Xxxx Xxxx/Fox, should not be deemed as a breach of the Licensed Rights granted herein.
6. Licensor acknowledges and agrees that according to the provisions of the Act No.40/1964 Zb. Civil Code, that Distributor is obliged to publish this License Agreement via Central Register of Contracts of the Government Office of Slovak republic in its full wording.
In the event that Distributor shall fail to make any payment due in accordance with the terms hereof or is otherwise in breach of this License Agreement, then the Licensor shall have the right (in addition to any other remedy available to it at law, in equity or otherwise) to cancel this License Agreement upon notice to the Distributor and upon any such cancellation the Licensor shall have no further obligation to the Distributor in respect of the Program. Distributor may not assign or sublicense this Agreement in whole or in part or its Licensed Rights in whole or in part without Licensor’s prior written approval, such approval not to be unreasonably withheld.
This License Agreement may be executed in multiple facsimile or PDF counterparts, each of which shall constitute an original and, when taken together, shall constitute a single instrument. ANY DISPUTE ARISING OUT OF THIS LICENSE AGREEMENT SHALL BE RESOLVED BY BINDING ARBITRATION UNDER THE IFTA RULES FOR INTERNATIONAL ARBITRATION IN EFFECT AT THE TIME THE NOTICE OF ARBITRATION IS FILED. THE VENUE FOR SUCH ARBITRATION SHALL BE MUNICH, GERMANY. Unless
otherwise specified, this License Agreement shall be construed and interpreted pursuant to German Law as it applies to contracts entered into and performed wholly within Germany.
