Všeobecné obchodní podmínky společnosti BAYER s.r.o. (dále jen „VOP“) / General Business Terms and Conditions of BAYER s.r.o. (hereinafter the “GBT”)

Základní pojmy

Pro účely těchto VOP je:

- „Odběratelem“ společnost BAYER s.r.o., IČ: 00565474, se sídlem Praha 5, Siemensova 2717/4, zapsaná v obchodním rejstříku vedeném Městským soudem v Praze, oddíl C, vložka 391;

- „Dodavatelem“ každá právnická osoba/podnikající fyzická osoba, se kterou Odběratel uzavřel Smlouvu;

- „Smlouvou“ projev vůle obou smluvních stran, na jehož základě je Dodavatel zavázán nebo se může dílčí smlouvou zavázat dodat Odběrateli zboží a převést na Odběratele vlastnické právo nebo mu dodat službu a Odběratel je zavázán nebo se může dílčí smlouvou zavázat zaplatit Dodavateli kupní cenu, resp. odměnu. Smlouvou se pro účely těchto VOP rozumí ujednání Odběratele a Dodavatele pro jednotlivý případ, a to i formou objednávky a jejího potvrzení, a rovněž rámcová smlouva, na základě níž mají být uzavírány dílčí smlouvy. Jednotlivá ustanovení těchto VOP se použijí, pokud je lze použít vzhledem k příslušnému charakteru Smlouvy.

1. Všeobecná ustanovení

1.1 Tyto VOP upravují vztahy mezi Dodavatelem a Odběratelem v oblasti koupě zboží. Každý, kdo uzavře Smlouvu, která odkazuje na tyto VOP, jež jsou přístupné na webové stránce xxx.xxxxx.xx a to i konkludentně tak, že dodá požadované zboží na základě objednávky Odběratele, jejíž součástí je odkaz na tyto VOP, akceptuje platné VOP beze zbytku. V případě rozporu mezi Smlouvou a těmito VOP má Smlouva před těmito VOP přednost. Případnou další akceptací těchto VOP po uzavření Smlouvy nejsou ustanovení Smlouvy nijak dotčena a tato zůstávají nadále platná a účinná v plném rozsahu.

1.2 Tyto VOP jsou přiměřeně použitelné též na dodávky služeb.

1.3 Jakékoliv změny Smlouvy, která byla uzavřena v listinné podobě, a/nebo těchto VOP je možné provést pouze písemnými dodatky podepsanými oběma smluvními stranami.

2. Sortiment zboží Dodavatele

2.1 Dodavatel se zavazuje, že bude udržovat sortiment jím nabízeného zboží přesně v souladu s poptávkou Odběratele a bude Odběrateli poskytovat expresní informace v případě jakékoli změny v dostupnosti jím nabízeného zboží.

2.2 Přehled sortimentu zboží Dodavatele, včetně údajů o cenách, bude poskytován Odběrateli zcela zdarma a bez jakýchkoliv závazků Odběratele vůči Dodavateli.

3. Objednávky

3.1 Jakékoliv objednávky a jejich změny se podávají písemně; písemnou formou se pro tento účel rozumí rovněž e-mail.

Obsah jednání vedených ústně a po telefonu je závazný pouze v případě, že byl Odběratelem písemně potvrzen a

For the purposes of these GBT:

- the “Customer” is BAYER s.r.o., ID No.: 00565474, with its registered office at Prague 5, Siemensova 2717/4, entered in the commercial register administered by the Municipal Court in Prague, section C, file 391;

- the “Vendor” is any legal entity/business individual with which the Customer concludes the Contract;

- the “Contract” is an expression of the will of both contractual parties, based on which the Vendor is obliged, or may become obliged under a subcontract, to supply goods to the Customer and transfer ownership rights to the Customer or to deliver a service to it, and the Customer is obliged, or may become obliged under a subcontract, to pay the Vendor a purchase price or remuneration. For the purposes of these GBT, the Contract refers to the agreement of the Customer and the Vendor for an individual case, also in the form of an order and its confirmation, and also to the framework agreement based on which subcontracts are to be concluded. The individual provisions of these GBT will be applicable where possible given the relevant nature of the Contract.

1. General provisions

1.1 These GBT regulate the relationship between the Vendor and the Customer in the area of purchase of goods. Any party that concludes a Contract referring to these GBT, which are available on the website xxx.xxxxx.xx, even implicitly by delivering the requested goods based on an order of the Customer that contains a reference to these GBT, accepts the valid GBT without reservation. In case of disputes between the Contract and these GBT, the Contract takes precedence before the GBT. Another eventual acceptance of these GBT after the conclusion of the Contract shall not affect the provisions of the Contract in any way and these remain valid and effective to the full extent.

1.2 These GBT are also applicable as appropriate to the delivery of services.

1.3 Any changes to the Contract concluded in writing and/or to these GBT are possible only by means of written amendments signed by both contractual parties.

2. Vendor’s range of goods

2.1 The Vendor undertakes to maintain the range of its offered goods exactly in accordance with the Customer’s request and to provide the Customer with express information in case of any changes in the availability of its offered goods.

2.2 An overview of the Vendor’s range of goods, including price data, will be provided to the Customer completely free of charge and without any obligation of the Customer towards the Vendor.

3. Orders

3.1 Any orders or changes thereto must be carried out in a written form; for this purpose, a written form also refers to

an e-mail. The content of negotiations conducted orally or via telephone is binding only if confirmed in writing by the

odsouhlasen druhou stranou.

3.2 Dodavatel bude kontrolovat objednávky bez prodlení kvůli zjevným chybám, nejasnostem, neúplnosti nebo nevhodnosti ve vztahu ke specifikacím zvoleným Odběratelem pro zamýšlené využití těchto objednávek a okamžitě také Odběratele uvědomí o jakékoli potřebě změn v těchto objednávkách nebo o jakékoli potřebě tyto objednávky podrobněji specifikovat.

3.3 Dodavatel je povinen písemně potvrdit všechny objednávky a změněné objednávky. Pokud Dodavatel do tří pracovních dnů od zaslání objednávky Odběratelem objednávku písemně či e-mailem neodmítne, má se za to, že objednávku akceptoval, tj. potvrdil, se všemi uvedenými údaji.

3.4 Veškerá písemná sdělení Dodavatele ohledně konkrétní objednávky musejí uvádět jméno objednávajícího, úplné číslo objednávky, datum objednávky a odkaz na Odběratele.

3.5. V případě, že objednávka je rámcovou objednávkou s platností pro dodání služeb/koupi zboží v určitém období (dále jen „Rámcová Objednávka“), je dílčí plnění Odběratelem objednáno teprve na základě jednotlivého dílčího zadání krytého Rámcovou Objednávkou. Jednotlivé zadání dle tohoto ustanovení se považuje za objednávku dle VOP.

4. Dodací podmínky

4.1 Dodací lhůta začíná v den, kdy byla objednávka Odběratele zaslána, a činí tři pracovní dny, pokud není mezi stranami ujednáno jinak. V rozsahu, v němž si je Xxxxxxxxx vědom, že není schopen splnit své smluvní závazky, ať již v plném rozsahu, či částečně nebo včas, uvědomí o jakékoli takové okolnosti bez prodlení Odběratele a uvede důvody takového případného prodlení a předpokládanou dobu trvání takového prodlení, jinak odpovídá za škodu způsobenou porušením této povinnosti.

4.2 Dodavatel je povinen dodat zboží v množství, provedení a jakosti tak, jak byly stanoveny ve Smlouvě, jinak v provedení a jakosti odpovídajícím účelu, pro který je Odběratel objednává, případně pro který se takové zboží obvykle užívá, a to na místo stanovené ve Smlouvě. Pokud není mezi stranami ve Smlouvě ujednáno jinak, je místem dodání sídlo Odběratele.

4.3 Dodavatel poskytne Odběrateli zdarma a nejpozději spolu s dodáním zboží všechny dokumenty potřebné pro využití, montáž, instalaci, zpracování, skladování, provozování, provádění servisu, provádění prohlídek, údržbu nebo opravy dodaného zboží, jakož i další doklady požadované právními předpisy a/nebo stanovené ve Smlouvě a doklady, které jsou s ohledem na povahu dodávaného zboží (šarže/ výrobní číslo apod.) v daném případě obvyklé, zejména balicí list, přepravní doklad, požadovaný typ certifikátu (certifikát analýzy apod.), a dále též fakturu a dodací list, a poskytne všechny takové dokumenty bez toho, aby o ně musel být konkrétně žádán. Dokumenty potřebné k převzetí dodávaného zboží od dopravce je Dodavatel povinen předat Odběrateli s dostatečným předstihem před dodáním zboží tak, aby si Odběratel mohl zboží řádně převzít ve stanoveném termínu.

4.4 Dodavatel je oprávněn dodat zboží před dobou stanovenou pro jeho dodání jen s předchozím písemným souhlasem Odběratele. Není-li dohodnuto jinak, nejsou dílčí dodávky povoleny.

4.5 Dodavatel je povinen nejpozději k datu expedice doručit Odběrateli pro každou jednotlivou zásilku se zbožím

3.2 The Vendor will check the orders without delay for obvious errors, ambiguities, incompleteness or inadequacy in relation to the specifications chosen by the Customer for the intended use of these orders, and will also notify the Customer immediately of any need to change these orders or of any need to specify these orders more in detail.

3.3 The Vendor is obliged to confirm in writing all orders and changed orders. If the Vendor does not reject an order in writing or via e-mail within three business days from its sending by the Customer, it is understood that it has accepted the order, i.e. confirmed it with all the stated data.

3.4 All written correspondence from the Vendor regarding a specific order must indicate the name of the ordering person, complete order number, order date and reference to the Customer.

3.5. In case the order is a framework order for the delivery of service/purchase of goods within a certain period (hereinafter the "Framework Order"), the individual performance is effected only on the basis of individual partial task covered by the Framework Order. The individual partial task under this section shall be considered as an order accordingly to GBT.

4. Delivery terms

4.1 The delivery period starts on the day when the order was sent by the Customer, and amounts to three working days, unless agreed otherwise between the parties. In the scope in which the Vendor is aware that it is unable to fulfil its contractual obligations, whether in full, in part or on time, it shall inform the Customer of any such circumstance without delay and state the reasons of such potential delay and expected duration of such delay; otherwise it is liable for damages caused by violating this obligation.

4.2 The Vendor is obliged to deliver the goods in the quantity, design and quality stipulated in the Contract, otherwise in the design and quality corresponding to the purpose for which the Customer orders the goods, or eventually for which such goods are generally used, and to the location stipulated in the Contract. Unless stated otherwise in the Contract by the parties, the place of delivery is the Customer’s registered office.

4.3 The Vendor will provide the Customer, free of charge and at the latest along with the delivery of the goods, with all documents required for use, assembly, installation, processing, storage, operation, maintenance, inspection, servicing or repair of the delivered goods, as well as other documents required by legal regulations and/or stipulated in the Contract, and the documents which are customary with regard to the nature of the delivered goods (batch/serial number, etc.), in particular the packaging sheet, transport document, required type of certificate (analysis certificate, etc.), and also the invoice and delivery note, and it will provide all these documents without having to be specifically asked for them. Documents required to take over the delivered goods from the carrier must be handed over by the Vendor to the Customer sufficiently in advance before delivery, so that the Customer can duly take over the goods on the agreed date.

4.4 The Vendor is authorised to deliver the goods before the stipulated delivery date only with the prior written consent of the Customer. Unless agreed otherwise, partial deliveries are not permitted.

4.5 At the latest on the shipping date, the Vendor is obliged to deliver a detailed shipping list to the Customer for each

podrobnou expediční soupisku uvádějící podrobnosti o objednaném a dodávaném zboží, a to samostatně mimo zboží a fakturu. Zboží bude vypraveno spolu s dodacím listem a seznamem odesílaného zboží s potvrzením o kontrole Dodavatelem. V případě, že zboží má být expedováno na lodi, bude expediční dokumentace (zejména expediční soupiska, dodací list, náložný list) a faktura specifikovat název dopravní lodní společnosti a konkrétní lodi. Dodavatel zvolí způsob přepravy, který bude nejvýhodnější a nejvhodnější pro Odběratele. Všechny expediční soupisky, seznamy odesílaného zboží, náložné listy a faktury i všechny vnější obaly zboží aj. budou uvádět úplné číslo objednávky a podrobnosti týkající se místa vykládky specifikovaného Odběratelem.

4.6 Zboží je dodáváno v balení určeném příslušnými normami pro dohodnutý druh zboží a pro dohodnuté dodací podmínky tak, aby se zabránilo poškození, ztrátě či zničení zboží během přepravy do sjednaného místa určení. Zboží musí být řádně označeno přesným názvem a výrobní šarží, a to každé jednotlivé i skupinové balení. Není-li v objednávce nebo ve Smlouvě uvedeno jinak, obal a způsob balení určuje Dodavatel, který rovněž upozorní dopravce na případný specifický režim přepravy zboží, je-li takový pro příslušné zboží požadován. Nářadí, zařízení a dále zboží, jehož přeprava spolu s jiným zbožím je vyloučena, bude přepravováno v oddělených zásilkách.

4.7 Dodavatel je povinen zabalit, označit a expedovat nebezpečné látky v souladu s příslušnými národními, evropskými a mezinárodními předpisy. Průvodní dokumentace musí uvádět kategorii nebezpečnosti dodávaného zboží a jakékoli další podmínky, které jsou případně vyžadovány podle příslušných přepravních předpisů.

4.8 Dodavatel nese odpovědnost za jakoukoli škodu vzniklou v důsledku nesplnění ustanovení tohoto článku a nese odpovědnost také za úhradu jakýchkoli nákladů, které takovým nesplněním vznikly jemu či Odběrateli. Dodavatel je povinen zajistit, aby i ze strany subdodavatelů byly dodrženy požadavky stanovené tímto článkem VOP.

4.9 Jakékoli zásilky, které Odběratel nepřevezme v důsledku nedodržení povinností Dodavatele při dodání zboží a/nebo při plnění Smlouvy, budou uloženy na náklady a riziko Dodavatele. Odběratel je oprávněn přesvědčit se o obsahu a stavu těchto zásilek.

4.10 Při prodlení Dodavatele s dodávkou zboží je Odběratel oprávněn účtovat Dodavateli smluvní pokutu ve výši 0,05% z ceny objednávky za každý den prodlení. Nárokem na smluvní pokutu není dotčeno právo Odběratele na náhradu škody ani její výše.

5. Xxxxxx, odpovědnost za vady

5.1 Dodavatel se zavazuje Xxxxxxxxxx poskytnout záruku za jakost zboží v délce 24 měsíců, není-li ve Smlouvě nebo platnými právními předpisy definována doba delší.

The goods will be shipped together with a delivery note and a list of shipped goods with confirmation of control by the Vendor. If the goods are to be shipped by a ship, the shipping documentation (in particular the shipping list, delivery note, bill of lading) and the invoice shall specify the name of the shipping company and the specific ship. The Vendor will choose the means of the transport that is the most suitable and advantageous for the Customer. All shipping lists, lists of shipped goods, bills of lading and invoices as well as all exterior packaging, etc., will indicate the complete order number and details concerning the offloading destination specified by the Customer.

4.6 The goods are delivered in the packaging designated by the relevant standards for the agreed type of goods and for the agreed type of delivery conditions, so as to prevent the damaging, loss or destruction of the goods during the transport to the agreed destination. The goods must be duly marked with the precise name and production batch, both in individual and bulk packaging. Unless stated otherwise in the order or in the Contract, the packaging and manner of packaging are determined by the Vendor, who shall also inform the carrier of eventual specific requirements for transporting the goods, if required for the relevant goods. Tools, equipment and also the goods whose transport together with other goods is precluded shall be transported in separate shipments.

4.7 The Vendor is obliged to package, label and ship hazardous substances according to the relevant national, European and international regulations. The accompanying documentation must indicate the risk category of the delivered goods and any other conditions eventually required according to the relevant shipping regulations.

4.8 The Vendor bears liability for any damage that occurs in consequence of failure to fulfil this article, and also bears liability for the compensation of any costs arising from such failure for it or for the Customer. The Vendor is obliged to ensure that also the subcontractors adhere to the requirements stipulated by this article of the GBT.

4.9 Any shipments which the Customer does not take over due to the Vendor’s failure to fulfil obligations during the delivery of the goods and/or fulfilment of the Contract will be stored at the Vendor’s expense and risk. The Customer is authorised to ascertain the content and status of these shipments.

4.10 In the event of the Vendor’s delay in delivery of the goods, the Customer is authorised to bill the Vendor a contractual penalty in the amount of 0.05% of the price of the order for each day of the delay. The claim to the contractual penalty does not affect the Customer’s right to compensation of damages or its amount.

5. Warranty, liability for defects

5.1 The Vendor undertakes to provide the Customer with a warranty on the quality of goods in the scope of 24 months, unless a longer period is defined in the Contract or by valid legal regulations.

5.2 Under the warranty, the Vendor guarantees that the delivered goods will be qualified for use for the contracted, or otherwise for the customary purpose throughout the term of the warranty, and that the goods have the contractually or otherwise defined qualities, which they will preserve throughout the term of the warranty.

5.3 The Vendor is obliged to compensate the Customer for

5.2 Zárukou Dodavatel garantuje, že dodané zboží bude po dobu trvání záruky způsobilé pro použití ke smluvenému, jinak obvyklému účelu a že má smluvené nebo jinak definované vlastnosti, které si zachová po celou dobu trvání záruky.

5.3 Dodavatel je povinen nahradit Odběrateli nutné náklady, které Odběrateli vznikly v souvislosti s uplatněním nároků

z vadného zboží a s odstraněním vad. U vadného zboží, u kterého by doprava za účelem odstranění vad byla neúčelná, bude oprava provedena v místě, kde se zboží nachází, přičemž Dodavatel nese veškeré náklady na dopravu či cestovné na místo opravy a zpět a veškeré další náklady s tím spojené.

5.4 Nároky Odběratele uplatněné z titulu vad zboží je Dodavatel povinen řádně vypořádat nejdéle do 30 dnů ode dne uplatnění nároku z vadného zboží.

5.5 Záruka Dodavatele se vztahuje také na jakékoliv položky vyrobené případnými subdodavateli.

5.6 V případě oznámení Odběratele o vadách bude záruční lhůta prodloužena o dobu, která uplynula mezi takovým oznámením a řádnou opravou všech oznámených vad. V případě, že bude zboží plně vyměněno za nové, začíná záruční lhůta běžet znovu. V případě, že bude takové zboží vyměněno částečně, nebo budou vyměněny jen potřebné součásti zboží, začíná záruční lhůta běžet znovu ve vztahu k takovým novým součástem zboží.

5.7 Zboží, které podléhá reklamaci formou výměny za náhradní zboží, zůstává k dispozici Odběrateli až do dodání náhradního zboží, přičemž po tomto dodání se vadné zboží stává majetkem Dodavatele a náhradní zboží se stává majetkem Odběratele.

5.8 V urgentních případech, kdy pro Odběratele není možné čekat, až Dodavatel vady zboží odstraní, případně pokud Dodavatel neodstraní vady řádně a včas ve lhůtě sjednané v bodě 5.4 těchto VOP, může Odběratel vady zboží odstranit sám na náklady Dodavatele, které je Dodavatel povinen Odběrateli bezodkladně nahradit.

5.9 Při prodlení Dodavatele s řádným a úplným odstraněním vad dodaného zboží je Odběratel oprávněn požadovat na Dodavateli smluvní pokutu ve výši 0,05 % z ceny vadného zboží za každý den prodlení. Nárokem na smluvní pokutu není dotčeno právo Odběratele na náhradu škody ani její výše.

5.10 Dodavatel odpovídá za vady, které má dodávané zboží v okamžiku přechodu nebezpečí škody na zboží na Odběratele, i když se vada stane zjevnou později.

5.11 Odběratel je povinen prohlédnout zboží podle možnosti co nejdříve poté, kdy je zboží dopraveno do místa určení a Odběrateli je známo, že může se zbožím nakládat.

5.12 Je-li Odběrateli dodáno vadné zboží, nebo vykazuje-li zboží vady během záruční doby, je Smlouva porušena podstatným způsobem. V takovém případě je Xxxxxxxxx oprávněn podle své volby:

a) požadovat bezodkladné dodání náhradního a/nebo chybějícího zboží a požadovat odstranění právních vad, a to na náklady Dodavatele, nebo

b) požadovat opravu vadného zboží, jestliže jsou vady opravitelné, a to na náklady Dodavatele, a Dodavatel je v takovém případě současně povinen poskytnout po dobu opravy Odběrateli náhradní zboží, nebo

c) požadovat přiměřenou slevu z kupní ceny, nebo

d) odstoupit od Smlouvy.

6. Testování

V případě, že je pro dodávané zboží Dodavatele stanovena povinnost provést specializované zkoušky, Dodavatel se zavazuje, že uhradí veškeré náklady na jejich

provedení. Dodavatel je povinen Odběrateli písemně

5.4 The Customer’s claims applied from the title of defects in the goods must be duly handled by the Vendor at the latest within 30 days following the application of the claim from the defective goods.

5.5 The Vendor’s warranty also applies to any items manufactured by the eventual subcontractors.

5.6 If the Customer reports the defects, the warranty period shall be extended by the period that passed between such reporting and due repair of all the reported defects. If the goods are fully replaced with the new goods, the warranty period starts anew. If such goods are replaced in part, or only the relevant components of the goods are replaced, the warranty period starts anew with respect to such new components of the goods.

5.7 The goods that are subject to a claim by replacement with the substitute goods will remain available to the Customer until the delivery of the substitute goods, whereas after this delivery the defective goods will become the property of the Vendor and the substitute goods will become the property of the Customer.

5.8 In urgent cases, when the Customer cannot wait for the Vendor to remove the defects in the goods, or if the Vendor does not remove the defects duly and punctually within the deadline agreed in the point 5.4 of these GBT, the Customer may remove the defects in the goods itself at the Vendor’s expenses, whereas the Vendor is obliged to compensate the Customer for these expenses immediately.

5.9 In the event of the Vendor’s delay in the due and complete removal of defects in the delivered goods, the Customer is authorised to demand a contractual penalty from the Vendor in the amount of 0.05% of the price of defective goods for each day of the delay. The claim to the contractual penalty does not affect the Customer’s right to compensation of damages or its amount.

5.10 The Vendor is liable for defects in the goods at the moment of transfer of the risk of damage to the goods to the Customer, even if the defect becomes apparent later.

5.11 The Customer is obliged to inspect the goods as soon as possible after the goods are transported to the destination and the Customer is aware that it can handle the goods.

5.12 If the defective goods are delivered to the Customer or if the goods show defects during the warranty period, the Contract is deemed substantially violated. In such case, the Customer is authorised at its own discretion:

a) to require an immediate delivery of the substitute and/or missing goods and require the removal of legal defects, at the Vendor’s expense, or

b) to demand repair of the defective goods if the defects are reparable, at the Vendor’s expense, in which case the Vendor is concurrently obliged to provide the Customer with substitute goods during the period of repair, or

c) to demand an adequate discount of the purchase price, or

d) to withdraw from the Contract.

6. Testing

If there is the obligation to perform specialised testing for the goods to be delivered by the Vendor, the Vendor undertakes to pay all the costs for such testing. The

Vendor is obliged to inform the Customer in writing about

oznámit datum a hodinu provedení každé takové zkoušky, a to alespoň 7 pracovních dnů před jejím konáním. Zkouška se provede pouze v případě, že Odběrateli byly datum a hodina konání zkoušky oznámeny včas a byly Odběratelem písemně odsouhlaseny. V případě, že nebude ve stanovený termín zboží připraveno ke zkoušení, nese personální a další náklady, včetně nákladů Odběratele, v souvislosti s takovým neprovedeným zkoušením Dodavatel. V případě, že budou zjištěny vady zboží a/nebo překážky na straně Dodavatele, kvůli kterým je nezbytné zkoušky opakovat nebo provést další zkoušky, pak Dodavatel nese všechny vzniklé personální a další náklady, včetně nákladů Odběratele, vzniklé v souvislosti s prováděním těchto opakovaných, resp. dalších zkoušek. Dodavatel se zavazuje uhradit také všechny personální náklady a jiné náklady vzniklé v souvislosti se zkoušením materiálů použitých při vyřizování objednávky.

7. Pojištění

7.1 Dodavatel je povinen zajistit na své náklady pojištění zboží při přepravě.

7.2 Dodavatel uzavře na vlastní náklady odpovídající pojištění odpovědnosti vůči třetím osobám, které bude krýt jakoukoli škodu způsobenou Dodavatelem, jeho zaměstnanci a jeho zástupci a jakýmkoliv jím dodávaným zbožím a/nebo předměty. Dodavatel poskytne Odběrateli na požádání dokumentaci, ze které jasně vyplývá pojistná částka na jeden případ škody.

8. Vlastnické právo ke zboží a přechod nebezpečí škody na zboží

8.1 Odběratel nabývá vlastnické právo ke zboží a přechází na něj nebezpečí škody na zboží, jakmile je mu dodané zboží předáno, pokud se smluvní strany nedohodnou jinak.

8.2 Odběratel nabývá vlastnické právo ke zboží v dobré víře, že Dodavatel je vlastníkem zboží. Pokud by se třetí osoba domáhala vlastnického práva ke zboží nebo omezení vlastnického práva ke zboží, je Dodavatel povinen poskytnout Odběrateli součinnost k ochraně jeho vlastnického práva a odstranit veškeré případné právní vady zboží.

9. Xxxxxx podmínky

9.1 Pokud není v Dodavatelem přijaté objednávce (Smlouvě) stanoveno jinak, sjednaná cena za zboží je cenou konečnou, která zahrnuje rovněž dodání zboží včetně jeho balení, dodání do místa určení a jeho případnou instalaci či montáž a testování.

9.2 Jestliže Dodavatel sníží své ceny a/nebo zlepší jiné své obchodní podmínky v průběhu období mezi učiněním objednávky Odběratelem a dodávkou, pak platí ceny, resp. podmínky k datu expedice pro Odběratele výhodnější.

10. Platební podmínky

10.1 Odběratel uhradí cenu, popř. další peněžitá plnění dle Smlouvy na základě daňového dokladu - faktury řádně vystavené Dodavatelem a doručené Odběrateli. Faktura musí obsahovat veškeré zákonem stanovené náležitosti a číslo objednávky a Dodavatel je povinen ke každé faktuře přiložit doklady prokazující řádné splnění všech fakturovaných povinností Dodavatele a případně též doklady prokazující provedení úhrad Dodavatelem třetí straně, pokud mají být tyto úhrady na základě faktury

v souladu se Smlouvou Odběratelem proplaceny.

7 days before its performance. The testing shall be performed only if the Customer was informed in time of the date and time of the testing and approved them in writing. If the goods are not prepared for testing by the stipulated deadline, the Vendor bears the personnel and other costs, including the Customer’s costs, related to such unexecuted testing. If defects in the goods and/or obstacles on the part of the Vendor are identified, due to which the testing must be repeated or additional testing conducted, the Vendor bears all personnel and other costs, including the Customer’s costs, related to the performance of such repeated or additional testing. The Vendor also undertakes to pay all personnel costs and other costs incurred in connection to testing the materials used when handling the order.

7. Insurance

7.1 The Vendor is obliged to ensure at its own expense an insurance of the goods during the transport.

7.2 The Vendor will conclude at its own expense an adequate insurance of liability towards third parties, which will cover any damage caused by the Vendor, its employees and representatives and by any goods and/or items delivered by it. The Vendor will provide the Customer upon a request with the documentation that clearly indicates the insured amount per one case of damage.

8. Ownership right to goods and transfer of risk of damage to goods

8.1 The Customer acquires the ownership right to the goods and the risk of damage to the goods is transferred to the Customer as soon as the goods are handed over to it, unless the contractual parties agree otherwise.

8.2 The Customer acquires the ownership right to the goods in good faith that the Vendor is the owner of the goods. Should a third party seek ownership rights to the goods or limitation of ownership rights to the goods, the Vendor is obliged to provide the Customer with cooperation in protecting its ownership right and remove all potential legal defects in the goods.

9. Price conditions

9.1 Unless stipulated otherwise in the order accepted by the Vendor (Contract), the agreed price for the goods is the final price, which also includes the delivery of the goods including their packaging, delivery to the destination and their potential installation, assembly and testing.

9.2 If the Vendor reduces its prices and/or improves other its business terms in the course of the period between the Customer placing the order and the delivery, then the prices, respectively conditions more advantageous for the Customer as at the date of shipping shall be valid.

10. Payment conditions

10.1 The Customer will pay the price or eventually other monetary fulfilment under the Contract based on a tax document – invoice duly issued by the Vendor and delivered to the Customer. The invoice must contain all the requirements stipulated by law and the order number, and the Vendor is obliged to attach to each invoice the documents proving the due fulfilment of all of the Vendor’s invoiced obligations, as well as any documents proving payments made by the Vendor to third party, if these

payments are to be compensated by the Customer based

V případě, že faktura nebude splňovat veškeré zákonem stanovené a/nebo Smlouvou sjednané náležitosti a/nebo bude obsahovat nesprávné údaje, je Odběratel oprávněn takovýto doklad vrátit Dodavateli v době původní splatnosti k opravě. V této době lhůta splatnosti neběží. Lhůta splatnosti začne běžet opětovně okamžikem doručení řádně opravené faktury Odběrateli.

10.2 Splatnost faktur je 30 dní ode dne doručení Dodavatelem řádně vystavené faktury Odběrateli. Dodavatel je oprávněn vystavit fakturu nejdříve v den řádného dodání zboží Odběrateli. Odběratel si vyhrazuje právo započítat své pohledávky vůči Xxxxxxxxxx (i v případě, že nejsou dosud splatné) vůči pohledávkám Dodavatele.

10.3 Peněžitý závazek Odběratele je splněn dnem jeho odepsání z bankovního účtu Odběratele.

10.4 Dodavatel se zavazuje, že pro účely plateb ze strany Odběratele uvede na daňovém dokladu označení peněžního ústavu a číslo bankovního účtu, který je zveřejněn správcem daně podle § 98 zákona č. 235/2004 Sb., o dani z přidané hodnoty, v platném znění („Zákon o DPH“). V případě, že ke dni uskutečnění zdanitelného plnění a/nebo ke dni provedení platby Odběratelem

- bude v příslušném systému správce daně Dodavatel uveden jako nespolehlivý plátce, nebo

- číslo bankovního účtu, na který má být částka zaplacena, není zveřejněno podle § 98 Zákona o DPH a úplata za dané plnění překračuje dvojnásobek částky, při jejímž překročení je podle zákona upravujícího omezení plateb v hotovosti stanovena povinnost provést platbu bezhotovostně, nebo

- nastane jiná okolnost, na základě níž má Odběratel za to, že by se dle Zákona o DPH mohl stát ručitelem za nezaplacenou DPH, jejímž plátcem je Dodavatel,

je Odběratel oprávněn uhradit DPH za Dodavatele přímo na účet správce daně podle § 109a Zákona o DPH, a Dodavateli uhradit fakturovanou částku bez DPH. Dodavatel se zavazuje takový postup dle tohoto bodu strpět bez uplatnění jakýchkoliv sankcí a s tímto postupem výslovně souhlasí. Dodavatel je povinen nahradit Odběrateli veškerou škodu a náklady vzniklé z důvodu postupu dle toho bodu a/nebo z důvodu ručení Odběratele za DPH, jehož plátcem je Dodavatel.

11. Podklady pro plnění Smlouvy

11.1 Všechny nákresy, směrnice, analytické metody, vzorce a jiné dokumenty, ať už zachycené v písemné či elektronické podobě, poskytované Dodavateli ze strany Odběratele pro účely výroby dodávaného zboží a jakékoli takové dokumenty vypracované Dodavatelem v souladu se zvláštními pokyny vydanými Odběratelem, jsou majetkem Odběratele a nesmějí být využity pro žádný jiný účel než pro řádné plnění Smlouvy, reprodukovány ani být poskytnuty Dodavatelem třetím osobám. Dodavatel odevzdá veškerou takovou dokumentaci a případné nosiče, na nichž je dokumentace zachycena v elektronické podobě, a všechny jejich kopie a duplikáty bez prodlení Odběrateli, jakmile je jím k tomu vyzván, nebo je na výzvu Odběratele zničí. Dodavatel nese odpovědnost za veškerou škodu vzniklou Odběrateli v důsledku porušení jakékoli z těchto povinností ze strany Dodavatele.

11.2 Dodavatel poskytne Odběrateli všechny dokumenty potřebné k projednání jakýchkoli podrobností o

If the invoice does not meet all the requirements stipulated by law and/or requirements agreed in the Contract and/or contains incorrect data, the Customer is authorised to return such invoice to the Vendor for correction within its original maturity period. The maturity period does not run during this time. The maturity period starts anew upon delivery of a duly corrected invoice to the Customer.

10.2 The maturity of invoices is 30 days following the date of delivery of a duly issued invoice by the Vendor to the Customer. The Vendor is authorised to issue the invoice at the earliest on the date of due delivery of the goods to the Customer. The Customer reserves the right to offset its receivables towards the Vendor (even if they are not yet due) against the Vendor’s receivables.

10.3 The Customer’s monetary obligation is fulfilled on the date of its debiting from the Customer’s bank account.

10.4 The Vendor undertakes that for the purpose of payments from the Customer, it will indicate in the tax document the financial institute and bank account number, which is published by the tax administrator according to Section 98 of the Act No. 235/2004 Coll., on value added tax, as amended (“VAT Act”). If on the date of taxable fulfilment

and/or on the date of payment by the Customer

- the Vendor is listed in the relevant system of the tax administrator as an unreliable payer, or

- the bank account number to which the amount is to be paid is not published according to Section 98 of the VAT Act and the payment for the given fulfilment exceeds two times the amount, which when exceeded must be paid via cashless payment according to the act regulating the restriction of cash payments, or

- another circumstance occurs based on which the Customer believes that it could become liable for unpaid VAT, of which the Vendor is a payer, according to the VAT Act,

the Customer is authorised to pay VAT on behalf of the Vendor directly to the tax administrator’s account according to Section 109a of the VAT Act, and to pay the Vendor the invoiced amount excluding VAT. The Vendor undertakes to tolerate such procedure under this point without applying any sanctions and hereby explicitly agrees to this procedure. The Vendor is obliged to compensate the Customer for all damages and costs incurred due to the procedure according to this point and/or due to the Customer’s liability for VAT, of which the Vendor is a payer.

11. Materials for Contract fulfilment

11.1 All drawings, guidelines, analytic methods, formulas and other documents, whether depicted in written or electronic form, provided to the Vendor by the Customer for the purpose of producing the goods to be delivered, and any such documentation drafted by the Vendor according to special instructions issued by the Customer, are the property of the Customer and must not be used for any purpose other than a due fulfilment of the Contract, reproduced or provided by the Vendor to third parties. The Vendor shall submit all such documentation and potential carriers on which the documentation is depicted in electronic form, and all copies and duplicates thereof, to the Customer without an undue delay immediately upon being asked to do so, or shall destroy them upon request from the Customer. The Vendor bears liability for all damages incurred by the Customer in consequence of violation of any of these obligations by the Vendor.

11.2 The Vendor will provide the Customer with all the documents necessary to discuss any details about the

Jakékoli takové podrobné projednání týkající se zboží, které má být dodáno, nebo jakékoli pokyny Odběratele v souvislosti s plněním Smlouvy nezbavují Dodavatele odpovědnosti za řádné plnění veškerých povinností plynoucích ze Smlouvy; na nevhodné pokyny je Dodavatel povinen Odběratele bezodkladně upozornit.

11.3 Jakékoli normy a směrnice specifikované Odběratelem platí v aktuálně účinném znění. Dodavatel včas požádá Odběratele, aby mu poskytl normy a směrnice Odběratele, pokud mu dosud nebyly poskytnuty.

12. Předměty mimo hlavní plnění Smlouvy

Jakékoli formy, makety, nářadí, filmy a jiné předměty, které Dodavatel vyrobil pro účely splnění konkrétní Smlouvy a které nejsou hlavním plněním takové Smlouvy, se stávají majetkem Odběratele zároveň s nabytím jeho vlastnického práva ke zboží, které je hlavním plněním takové Smlouvy. Cena všech takových předmětů je již zohledněna v ceně zboží. Toto platí i v případě, že uvedené předměty zůstávají v držení Xxxxxxxxxx. Uvedené předměty budou Xxxxxxxxxx předány na jeho vyžádání. Dodavatel není oprávněn takové předměty bez předchozího písemného souhlasu Odběratele použít pro jiné účely než pro účely řádného plnění Smlouvy, ani předměty použít jako předlohu pro výrobky určené pro sebe či třetí osoby.

13. Montáž, údržba, prohlídky, opravy a jiná manipulace u Odběratele

13.1 V případě, že montáž, údržba, prohlídka, opravy a jiná manipulace jsou prováděny v prostorách užívaných Odběratelem nebo jinými členy skupiny Bayer, budou tyto práce podléhat bezpečnostním a postupovým obecně závazným předpisům a interním předpisům platným v těchto prostorách. Pokud tyto předpisy nebudou poskytnuty Dodavateli před zahájením práce, je povinen si je vyžádat.

13.2 Odběratel nenese odpovědnost za majetek, který si Xxxxxxxxx, jeho zaměstnanci či případní subdodavatelé přinesli do prostor Odběratele.

14. Autorská práva a jiná práva duševního vlastnictví

14.1 Při plnění Smlouvy může být součástí takového řádného plnění dle povahy závazku též vytváření autorských děl, nebo obstarání oprávnění k užití již existujících autorských děl.

14.2 Pokud budou taková autorská díla (dále jen „Díla“) vytvořena Dodavatelem nebo jeho zaměstnanci, k jejichž Dílům vykonává Dodavatel majetková autorská práva podle § 58 zákona č. 121/2000 Sb., o právu autorském, o právech souvisejících s právem autorským a o změně některých zákonů (dále jen „Autorský zákon“), uděluje Dodavatel tímto Odběrateli s účinností k okamžiku předání Díla Odběrateli výhradní a územně neomezenou licenci ke všem způsobům užití každého jednotlivého Díla dle ust. § 12 Autorského zákona, a to na celou dobu trvání majetkových práv k Dílu. Dodavatel není oprávněn Díla jakkoliv užít pro své účely či účely třetích osob a poskytnout licenci třetím osobám, a to ani před předáním, ani po předání Díla Odběrateli. Licenční poplatek za udělení této licence je již zahrnut v ceně za příslušné zboží, k němuž se autorskoprávní ochrana vztahuje, a činí vždy 5% z ceny tohoto zboží. Odběratel není povinen poskytnutou licenci využít, je však plně oprávněn

poskytnout podlicenci třetím osobám.

Any such detailed discussions concerning the goods which are to be delivered, or any instructions from the Customer related to fulfilment of the Contract, do not relieve the Vendor of liability for a due fulfilment of all the obligations arising from the Contract; the Vendor is obliged to notify the Customer immediately of inappropriate instructions.

11.3 Any standards and guidelines specified by the Customer are valid in the currently valid version. The Vendor shall ask the Customer in time to provide it with the Customer’s standards and guidelines, if they were not provided yet.

12. Items besides main fulfilment of the Contract

Any forms, models, tools, films and other items that the Vendor produced for the purpose of fulfilling a specific Contract and which are not the main fulfilment of such Contract become the property of the Customer together with its acquisition of ownership rights to the goods, which are the main subject of fulfilment of such Contract. The price of all such items is already reflected in the price of the goods. This applies also in the case when the said items remain in the possession of the Vendor. The said items shall be handed over to the Customer upon its request. The Vendor is not authorised to use such items for purposes other than a due fulfilment of the Contract, or to use the items as a template for products designated for itself or third parties, without prior written consent of the Customer.

13. Installation, maintenance, inspections, repairs and other handling on the Customer’s premises

13.1 If installation, maintenance, inspections, repairs and other handling are performed on the premises used by the Customer or other members of the Bayer group, such works shall be subject to the generally binding safety and procedural regulations and internal regulations valid on these premises. If these regulations are not provided to the Vendor before commencing the work, it is obliged to request them.

13.2 The Customer does not bear liability for the property that the Vendor or its employees or potential subcontractors brought to the Customer’s premises.

14. Copyrights and other intellectual property rights

14.1 During the fulfilment of the Contract, such due fulfilment may also involve the creation of copyrighted works or procurement of authorisation to use already existing copyrighted work, depending on the nature of the obligation.

14.2 Should such copyrighted works (hereinafter the “Works”) be created by the Vendor or its employees, to whose Works the Vendor exercises the property copyrights according to Section 58 of the Act No. 121/2000 Coll., on copyright, rights related to copyright and the amendment of certain laws (hereinafter the “Copyright Act”), the Vendor hereby grants the Customer, with effect as of the moment of handing over the Work to the Customer, an exclusive and territorially unlimited license to all manners of use of each individual Work according to Section 12 of the Copyright Act, for the entire term of duration of the property rights to the Work. The Vendor is not authorised to use the Works in any way for its own purposes or those of third parties and provide a license to third parties, either before or after handover of the Work to the Customer. The licensing fee for granting this license is already included in the price for the respective goods, to which the copyright protection pertains, and amounts always to 5% of the

price for these goods. The Customer is not obliged to use

14.3 Nebudou-li Díla vytvářena Dodavatelem, resp. zaměstnanci Dodavatele, Dodavatel se zavazuje uzavřít s autory, resp. s nositeli nebo vykonavateli majetkových autorských práv (dále jen „Nositelé práv“) licenční smlouvy, jimiž získá licenci, a to výhradní, pokud to bude možné, v rozsahu uvedeném výše v bodě 14.2 s právem poskytnout podlicenci a postoupit tuto licenci v plném rozsahu na Odběratele a jiné členy skupiny Bayer. Dodavatel Smlouvou postupuje v plném rozsahu Odběrateli licence, které dle tohoto bodu sjedná s jednotlivými Nositeli práv, a to s účinností k okamžiku účinnosti licenční smlouvy s daným Nositelem práv a předání Díla, k němuž se postupovaná licence vztahuje, Odběrateli. Licenční poplatek za postoupení této licence je již zahrnut v ceně za příslušné zboží, k němuž se autorskoprávní ochrana vztahuje, a činí vždy 5% z ceny tohoto zboží. Odběratel není povinen poskytnutou licenci využít, je však plně oprávněn poskytnout podlicenci třetím osobám.

14.4 Dodavatel současně uděluje Odběrateli výslovný souhlas ke zveřejnění, úpravám, zpracování jednotlivých Děl, včetně jejich překladu, spojení s jiným dílem, zařazení do díla souborného, jakož i k tomu, aby Odběratel uváděl Dílo na veřejnost, a zároveň se zavazuje zajistit takový souhlas třetích osob v případě, že jsou Nositeli práv k těmto Dílům.

14.5 Ustanovení tohoto článku se přiměřeně použijí na případy, kdy součástí plnění Smlouvy bude osobnostní atribut, k jehož užití je třeba souhlasu příslušné fyzické osoby; v takovém případě Dodavatel zajistí souhlas dané fyzické osoby se zachycením jejích příslušných osobnostních atributů a s rozmnožováním a šířením jejich záznamů po dobu a způsobem potřebnými pro naplnění účelu Smlouvy, s tím, že výskyt takových záznamů mimo vůli Odběratele a doběh výskytu takových záznamů po uplynutí doby, na kterou byl souhlas udělen, se nepovažuje za překročení nabytých práv. Ustanovení tohoto článku se použijí obdobně též na veškerá ostatní práva související s právem autorským, budou-li příslušné předměty ochrany součástí plnění Smlouvy. Závazek Dodavatele podle tohoto bodu se zde vztahuje i na zaměstnance Dodavatele, jež jsou Nositeli práv.

14.6 Odběrateli dále přísluší všechna práva průmyslového vlastnictví ke všem dokumentům a podkladům souvisejícím se Smlouvou a k výsledkům plnění Smlouvy.

14.7 Dodavatel odpovídá za to, že v důsledku plnění Smlouvy a/nebo použití dodaného zboží nedojde k neoprávněnému zásahu do práv Odběratele či třetích osob, zejména že nebudou pro plnění Smlouvy užita autorská díla bez souhlasu jejich autorů a že nebudou porušena práva k patentům, k ochranným známkám, ani ostatní práva duševního vlastnictví. V případě porušení kteréhokoliv z uvedených práv nese veškeré náklady, které tímto Odběrateli vzniknou, Dodavatel a zavazuje se je neprodleně Odběrateli na jeho výzvu nahradit. Náklady na veškeré licenční poplatky nese Dodavatel.

15. Propagační materiály

Dodavatel není oprávněn na své obchodní vztahy s Odběratelem odkazovat v žádném informačním ani

14.3 If the Works are not created by the Vendor, respectively the Vendor’s employees, the Vendor undertakes to conclude a licensing agreement with the authors or with the holders or executors of the property copyrights, as the case may be (hereinafter the “Holders of rights”), under which it will obtain the license, if possible an exclusive license, in the scope as set out in the point 14.2 above, with the right to provide a sublicense and to assign this license in full scope to the Customer and other members of the Bayer group. Under the Contract, the Vendor assigns to the Customer in full scope the licenses which it negotiates with the individual Holders of rights according to this point, with effect as of the effective date of the licensing agreement with the given Holder of rights and handover of the Work to which the assigned license applies to the Customer. The licensing fee for assignment of this license is already included in the price for the respective goods, to which the copyright protection pertains, and amounts always to 5% of the price of these goods. The Customer is not obliged to use the provided license, but is fully authorised to provide a sublicense to third parties.

14.4 At the same time, the Vendor grants the Customer the explicit consent to publish, modify, process the individual Works, including their translation, combining with other works, including them into a collection, as well as to present the Work in a public; at the same time the Vendor undertakes to procure such consent from third parties if they are the Holders of rights to these Works.

14.5 The provisions of this article shall apply as appropriate to cases when the fulfilment of the Contract includes a personal attribute, the use of which requires consent from the relevant individual; in such case the Vendor shall ensure the consent of such individual to capture his/her relevant personal attributes and to reproduce and disseminate their records for the period and in the manner necessary to fulfil the purpose of the Contract, and to the fact that the occurrence of such records beyond the will of the Customer and the finishing of the occurrence of such records after the expiration of period for which the consent was granted is not deemed as an excess of the acquired rights. The provisions of this article shall also apply as appropriate to all other rights related to copyrights, if the relevant subjects of protection are part of the fulfilment of the Contract. The Vendor’s obligation according to this point applies also to the Vendor’s employees who are the Holders of rights.

14.6 All industrial property rights to all documents and materials related to the Contract and to results of the Contract fulfilment also belong to the Customer.

14.7 The Vendor is liable for ensuring that the fulfilment of the Contract and/or use of the delivered goods does not result in an unauthorised infringement of the rights of the Customer or third parties, in particular that copyrighted works will not be used to fulfil the Contract without a consent from their authors, and that rights to patents, trademarks or other intellectual property rights will not be violated. In case of violation of any of the said rights, the Vendor bears all costs incurred to the Customer as a result and undertakes to compensate them to the Customer immediately upon its request. Costs for all licensing fees shall be borne by the Vendor.

15. Promotional materials

The Vendor is not authorised to refer to its business relations with the Customer in any informational or

propagačním materiálu ani jiným způsobem bez předchozího výslovného písemného souhlasu Odběratele.

16. Dodržování zákonů a etických pravidel

16.1 Dodavatel souhlasí s dodržováním všech platných právních předpisů pro farmaceutické, zdravotnické, zemědělské, chemické a jiné odvětví činnosti Odběratele, zejména zákona č. 378/2007 Sb., o léčivech, zákona č. 326/2004 Sb., o rostlinolékařské péči, zákona č. 40/1995 Sb., o regulaci reklamy, ustanovení zákona č. 89/2012 Sb., občanského zákoníku, o nekalé soutěži, zákona č. 143/2001 Sb., o ochraně hospodářské soutěže, zákona č. 40/2009 Sb., trestní zákoník, a zákona č. 101/2000 Sb., o ochraně osobních údajů, v platném znění.

16.2 V rozsahu, v jakém je Smlouva přímo či nepřímo spojena s farmaceutickým průmyslem, zavazuje se Dodavatel v plném rozsahu dodržovat Etický kodex farmaceutického průmyslu platný pro členy Asociace inovativního farmaceutického průmyslu (AIFP), v platném znění uveřejněném na stránkách xxx.xxxx.xx, resp. etický kodex SVOPL v platném znění uveřejněném na stránkách xxx.xxxxx.xx, resp. kodex správné praxe IFAH v platném znění uveřejněném na stránkách xxx.xxxxxxxxxx.xxx, podle toho, který z kodexů je relevantní dle předmětu Smlouvy.

16.3 Dodavatel není v současnosti ani po uzavření Smlouvy jakkoliv zavázán odebírat zboží vyráběné či dodávané Odběratelem v jakémkoli množství a nadále disponuje absolutní smluvní volností co do výběru výrobků, a to bez ohledu na to, zda jsou vyráběny či dodávány Odběratelem nebo zda jsou výrobky s nimi konkurenčními.

16.4 Dodavatel neučinil, neposkytl a ani neučiní jakékoli platby a neposkytne přímo či nepřímo státním zaměstnancům/úředníkům, zákazníkům, obchodním partnerům nebo jakýmkoliv jiným osobám jakékoli výhody, aby si zajistil nepatřičnou výhodu nebo neoprávněný obchodní prospěch, ovlivnil soukromé nebo úřední rozhodování nebo přiměl někoho k porušení svých profesních povinností či norem.

16.5 Dodavatel plně souhlasí s dodržováním Zásad Corporate Compliance společnosti Bayer uvedených na internetové stránce Odběratele: xxx.xxxxx.xx., Od Dodavatele se taktéž očekává, že bude provozovat své obchodní aktivity s Odběratelem v souladu Kodexem chování dodavatele, který je dostupný na stránkách xxx.xxxxx.xx; v případě rozporu mezi ustanoveními těchto VOP a uvedeným Kodexem mají ustanovení těchto VOP přednost. Odběratel si vyhrazuje právo jednostranně tento Kodex změnit. Odběratel bude mít právo po dobu účinnosti smluvního vztahu s Dodavatelem provést u Dodavatele kontrolu dodržování zásad tohoto Kodexu chování dodavatele, a to buď hodnocením (on-line, tištěným dotazníkem atd.), nebo auditem v běžné pracovní době na místě provedeným přímo společností Bayer nebo třetí stranou. Plnění principů udržitelnosti bude vyhodnoceno porovnáním se zásadami Kodexu chování dodavatele společnosti Bayer.

16.6 Dodavatel souhlasí s tím, že na žádost poskytne Odběrateli informace, dokumenty a uspokojivé vysvětlení týkající se dodržování tohoto článku.

16.7 Odběratel je oprávněn uplatnit právo ve smyslu předcházejícího bodu též v případě prokazatelného vzniku porušení předcházejících bodů ve vztahu Xxxxxxxxxx s třetí stranou.

16.8 Dodavatel je povinen bezodkladně oznámit Odběrateli jakékoli jednání obchodních partnerů a/nebo

promotional material or otherwise without prior explicit written consent from the Customer.

16. Adherence to laws and ethical rules

16.1 The Vendor agrees to adhere to all valid legal regulations for the pharmaceutical, healthcare, agricultural, chemical and other industries of the Customer’s activity, in particular to the Act No. 378/2007 Coll., on pharmaceuticals, Act No. 326/2004 Coll., on phytomedicinal care, Act No. 40/1995 Coll., on advertising regulation, the provisions of the Act No. 89/2012 Coll., Civil Code, concerning unfair competition, Act No. 143/2001 Coll., on protection of economic competition, Act No. 40/2009 Coll., Criminal Code, and Act No. 101/2000 Coll., on protection of personal data, as amended.

16.2 In the scope in which the Contract is directly or indirectly related to the pharmaceutical industry, the Vendor undertakes to adhere in full to the Code of Ethics of the pharmaceutical industry valid for the members of the Association of Innovative Pharmaceutical Industry (AIFP), in the valid version published at xxx.xxxx.xx , or SVOPL Code of Conduct in the valid version published at xxx.xxxxx.xx, or IFAH Code of Good Practice in the valid version published at xxx.xxxxxxxxxx.xxx, whichever of Codes is relevant pursuant to the subject matter of the Contract.

16.3 The Vendor is not at present or after conclusion of the Contract bound in any way to purchase the goods produced or supplied by the Customer in any quantity and retains absolute contractual freedom in terms of selection of products, regardless of whether they are produced or supplied by the Customer or whether they are the competing products.

16.4 The Vendor has not made, provided and will not make any payments and will not provide, directly or indirectly, any state employees/officials, customers, business partners or any other persons with any benefits in order to gain an unfair advantage or unauthorised business profit, influence private or official decisions or persuade anybody to violate their professional obligations or standards.

16.5 The Vendor fully agrees to adhere to the Principles of Corporate Compliance of Bayer, published on the Customer’s website at xxx.xxxxx.xx . The Vendor is also expected to pursue his business activity with the Customer according to the Code of Vendor’s Conduct available on xxx.xxxxx.xx; the provisions of these GBT shall prevail over the aforementioned Code in case of conflict. The Customer reserves the right to adjust the Code unilaterally. The Customer has the right to carry out the inspection of fulfilling the principles of the Code of Vendor’s Conduct for the time when the Contract is effective by evaluation (on-line, printed questionnaire etc.) or by an audit during regular working hours conducted by Bayer itself or a third party. Fulfilling the principles of sustainability will be evaluated by comparison to the principles of Bayer’s Code of Vendor’s Conduct.

16.6 The Vendor agrees that upon a request, it will provide the Customer with information, documents and satisfactory explanations concerning the adherence to this article.

16.7 The Customer is authorised to apply the right in the meaning of the previous point also in the case of a provable violation of the foregoing points in relation between the Vendor and a third party.

16.8 The Vendor is obliged to inform the Customer immediately of any dealings of business partners and/or employees of the Customer that are contrary to the points of this article

above.

16.9 Dodavatel okamžitě písemně oznámí Xxxxxxxxxx změny v jeho oprávnění k podnikání nebo v údajích zapsaných v rejstříku, které mají přímý dopad na podmínky a plnění Smlouvy, anebo jakékoli započetí likvidačního, konkurzního anebo jiného podobného řízení.

16.10 Dodavatel bere na vědomí, že není oprávněn postoupit jakékoliv ze svých práv nebo povinností dle Smlouvy bez předchozího písemného souhlasu Odběratele. V případě subdodávky je Dodavatel povinen uzavřít se subdodavatelem písemnou smlouvu obsahující podmínky, které jsou přinejmenším stejně přísné jako podmínky uvedené v tomto článku.

16.11 Nedodržení povinností uvedených výše v bodech tohoto článku ze strany Dodavatele a/nebo jeho subdodavatelů se bude považovat za podstatné porušení opravňující Odběratele k okamžitému odstoupení od Smlouvy. Porušení zahrnuje též neexistenci uspokojivého vysvětlení okolností, a/nebo podezření, které vyvolává přiměřené a odůvodnitelné obavy týkající se dodržování povinností uvedených výše v bodech tohoto článku.

16.12 V případě, že se Dodavatel v souvislosti s plněním Smlouvy může dostat do styku s informacemi o produktech Bayer, uplatní se následující ustanovení tohoto bodu. Dodavatel se zavazuje poskytnout lokálnímu farmakovigilančnímu oddělení společnosti Bayer písemná hlášení o všech nežádoucích příhodách (AE) a závadách v kvalitě/ technických reklamacích (PTC) přípravků Bayer, o kterých se dozví v souvislosti s plněním Smlouvy, a to faxem (x000 000 000 000) či e-mailem (xxxxxxxxxxxxxxxxx.xxxxx@xxxxx.xxx) do jednoho (1) pracovního dne po získání relevantní informace. Všechny známé případy expozice během těhotenství (včetně paternální expozice) a kojení, nesprávné užití, zneužívání, nedostatečný účinek léčiva, předávkování (náhodné a úmyslné), chyba v medikaci/užití, léková závislost, podezření na přenos infekčního agens, abstinenční syndrom, lékové interakce, profesní expozice, použití léku v neschválené indikaci a nečekaný přínos přípravku ve vztahu k přípravkům Bayer, musí být hlášeny stejným způsobem jako AE/PTC. Pro účely Xxxxxxx se

„nežádoucí příhodou“ rozumí jakýkoliv nepříznivá změna zdravotního stavu pacienta, jemuž byl podán přípravek Bayer, která nutně nemusí mít příčinný vztah k této léčbě.

„Závada v kvalitě/technická reklamace přípravku“ je jakékoliv hlášení (písemné, dokumentované ústní, či elektronická komunikace) o potenciální nebo údajné závadě v kvalitě přípravku Bayer (včetně identifikace, stálosti/trvanlivosti, spolehlivosti, bezpečnosti, účinnosti nebo výkonu/splnění účelu) nebo podezření na padělek. Stížnost může nebo nemusí představovat potenciální riziko pro zákazníka (pacienta). Výše uvedené povinnosti mohou být mezi smluvními stranami blíže specifikovány ve farmakovigilanční dohodě.

16.13 Od Dodavatele, který jménem Xxxxxxxxxx (nebo v jeho zájmu) jedná se státními úředníky/institucemi nebo se zdravotnickými odborníky/zařízeními, Odběratel očekává, že bude splňovat protikorupční standardy. Za tímto účelem Odběratel uvedené Dodavatele prověřuje. V případě, že prověření není dokončeno do zahájení spolupráce a/nebo nebude Dodavatel v rámci prověřovacího procesu schválen, vyhrazuje si Odběratel právo ukončit spolupráci jednostranným oznámením Dodavateli ve lhůtě, kterou si Odběratel určí. Ukončit spolupráci dle předchozí věty lze pouze v průběhu 6 měsíců od účinnosti Smlouvy.

16.9 The Vendor shall inform the Customer immediately in writing of changes in its business license or data entered in registers, which have a direct impact on the conditions and fulfilment of the Contract, or any commencement of liquidation, bankruptcy or similar proceedings.

16.10 The Vendor takes into account that it is not authorised to assign any of its rights or obligations from the Contract without the prior written consent from the Customer. In case of subcontracts, the Vendor is obliged to conclude a written contract with the subcontractor containing the conditions which are at least as strict as the conditions set out above in this article.

16.11 Failure to fulfil the obligations set out above in the points of this article by the Vendor and/or its subcontractors will be deemed as a substantiate violation, authorising the Customer to withdraw from the Contract immediately. Violation also includes the non-existence of a satisfactory explanation of circumstances and/or suspicion that provokes adequate and justified concerns regarding adherence to the obligations set out above in the points of this article.

16.12 In the event that the Vendor may come into contact with the information about the Bayer products in connection with the performance of the Contract, the following provisions of this point shall apply. The Vendor agrees to provide Bayer local pharmacovigilance department with written reports of all Adverse Events (“AE”) and Product Technical Complaints (“PTC”) regarding the Bayer products that come to their attention in connection with the performance under the Contract, by fax (x000 000

000 000) or e-mail (xxxxxxxxxxxxxxxxx.xxxxx@xxxxx.xxx) within one (1) business day from receipt of relevant information. All known cases of exposure during pregnancy (including paternal exposure) and breastfeeding, misuse, abuse, lack of drug effect, overdose (accidental and intentional), medication error/use error, drug dependency, suspected transmission of an infectious agent, withdrawal syndrome, drug interactions, occupational exposure, off-label use and unexpected product benefit with respect to the Bayer products must be reported in the same manner as an AE/PTC. For the purposes of the Contract, an “Adverse Event” shall mean any untoward medical occurrence in a patient administered the Bayer product, which does not necessarily have to have a causal relationship with this treatment. A “Product Technical Complaint” is any report (written, electronic or verbal communication) about a potential or alleged failure of the Bayer product in its quality (including the identity, durability, reliability, safety, efficacy or performance) or suspect counterfeit. The complaint may or may not represent a potential risk to the customer (patient). The above stated obligations may be defined more in detail between the contractual parties in the pharmacovigilance agreement.

16.13 The Vendor who, on behalf of the Customer (or in the Customer’s interest), negotiates with government officials

/ institutions or health professionals / facilities, is expected by the Customer to meet anti-corruption standards. For this purpose, the Customer checks out the stated Vendors. If the examination is not completed by the start of cooperation and / or the Vendor will not be approved within the screening process, the Customer reserves the right to terminate the cooperation by an unilateral notice to the Vendor within a period determined by the Customer. The cooperation under the preceding sentence can only be terminated during 6 months from the date when the

Contract becomes effective.

17. Osobní údaje

17.1 V případě, že je Dodavatel fyzická osoba, výslovně tímto souhlasí s tím, že Xxxxxxxxx jako správce bude v souladu se zákonem č. 101/2000 Sb., o ochraně osobních údajů, ve znění pozdějších předpisů (dále jen „Zákon o ochraně osobních údajů“), za účelem nabízení obchodu nebo služeb a šíření obchodních sdělení, a to i elektronickou formou, zpracovávat a uchovávat osobní údaje Dodavatele v rozsahu osobních identifikačních a adresních údajů (zejména jméno, příjmení, datum narození, adresa trvalého pobytu), e-mailovou adresu, telefonní číslo a případně další údaje, které Dodavatel Odběrateli poskytne v souvislosti se Smlouvou (dále jen

„Osobní údaje“), a to po dobu trvání Smlouvy a 10 let od jejího ukončení jakýmkoliv způsobem. Osobní údaje budou zpracovávány v automatizovaně vedené databázi Odběratelem, případně zpracovatelem, se kterým Odběratel uzavře smlouvu. Dodavatel souhlasí, aby Odběratel zpřístupnil Osobní údaje ve výše uvedeném rozsahu a za výše uvedeným účelem třetím osobám, zejména členům skupiny Bayer a spolupracujícím organizacím, a to v EU i mimo ni.

17.2 Dodavatel v návaznosti na předcházející bod tohoto článku prohlašuje, že byl Xxxxxxxxxxx jako správcem seznámen s následujícím poučením: Dodavatel má právo přístupu k osobním údajům o něm zpracovávaným a právo na opravu těchto osobních údajů. Jestliže Xxxxxxxxx zjistí nebo se bude domnívat, že Odběratel nebo zpracovatel provádí zpracování osobních údajů Dodavatele, které je v rozporu s ochranou soukromého a osobního života Xxxxxxxxxx nebo v rozporu se zákonem, zejména budou-li osobní údaje nepřesné s ohledem na účel jejich zpracování, může Dodavatel požádat Odběratele nebo zpracovatele o vysvětlení a požadovat, aby Odběratel nebo zpracovatel odstranil takto vzniklý stav. Zejména se může jednat o blokování, provedení opravy, doplnění nebo likvidaci osobních údajů. Bude-li tato žádost Xxxxxxxxxx shledána oprávněnou, Odběratel nebo zpracovatel odstraní neprodleně závadný stav. Nevyhoví-li Odběratel nebo zpracovatel této žádosti Xxxxxxxxxx, má Dodavatel právo obrátit se na Úřad pro ochranu osobních údajů. Na tento Úřad se může Dodavatel se svým podnětem obrátit i přímo. Poskytnutí osobních údajů je dobrovolné.

17.3 V případě, že je Dodavatel právnickou osobou, použijí se předcházející body tohoto článku na údaje o takovém Dodavateli přiměřeně.

17.4 Dodavatel se zavazuje v potřebném rozsahu předem zabezpečit souhlas všech subjektů údajů, jejichž osobní údaje se při plnění Smlouvy nebo za účelem dosažení jejího účelu mají zpracovávat. V případě, že by při plnění Smlouvy mělo dojít k předání osobních údajů mezi Xxxxxxxxxxx a Dodavatelem, zavazují se smluvní strany ještě před započetím plnění takové Smlouvy uzavřít příslušnou dohodu o zpracování osobních údajů.

18. Povinnost mlčenlivosti

18.1 Dodavatel se zavazuje o všech informacích a skutečnostech, o nichž se dozví v průběhu plnění Smlouvy a v souvislosti s ní, a stejně tak o její existenci a obsahu (dále jen „Důvěrné informace“), zachovávat mlčenlivost. V případě nutnosti sdělit Důvěrnou informaci zaměstnancům, společníkům, akcionářům a odborným poradcům nebo jiné třetí osobě pro zajištění řádného

plnění Smlouvy je Dodavatel povinen zajistit předem

17. Personal data

17.1 If the Vendor is an individual, it hereby explicitly agrees that the Customer as the controller will process and store the Vendor’s personal data in the scope of its personal identification and address data (in particular its name, surname, date of birth, address of permanent residence), e-mail address, telephone number and eventually other data that the Vendor provides to the Customer in connection to the Contract (hereinafter the “Personal Data”) in accordance with the Act No. 101/2000 Coll., on personal data protection, as amended (hereinafter the “Act on personal data protection”) for the purpose of offering a business or services and distribution of commercial messages, also in electronic form, throughout the duration of the Contract and for a period of 10 years following the termination of the Contract by any means. The Personal Data will be processed in the automated database by the Customer or by the processor with whom the Customer concludes a contract. The Vendor agrees that the Customer may disclose the Personal Data in the aforementioned scope and for the aforementioned purpose to third parties, in particular members of the Bayer group and cooperating organisations, both within and outside the EU.

17.2 In connection to the previous point of this article, the Vendor declares that it was familiarised by the Customer as the controller with the following information: The Vendor has the right to access the personal data processed about it and the right to correction of these personal data. If the Vendor identifies or believes that the Customer or the processor performs the processing of the Vendor’s personal data contrary to the protection of the Vendor’s private and personal life or contrary to the law, in particular if the personal data are inaccurate with regard to the purpose of their processing, the Vendor can ask the Customer or the processor for an explanation and demand that the Customer or the processor eliminates such deficiencies. This may particularly concern blocking, correction, completion or liquidation of the personal data. If the Vendor’s request is deemed justified, the Customer or the processor will eliminate the deficiencies immediately. If the Customer or the processor does not accommodate the Vendor’s request, the Vendor has the right to contact the Office for Personal Data Protection. The Vendor may address this Office with its request also directly. The provision of personal data is voluntary.

17.3 If the Vendor is a legal entity, the previous points of this article shall apply to the data of such Vendor as appropriate.

17.4 The Vendor undertakes to obtain in advance the consent of all persons whose personal data is to be processed during the fulfilment of the Contract or for the purpose of achieving this fulfilment. Should the personal data be handed over between the Customer and Vendor during the fulfilment of the Contract, the contractual parties undertake that before commencing the fulfilment of such Contract, they will conclude an appropriate agreement on personal data processing.

18. Nondisclosure obligation

18.1 The Vendor undertakes to keep confidential all information and facts it learns during the course of fulfilment of the Contract and in relation thereto, and about its existence and content (hereinafter the “Confidential Information”). If it is necessary to disclose the Confidential Information to employees, partners, shareholders and expert advisors or another third party in

order to ensure the due fulfilment of the Contract, the

mlčenlivost každé takové osoby nejméně v rozsahu stanoveném v těchto VOP pro Dodavatele. Toto omezení se nevztahuje na informace, které

a) jsou veřejně známé;

b) se stanou veřejně známými jinak, než z důvodu porušení povinnosti;

c) jsou oprávněně v dispozici Dodavatele před jejich poskytnutím Dodavateli;

d) Dodavatel získá od třetí osoby, která není povinna zachovávat mlčenlivost.

18.2 Dodavatel je oprávněn zpřístupnit Důvěrné informace v rozsahu, v němž je to požadováno příslušnými zákonnými ustanoveními nebo ze strany soudů či správních orgánů.

18.3 V případě porušení povinnosti mlčenlivosti stanovené v tomto článku je Dodavatel povinen uhradit Odběrateli smluvní pokutu ve výši 100.000,- Kč za každý jednotlivý případ porušení. Nárok na smluvní pokutu se nijak nedotýká nároku Odběratele na náhradu škody ani její výše.

18.4 Povinnosti Dodavatele a ujednání smluvních stran sjednané v tomto článku VOP trvají po dobu účinnosti Smlouvy a 10 let po jejím zániku.

18.5 V případě, že Smlouva podléhá zveřejnění dle zákona č. 340/2015 Sb., o registru smluv („Zákon o registru“), uplatní se následující ujednání. Smluvní strany se zavazují v elektronické podobě Smlouvy před jejím zasláním do registru znečitelnit a v registru zajistit neuveřejnění ustanovení, která obsahují obchodní tajemství Odběratele, obchodní tajemství Dodavatele a veškeré osobní údaje fyzických osob. Dodavatel se zavazuje nejpozději při uzavření Xxxxxxx informovat Xxxxxxxxxx o tom, která ustanovení Smlouvy obsahují obchodní tajemství Dodavatele, jinak se má za to, že Xxxxxxx obchodní tajemství Dodavatele neobsahuje. Znečitelnění výše uvedených údajů a zaslání Xxxxxxx do registru provede Odběratel, pokud mezi smluvními stranami nebude sjednáno jinak. Bez ohledu na ujednání v předchozí větě je Dodavatel oprávněn zaslat Smlouvu do registru vždy pouze po předchozím písemném schválení její konečné podoby Odběratelem; v opačném případě je Dodavatel povinen uhradit Odběrateli smluvní pokutu 50.000,- Kč za každý jednotlivý případ porušení; smluvní pokuta se nijak nedotýká nároku Odběratele na náhradu škody. Pokud je dle Zákona o registru účinnost Smlouvy vázána na zveřejnění v registru, pak tato účinnost nastává takovým zveřejněním bez ohledu na jakákoliv jiná ustanovení Smlouvy.

19. Kodex transparentní spolupráce AIFP

19.1 V případě, že plnění dle Smlouvy podléhá zveřejnění dle Kodexu transparentní spolupráce AIFP (Asociace inovativního farmaceutického průmyslu), Dodavatel si je vědom, že Odběratel zveřejní na centrální webové stránce koncernu BAYER a/nebo na webové stránce xxx.xxxxxxxxxxxxxxxxxxxxxxx.xx vlastněné a provozované AIFP veškeré platby a jiná plnění, tj. platby realizované Odběratelem na základě Smlouvy.

- Pokud je Dodavatel právnická osoba, bere na vědomí a tímto souhlasí s tím, že platby a jiná plnění budou zveřejněny na individuální bázi, uvádějící jméno, adresu a, pokud se uplatní, individuální identifikační číslo Dodavatele.

- Pokud je Dodavatel fyzická osoba, uplatní se

Vendor is obliged to ensure in advance the nondisclosure obligation of every such party at least in the same scope as that stipulated in these GBT for the Vendor. This restriction does not apply to information which

a) is publicly known;

b) becomes publicly known otherwise than by violation of obligation;

c) is rightfully available to the Vendor before its provision to the Vendor;

d) the Vendor obtains from a third party that is not bound by a nondisclosure obligation.

18.2 The Vendor is authorised to disclose the Confidential Information in the scope in which required by the relevant legal regulations or by the courts or administrative authorities.

18.3 In the event of violation of the nondisclosure obligation stipulated in this article, the Vendor is obliged to pay the Customer a contractual penalty of CZK 100,000.- for every individual case of violation. The claim to the contractual penalty does not affect in any way the Customer’s claim to compensation of damages and its amount.

18.4 The Vendor’s obligations and provisions of the contractual parties agreed in this article of the GBT are effective throughout the effective term of the Contract and for 10 years following its termination.

18.5. If the Contract is subject to publication under the Act no. 340/2015 Coll., on Contract Registry („Registry Act“), the following arrangements shall apply. The contractual parties undertake to blank out in the electronic form of the Contract before sending it to the registry and to ensure the non-publication in the registry of the provisions that contain the Customer trade secret, the Vendor trade secret and all the personal data of natural persons. The Vendor shall inform the Customer on which provisions of the Contract contain the Vendor`s trade secret at the latest along with the conclusion of the Contract, otherwise it is considered that the Contract does not contain any Vendor`s trade secret. The blanking out of the data above and sending the Contract to the registry shall be done by the Customer, unless agreed otherwise between the contractual parties. Irrespective of the arrangements in the previous sentence, the Vendor is entitled to send the Contract to the registry only after the previous written approval of its final version by the Customer; otherwise the Vendor shall pay the Customer a contractual penalty of CZK 50,000.- for each individual case of breach; the contractual penalty does not affect in any way the Customer`s right to compensation of damages. If the effectiveness of the Contract is bound to the publication in the registry pursuant to the Registry Act, the Contract shall become effective upon such publication, irrespective of any other provisions of the Contract.

19. AIFP Transparency Code

19.1 If fulfilment under the Contract is subject to publication according to the Transparency Code of AIFP (Association of Innovative Pharmaceutical Industry), the Vendor is aware that the Customer will publish on the central web site of the BAYER group and/or on the web site xxx.xxxxxxxxxxxxxxxxxxxxxxx.xx owned and operated by AIFP any transfer of value, i.e. the payments made by the Customer under the Contract.

- If the Vendor is a legal entity, it is aware and hereby agrees that the transfers of value will be published on an individual basis, mentioning the name, address and, if applicable, a unique identification number of the Vendor.

- If the Vendor is a natural person, the following shall

následující: Jestliže Xxxxxxxxx souhlasil s takovým zveřejněním, platby a jiná plnění budou zveřejněny na individuální bázi, uvádějící jméno, adresu, a pokud se uplatní, individuální identifikační číslo Dodavatele. Pokud Dodavatel nesouhlasil s takovým zveřejněním, nebo pokud se Dodavatel rozhodne odvolat takový souhlas, budou platby a jiná plnění zveřejněny anonymizovaným způsobem, tj. na agregované úrovni.

19.2 Následující ustanovení tohoto článku se použijí, pokud při plnění dle Smlouvy může docházet k poskytování plateb a jiných plnění Dodavatelem třetím stranám, které podléhají zveřejnění dle Kodexu transparentní spolupráce AIFP.

19.3 Dodavatel souhlasí, že bude Odběrateli nebo některé z koncernových společností Bayer hlásit následující platby a jiná plnění, na něž se vztahuje Kodex transparentní spolupráce AIFP. Jedná se o jakékoliv platby a jiná plnění provedené za Odběratele, ať už k propagačním či jiným účelům, v souvislosti s vývojem a prodejem humánních léčivých přípravků vydávaných pouze na lékařský předpis. V souvislosti se Smlouvou jsou relevantní následující platby a jiná plnění:

a. platby provedené za Odběratele Dodavatelem zdravotnickým odborníkům (HCP) a zdravotnickým organizacím (HCO) s hlavní praxí nebo se sídlem v České republice;

b. jakékoliv výdaje na dopravu a ubytování HCP ve spojení s jakoukoliv aktivitou, na kterou se vztahuje Kodex transparentní spolupráce AIFP (účast na akcích nebo souvislost se službami poskytovanými Odběratelem); a

c. jakékoliv registrační poplatky, účastnické poplatky nebo obdobné poplatky, uhrazené HCP nebo HCO s hlavní praxí nebo se sídlem v České republice.

19.4 Za účelem usnadnění takového hlášení poskytne Odběratel Dodavateli formulář hlášení – přednostně v elektronické podobě – který je třeba použít, aby byly shora uvedené informace poskytnuty dostatečně podrobně. Částky musí být ve formuláři hlášení uvedeny jako čisté částky. Faktura poskytnutá Dodavatelem Odběrateli musí být rozdělena podle příslušné objednávky a formuláře hlášení. Vyplněný formulář hlášení musí být předán spolu s fakturou předloženou Xxxxxxxxxx Dodavatelem na základě Xxxxxxx. Položky faktury a vyplněný formulář hlášení musí být v souladu, tj. podrobné rozdělení nákladů v hlášení musí odpovídat celkovým čistým částkám uvedeným na faktuře za každou položku. Stejná pravidla se uplatní na kterýkoliv dobropis vystavený Dodavatelem. V případě, že si plnění Smlouvy ve výsledku nevyžádá poskytování plateb a jiných plnění Dodavatelem třetím stranám, které podléhají zveřejnění dle Kodexu transparentní spolupráce AIFP, je Dodavatel povinen doručit Odběrateli písemné potvrzení této skutečnosti či nulový formulář hlášení, a to nejpozději spolu s fakturou předloženou Odběrateli Dodavatelem na základě Smlouvy. V takovém případě se následující ustanovení tohoto článku neuplatní.

19.5 Pro splatnost a provádění plateb je rozhodující den, kdy Odběratel obdrží nerozporovanou fakturu a odpovídající kompletní formulář hlášení. Faktury budou zasílány na adresu sídla Odběratele. Vyplněný formulář hlášení bude zaslán do Centra sdílených služeb Bayer. E-mailová adresa bude poskytnuta Xxxxxxxxxx spolu s formulářem hlášení. Pokud není platnými právními předpisy stanoveno jinak, je Odběratel v následujících případech oprávněn zadržet platby za Služby:

- Faktura není v souladu s požadavky uvedenými výše;

apply: If the Vendor has consented to such publication, the transfers of value will be published on an individual basis, mentioning the name, address and, if applicable, a unique identification number (e.g. professional code). If the Vendor has not consented to such publication, or if the Vendor chooses to revoke such consent, the transfers of value will be published in an anonymized way, i.e. on aggregated level.

19.2 The following provisions of this article shall apply if the performance of the Contract may lead to the transfers of value by the Vendor to the third parties, which are subject to publication according to the AIFP Transparency Code.

19.3 The Vendor agrees to report to Customer or to any of its Affiliates the following transfers of value that are covered by the AIFP Disclosure Code. This includes any transfer of value that is made on behalf of the Customer, whether for promotional purposes or otherwise, in connection with the development and sale of prescription-only Medicinal Products exclusively for human use. The relevant transfers of value in connection with the Contract are the following:

a. the payments made by the Vendor to Healthcare Professionals (HCPs) and Health Care Organizations (HCOs) with primary practice or seat in the Czech Republic on behalf of the Customer;

b. any costs for travel and accommodation of HCPs in connection with any activity covered by the AIFP Disclosure Code (participation in events or in connection with services provided to the Customer) and

c. any congress registration or participation fees or alike covered for HCPs or HCOs with primary practice or seat in the Czech Republic.

19.4 In order to facilitate such reporting, the Customer will provide the Vendor with a reporting template – preferably in an electronic version – which needs to be used to provide the abovementioned information in the necessary level of detail. Amounts are to be stated as net amounts in the reporting template. The invoice provided by the Vendor to the Customer for the services provided needs to be split according to the respective purchase order and reporting template. The filled reporting template is to be provided together with invoices submitted by the Vendor to the Customer based on the Contract. The invoice items and the completed reporting template must be consistent,

i.e. the detailed cost split in the report must match with the total net amounts stated in the invoice per item. The same rules shall apply to any credit note that is issued by the Vendor. In case that the performance of the Contract finally does not require the transfers of value by the Vendor to the third parties, which are subject to publication according to the Transparency Code of AIFP, the Vendor shall deliver to the Customer a written confirmation of this fact, or the zero reporting template, namely at the latest along with the invoice submitted by the Vendor to the Customer based on the Contract. In such case the following provisions of this Article shall not apply.

19.5 The maturity period and payments shall be based on the date both an undisputed invoice and a corresponding complete reporting template are received by the Customer. Invoices shall be sent to the address of the Customer`s registered office. The completed reporting template shall be sent to Bayer’s Shared Service Center. The e-mail address will be provided to the Vendor together with the template. Unless regulated differently by applicable laws, the Customer is entitled to withhold payments for services in the following cases:

- The invoice is not in line with the requirements

- Není předán formulář hlášení; a/nebo

- Údaje ve formuláři hlášení a ve faktuře nejsou v souladu, tj. podrobné rozdělení nákladů v hlášení neodpovídá celkovým čistým částkám uvedeným na faktuře.

19.6 Dodavatel rovněž souhlasí, že bude při předávání relevantních informací Odběrateli dodržovat veškeré platné právní předpisy a pravidla týkající se ochrany údajů. Dodavatel prohlašuje a potvrzuje, že HCO, jejichž informace mají být Dodavatelem Odběrateil předány, souhlasí s takovým předáním a se zveřejněním informací dle Kodexu transparentní spolupráce AIFP.

19.7 Dodavatel se zavazuje ověřit u Odběratele, zda daný zdravotnický odborník podepsal pro Odběratele formulář souhlasu pro zveřejňování plateb dle Kodexu transparentní spolupráce AIFP; v případě, že Odběratel dosud nemá od daného zdravotnického odborníka formulář souhlasu podepsaný, zavazuje se Dodavatel poskytnout Odběrateli veškerou potřebnou součinnost pro zajištění podpisu formuláře souhlasu zdravotnickým odborníkem. V případě, že Xxxxxxxxx uzavírá se zdravotnickými odborníky písemné smlouvy, Odběratel doporučuje do nich včlenit následující doložky:

- Kodex transparentní spolupráce AIFP požaduje zveřejnění veškerých plateb a jiných plnění zdravotnickým odborníkům a zdravotnickým organizacím. Veškeré platby a jiná plnění podle této smlouvy jsou poskytovány [Smluvnímu partnerovi (HCP)] za společnost BAYER s.r.o., IČ: 00565474, se sídlem Praha 5 - Stodůlky, Siemensova 2717/4, PSČ 155 00 (“BAYER”). [Smluvní partner (HCP)] souhlasí, že [Agentura] může uchovávat, zpracovávat a předávat společnosti BAYER nebo kterékoliv koncernové společnosti Bayer následující informace (uvedením osobních údajů [Smluvního partnera (HCP)] zahrnujících celé jméno a adresu hlavní praxe), za podmínky, že relevantní platby a jiná plnění spadají do působnosti Kodexu transparentní spolupráce AIFP:

(1) Platby provedené [Agenturou] na základě této Smlouvy, které BAYER uhradí a

(2) veškeré výdaje na cestu a ubytování [Smluvního partnera (HCP)], které BAYER uhradí a

(3) veškeré kongresové registrační poplatky, účastnické poplatky nebo obdobné poplatky, které BAYER uhradí.

- BAYER zveřejní takové informace na individuální bázi pouze, pokud [Smluvní partner (HCP)] udělil vůči společnosti BAYER souhlas k takovému zveřejnění. Pokud tento souhlas nebyl udělen, informace bude anonymizována a hlášena pouze na agregované úrovni. Platby a jiná plnění, která spadají pod „výzkum a vývoj“, budou vždy hlášeny na agregované úrovni.

19.8 Pro naplnění všech požadavků zákona se Dodavatel zavazuje před započetím realizace výše uvedených ustanovení uzavřít s Odběratelem smlouvu o zpracování osobních údajů, kterou Xxxxxxxxx předloží Dodavateli.

19.9. V případě rozporu mezi Smlouvou a tímto bodem VOP mají ustanovení tohoto bodu VOP přednost.

20. Závěrečná ustanovení

20.1 Právní vztahy vyplývající ze Smlouvy, včetně těchto VOP, se řídí právním řádem České republiky, zejména zákonem

- The data in the reporting template and in the invoice are not consistent, i.e. the detailed cost split in the template does not match the total net amounts stated in the invoice.

19.6 The Vendor also agrees to observe all applicable laws and regulations concerning data protection when transferring the relevant information to the Customer. The Vendor declares and confirms that HCOs, the information of which shall be transferred by the Vendor to the Customer, agree to such transfer and to publishing under the AIFP Transparency Code.

19.7 The Vendor shall verify with the Customer if the respective HCP signed for the Customer the consent form for disclosure of transfers of value pursuant to AIFP Disclosure Code; in case the Customer doesn`t have the consent form signed yet by the respective HCP, the Vendor shall provide to the Customer any necessary assistance for ensuring a signature of the consent form by the HCP. In case that the Vendor concludes written agreements with HCPs, the Customer recommends to include the following clauses therein:

- The EFPIA Disclosure Code demands the disclosure of all Transfers of Value to Healthcare Professionals and Health Care Organizations. All Transfers of Value under this Agreement are provided to [Contract partner (HCP)] on behalf of BAYER s.r.o., ID No.: 00565474, with its seat at Praha 5 - Stodůlky, Siemensova 2717/4, PSČ 155 00 (“BAYER”). [Contract partner (HCP)] agrees that [Agency] may store, process and transmit to BAYER or any of its affiliated companies (by stating [Contract partner (HCP)]’s personal information, including full name and address of primary practice), the following information, provided that the relevant Transfers of Value fall under the scope of the EFPIA Disclosure Code:

(1) the payments made by [Agency] under this Agreement which BAYER has covered and

(2) any costs for travel and accommodation of [Contract partner (HCP)] which BAYER has covered and

(3) any congress registration or participation fees or alike which BAYER has covered.

- BAYER will only publish such information on an individual basis, if [Contract partner (HCP)] has consented to such publication vis-à-vis BAYER. If such consent is not given, the information will be anonymized and reported on an aggregate level. Transfers of value that fall under “Research and Development” will in any case be reported on an aggregate level.

19.8 To comply with requirements of law, the Vendor before initiating the implementation of the provisions above shall conclude with the Customer the agreement on personal data processing which will be submitted to the Vendor by the Customer.

19.9. In case of discrepancies between the Contract and this point of GBT the provisions of this point of GBT shall prevail.

20. Final provisions

20.1 The legal relationships arising from the Contract, including these GBT, are governed by the laws of the Czech

č. 89/2012 Sb., občanský zákoník, v platném znění.

20.2 Jestliže některé ustanovení Smlouvy a/nebo těchto VOP je nebo se stane neplatným, zůstávají ostatní ustanovení Smlouvy, resp. těchto VOP platná.

20.3 Odstoupení od Xxxxxxx se nedotýká nároku Odběratele na náhradu škody, nároku na smluvní pokutu, ani ustanovení Smlouvy a těchto VOP, z jejichž povahy vyplývá, že mají trvat i po ukončení Smlouvy.

20.4 Všechny spory vzniklé v souvislosti s těmito VOP či Smlouvou budou rozhodovány u věcně příslušného soudu České republiky. Odběratel a Dodavatel se dohodli na místní příslušnosti v souladu s § 89a občanského soudního řádu následovně: Místně příslušnými jsou soudy dle sídla Odběratele.

20.5 Tyto VOP jsou vyhotoveny v českém a anglickém znění. V případě nesrovnalostí mezi českou a anglickou verzí je česká verze rozhodující.

Republic, in particular by the Act No. 89/2012 Coll., Civil Code, as amended.

20.2 Should any provision of the Contract and/or these GBT be or become invalid, the remaining provisions of the Contract, respectively these GBT shall remain valid.

20.3 Withdrawal from the Contract does not affect the Customer’s claim to compensation of damages, claim to a contractual penalty, or the provisions of the Contract and these GBT the nature of which indicates that they shall remain valid even upon termination of the Contract.

20.4 All disputes arising in connection to these GBT or the Contract shall be resolved by the competent court of the Czech Republic. The Customer and the Vendor have agreed on a local jurisdiction in accordance with Section 89a of the Civil Procedure Code as follows: The courts according to the Customer’s registered office have local jurisdiction.

20.5 These GBT are made in the Czech and English wording. In case of any discrepancies between the Czech and English version, the Czech version shall prevail.
