KG, FlachsmarktstraBe 0, 00000 Xxxxxxxx, Xxxxxxx ("PHOENIX CONTACT") and PHOENIX CONTACT s.r.o., Námestie Xxxxxx Xxxxxxx 0, 000 00 Xxxxxxxxxx, SLOVAKIA ("PHOENIX CONTACT SUBSIDIARY") and Slovak University of Technology in Bratislava, Faculty of Electrical Engineering and Information Technology, Institute of Robotics and Cybernetics, represented by prof. Dr. Xxx. Xxxxx Xxxxxx, Xxxxxxxxxx 0, 00000 Xxxxxxxxxx, Xxxxxxxx ("UNIVERSITY") - hereinafter individually or jointly referred to as "CONTRACTUAL PARTNER" - acknowledge the following terms and conditions of the PHOENIX CONTACT EduNet Program ("ACKNOWLEDGEMENT"):
"EduNet" (PHOENIX CONTACT International Education Network) is a network of domestic and international universities and PHOENIX CONTACT locations for promoting research and science in the technology fields Automation and Network Technology. The objective of EduNet is the transfer of knowledge as regards industry- suitable automation technologies to present and future users.
1. PHOENIX CONTACT will provide the UNIVERSITY with a training package along with the required hardware and software as well as training material according to Annex 1 (hereinafter "BASIC EQUIPMENT")to enable the UNIVERSITY professors to teach the PHOENIX CONTACT technology to UNIVERSITY students, both in theory and in practice. The BASIC EQUIPMENT shall be provided to the UNIVERSITY by PHOENIX CONTACT free of charge for the specific purpose of teaching and research activities.
2. The up-date and extension of the BASIC EQUIPMENT will be provided by PHOENIX CONTACT SUBSIDIARY according to the terms and conditions separately agreed between the UNIVERSITY and PHOENIX CONTACT SUBSIDIARY.
3. XXXXXXX CONTACT undertakes to train and inform the UNIVERSITY'S designated professors and lecturers product-specifically. XXXXXXX CONTACT will also provide the UNIVERSITY with technical support as may be necessary.
4. The UNIVERSITY will independently run a lab with PHOENIX CONTACT technologies (hereinafter referred to as "EduNet Lab"). The UNIVERSITY will be responsible for the proper operation of the EduNet-Lab.
5. The EduNet-Lab can be used within existing and new courses of the university. In addition, the EduNet-Lab can be used for internal and external university and industry trainings. Internal university trainings are aimed at students and co-workers of the UNIVERSITY.
6. The UNIVERSITY undertakes to provide written evidence of the number of realized lectures and trainings by including the number of participants every calendar year in April.
7. XXXXXXX CONTACT will invite the UNIVERSITY at least once every calendar year to an Annual EduNet Conference in Europe, Asia or the United States of America. The participation in the Annual EduNet Conferences is free of charge. The UNIVERSITY only has to bear travel and accommodation costs as well as any expenses of its employees.
8. The UNIVERSITY may participate in at least one of the Annual EduNet Conferences and in the trainings provided by PHOENIX CONTACT and/or PHOENIX CONTACT SUBSIDIARY according to section 3.
9. At the Annual EduNet Conferences, all partners of EduNet shall determine the current minimum standard of the EduNet lab as well as the training contents of the universities. The current minimum standards can be suggested by every EduNet partner.
10. The UNIVERSITY will designate a person who is responsible to coordinate the EduNet activities and who has a good command of English to enable a proper exchange of knowledge with the other EduNet partners within the EduNet program.

11. For the development of EduNet, the UNIVERSITY undertakes to report successful works and findings to PHOENIX CONTACT also between the annual conferences and to make them available to the EduNet network (e
g. upload in the moodle-based EduNet Learning Management System (ELMS)).
12. Publications in direct relation with EduNet during the duration of EduNet have to be coordinated with PHOENIX CONTACT in advance. PHOENIX CONTACT will not refuse its written consent to a publication without cause. If PHOENIX CONTACT does not object to a publication (original text) presented to it within four weeks after receiving the complete documentation the approval shall be deemed granted.
13. The transmission, assignment or transfer of use (also temporarily) of intellectual property rights, trade marks, brands, copyrights, patents of the CONTRACTUAL PARTNERS and/or licences is not subject of this ACKNOWLEDGEMENT and cannot be derived from this ACKNOWLEDGEMENT.
14. This ACKNOWLEDGEMENT shall become effective with the signature of the CONTRACTUAL PARTNER signing last and shall remain in force for an indefinite period. Each CONTRACTUAL PARTNER may ordinarily terminate it in writing by observing a period of notice of three months to the end of the calendar month (as prerequisite for effectiveness). The right to a termination without notice for good cause shall remain unaffected.
15. The ACKNOWLEDGEMENT shall exclusively be governed by German law. German law shall also apply to current and future debt obligations covered by Regulation (EC) no. 864/2007 (Rome II) on the law applicable to non-contractual debt obligations. The provisions of the Vienna UN Convention of 11 April 1980 on Contracts for the International Sale of Goods (CISG) shall be excluded.
16. Any disputes arising out of or in connection with the ACKNOWLEDGEMENT or its validity shall be finally settled in accordance with the rules of arbitration of the German Institution of Arbitration (DIS) without recourse to the ordinary courts of law. The place of arbitration shall be Cologne, Germany. Notwithstanding the aforementioned, the CONTRACTUAL PARTNERS shall be entitled to apply for proceedings within the relief at the state-run courts. The arbitration court shall consist of three arbitrators. The language of the arbitration proceedings shall be English.
