Všeobecné obchodní podmínky / General Business Terms and Conditions

Komerční banka, a. s., vydává tyto všeobecné obchodní podmínky (dále jen „VOP“), které upravují základní pravidla obchodních vztahů mezi Bankou a Klienty při poskytování Bankovních služeb. Seznamte se prosím důkladně s tímto dokumentem. Vaše případné dotazy rádi zodpovíme.

1.Úvodní ustanovení

1.1Komerční banka, a. s., je právnická osoba vykonávající činnost na základě bankovní licence udělené jí podle příslušných právních předpisů.

Činnost Banky podléhá dohledu ze strany ČNB.

1.2Banka poskytuje Bankovní služby zpravidla v Klientově obchodním místě, v Obchodních dnech a v jejích provozních hodinách.

1.3Banka nemá povinnost vstoupit s Klientem do smluvního vztahu nebo mu poskytnout Bankovní službu. Banka je oprávněna vázat poskytování Bankovních služeb na předložení potřebných dokumentů a informací.

2.Smluvní dokumentace

2.1Výčet Smluvních dokumentů. Kromě VOP vydává Banka Produktové podmínky, které upravují podmínky poskytování vybraných Bankovních služeb. Další podmínky a informace o poskytování Bankovních služeb včetně platebního styku jsou uvedeny v příslušných Oznámeních. Ceny za poskytované Bankovní služby a za úkony s Bankovními službami související jsou stanoveny v Sazebníku. VOP, Produktové podmínky pro příslušnou Bankovní službu, Oznámení pro příslušnou Bankovní službu a Sazebník (v rozsahu relevantním k příslušné Bankovní službě) tvoří část obsahu Smlouvy (dále jen „Smluvní dokumenty“).

2.2V případě, kdy k uzavření Smlouvy dojde v období mezi dnem, kdy Banka zpřístupnila návrh změny některého ze Smluvních dokumentů a navrhovaným dnem jeho účinnosti dle článku 31 VOP, považuje se od navrhovaného dne účinnosti za nedílnou součást Smlouvy měněný Smluvní dokument ve znění navrhovaných změn.

2.3Hierarchie Smluvních dokumentů. Ujednání Xxxxxxx mají přednost před odchylnými ujednáními Smluvních dokumentů. Ustanovení Produktových podmínek mají přednost před odchylnými ustanoveními VOP, Oznámení a Sazebníku. Ustanovení Oznámení a Sazebníku mají přednost před odchylnými ustanoveními VOP.

2.4Klient se zavazuje, že osoby, které za Klienta využívají Bankovní služby, budou vždy řádně seznámeny s příslušnou Smlouvou, Smluvními dokumenty a dalšími dokumenty, které se k dané Bankovní službě vztahují.

2.5Povinné zveřejňování Smluv. Nesplní-li Klient zákonnou¹ či smluvní povinnost uveřejnit Smlouvu, je Banka oprávněna ji uveřejnit příslušným způsobem sama. Klient je povinen nahradit Bance škodu, která jí vznikne v důsledku porušení povinnosti Klienta dle předchozí věty.

3.Identifikace klienta a předkládání dokumentů

3.1Identifikace osob. Před poskytnutím i v průběhu poskytování Bankovní služby je Banka oprávněna žádat o identifikační doklady, další doplňující dokumenty a informace nutné k jejímu poskytnutí a k řádné identifikaci a kontrole Klienta, osob oprávněných jednat za Klienta, ke zjištění vlastnické a řídící struktury a Skutečného majitele Klienta a dále k určení, zda Klient a Skutečný majitel Klienta je či není Politicky exponovanou osobou nebo Sankcionovanou osobou. Banka je oprávněna stanovit specifické podmínky pro určení Skutečného majitele Klienta.

3.2Banka je oprávněna stanovit rozsah vyžadovaných dokumentů a informací. Banka je v rámci plnění svých povinností vyplývajících z právních a vnitřních předpisů² povinna provádět identifikaci a kontrolu Klientů, plnit svou informační povinnost, zjišťovat a zpracovávat údaje o účastnících Bankovní služby, vést evidenci takto získaných údajů, to vše v souladu se smluvními ujednáními a právními předpisy.³

3.3Pořízení kopií dokumentů. Banka je oprávněna pořídit si pro vlastní potřebu kopie předložených dokumentů.

3.4Záznamy komunikace. V souladu s právními předpisy upravujícími poskytování investičních služeb jsou všechny klientské telefonické hovory nahrávány a elektronická komunikace je zaznamenávána, přičemž kopie záznamů hovorů a komunikace jsou na vyžádání k dispozici po dobu pěti let nebo na žádost příslušného orgánu po dobu až sedmi let. Banka je oprávněna uchovávat telefonické nahrávky a elektronickou komunikaci i po delší dobu, pokud ji k tomu opravňují právní předpisy. Záznamy komunikace jsou pořizovány a uchovávány i tehdy, pokud k uzavření obchodu nebo poskytnutí investiční služby nedošlo.

3.5Klient se zavazuje přijmout taková opatření a počínat si tak, aby se nedopustil sám nebo prostřednictvím jiné osoby jednání, které by mohlo být vnímáno jako přijetí úplatku, podplácení či nepřímé úplatkářství dle příslušného právního předpisu.⁴

4.Informační povinnost

4.1Informační povinnost Banky. VOP, Produktové podmínky, Oznámení, Sazebník a kurzovní lístek Banka uveřejňuje v obchodních místech a na internetových stránkách Banky.

4.2Informační povinnost Klienta. V zájmu zabezpečení řádného poskytování Bankovních služeb je Klient povinen Banku bez zbytečného odkladu informovat o:

1. změně svých kontaktních, identifikačních a doplňujících údajů sdělených Bance dle článku 3.2 VOP, jakož i údajů osob jednajících za něj a Skutečného majitele,

2. jakékoli skutečnosti, která z Klienta může činit Xxxxx se zvláštním vztahem k Bance,

3. změně skutečností určujících status Politicky exponované osoby, Americké osoby nebo změně země daňové rezidence,

4. dalších změnách a skutečnostech, které mají nebo mohou mít podstatný vliv na poskytování Bankovních služeb, na plnění povinností Klienta vůči Bance a dále na právní postavení Klienta (například vstup do likvidace, zahájení insolvenčního řízení, omezení svéprávnosti a podobně) nebo osob jednajících za Klienta nebo na Skutečného majitele,

5. ztrátě dokumentů zásadního významu v souvislosti s poskytováním Bankovních služeb, jakož i dokladů identifikujících Klienta nebo osoby jednající za Klienta.

4.3Na žádost Banky je Klient povinen prokázat a doložit původ a zdroj peněžních prostředků, jakož i sdělit Bance veškeré informace a prokázat skutečnosti, které je Banka povinna zjišťovat, včetně doložení účelu a povahy příslušné transakce nebo obchodního vztahu.

4.4Klient je dále povinen Bance sdělit a prokázat údaje a skutečnosti, které může Banka požadovat pro daňové, účetní či jiné regulatorní účely. V případě, že se Klient v souvislosti s využíváním Bankovních služeb účastní přeshraničního uspořádání, které podléhá oznamovací povinnosti na základě příslušné regulace týkající se daní⁵, je povinen o této skutečnosti Banku bez odkladu informovat.

4.5Pravost a správnost předkládaných dokumentů. Banka jedná v důvěře v pravost a pravdivost předložených dokladů, dokumentů a poskytnutých informací, přičemž není povinna je přijmout, má-li o nich odůvodněné pochybnosti.

4.6Základní registry a informační systémy veřejné správy. Informace, které Banka získá v rámci realizace svého práva využívat údaje ze základních registrů a informačních systémů veřejné správy,⁶ jsou rovnocenné s informacemi, které jí sdělí a řádně doloží Klient anebo k tomu oprávněná třetí osoba. Banka je oprávněna dle těchto informací provést příslušná právní jednání ve vztahu k poskytovaným Bankovním službám, včetně jejich změn či ukončení.

5.Jednání klienta a banky

5.1Způsob jednání Klienta. Klient jedná ve vztahu k Bance buď osobně, nebo prostřednictvím Jednající osoby nebo prostřednictvím Zmocněnce. Banka může v konkrétním případě akceptovat, že za Klienta v uvedeném rozsahu jednají i jiné osoby, a to v souladu s právními předpisy a v požadované formě. Banka je oprávněna stanovit, že některá jednání vůči Xxxxx je Klient povinen učinit osobně, resp. prostřednictvím Jednající osoby. Pokud je členem statutárního orgánu Klienta právnické osoby jiná právnická osoba, zastupuje tohoto člena statutárního orgánu Klienta vůči Bance buď (i) pouze fyzická osoba, která byla zmocněna touto právnickou osobou, aby ji ve statutárním orgánu Klienta zastupovala, nebo (ii) člen statutárního orgánu této jiné právnické osoby, je-li jím fyzická osoba.

5.2Banka je oprávněna ověřovat oprávnění osoby jednající za Klienta a odmítnout či pozdržet provedení jakéhokoli příkazu či žádosti do doby, než bude považovat za nepochybné, že daná osoba je skutečně oprávněna za Klienta v dané věci jednat. Banka je dále oprávněna odmítnout či pozdržet provedení jakéhokoli příkazu či žádosti v případě, že jí nebudou předloženy všechny nezbytné dokumenty (zejména souhlasy, schválení, čestná prohlášení) nezbytné pro poskytnutí Bankovní služby nebo nebudou-li tyto dokumenty obsahovat požadované náležitosti či dostatečně prokazovat příslušné skutečnosti.

5.3Náležitosti plné moci. Podpis Klienta na plné moci musí být úředně ověřen nebo učiněn před zaměstnancem Banky nebo jiným Bankou akceptovatelným způsobem. Banka je oprávněna k některým úkonům vyžadovat speciální plnou moc. V případech, kde tak vyžaduje právní předpis, musí být plná moc udělená ve formě notářského zápisu či jiné požadované formě.

5.4Způsob jednání Banky. Banka jedná prostřednictvím svých zaměstnanců či třetích osob, které jsou k danému jednání řádně zmocněné či jejichž oprávnění jednat za Banku vyplývá z právních předpisů. Tam, kde to bude Banka považovat za vhodné, je oprávněna nahradit podpis osob oprávněných jednat za Banku tištěnými nebo mechanickými prostředky, zejména v případě hromadné či automaticky generované korespondence.

5.5Ověření podpisu. Podpis Klienta nebo osob jednajících za Klienta na dokumentech, kterými dochází ke vzniku, změně nebo zániku smluvního vztahu s Bankou, jakož i na odmítnutí změny VOP či jiného Smluvního dokumentu dle článku 31 VOP, musí být učiněn před zaměstnancem Banky nebo musí být úředně ověřen, pokud v konkrétním případě Banka neakceptuje jiný způsob ověření (např. prostřednictvím služby přímého bankovnictví). Dokumenty zasílané Bance prostřednictvím informačního systému datových schránek musí být Klientem nebo osobami jednajícími za něj podepsány jejich uznávaným elektronickým podpisem,⁷ neakceptuje-li Banka v konkrétním případě jinak. Banka je oprávněna určit dokumenty, které je třeba podepsat v souladu s Podpisovým vzorem, má-li ho Klient zřízen.

5.6Nezpůsobilost právně jednat. Pokud se v očekávání vlastní nezpůsobilosti Klient rozhodne projevit vůli k tomu, aby jeho záležitosti byly spravovány určitým způsobem nebo určitou osobou, musí Klient takovou vůli projevit vůči Bance ve formě veřejné listiny.

5.7Osoba jednající za Klienta je povinna při tomto jednání vůči Bance dodržovat veškerá omezení a podmínky pro jeho zastupování, jež pro ni vyplývají z příslušných právních předpisů, z rozhodnutí soudu či jiných státních orgánů nebo z pokynů Klienta. V opačném případě je tato osoba povinna nahradit Bance škodu, která jí vznikne v důsledku porušení této povinnosti.

5.8Byl-li Klient omezen ve svéprávnosti, je povinen předložit Bance bez zbytečného odkladu pravomocné soudní rozhodnutí nebo výpis z registru obyvatel osvědčující jeho opětovnou plnou svéprávnost, a není-li to možné, pak čestné prohlášení o této skutečnosti. Klient je povinen nahradit Bance škodu, která jí vznikne v důsledku porušení této povinnosti nebo nepravdivosti čestného prohlášení.

6.Vzájemná komunikace

6.1Způsoby komunikace. Klient a Banka se mohou dohodnout na vzájemné komunikaci elektronickými či jinými technickými prostředky. V případě telefonické komunikace nebo videohovoru se Klient i Banka identifikují dohodnutým způsobem či způsobem nevzbuzujícím pochybnost o totožnosti osoby, která příslušnou komunikaci činí. Na žádost Banky Klient identifikuje i případné třetí osoby, které se komunikace na straně Klienta účastní.

6.2Jazyk komunikace. Komunikace mezi Bankou a Klientem v rámci smluvního vztahu probíhá v českém jazyce, nebude-li dohodnuto jinak. Banka není povinna přijmout dokument v cizím jazyce a je oprávněna žádat předložení úředního překladu cizojazyčného dokumentu do českého jazyka. V případě dokumentů ve více jazykových verzích je vždy rozhodující existující česká verze.

6.3Místo komunikace. Vzájemná komunikace mezi Klientem a Bankou probíhá prostřednictvím Klientova obchodního místa, nebude-li Bankou stanoveno nebo s Klientem dohodnuto jinak. Tímto způsobem Klient plní také svou informační povinnost.

6.4Videohovory. V případě, že se společně s Klientem bude videohovoru účastnit třetí osoba, Klient odpovídá za její účast a identifikaci, bude-li Bankou požadována. Klient bere na vědomí, že v průběhu videohovoru mohou být třetí osobě sdělovány informace podléhající bankovnímu tajemství.

7.Příkazy a žádosti klienta

7.1Podmínky provedení příkazů a žádostí. Banka je oprávněna odmítnout příkaz nebo žádost, které jsou neúplné, nesrozumitelné, formálně nesprávné, je v nich škrtáno nebo opravováno nebo je předložena jen jejich fotokopie. Banka není rovněž povinna provést požadovaný úkon ze závažných provoznětechnických důvodů, nebo pokud by jeho provedení bylo v rozporu s právními předpisy. Banka je dále oprávněna pozastavit provedení příkazu či zpracování žádosti, případně tyto odmítnout, pokud nebyly získány informace a doklady podle článku 4.3 VOP nebo existuje odůvodněná obava, že Klient nebude schopen dostát svým povinnostem vůči Bance, či v případě existence neuhrazených pohledávek Banky za Klientem po splatnosti.

7.2Identifikace a prokázání totožnosti. Banka je ve smyslu příslušných právních předpisů⁸ oprávněna provést identifikaci každé osoby předkládající příkaz nebo žádost či skládající nebo vybírající hotovost bez ohledu na výši transakce.

7.3Změna a zrušení příkazu. Klient může změnit či odvolat svůj příkaz nebo žádost pouze po dohodě s Bankou, není-li to vyloučeno právními předpisy. Rozhodným dnem pozbývají účinnosti jakékoli příkazy či žádosti učiněné Klientem, nestanoví-li právní předpis jinak.

7.4Embarga a sankce. Klient ke dni uzavření Smlouvy a k okamžiku poskytnutí Bankovní služby prohlašuje, že není Sankcionovanou osobou ani není smluvní stranou jakékoli smlouvy či transakce se Sankcionovanou osobou a neobchoduje se zbožím ani neposkytuje služby, které podléhají Sankcím. Banka je oprávněna neprovést jakoukoli Bankovní službu nebo odmítnout jakýkoli příkaz či žádost Klienta v případě, že se Klient stane Sankcionovanou osobou nebo by provedení Bankovní služby nebo příkazu či žádosti Klienta mělo za následek porušení Sankce ze strany Banky nebo obdobného opatření Banky anebo finanční skupiny SG. Banka v takovém případě nebude odpovědná za případné zdržení nebo neprovedení Bankovní služby nebo příkazu či žádosti. Banka je v takovém případě dále oprávněna vyžadovat informace a dokumenty k příkazu nebo žádosti Klienta, anebo vypovědět Smlouvu nebo od ní odstoupit, a v případě obchodů na finančních trzích je Banka oprávněna provést závěrečné vyrovnání (close-out netting) podle příslušné Smlouvy (tyto skutečnosti se považují za případ porušení dle příslušné Smlouvy). Klient bere na vědomí, že Banka je oprávněna sdělit příslušným orgánům požadované informace. Klient se nezbavuje své povinnosti k úhradě jakékoli platby nebo dluhu vůči Bance, pokud Banka nepřijme či neakceptuje danou platbu od Sankcionované osoby nebo platbu podléhající Sankcím nebo podléhající obdobnému opatření Banky anebo finanční skupiny SG.

8.Doručování zásilek

8.1Doručování Klientovi. Doručování Zásilek provádí Banka buď na Kontaktní adresu, nebo do příslušné schránky internetového bankovnictví, které si Klient zřídil. Jsou-li k tomu zvláštní důvody, Banka může Klientovi doručit Zásilku i jiným obdobným způsobem, například do datové schránky Klienta.

8.2Banka je oprávněna určit Zásilku, kterou doručuje Xxxxxxxxx na jeho Kontaktní adresu, a to bez ohledu na jiné způsoby doručování sjednané ve Smlouvě. Klientovi, který není spotřebitelem, je Banka oprávněna doručit Zásilku do jeho sídla, je-li odlišné od jeho Kontaktní adresy.

8.3Doručování Bance. Zásilky určené Bance musí být doručovány do Klientova obchodního místa, neoznámí-li Banka Klientovi jinou adresu nebo nebude-li sjednáno nebo Bankou akceptováno jinak v souladu s článkem 8.4 VOP.

8.4Způsob doručování. Zásilky je možné doručovat osobně, poštou, kurýrní službou či prostřednictvím internetového bankovnictví. Banka může akceptovat doručení Zásilky i jiným způsobem, pokud nebude mít důvodnou pochybnost o totožnosti Klienta jako odesílatele a obsahu Zásilky. Banka se může s Klientem dohodnout na doručování Zásilek prostřednictvím Zmocněnce pro doručování. Smluvní dokumenty či jejich změny dle článku 31 VOP doručuje Banka Klientovi přednostně do příslušné schránky ve službě internetového bankovnictví. Nemá-li Klient takovou službu zřízenu, Banka pro doručování přednostně použije e-mail sjednaný s Klientem pro komunikaci s Bankou a zasílání smluvní dokumentace a jejích změn.

8.5Okamžik doručení. Zásilky doručované Bankou na Kontaktní adresu do vlastních rukou Klienta nebo s dodejkou jsou v souladu s právními předpisy⁹ doručeny okamžikem jejich převzetí Klientem. Pokud Klient odmítne Zásilku převzít, nevyzvedne si Zásilku v náhradní lhůtě, případně Klient doručení Zásilky jinak zmaří, nebo se Zásilka vrátí Bance jako nedoručitelná na Kontaktní adrese, bude Banka dále postupovat tak, jako by byla Zásilka řádně doručena Klientovi na jeho Kontaktní adresu, a to počínaje okamžikem, kdy se Zásilka vrátí Bance jako nedoručitelná či nedoručená z důvodu zmaření doručení Klientem. To platí i v případě, že se Klient o uložení Zásilky nedozvěděl. Bez ohledu na výše uvedené bude Banka postupovat vždy tak, jako by byla Zásilka doručena Klientovi, uplyne-li od okamžiku odeslání na území České republiky 10 pracovních dní nebo 15 pracovních dní v případě odeslání Zásilky do zahraničí.

8.6V případě ostatních Zásilek, které nejsou doručovány do vlastních rukou nebo s dodejkou, bude Banka postupovat tak, jako by Zásilky byly doručeny 3. pracovní den po jejich odeslání na území České republiky či 15. pracovní den po jejich odeslání do zahraničí. To však neplatí v případě, pokud se Banka dozví o doručení Zásilky před uplynutím této doby.

8.7Aniž by bylo dotčeno ustanovení článku 8.2 VOP, Klient se s Bankou může dohodnout, že některé Zásilky určené Klientovi budou předávány do Klientova obchodního místa k osobnímu odběru Klientem. V takových případech Banka postupuje tak, jako by Zásilky byly doručeny okamžikem jejich uložení v Klientově obchodním místě. V případě, že takové Zásilky nebudou vyzvednuty po dobu delší než 6 měsíců, je Banka oprávněna tyto Zásilky zničit.

8.8U Zásilek doručovaných prostřednictvím internetového bankovnictví postupuje Banka tak, jako by byly doručeny okamžikem jejich umístění v příslušné schránce. U Zásilek doručovaných prostřednictvím faxu Banka postupuje tak, jako by byly doručeny okamžikem potvrzení úspěšného odeslání generovaného přístrojem odesílatele. V případě Zásilek zasílaných prostřednictvím elektronické pošty Banka postupuje tak, jako by byly doručeny okamžikem odeslání ze serveru Banky, a to včetně případů, kdy se konkrétní Zásilka vrátí Bance jako nedoručitelná.

8.9Banka neodpovídá za nefunkčnost nebo zneužití komunikačních prostředků (zejména e-mailu) či sítí elektronických komunikací (např. sítě mobilních operátorů, Wi-Fi sítě, pevné připojení k internetu), které slouží pro komunikaci s Klientem, neboť nejsou pod její přímou kontrolou. Ochranu těchto služeb, jejich fungování a důvěrnost jimi zasílaných zpráv jsou povinni zajišťovat jejich poskytovatelé. Banka proto nenese ani odpovědnost za případnou škodu, která Klientovi takovým zneužitím nebo nefunkčností vznikla.

8.10Postup Banky při vracení Zásilek. Pokud bude konkrétní Zásilka nejméně dvakrát vrácena z důvodu, že Klient odmítne Zásilku převzít, nevyzvedne si Zásilku v náhradní lhůtě, případně Klient doručení Zásilky jinak zmaří, nebo se Zásilka vrátí Bance jako nedoručitelná na Kontaktní adrese, je Banka oprávněna všechny další Zásilky doručovat Klientovi do jeho obchodního místa k osobnímu odběru, případně na adresu trvalého pobytu či sídla Klienta, je-li tato adresa odlišná od Kontaktní adresy.

9.Vznik smluvního vztahu

9.1Banka uzavírá s Klientem Smlouvy ve svých obchodních místech, elektronicky či jinými technickými prostředky s využitím prostředků umožňujících určení jednající osoby (např. elektronický podpis) a zachycení obsahu Smlouvy. Není-li ve Xxxxxxx stanoveno jinak, je Xxxxxxx uzavírána na dobu neurčitou.

9.2Smlouva je uzavřena až po dosažení shody o všech jejích náležitostech. Na uzavření Smlouvy nevzniká Klientovi nárok a Banka má právo ukončit kdykoli jednání o jejím uzavření i bez uvedení důvodu. Přijetí nabídky Banky učiněné Klientovi nesmí obsahovat žádné změny ani nesmí odkazovat na jiné obchodní podmínky než na VOP nebo příslušné Produktové podmínky. Je-li Smlouva uzavřena v jiné formě než písemné, platí tato Smlouva za uzavřenou pouze s obsahem, na kterém se strany dohodly nebo který Banka Klientovi písemně potvrdila ve svém potvrzení. Klient i Banka na sebe přebírají nebezpečí změny okolností v souvislosti s právy a povinnostmi smluvních stran vyplývajícími ze Smlouvy a zároveň vylučují uplatnění ustanovení § 1766 občanského zákoníku¹⁰ na svůj smluvní vztah založený Smlouvou.

10.Zánik smluvního vztahu

10.1Odstoupení Banky. Banka je oprávněna od Smlouvy, případně od její samostatně oddělitelné části, odstoupit v případě, kdy Klient závažným způsobem poruší své smluvní povinnosti či své zákonné povinnosti související s Bankovními službami nebo pokud Banka zjistí jiné skutečnosti, v důsledku kterých je vážně ohrožena schopnost Klienta řádně dostát svým závazkům. Banka je rovněž oprávněna od Xxxxxxx odstoupit v důsledku jednání Klienta, kterým byla narušena vzájemná důvěra mezi Klientem a Bankou. Smlouva zaniká dnem doručení oznámení o odstoupení Klientovi nebo v jiné lhůtě stanovené Bankou. Nesplacené dluhy Klienta se stávají splatnými první Obchodní den následující po zániku Smlouvy, neuvede-li Banka v oznámení o odstoupení pozdější termín.

10.2Vzájemné vypořádání. Banka a Klient jsou po ukončení smluvního vztahu povinni vzájemně vypořádat své pohledávky a dluhy existující ke dni zániku Smlouvy. Banka v takovém případě vrací poměrnou část ceny, poplatku nebo jiné úhrady za Bankovní služby pouze tehdy, kdy je tak výslovně stanoveno právním předpisem nebo Smlouvou. Po ukončení smluvního vztahu je Klient povinen vrátit Bance veškeré prostředky či předměty, které Banka či třetí osoba Klientovi předaly v souvislosti s poskytováním Bankovní služby. Odstoupením od Xxxxxxx se závazky Klienta a Banky ze Smlouvy ruší ke dni účinnosti odstoupení.

10.3Promlčení. Klient souhlasí s tím, že neodporuje-li to v konkrétním případě právním předpisům, promlčují se veškerá práva a pohledávky Banky za Klienty spotřebiteli ve lhůtě 3 let, za ostatními Klienty ve lhůtě 15 let, a tam, kde se pro daný právní vztah použije právní úprava platná před účinností občanského zákoníku,¹¹ ve lhůtě 10 let ode dne, kdy mohla být Bankou vykonána/uplatněna poprvé.

11.Zřizování a vedení účtů

11.1Banka zřizuje a vede Účty na základě Smlouvy.

11.2Identifikace Účtu. Každému Účtu Banka přidělí Jedinečný identifikátor, který Banka i Klient uvádí při vzájemné komunikaci týkající se daného Účtu. Součástí identifikace Účtu je jeho název, který musí obsahovat jméno a příjmení nebo název Klienta. Pokud tak stanoví právní předpis, úřední sdělení, opatření či oznámení ČNB nebo v případě závažných provozních důvodů, v důsledku kterých Banka nebude schopna postupovat jiným způsobem, je Banka oprávněna Jedinečný identifikátor jednostranně změnit. O této skutečnosti Banka Klienta písemně informuje v přiměřené lhůtě před zamýšlenou změnou a v případě, že ke změně Jedinečného identifikátoru dochází z provozních důvodů na straně Banky, postupuje se v souladu s článkem 31 VOP. Banka nenese, ani částečně, náklady Klienta spojené se změnou čísla Účtu. Banka nezřizuje anonymní Účty či Účty pro více osob.

11.3Minimální vklad a zůstatek. Pro některé typy účtů Banka stanoví v Oznámení výši minimálního vkladu a výši minimálního zůstatku, které je Klient povinen dodržovat.

11.4Způsob využití Účtu. Klient je povinen informovat Banku o tom, zda Účet bude sloužit pro podnikání Klienta, či nikoli. Účty pro Klienty spotřebitele jsou určeny výhradně pro jejich osobní (nepodnikatelské) potřeby. Účty pro fyzické osoby podnikatele jsou určeny výhradně pro jejich podnikatelskou činnost a Účty pro právnické osoby jsou určeny pro jejich podnikatelské nebo jiné účely. Klient nesmí Účet používat k jinému než sjednanému účelu.

11.5Xxxxxxx služeb. K vybraným typům Účtů poskytuje Banka balíček služeb, v rámci kterého nabízí produkty a služby uvedené v Sazebníku pro daný typ Účtu.

11.6Oznámení o provádění platebního styku. Další podmínky a informace týkající se Účtů a provádění platebního styku, zejména služby zahraničního a tuzemského hotovostního i bezhotovostního platebního styku poskytované na Účtech včetně šeků, lhůty pro provádění platebního styku a podmínky platebního styku prováděného prostřednictvím služeb přímého bankovnictví jsou uvedeny v Oznámení o provádění platebního styku.

12.Rušení účtů

12.1Důvody zániku smlouvy. Důvodem zániku smlouvy o Účtu je zejména výpověď Klienta dle článku 12.2 nebo Banky dle článku 18.3, odstoupení dle čl. 10.1 nebo Rozhodný den dle článku 12.5.

12.2Vypovězení smlouvy Klientem. Klient je oprávněn vypovědět smlouvu o Účtu s výpovědní dobou 10 kalendářních dnů nebo 30 kalendářních dnů, byla-li k Účtu poskytnuta debetní karta. Výpovědní doba počíná běžet dnem následujícím po dni doručení výpovědi Bance. Vypovídá-li Klient smlouvu o Účtu postupem dle Kodexu ČBA „Mobilita klientů – postup při změně banky“, výpovědní doba počíná běžet ode dne uvedeného v žádosti o změnu banky.

12.3Vypořádání. Pokud Klient učiní úkon vedoucí k zániku smlouvy o Účtu nebo obdrží výpověď či odstoupení od smlouvy o Účtu ze strany Banky, je povinen dát Bance pokyn ohledně nakládání s případným zůstatkem na Účtu. Pokud takový pokyn Banka neobdrží, může zůstatek na Účtu převést na jakýkoli jiný Účet Klienta a nemá-li Klient jiný Účet, bude Banka evidovat nevypořádanou pohledávku ve výši zůstatku na Účtu do doby obdržení takového pokynu od Klienta. Po zániku smlouvy o Účtu Banka Účet zruší. To neplatí, pokud jsou prostředky na takovém Účtu účelově vázány ve prospěch třetí osoby, na uplynutí sjednané lhůty nebo splnění jiné podmínky a tato třetí osoba neudělila písemné přivolení nebo k uvedenému dni neuplynula sjednaná lhůta či nebyla splněna jiná podmínka k uvolnění prostředků. V takovém případě Banka prostředky z tohoto Účtu nevyplatí a Účet nezruší až do splnění výše uvedených podmínek.

12.4Příkazy a žádosti týkající se nakládání s prostředky na Účtu budou Bankou zrušeny k datu zrušení Účtu. Nejpozději k datu zrušení Účtu Banka ukončí poskytování Bankovních služeb, které jsou na předmětný Účet vázány.

12.5Důsledky úmrtí Klienta. Smrtí majitele účtu smlouva o Účtu nezaniká. Smlouva o Účtu zaniká druhým Obchodním dnem následujícím po Rozhodném dni, pokud je k Rozhodnému dni na Účtu debetní zůstatek či zůstatek roven nule, nebo druhým Obchodním dnem po vzniku debetního zůstatku na Účtu či zůstatku rovného nule kdykoli po Rozhodném dni. To neplatí, vznikl-li debetní zůstatek na Účtu v důsledku povoleného debetu či kontokorentního úvěru na Účtu poskytnutého fyzické osobě podnikateli.

13.Debet na účtu

13.1Zřízení povoleného debetu. Banka se může s Klientem dohodnout na zřízení povoleného debetu na Účtu. Práva a povinnosti Banky a Klienta se budou řídit příslušnou Smlouvou a příslušnými právními předpisy týkajícími se smlouvy o úvěru.

13.2Důsledky nepovoleného debetu. Nepovoleným debetem se rozumí čerpání více peněžních prostředků, než je zůstatek na Účtu nebo než je limit povoleného debetu na Účtu. V případě vzniku nepovoleného debetu na Účtu z jakéhokoli důvodu je Klient povinen neprodleně uhradit Bance veškeré dlužné částky, včetně příslušenství. Nepovolený debet nezaniká, pokud v den, kdy jsou veškeré dlužné částky Bance uhrazeny, nepovolený debet na Účtu opět vznikne. Po dobu trvání nepovoleného debetu na Účtu Klienta je Banka oprávněna zřídit zvláštní (vnitřní) účet pohledávky z nepovoleného debetu, na kterém povede pohledávku z nepovoleného debetu, včetně příslušenství.

13.3Úročení nepovoleného debetu. Banka je oprávněna úročit nepovolený debet na Účtu úrokem z nepovoleného debetu a dále úrokem z prodlení. Výše úroku z nepovoleného debetu a úroku z prodlení bude určena v souladu s Oznámením o úrokových sazbách. Výše úrokové sazby, kterou se úročí nepovolený debet, a výše úroku z prodlení mohou být po dobu trvání nepovoleného debetu měněny způsobem uvedeným v příslušných Produktových podmínkách.

13.4Úrok z prodlení i úrok z nepovoleného debetu jsou splatné okamžikem, kdy na ně Bance vznikne nárok. Banka je oprávněna tyto sankční úroky snížit, a to na dobu a s účinností, kterou stanoví. O této skutečnosti Banka Xxxxxxx informuje.

13.5Banka informuje Klienta o aktuální výši úrokové sazby, kterou se úročí nepovolený debet, a o aktuální výši úroků z prodlení, sankcích a poplatcích v souladu s právními předpisy a podle VOP.

13.6Výrazný nepovolený debet. V případě, že na Účtu dojde k výraznému nepovolenému debetu dle zákona o spotřebitelském úvěru¹² trvajícímu déle než jeden měsíc, Banka zašle Klientovi způsobem sjednaným ve Smlouvě informaci vyžadovanou právními předpisy. Výrazný nepovolený debet se považuje za závažné porušení smluvní povinnosti ve smyslu čl. 10.1 VOP.

14.Nakládání s prostředky na účtu

14.1Nakládání s prostředky na Účtu Klientem. Nakládat s prostředky na Účtu Klienta mohou Oprávněná osoba s použitím Podpisového vzoru, který je platný pro příslušný Účet, a Zmocněnec, není-li sjednáno pro konkrétní platební prostředek jinak. Způsob a rozsah nakládání s prostředky na Účtu je sjednán v příslušné Smlouvě nebo jiným způsobem. Pokud Klient výslovně nestanoví jinak, může Oprávněná osoba nakládat s prostředky na Účtu samostatně. Oprávněná osoba (odlišná od Klienta) nemůže udělovat zmocnění k nakládání s prostředky na Účtu Klienta dalším osobám. Banka je oprávněna zrušit Podpisový vzor, případně i jinou formu dispozičního oprávnění k účtu, pokud je jí nepochybně prokázáno, že daná osoba již není oprávněna za Klienta jednat.

14.2Podpisový vzor, zmocnění Zmocněnce či jakékoli změny nebo zrušení těchto dokumentů jsou pro Banku závazné od prvního Obchodního dne následujícího po dni, kdy je Banka od Klienta obdržela. Banka provádí Příkazy na základě dokumentů, které jsou pro Banku závazné v okamžiku zpracování příslušného Příkazu, tedy bez ohledu na to, kdy byl příslušný Příkaz Bance doručen.

14.3Klient je oprávněn vybírat z nově zřízeného Účtu volné prostředky v hotovosti nebo je převádět bezhotovostním převodem nejdříve první Obchodní den následující po Obchodním dni, kdy Banka Účet zřídila.

14.4Klient je oprávněn nakládat s prostředky na Účtu pouze do výše volných prostředků na tomto Účtu, případně snížených o výši minimálního zůstatku, byl-li Bankou pro daný Účet stanoven. Klient je však povinen udržovat na Účtu dostatek prostředků ke krytí předpokládaných plateb, svých dluhů vůči Bance a cen účtovaných Bankou za Bankovní služby.

14.5Banka je oprávněna omezit nakládání s prostředky na Účtu Klienta v souladu s právními předpisy. Právo na výplatu peněžních prostředků podle zvláštního právního předpisu¹³ z Účtu, ke kterému má Klient omezeno právo nakládat s peněžními prostředky, může uplatnit pouze Klient spotřebitel, a to osobně v Klientově obchodním místě nebo použitím debetní karty poskytnuté k Účtu.

14.6Nakládání s prostředky na Účtu Bankou. Banka je oprávněna nakládat s prostředky na Účtu, stanoví-li tak právní předpis nebo Smlouva. Xxxxxx souhlasí s tím, že Banka má právo odepsat z jeho Účtu u Banky prostředky za účelem:

1. úhrady splatných úroků;

2. realizace opravného zúčtování v důsledku vlastního chybného zúčtování nebo chybného zúčtování jiné banky;¹⁴

3. úhrady v zákonem stanovených případech;

4. úhrady všech cen, poplatků a výloh v souvislosti s poskytováním Bankovních služeb, včetně poplatků jiných bank a osob zúčastněných na operacích platebního styku;

5. úhrady částky šeku nebo peněžní poukázky již proplacených Bankou v případě jejich následného neproplacení šekovníkem nebo inkasní bankou;

6. úhrady pohledávek Banky (včetně výloh šekovníka nebo inkasní banky) vzniklých následně po připsání částky šeku nebo peněžní poukázky na Účet Klienta, pokud Klient nedodržel smluvní podmínky týkající se proplácení šeků nebo peněžních poukázek, případně pokud se dodatečně zjistí, že Klient převzal padělaný nebo pozměněný šek nebo peněžní poukázku;

7. úhrady připsané platby ze zahraničí, pokud odesílající bankou nebylo zajištěno krytí/převedení prostředků ve prospěch Banky;

8. vrácení důchodů a jiných zákonem stanovených dávek (pouze však do výše kreditního zůstatku na Účtu), pokud na jejich vyplacení příjemci platby zanikl nárok a plátce o vrácení takto bezdůvodně poukázané platby výslovně požádal;

9. vrácení částky inkasa připsané na Účet Klienta, kterou plátce požaduje vrátit;¹⁵

10. vrácení připsané platby, pokud číslo Účtu příjemce nebo plátce je uvedeno na seznamu nepovolených internetových her;¹⁶

11. úhrady cen za pojištění poskytované Komerční pojišťovnou, a. s., pokud je takový způsob úhrady ve smlouvě o daném pojištění sjednán nebo

12. úhrady jakékoli jiné splatné pohledávky Banky za Klientem, a to i promlčené.

14.7Banka je oprávněna odepsat prostředky z Účtu Klienta i v případě, že na Účtu vznikne v důsledku takové operace debetní zůstatek.

14.8Banka je dále oprávněna provést na vrub Účtu platby na základě jednorázových písemných Příkazů k úhradě v případě, že na Účtu vznikl nepovolený debet v důsledku překročení lhůty pro čerpání prostředků z povoleného debetu až do výše původně stanoveného limitu povoleného debetu.

15.Výpisy z účtu

15.1Forma a způsob doručování. Banka informuje Klienta o zůstatku prostředků na Účtu a o provedených transakcích výpisem z účtu, a to formou Elektronického výpisu nebo tištěného dokumentu. Frekvence a způsob doručování budou individuálně dohodnuty mezi Klientem a Bankou. Klientům spotřebitelům Banka poskytuje výpisy z účtu k jejich Platebním Účtům v souladu se zákonem o platebním styku jednou měsíčně zdarma prostřednictvím služby internetového bankovnictví nebo e-mailem.

15.2V případě, že při zasílání Elektronických výpisů prostřednictvím sjednané Bankovní služby (např. internetového bankovnictví) bude příslušná Bankovní služba zrušena, budou výpisy z účtu doručovány Klientovi na e-mailovou adresu, má-li ji sjednánu, nebo v tištěné (papírové) podobě způsobem sjednaným pro doručování ostatních Zásilek. Pokud se Banka při zasílání Elektronických výpisů na sjednanou e-mailovou adresu dozví o jejím zneužití nebo tyto budou nejméně dvakrát vráceny z důvodu zmaření jejich doručení Klientem, budou výpisy z účtu doručovány Klientovi prostřednictvím služby internetového bankovnictví, má-li ji Klient zřízenu, nebo v tištěné (papírové) podobě způsobem sjednaným pro doručování ostatních Zásilek. V obou případech zůstane sjednaná frekvence zasílání výpisů z účtu zachována. Ustanovení tohoto článku se uplatní též na oznámení Banky Klientovi o výši pohledávky ze Smlouvy, na základě které Banka poskytla Klientovi úvěr.

15.3O zůstatku na Účtu ke konci kalendářního roku Banka vždy informuje Klienta poskytnutím nebo zpřístupněním výpisu z Účtu.

15.4Kontrola výpisů z účtu. Klient je povinen bez zbytečného odkladu po doručení výpisu z účtu zkontrolovat, zda jsou zúčtované transakce autorizované a správně provedené. Pokud Klient, který není Klientem spotřebitelem, neuplatní reklamaci ve lhůtě dle reklamačního řádu Banky, má se za to, že transakce byly zúčtovány správně.

16.Úroky a zdanění

16.1Banka úročí zůstatek prostředků na Účtu roční úrokovou sazbou. Zúčtování úroků provádí Banka měsíčně, není-li sjednáno jinak. Úroková sazba a další informace týkající se úročení a zdanění výnosu na Účtu jsou stanoveny ve Smlouvě nebo v Oznámení o úrokových sazbách.

16.2Způsob určení a změny úrokové sazby. Výši úrokové sazby Banka stanoví v návaznosti na úrokové sazby vyhlašované ČNB s přihlédnutím k vývoji peněžního trhu, obchodní politice Banky a postupům pro řízení finančních rizik. Pro určení počáteční výše úrokové sazby je rozhodující sazba určená pro daný Účet v Oznámení o úrokových sazbách účinném v den zřízení Účtu. Výši úrokové sazby pro kreditní zůstatky na Účtech Klientů spotřebitelů stanoví Banka v návaznosti na referenční úrokovou sazbu ve smyslu zákona o platebním styku,¹⁷ kterou je dvoutýdenní REPO sazba ČNB.¹⁸ Banka je oprávněna měnit výši úrokové sazby jednostranně pouze v rozsahu, v němž se změnila uvedená referenční sazba, a to vždy za období od poslední změny dané úrokové sazby na Účtu Klienta spotřebitele. Změnu úrokové sazby pro kreditní zůstatky na Účtech Klientů spotřebitelů, která není navázána na referenční úrokovou sazbu, provádí Banka změnou Oznámení o úrokových sazbách způsobem a s účinností dle čl. 31 VOP. Banka je oprávněna měnit výši, a je-li s Klientem sjednána, i konstrukci, úrokové sazby pro kreditní a debetní zůstatky na Účtech ostatních Klientů jednostranně v závislosti na vývoji trhu, nákladech Banky na své financování a dalších objektivních skutečnostech.

16.3Účinnost změny úrokové sazby. Změna v Oznámení o úrokových sazbách nabývá účinnosti okamžikem vyhlášení nového znění Oznámení o úrokových sazbách na internetových stránkách Banky, pokud není v Oznámení o úrokových sazbách nebo ve VOP stanoveno jinak. Nová výše úrokové sazby se uplatní na všechny příslušné existující Účty ode dne účinnosti změny příslušného Oznámení o úrokových sazbách, pokud není v Oznámení o úrokových sazbách stanoveno pozdější datum účinnosti změny úrokové sazby.

16.4Úročící schéma. Pro úročení zůstatků Účtů v Kč a ve všech cizích měnách (kromě AUD, GBP, JPY a PLN) se používá úročící schéma: rok = 360 dnů / měsíc = 30 dnů. Pro AUD, GBP, JPY a PLN se používá úročící schéma: rok = 365 (příp. 366) dnů / měsíc = skutečný počet dnů v měsíci, není-li ve Smlouvě nebo Produktových podmínkách stanoveno jinak.

16.5Úročení kreditního zůstatku. Úročení kreditního zůstatku na Účtu počíná dnem připsání prostředků na Účet Klienta a končí dnem předcházejícím dni jejich výběru nebo převodu, u vkladových Účtů pak dnem předcházejícím dni splatnosti vkladu. Banka počítá a připisuje úroky v měně Účtu. Úroky z kreditního zůstatku na Účtu jsou splatné vždy poslední den kalendářního měsíce, za který se hradí.

16.6Úročení debetního zůstatku. Úročení debetního zůstatku na Účtu počíná dnem vzniku debetu a končí dnem předcházejícím dni jeho vyrovnání. Úroky z povoleného debetního zůstatku na Účtu jsou splatné vždy poslední den kalendářního měsíce, za který se hradí.

16.7Zdaňování úroku. Úrok je zdaňován podle právních předpisů platných ke dni připsání úroku na Účet Klienta. V případě výplaty prostředků z Účtu Klienta a dalších případech stanovených právními předpisy, Banka provede srážku nebo zajištění daně v souladu s právními předpisy. Klient je povinen Banku neprodleně informovat o tom, že není skutečným vlastníkem úroků na svém Účtu.

17.Platební služby

17.1Informační povinnosti Banky. V souvislosti s poskytováním Platebních služeb Banka poskytne Klientovi spotřebiteli v průběhu smluvního vztahu na jeho žádost zdarma informace o Bance, o poskytované Platební službě, o způsobu komunikace s Bankou, o Smlouvě o Platebních službách uzavřené s Bankou, o povinnostech a odpovědnosti Banky a Klienta,¹⁹ a to zejména prostřednictvím služby internetového bankovnictví. Klient spotřebitel dále přijetím Smlouvy o Platebních službách potvrzuje, že mu byly v dostatečném předstihu před jejím uzavřením poskytnuty informace o Bance, poskytované Platební službě, o způsobu komunikace s Bankou, o předmětné Smlouvě o Platebních službách, o povinnostech a odpovědnosti Banky a Klienta spotřebitele, a to v rozsahu stanoveném zákonem o platebním styku. U Transakcí mimo EHP Banka není povinna poskytnout Klientovi spotřebiteli informace o maximální lhůtě pro provedení Platební služby před jejím poskytnutím ani před uzavřením Smlouvy o Platebních službách.

17.2Banka poskytuje Klientům spotřebitelům informace o úplatě za služby spojené s Platebním Účtem a roční přehled o úplatě za poskytnuté služby spojené s Platebním Účtem dle zákona o platebním styku v měně Kč bez ohledu na měnu Účtu. Roční přehled o úplatě poskytuje Banka způsobem sjednaným pro předávání výpisů z Účtu, přičemž ustanovení čl. 15.2 VOP se použije obdobně.

18.Ukončení smlouvy o platebních službách

18.1Vypovězení smlouvy Klientem spotřebitelem. Klient spotřebitel je oprávněn vypovědět Smlouvu o Platebních službách kdykoli (i v případě, že byla uzavřena na dobu určitou). Výpovědní doba činí 30 kalendářních dnů a počíná běžet dnem následujícím po dni jejího doručení Bance. Pro ukončení smlouvy o Účtu Klientem se použije ustanovení článku 12.2 VOP. Banka je oprávněna zpoplatnit výpověď Smlouvy o Platebních službách částkou stanovenou v Sazebníku v případě, že Klient vypověděl Smlouvu o Platebních službách podle tohoto článku tak, že zanikne dříve než 6 měsíců po jejím uzavření. Tím nejsou dotčena ustanovení článku 31.6 VOP.

18.2Vypovězení smlouvy Klientem, který není spotřebitelem. Klient, který není spotřebitelem, je oprávněn vypovědět Smlouvu o Platebních službách uzavřenou na dobu neurčitou kdykoli, přičemž výpovědní doba činí 3 měsíce a počíná běžet dnem následujícím po dni jejího doručení Bance. Tím nejsou dotčena ustanovení článku 12.2 VOP.

18.3Vypovězení smlouvy Bankou. Banka je oprávněna Smlouvu o Platebních službách uzavřenou na dobu neurčitou vypovědět kdykoli, a to i bez udání důvodu. U Klientů spotřebitelů činí výpovědní doba 2 měsíce, nestanoví-li Banka ve výpovědi dobu delší, a počíná běžet dnem následujícím po dni doručení výpovědi Klientovi. U ostatních Klientů činí výpovědní doba 30 kalendářních dnů, nestanoví-li Banka ve výpovědi dobu delší, a počíná běžet dnem následujícím po dni doručení výpovědi Klientovi.

19.Dokumentární platby a záruky

19.1Banka může provést příkaz k obstarání či změně dokumentárního inkasa předaný jí Klientem. Smlouva o obstarání či změně dokumentárního inkasa bude mezi Klientem a Bankou uzavřena konkludentně v okamžiku provedení příkazu Bankou.

19.2Za správnost instrukcí uvedených v příkazu zodpovídá Klient.

19.3Podpis Klienta uvedený na příkazu ověřuje Banka dle Podpisového vzoru Klienta k Účtu, který Klient na příkazu uvede.

19.4Banka je oprávněna oznámit (avizovat) Klientovi vystavení finanční (bankovní) záruky v jeho prospěch jinou osobou, případně změnu finanční (bankovní) záruky, a tuto Bankovní službu zpoplatnit dle Sazebníku.

19.5Banka je oprávněna oznámit (avizovat) Klientovi vystavení dokumentárního akreditivu v jeho prospěch jinou osobou, případně změnu dokumentárního akreditivu, a tuto Bankovní službu zpoplatnit dle Sazebníku.

19.6Je-li ve prospěch Xxxxxxx vystaven dokumentární akreditiv, je Banka oprávněna ověřit podpis Klienta na průvodním dopise k předkládaným dokumentům obsahujícím číslo účtu, na který má být provedeno plnění z akreditivu, a to podle Podpisového vzoru k některému z jeho Účtů u Banky. Pokud podpis Klienta nesouhlasí s Podpisovým vzorem, je Banka oprávněna plnění z akreditivu neprovést a dohodnout s Klientem další postup.

20.Šeky

20.1Příkazem k inkasu šeku žádá majitel šeku nebo peněžní poukázky Banku o jejich okamžité proplacení, případně zprostředkování jejich inkasa. Výhradně Banka je oprávněna rozhodnout o způsobu zpracování šeku. Banka zpracovává šeky vystavené na měny uvedené v kurzovním lístku Banky. V případě předložení šeku na jinou měnu je Banka oprávněna stanovit náhradní měnu pro zpracování šeku.

20.2Banka neodpovídá za škody vzniklé proplacením ztraceného, odcizeného, padělaného nebo pozměněného šeku nebo peněžní poukázky.

20.3Banka si vyhrazuje právo pozastavit proplacení šeku nebo peněžní poukázky do doby jejich ověření u vystavující nebo proplácející banky.

20.4Smlouvu týkající se šeků a peněžních poukázek může Klient i Banka vypovědět s výpovědní dobou 30 kalendářních dnů. Výpovědní doba počíná běžet prvním dnem následujícím po doručení písemné výpovědi.

21.Transakce a úvěry v cizí měně

21.1Bezhotovostní platby. Banka prodává Klientovi peněžní prostředky v cizí měně v bezhotovostní formě za české koruny Kurzem „deviza prodej“ a nakupuje je od Klienta za české koruny Kurzem „deviza nákup“.

21.2Hotovost. V případě nákupu hotovosti v cizí měně od Klienta za Kč Banka použije Kurz „valuta nákup“, při prodeji hotovosti v cizí měně Klientovi za Kč Banka použije Kurz „valuta prodej“.

21.3Přepočet mezi cizími měnami bude proveden přes české koruny postupem uvedeným v článcích 21.1 a 21.2 VOP.

21.4Kurzy jsou uvedeny v kurzovním lístku Banky, který je Banka oprávněna jednostranně měnit. Změny Kurzů jsou účinné od jejich vyhlášení a uveřejnění Bankou a nejsou Klientovi předem oznamovány.

21.5Měnová rizika. Klient bere na vědomí, že v případě žádosti o poskytnutí úvěru v cizí měně by měl z hlediska obezřetného rozhodování zvážit možnou změnu směnných kurzů cizích měn vůči české koruně. Nepříznivý vývoj směnných kurzů může mít za následek navýšení splátek úvěru poskytnutého v cizí měně po přepočtu na české koruny. Na výši splátek úvěru poskytnutého v cizí měně může mít vliv i nepříznivý vývoj zahraniční úrokové míry nebo případné významné znehodnocení české koruny. Klient dále bere na vědomí, že Banka současně nabízí úvěry stejné povahy v českých korunách i finanční nástroje poskytující Klientovi zajištění proti měnovému riziku.

22.Reklamace

22.1Reklamace se vyřizují podle reklamačního řádu Banky. Pokud nebude v reklamačním řádu uvedeno jinak či pokud nedojde k jiné dohodě, Klient uplatňuje své reklamace či požadavky v Klientově obchodním místě.

23.Ombudsman

23.1V případě opakované reklamace, která nebyla vyřešena ke spokojenosti Klienta v rámci reklamačního řízení dle reklamačního řádu Banky a pravidel pro řešení stížností, se Klient může obrátit na nezávislého ombudsmana.

23.2Činnost ombudsmana se řídí Chartou ombudsmana, která je k dispozici v obchodních místech Banky nebo na jejích internetových stránkách.

24.Ceny bankovních služeb a úhrada nákladů

24.1Výše ceny. Klient je povinen platit Bance ceny a další úhrady za poskytované Bankovní služby a za úkony s Bankovními službami související, které Banka účtuje v souladu se Sazebníkem účinným v době poskytnutí dané Bankovní služby nebo provedení úkonu, pokud se Klient s Bankou nedohodne jinak. O účtování individuálně určených cen, které jsou vždy výhodnější než ceny dle Sazebníku, může Banka Klientovi pouze předem zaslat informaci způsobem dle čl. 8.1 VOP. Banka může Klientovi za Bankovní služby a úkony s nimi související účtovat v konkrétních případech ceny nižší než ceny dle Sazebníku nebo dle individuálně určené či sjednané ceny. Klient je povinen platit účtované ceny řádně a včas. Banka je oprávněna vázat poskytnutí Bankovní služby na zaplacení ceny nebo její části.

24.2Způsob úhrady ceny. Banka je oprávněna odepsat částku odpovídající ceně nebo jiné úhradě za poskytované Bankovní služby a za úkony s Bankovními službami souvisejícími z Účtu Klienta, k němuž nebo v souvislosti s nímž jsou Bankovní služby poskytnuty, jinak z jakéhokoli jiného Účtu Klienta vedeného u Banky, a to v termínech určených Bankou. Ceny a další úhrady jsou splatné k poslednímu dni období, za které se účtují, není-li v Sazebníku uvedeno jinak. Ceny se účtují v měně Bankovní služby nebo v měně, ve které je veden Účet, pokud nebude sjednáno jinak.

24.3Náklady. Klient uhradí Bance náklady a výdaje, které odůvodněně vynaložila v souvislosti s poskytnutím příslušné Bankovní služby anebo úkonu s ní souvisejícího či v souvislosti s plněním své povinnosti vyplývající z právních předpisů, a to i v případě, že takové náklady a výdaje, případně jejich výše nejsou předem známy. Banka vždy postupuje tak, aby vynaložené náklady byly minimální.

25.Úhrada pohledávek banky, úroky z prodlení

25.1Započtení. Xxxxxx souhlasí s tím, že Banka je oprávněna započíst splatnou peněžitou pohledávku Banky za Klientem proti jakékoli peněžité pohledávce Klienta za Bankou bez ohledu na měnu pohledávky a právní vztah, ze kterého vyplývá. Klient souhlasí s tím, že Banka je oprávněna započíst své pohledávky i proti takovým pohledávkám Klienta, které nejsou dosud splatné nebo které nelze postihnout výkonem rozhodnutí. Za účelem započtení je Banka oprávněna provést konverzi jedné měny do druhé za použití příslušného Kurzu Banky v souladu s článkem 21 VOP. Klient není bez výslovného souhlasu Banky oprávněn započíst jakoukoli splatnou peněžitou pohledávku Klienta za Bankou proti jakékoli peněžité pohledávce Banky za Klientem bez ohledu na měnu pohledávky, splatnost a právní vztah, ze kterého vyplývá.

25.2Úroky z prodlení. V případě prodlení Klienta s úhradou splatných pohledávek Banky je Banka oprávněna Klientovi účtovat úroky z prodlení ve výši stanovené v Oznámení o úrokových sazbách. Úhrada úroků z prodlení a případných dalších sankčních plateb, zejména smluvní pokuty, nemá vliv na náhradu případné škody vzniklé Bance, jakož i na úhradu nákladů spojených s vymáháním pohledávky.

25.3Plnění třetí osobou. Banka je oprávněna i bez souhlasu Klienta přijmout, nebo i přes souhlas Klienta odmítnout, plnění nabídnuté třetí osobou za účelem splnění závazku Klienta vůči Bance, a to včetně částečného plnění.

26.Postoupení a zástava

26.1Bez předchozího výslovného písemného souhlasu Banky není Klient oprávněn postoupit (včetně zajišťovacího postoupení pohledávky či práva) nebo zastavit své pohledávky za Bankou (včetně pohledávek ze smlouvy o Účtu), případně postoupit Smlouvu nebo její část nebo práva a povinnosti z ní vyplývající. To neplatí pro postoupení (včetně zajišťovacího postoupení pohledávky či práva) pohledávek Klienta za Bankou na Banku a na zastavení těchto pohledávek ve prospěch Banky a dále na zákonem předvídané postoupení pohledávky na základě odkazu zůstavitele z dědice obtíženého odkazem (Klienta) na odkazovníka.

26.2Klient souhlasí s tím, že Banka je oprávněna postoupit Smlouvu na třetí osobu.

27.Pojištění vkladů

27.1Vklady Klientů v Bance jsou pojištěny v souladu s právními předpisy.²⁰ Pojištěny nejsou vklady složené finančními institucemi, zdravotními pojišťovnami a státními fondy. Systém pojištění pohledávek z vkladů se nevztahuje na směnky a jiné cenné papíry. Podrobné informace o pojištění vkladů a vztahu k jednotlivým Bankovním službám jsou Bankou uveřejňovány a jsou rovněž k dispozici v obchodních místech a případně též na internetových stránkách Banky.

28.Bankovní tajemství, ochrana osobních údajů a souhlasy klienta

28.1Bankovní tajemství a výjimky z něj. Na všechny Bankovní služby se vztahuje bankovní tajemství v souladu s právními předpisy. Zprávy o záležitostech, které jsou předmětem bankovního tajemství, podá Banka bez souhlasu Klienta pouze v případech a v rozsahu vyplývajícím z právních předpisů. Klient bere z důvodu povahy produktů na vědomí, že Banka je oprávněna sdělovat informace o zůstatku prostředků a cenných papírech stejně jako o provedených transakcích ve smyslu příslušné Smlouvy osobě zmocněné k nakládání s prostředky na Účtu, cennými papíry nebo k provádění či uzavírání transakcí.

28.2Zpracování údajů na základě zákona. Banka je povinna pro účely Bankovních služeb zjišťovat a zpracovávat údaje o Klientech a dalších osobách, včetně osobních údajů, potřebných k tomu, aby bylo možné Bankovní službu poskytnout bez nepřiměřených právních a věcných rizik pro Banku. V případě, že Klient odmítne takové údaje Bance poskytnout, je Banka oprávněna odmítnout poskytnutí požadované Bankovní služby Klientovi. Podrobné informace o zpracování osobních údajů Klientů a souvisejících právech jsou uvedeny na internetových stránkách Banky v dokumentu Informace o zpracování osobních údajů.

28.3Souhlasy se zpracováním údajů Klienta – právnické osoby. Klient – právnická osoba souhlasí s tím, aby jeho údaje (včetně údajů charakterizujících Klientovu bonitu a důvěryhodnost a příslušných podkladů pro jejich vyhodnocení, například účetní výkazy Klienta) byly i spolu s dalšími informacemi získanými od Správců v rámci jejich činnosti, z veřejných zdrojů (například veřejné seznamy a rejstříky, internetové aplikace, jiné veřejné informační zdroje) nebo od třetích stran zpracovávány Bankou a předávány Správcům za účelem zkvalitnění péče o Klienta, provádění Marketingových činností, informování ostatních Správců o bonitě a důvěryhodnosti Klienta a analyzování těchto údajů. Klient souhlasí s tím, aby Banka zpracovávala výše uvedené údaje za účelem a v rozsahu shora uvedeném po dobu od udělení tohoto souhlasu do uplynutí čtyř let od ukončení posledního smluvního nebo jiného právního vztahu mezi ním a Bankou. Tento souhlas se zpracováním údajů, udělený v souladu s právními předpisy,²¹ je dobrovolný a Klient je oprávněn jej kdykoli odvolat. Odvolání souhlasu musí být učiněno písemně.

28.4Informační povinnost Klienta právnické osoby. Klient právnická osoba je povinen informovat své zaměstnance nebo jiné fyzické osoby, jejichž osobní údaje Bance předal za účelem jejich zpracovávání v souvislosti s poskytováním Bankovních služeb Klientovi právnické osobě, o tomto zpracování osobních údajů. Podrobné informace o zpracování osobních údajů a souvisejících právech jsou uvedeny na internetových stránkách Banky v dokumentu Informace o zpracování osobních údajů.

29.Odpovědnost banky

29.1Banka odpovídá Klientovi za řádné a včasné plnění svých povinností ze Smluv. Povinnost Banky je splněna včas, jestliže je splněna ve lhůtách stanovených právními předpisy, Smlouvou nebo jinak ve lhůtách přiměřených povaze dané povinnosti, obchodním zvyklostem a postupům bank. Banka odpovídá Klientovi za škodu, jež mu byla způsobena porušením jejích povinností ze Smluv.

29.2Banka neodpovídá Xxxxxxxxx za škodu, když:

1. škoda byla způsobena protiprávním jednáním Klienta nebo třetí osoby;

2. škoda byla způsobena porušením povinností osob jednajících za Klienta dle Smlouvy;

3. škoda byla způsobena postupem Banky v souladu s příkazy a žádostmi Klienta nebo jí Klient utrpěl v důsledku svých vlastních obchodních či jiných rozhodnutí;

4. škoda byla způsobena tím, že Banka jednala v souladu se Smlouvou, nebo tím, že Klient porušil Smlouvu;

5. škoda byla způsobena jinak než úmyslně nebo z hrubé nedbalosti;

6. porušení povinnosti Banky bylo způsobeno jednáním Klienta nebo nedostatkem součinnosti ze strany Klienta;

7. porušení povinnosti bylo způsobeno mimořádnou nepředvídatelnou a nepřekonatelnou překážkou vzniklou nezávisle na vůli Banky nebo okolnostmi vylučujícími odpovědnost, použije-li se pro právní vztah právní úprava platná před účinností občanského zákoníku.²²

Za mimořádnou nepředvídatelnou a nepřekonatelnou překážku vzniklou nezávisle na vůli Banky nebo za okolnosti vylučující odpovědnost se považují zejména vyšší moc, včetně přírodních událostí, terorismus, války, občanské nepokoje, stávky, výluky, opatření institucí užívaných Bankou v platebním styku, českých i zahraničních státních orgánů, soudů a jiné překážky, které nastaly nezávisle na vůli Banky a které Banka v době vzniku závazku nemohla rozumně předvídat.

29.3Odpovědnost Banky za neautorizované nebo nesprávně provedené platební transakce je uvedena v Oznámení o provádění platebního styku nebo v Produktových podmínkách k příslušnému Platebnímu prostředku.

30.Zajištění

30.1V souvislosti s poskytováním Bankovní služby je Banka oprávněna žádat poskytnutí přiměřeného zajištění či dozajištění dluhů Klienta vůči Bance, a to i v průběhu poskytování příslušné Bankovní služby, zejména pak v případě, kdy dojde k výraznému zhoršení finanční situace Klienta či k zásadní změně v jeho právním postavení. Neposkytnutí takovéhoto zajištění či dozajištění může Banka považovat za podstatné porušení Xxxxxxx s Klientem.

30.2Banka je oprávněna realizovat zajištění za podmínek stanovených příslušnou Smlouvou.

30.3Klient se zavazuje, že ve vztahu k předmětu zajištění, který slouží k zajištění dluhů Klienta vůči Bance, takový předmět zajištění nepřevede, nepostoupí, nezcizí ani jinak neumožní nabytí jakéhokoli věcného práva k němu třetí osobě ani ho nevyčlení do svěřenského fondu ani ho neposkytne jako jistotu ve prospěch osoby rozdílné od Banky bez předchozího písemného souhlasu Banky. Klient se zavazuje, že osoba poskytující zajištění rozdílná od Klienta nepřevede, nepostoupí, nezcizí ani jinak neumožní nabytí jakéhokoli věcného práva k takovému předmětu zajištění třetí osobě ani ho nevyčlení do svěřenského fondu ani ho neposkytne jako jistotu ve prospěch osoby rozdílné od Banky bez předchozího písemného souhlasu Banky.

30.4Bez předchozího výslovného písemného souhlasu Banky nepřechází zajišťovaný dluh na nabyvatele předmětu zajištění.

30.5Je-li po převodu vlastnického práva k předmětu zajištění Banka Klientem nebo osobou poskytující zajištění rozdílnou od Klienta písemně vyzvána, aby přijala nabyvatele předmětu zajištění jako nového dlužníka namísto Klienta, je Banka oprávněna se k takové písemné výzvě vyjádřit ve lhůtě 30 kalendářních dnů od doručení písemné výzvy Bance na adresu Klientova obchodního místa.

31.Změna smlouvy

31.1Právo navrhovat změny. Banka je oprávněna navrhovat změny VOP zejména v návaznosti na změny právních předpisů, v zájmu zlepšení kvality poskytovaných Bankovních služeb Klientům a s ohledem na obchodní cíle Banky. Postup podle článku 31 VOP platí i pro změnu Produktových podmínek, Oznámení a Sazebníku a pro jiné změny Smlouvy navrhované Bankou, pokud Smlouva nestanoví jinak.

31.2Informace o navrhované změně. Banka Klienta informuje o navrhované změně VOP nejméně 2 měsíce před navrhovaným dnem jejich účinnosti. O navrhované změně Sazebníku ve vztahu k Platebním službám informuje Banka Klienta, který není Klientem spotřebitelem, nejméně 30 kalendářních dnů před navrhovaným dnem jeho účinnosti. O navrhované změně a navrhovaném dni účinnosti, informuje Banka způsobem dle článku 8.4 VOP či ve výpise z účtu. Klient je povinen se s navrhovaným zněním seznámit. Banka je povinna mít navrhované znění VOP k dispozici v obchodních místech Banky a vyvěsit je na internetových stránkách Banky.

31.3Účinnost a odmítnutí změny u Platebních služeb. Pokud Klient písemně neodmítne navrhovanou změnu VOP ve vztahu k Platebním službám nejpozději v Obchodní den před navrhovaným dnem účinnosti, platí, že navrhovanou změnu VOP přijal s účinností ode dne účinnosti navrženého Bankou. Změny VOP se týkají jak nových, tak dříve poskytovaných Bankovních služeb, pokud Banka nestanoví ve VOP jinak. Pokud návrh na změnu VOP ve vztahu k Platebním službám písemně odmítne, Klient spotřebitel je oprávněn bezúplatně vypovědět Xxxxxxx s okamžitou účinností. Pokud takový návrh odmítne Klient, který není Klientem spotřebitelem, mají Klient i Banka právo vypovědět Smlouvu s účinností ke dni účinnosti změny VOP. Výpověď musí být doručena druhé smluvní straně přede dnem, kdy má navrhovaná změna nabýt účinnosti.

31.4Účinnost a odmítnutí změny u jiných než Platebních služeb. Pokud Klient nesouhlasí s navrhovanou změnou VOP ve vztahu k jiným než Platebním službám, je povinen odmítnout návrh na takovou změnu, a to písemným oznámením o jejím odmítnutí doručeným Bance nejpozději 30 kalendářních dnů před navrhovaným dnem účinnosti takové změny. Banka je následně oprávněna ve lhůtě 15 kalendářních dnů od doručení tohoto odmítnutí Klientovi sdělit, že se ve vztahu k němu použijí VOP platné před navrhovanou změnou. Jestliže tak Banka neučiní, vzniká Klientovi právo vypovědět závazek ze Smlouvy, a to ve lhůtě 15 kalendářních dnů od uplynutí lhůty pro sdělení Banky podle předchozí věty. Výpovědní doba v takovém případě činí 1 měsíc a počíná běžet doručením výpovědi Bance. Jestliže Klient navrhovanou změnu neodmítne nebo navrhovanou změnu odmítne, ale nevyužije vzniklé právo závazek ze Smlouvy výše uvedeným způsobem vypovědět, platí, že navrhovanou změnu VOP přijal s účinností ode dne účinnosti navrženého Bankou.

31.5Forma odmítnutí a výpovědi. Výpověď a oznámení o odmítnutí navrhovaných změn učiněné Klientem podle článků 31.3 a 31.4 VOP musí mít písemnou formu, podpis Klienta na nich musí být úředně ověřen nebo učiněn před zaměstnancem Banky (neakceptuje-li Banka jiný způsob ověření) a musí být doručeny Bance dle článku 8.3 VOP.

31.6Omezení práva odmítnout změnu. V případě změny VOP má Klient právo odmítnout navrhovanou změnu a případně vypovědět Smlouvu pouze, pokud se navrhovaná změna přímo týká Bankovní služby poskytované Klientovi na základě této Smlouvy.

31.7Podstatné zvýšení ceny. Klient spotřebitel je při podstatném zvýšení ceny za poskytované Bankovní služby oprávněn toto zvýšení odmítnout. Pro odmítnutí a odstoupení Klienta od Smlouvy platí obdobně postup dle článků 31.3 až 31.6 VOP.

31.8Změny s okamžitou účinností. Odchylně od předchozích článků je Banka oprávněna provést s okamžitou účinností jednostrannou změnu:

1. VOP, Produktových podmínek, Oznámení a Sazebníku, je-li tato změna výhradně ve prospěch Klienta, nebo je-li změna vyvolána doplněním nové Bankovní služby a nemá vliv na stávající poplatky,

2. obchodního názvu Bankovní služby, která nemá vliv na práva a povinnosti smluvních stran vyplývající ze Smlouvy,

3. údajů, které jsou čistě informačního charakteru a nejsou určeny dohodou smluvních stran (např. sídlo Banky, obchodní firma Členů finanční skupiny Banky).

O změnách dle tohoto článku informuje Banka Klienta předem způsobem dle článku 8.4 VOP nebo na internetových stránkách Banky.

32.Rozhodné právo a řešení sporů

32.1Právní vztahy mezi Bankou a Klientem se řídí právním řádem České republiky. Pro účely Smluv, na které se použije právní úprava platná před účinností občanského zákoníku,²³ platí, že se právní vztahy mezi Klientem a Bankou řídí obchodním zákoníkem.²⁴

32.2Klient i Banka vynaloží maximální úsilí k tomu, aby jakékoli sporné záležitosti vyřešili smírnou cestou, s přihlédnutím k oprávněným zájmům Klienta i Banky. Není-li mezi Klientem a Bankou dohodnuto jinak, jsou k řešení sporů příslušné soudy České republiky.

32.3V případech stanovených zákonem (např. spory z platebního styku nebo ze spotřebitelských úvěrů) se může Klient obrátit na finančního arbitra za podmínek stanovených příslušným právním předpisem.²⁵ Právo Klienta obrátit se na soud tímto není dotčeno.

32.4Pro mimosoudní řešení spotřebitelských sporů v oblasti finančních služeb je věcně příslušný finanční arbitr (xxx.xxxxxxxxx.xx), a to v rozsahu působnosti stanoveném v zákoně č. 229/2002 Sb., o finančním arbitrovi, ve znění pozdějších předpisů.²⁶ V případech, kdy není dána působnost finančního arbitra, je pro řešení spotřebitelských sporů věcně příslušná Česká obchodní inspekce (xxx.xxx.xx) nebo subjekt pověřený Ministerstvem průmyslu a obchodu a zveřejněný na jeho internetových stránkách (xxx.xxx.xx).

32.5V případě porušení právních povinností vyplývajících ze Smlouvy nebo právních předpisů ze strany Banky má Klient právo podat stížnost na postup Banky u orgánu dohledu uvedeným v čl. 1.1 VOP.

33.Přechodná ustanovení

33.1Pro Smlouvy, na které se použije právní úprava platná před účinností občanského zákoníku,²⁷ platí, že Kontaktní adresou Klienta je adresa uvedená v příslušné Smlouvě, ve smlouvě související s poskytovanou Bankovní službou nebo Klientem Bance jinak písemně oznámena jako adresa pro doručování.

34.Oddělitelnost ustanovení

34.1Pokud se nějaký článek Smlouvy, Produktových podmínek, VOP, Oznámení nebo Sazebníku stane neplatným, neúčinným nebo nevynutitelným nebo bude v rozporu s platnými právními předpisy, platí, že je plně oddělitelný od ostatních článků daného dokumentu, a tedy ostatní články Smlouvy, Produktových podmínek, VOP, Oznámení nebo Sazebníku zůstávají nadále v plné platnosti a účinnosti.

35.Produkty a služby v novém bankovnictví KB

35.1Ustanovení tohoto článku 35 se uplatní pouze na Rámcovou smlouvu o produktech a službách a na jejím základě sjednané Smlouvy, dále na Smlouvy, které lze sjednat nebo obsluhovat v internetovém bankovnictví KB+, jakož i na smluvní vztahy, u kterých použití tohoto článku vyplývá ze smyslu a významu jeho dalších ustanovení.

35.2Banka a Klient spolu komunikují přednostně elektronicky, a to na Klientem uvedený kontaktní e-mail nebo kontaktní telefon, u kterých Klient potvrdil, že slouží ke komunikaci mezi ním a Bankou, zejména pro zasílání dokumentace a jejích změn a zasílání hesel a kódů, není-li dohodnuto jinak. Ke vzájemné komunikaci slouží také schránka v internetovém bankovnictví KB+.

35.3Třetí a čtvrtá věta článku 8.4 VOP Způsob doručování se nahrazují tímto zněním: „Smluvní a jiné dokumenty či jejich změny dle článku 31 VOP doručuje Banka Klientovi do schránky v internetovém bankovnictví KB+ nebo na kontaktní e-mail, u kterého Klient potvrdil, že slouží ke komunikaci mezi ním a Bankou, zejména pro zasílání dokumentace a jejích změn. Banka může určit dokumenty, které přednostně doručuje Klientovi do schránky v internetovém bankovnictví KB+.“

Odkazují-li VOP na článek 8.4 VOP, použije se přiměřeně znění tohoto článku 35.3.

35.4Pokud z kontextu nevyplývá jinak, platí pro smluvní vztahy dle článku 35.1 při výkladu VOP následující pravidla:

1. Sazebníkem se rozumí Ceník produktů a služeb;

2. Oznámením o provádění platebního styku se rozumí Pravidla provádění plateb;

3. Smlouvou se rozumí také Rámcová smlouva o produktech a službách;

4. Internetovým bankovnictvím se rozumí internetové bankovnictví KB+;

5. povoleným debetem se rozumí Kontokorent.

35.5Na smluvní vztahy dle tohoto článku se nepoužijí články 14.3, 15.1 a 15.2 VOP.

35.6Biometrický podpis. Dynamický biometrický podpis je vlastnoruční elektronický podpis. V případě, že Klient podepíše Smlouvu a jiné dokumenty dynamickým biometrickým podpisem, je Banka oprávněna zaslat Klientovi jedno vyhotovení bez datového záznamu obsahujícího dynamická biometrická data Klientova podpisu. Takové vyhotovení bez záznamu dynamických biometrických dat se při jednání Klienta a Banky považuje za originál podepsaného dokumentu.

36.Vymezení pojmů a výkladová pravidla

36.1Pojmy s velkým počátečním písmenem mají ve VOP následující význam:

„Americká osoba“ je a) fyzická osoba, která má státní občanství Spojených států amerických anebo je rezidentem Spojených států amerických. b) právnická osoba založená nebo kontrolovaná podle právních předpisů Spojených států amerických.

„Banka“ je Komerční banka, a. s., se sídlem Xxxxx 0, Xx Xxxxxxx 00, čp. 969, PSČ 114 07, IČO: 45317054, zapsaná v obchodním rejstříku vedeném Městským soudem v Praze, oddíl B, vložka 1360.

„Bankovní služby“ jsou jakékoli bankovní obchody, služby a produkty poskytované Bankou na základě bankovní licence Banky, včetně investičních služeb poskytovaných Bankou jako obchodníkem s cennými papíry.

„ČBA“ je Česká bankovní asociace.

„ČNB“ je Česká národní banka, se sídlem Xx Xxxxxxx 00, 000 00 Xxxxx 0.

„Člen finanční skupiny Banky“ nebo „Člen FSKB“ je Komerční pojišťovna, a. s., IČO: 63998017; Modrá pyramida stavební spořitelna, a. s., IČO: 60192852; KB Penzijní společnost, a. s., IČO: 61860018; ESSOX s. r. o., IČO: 26764652, Factoring KB, a. s., IČO: 25148290 a další subjekty, v nichž Banka má či nabude majetkovou účast spočívající v přímém či nepřímém podílu na jejich základním kapitálu.

„Elektronické výpisy“ jsou zprávy o zúčtování, kterými Banka informuje Klienta o provedených transakcích a o zůstatku na příslušném Účtu, a to v elektronickém formátu PDF, doručované Klientovi prostřednictvím služby internetového bankovnictví nebo jiným dohodnutým způsobem (např. e-mailem).

„Jedinečný identifikátor“ je bankovní spojení ve formátu IBAN (příp. číslo účtu) a BIC anebo v tuzemském platebním styku ve formátu čísla účtu a kódu banky.

„Jednající osoba“ je statutární orgán právnické osoby, případně členové statutárního orgánu právnické osoby, kteří jsou oprávněni jednat za právnickou osobu navenek.

„Klient“ je jakákoli osoba, která využívá Bankovní služby, případně žádá o poskytnutí Bankovních služeb.

„Klient spotřebitel“ je fyzická osoba, která při uzavírání a plnění Smlouvy nejedná v rámci své podnikatelské činnosti anebo v rámci samostatného výkonu svého povolání, případně osoba, která žádá o poskytnutí Bankovní služby.

„Klientovo obchodní místo“ je obchodní místo Banky, které vede Xxxxxxxxx Účet nebo kde Klient uzavřel příslušnou Smlouvu.

„Kontaktní adresa“ je adresa sjednaná ve Smlouvě nebo v jiné smlouvě související s poskytovanými Bankovními službami, nebo adresa, kterou Klient sdělil Bance pro účely doručování Zásilek, a není-li sjednaná nebo Klientem sdělená, tak adresa trvalého pobytu u Klienta spotřebitele a adresa sídla u ostatních Klientů. Kontaktní adresou může být též P. O. Box.

„Kurz“ je směnný kurz vyhlašovaný Bankou.

„Marketingová činnost“ je soubor činností vedoucích k 1) poznání Klientovy situace, životního stylu a potřeb, prostřednictvím zjišťování a vyhodnocování jeho představ, možností, specifických potřeb a událostí; 2) informování Klientů o produktech a službách Správce a vybraných obchodních partnerů uvedených na Seznamu třetích stran zveřejněném na internetových stránkách Banky v části Ochrana osobních údajů; 3) předkládání cílené nabídky k jejich objednání, zprostředkování či pořízení; 4) a vyhodnocování příslušných údajů k těmto účelům, a to i prostřednictvím elektronických prostředků.

„Obchodní den“ je den, na který nepřipadá sobota, neděle, státní svátek ani ostatní svátky ve smyslu příslušných právních předpisů a ve který je Banka otevřena pro poskytování Bankovních služeb, a zároveň jsou jiné instituce, které se účastní poskytnutí Bankovní služby nebo na kterých je poskytnutí Bankovní služby závislé, otevřeny pro poskytování příslušných služeb.

„Oprávněná osoba“ je osoba uvedená na Podpisovém vzoru Klienta.

„Osoba se zvláštním vztahem k Bance“ je osoba uvedená v § 19 z. č. 21/1992 Sb., zákon o bankách, ve znění pozdějších předpisů.

„Osoba ovládaná SG“ je subjekt, který SG ovládá a který zároveň buď (i) má či nabude majetkovou účast na subjektu se sídlem na území České republiky spočívající v přímém či nepřímém podílu na jeho základním kapitálu, nebo (ii) má sídlo na území České republiky. Pokud je takovým subjektem Člen FSKB, je tento subjekt uveden ve výčtu Členů FSKB.

„Oznámení“ jsou sdělení, ve kterých jsou v souladu s VOP nebo příslušnými Produktovými podmínkami stanoveny další podmínky a technické aspekty poskytování Bankovních služeb. Oznámením nejsou Oznámení o úrokových sazbách a kurzovní lístek Banky.

„Oznámení o provádění platebního styku“ je Oznámením, v němž jsou stanoveny podmínky poskytování služeb platebního styku, zejména lhůty pro provádění platebních transakcí.

„Oznámení o úrokových sazbách“ je přehled všech úrokových sazeb vkladů a úvěrů a sazeb s nimi souvisejících. Tento přehled není Oznámením.

„Platební prostředek“ je zařízení nebo soubor postupů dohodnutých mezi Bankou a Klientem, které se týkají Klienta a kterými Klient dává platební příkaz. Platebním prostředkem není zejména Příkaz doručený Bance v papírové podobě.

„Platební služby“ jsou Bankovní služby, které jsou platebními službami ve smyslu zákona o platebním styku (např. úhrady z Platebních Účtů, vydávání Platebních prostředků a vklady hotovosti na Platební Účty).

„Platební Účet“ je Účet, který je platebním účtem ve smyslu zákona o platebním styku, tj. účet, který slouží k provádění platebních transakcí.

„Podpisový vzor“ je Bankou akceptovaný vzor podpisu Oprávněné osoby, obsahující grafickou podobu jména nebo grafickou podobu jména spolu s dalším ochranným prvkem, sloužící k její identifikaci pro účely nakládání s prostředky na Účtu či za účelem podání žádosti o poskytnutí Bankovní služby či k provedení jiného dohodnutého úkonu souvisejícího s Bankovní službou. Podpisový vzor musí mít náležitosti plné moci.

„Politicky exponovaná osoba“ je fyzická osoba, která je nebo byla ve významné veřejné funkci s celostátním nebo regionálním významem nebo má k této osobě blízký osobní nebo podnikatelský vztah nebo vztah vyplývající z vlastnictví nebo ovládání subjektu založeného ve prospěch Politicky exponované osoby.

„Produktové podmínky“ jsou podmínky Banky upravující poskytování jednotlivých Bankovních služeb.

„Příkaz“ je platební příkaz, tj. pokyn Klienta, jímž Banku žádá o provedení platební transakce.

„Rozhodný den“ je den, kdy se Banka hodnověrným způsobem dozví o úmrtí Klienta nebo o jeho prohlášení za nezvěstného, tj. den, kdy Banka obdrží tuto informaci ze základních registrů a informačních systémů veřejné správy nebo kdy jsou Klientovu obchodnímu místu doručeny průkazné doklady o skutečnosti, že Xxxxxx zemřel nebo byl prohlášen za mrtvého nebo nezvěstného (např. úmrtní list, přípis soudu nebo notáře provádějícího dědické řízení, rozhodnutí soudu s doložkou právní moci o prohlášení Klienta za mrtvého nebo nezvěstného).

„Sankce“ jsou jakékoli ekonomické nebo finanční sankce, obchodní embarga nebo obdobná opatření přijatá, prováděná nebo vymáhaná kterýmkoli z následujících subjektů (nebo kterýmkoli orgánem těchto subjektů): (i) Organizace spojených národů, (ii) Spojené státy americké, (iii) Evropská unie nebo kterýkoli z jejích stávajících nebo budoucích členských států; nebo (iv) Spojené království Velké Británie a Severního Irska.

„Sankcionovaná osoba“ je jakákoli osoba bez ohledu na to, zda má či nemá právní osobnost: (i) uvedená na jakémkoli seznamu určených osob, vůči kterým se uplatňují Sankce; (ii) umístěná nebo organizovaná podle práva země nebo území, které je předmětem komplexních Sankcí; (iii) přímo či nepřímo vlastněná nebo ovládaná, dle definice příslušných Sankcí, osobou uvedenou v bodě (i) nebo (ii) výše; nebo (iv) která je, nebo po uplynutí jakékoli lhůty bude, předmětem Sankcí.

„Sazebník“ je přehled všech poplatků, ostatních cen a jiných plateb za Bankovní služby a za úkony s Bankovními službami související.

„SG“ je Société Générale SA, B 552 120 222, se sídlem 00, Xxxxxxxxx Xxxxxxxxx, 00000 Xxxxx, Xxxxxxx.

„Skutečný majitel“ je fyzická osoba, která má fakticky nebo právně možnost vykonávat přímo nebo nepřímo rozhodující vliv v právnické osobě, ve svěřenském fondu nebo v jiném právním uspořádání bez právní osobnosti. Skutečný majitelem je

1. u obchodní korporace fyzická osoba, která sama nebo společně s osobami jednajícími s ní ve shodě disponuje více než 25 % hlasovacích práv této obchodní korporace nebo má podíl na základním kapitálu větší než 25 %, která sama nebo společně s osobami jednajícími s ní ve shodě ovládá osobu uvedenou v předchozím pravidle, která má být příjemcem alespoň 25 % zisku této obchodní korporace, nebo která je členem statutárního orgánu, zástupcem právnické osoby v tomto orgánu anebo v postavení obdobném postavení člena statutárního orgánu, není-li skutečný majitel nebo nelze-li jej určit podle předchozích pravidel;

2. u spolku, obecně prospěšné společnosti, společenství vlastníků jednotek, církve, náboženské společnosti nebo jiné právnické osoby podle zákona upravujícího postavení církví a náboženských společností fyzická osoba, která disponuje více než 25 % jejích hlasovacích práv, která má být příjemcem alespoň 25 % z jí rozdělovaných prostředků, nebo která je členem statutárního orgánu, zástupcem právnické osoby v tomto orgánu anebo v postavení obdobném postavení člena statutárního orgánu, není-li skutečný majitel nebo nelze-li jej určit podle předchozích pravidel;

3. u nadace, ústavu, nadačního fondu, svěřenského fondu nebo jiného právního uspořádání bez právní osobnosti fyzická osoba nebo skutečný majitel právnické osoby, která je v postavení zakladatele, svěřenského správce, obmyšleného, osoby, v jejímž zájmu byla založena nebo působí nadace, ústav, nadační fond, svěřenský fond nebo jiné uspořádání bez právní osobnosti, není-li určen obmyšlený, a osoby oprávněné k výkonu dohledu nad správou nadace, ústavu, nadačního fondu, svěřenského fondu nebo jiného právního uspořádání bez právní osobnosti.

„Smlouva“ je smlouva nebo dohoda o poskytnutí Bankovní služby uzavřená mezi Klientem a Bankou.

„Správce“ je SG, Banka, Členové FSKB a Osoby ovládané SG, Amundi Czech Republic, investiční společnost, a. s., IČO: 60196769, a Amundi Czech Republic Asset Management, a. s., IČO: 25684558.

„Transakce mimo EHP“ jsou platební transakce z nebo do státu, který není členem Evropského hospodářského prostoru.

„Účet“ je běžný, spořicí nebo termínovaný účet Klienta vedený Bankou.

„Zásilky“ jsou zprávy (včetně zpráv o zúčtování), písemnosti a jiná korespondence či jiné zásilky mezi Bankou a Klientem související s poskytováním Bankovních služeb.

„Zmocněnec“ je fyzická nebo právnická osoba, kterou Klient zmocnil plnou mocí, aby jej zastupovala ve vztahu k Bance v rozsahu stanoveném touto plnou mocí, nebo která je zmocněna zastupovat Klienta na základě právního předpisu nebo rozhodnutí soudu. Pokud Banka v odůvodněných případech akceptuje pověření zaměstnance Klienta k jednání za Klienta, považuje se takto pověřená osoba za Zmocněnce.

36.2Pokud z kontextu nevyplývá jinak, platí při výkladu VOP a Smlouvy následující pravidla:

1. odkazy na internetové stránky Banky jsou odkazy na adresu xxx.xx.xx, případně na jiné internetové adresy, které Banka používá nebo bude používat v souvislosti s poskytováním Bankovních služeb;

2. odkazy ve Smlouvě nebo jiných dokumentech na články VOP nebo jiných dokumentů uvedené římskými číslicemi znamenají odkazy na stejné číslo článku příslušného dokumentu uvedené arabskými číslicemi;

3. Smlouvou se rozumí Smlouva včetně všech jejích nedílných součástí, zejména včetně VOP, příslušných Produktových podmínek, Oznámení a Sazebníku;

4. pojmem „příkaz“ se rozumí jak Příkaz, tak případně i jiný pokyn Klienta Bance;

5. platební transakcí se rozumí vklad hotovosti na Platební účet nebo výběr hotovosti z Platebního účtu nebo bezhotovostní převod peněžních prostředků z Účtu nebo na Účet;

6. kontrolou Klienta se pro účely článku 3.1 VOP rozumí kontrola Klienta ve smyslu zákona o některých opatřeních proti legalizaci výnosů z trestné činnosti a financování terorismu, která zahrnuje získání informací o účelu transakce, průběžné sledování obchodního vztahu s Klientem, zjišťování Skutečného majitele a přezkoumání zdrojů peněžních prostředků;

7. poštou se rozumí provozovatel poštovních služeb;

8. osobami jednajícími za Klienta se rozumí Zmocněnec, Jednající osoba a Oprávněna osoba;

9. obchodními místy Banky se rozumí organizační útvary Banky, v nichž jsou poskytovány Bankovní služby, označované zejména jako pobočky nebo obchodní divize;

10. přímým bankovnictvím se rozumí internetové bankovnictví a telefonické bankovnictví;

11. trvalým pobytem se rozumí trvalý nebo jiný pobyt;

12. pojmem „Kvalifikovaný klient“ se rozumí Klient spotřebitel.

37.Zrušovací ustanovení

37.1Tyto VOP nabývají účinnosti dne 1. 1. 2024.

37.2Tyto VOP ruší a nahrazují VOP účinné od 7. 3. 2023. Souhlas Klienta dle článku 28 těchto VOP je účinný pouze ve vztahu ke Klientovi, který smluvní vztah nebo dodatek k existujícímu smluvnímu vztahu s Bankou, jejichž nedílnou součástí jsou tyto VOP, uzavře, nejdříve v den účinnosti těchto VOP. Pro Klienta, který podepsal, odmítl podepsat či odvolal obdobný souhlas již dříve, zůstává právní režim souhlasu jím uděleného, odmítnutého či odvolaného změnou VOP nedotčen.

Komerční banka, a.s. issues these General Business Terms and Conditions (hereinafter the “General Conditions”) that set forth the basic rules governing commercial relationship between the Bank and its Clients with respect to the provision of the Banking Services. Please read this document thoroughly. We shall gladly answer any of your questions.

1. Introductory Provisions

   1. Komerční banka, a.s., is a legal person that pursues its business activities based on its banking licence granted in accordance with applicable law.

Activities of the Bank are supervised by the CNB.

2. The Bank usually provides Banking Services at the Client's Point of Sale, on Business Days and during its business hours.

3. The Bank is not obliged to enter into a contractual relationship with the Client or provide him/her a Banking Service. The Bank is entitled to make the provision of Banking Services dependent on the presentation of required documents and information.

1. Contract Documents

   1. Listing of Contract Documents. In addition of the General Conditions, the Bank also issues the Product Terms and Conditions that set forth terms of providing selected Banking Services. Further terms and conditions as well as information about the provision of Banking Services, including the payment system, shall be included in relevant Notices. Fees of provided Banking Services and associated transactions are set forth in the Tariff of Fees. The General Conditions, Product Terms and Conditions related to a specific Banking service, Notices related to a specific Banking Service, and the Tariff of Fees (within the scope and to the extent applicable to a relevant Banking Service) shall form part of the contents of the Contract (hereinafter the “Contract Documents”).

   2. If the Contract is executed after the day on which the Bank has made available an amended draft of any of the Contract Documents but before the proposed effective date thereof as referred to in Article 31 hereof, the amended Contract Document in the new wording shall be considered part of the Contract starting from the proposed effective date thereof.

   3. Hierarchy of Contract Documents. Provisions of the Contract shall prevail over dissimilar provisions of Contract Documents. Provisions of the Product Terms and Conditions shall prevail over dissimilar provisions of the General Conditions, Notices and Tariff of Fees. Provisions of Notices and the Tariff of Fees shall prevail over dissimilar provisions of the General Conditions.

   4. The Client hereby undertakes that the individuals who utilize Banking Services on behalf of the Client shall always be acquainted in an appropriate manner with the Contract Documents and other documents related to the specific Banking Service.

   5. Mandatory publishing of Contracts. If the Client fails to fulfil an obligation imposed by law²⁸ or by contract to make the Contract public, the Bank shall be entitled to publish the Contract in an appropriate manner by itself. The Client shall be obliged to compensate the Bank for any damage incurred due to the breach of his/her/its duty under the foregoing sentence.

2. Identifying and Checking the Client; Presentation of Documents

   1. Identification of individuals. Before or during the provision of a Banking Service is provided, the Bank shall be entitled to require presentation of identification documents, additional documents and information needed for the provision of a Banking Service and a proper identification and check-up of the Client and individuals authorised to act on behalf of the Client, establishing the ownership and governance structure and the Client’s Beneficial Owner, and for determining whether the Client or Client’s Beneficial Owner are a Politically Exposed Person or a Sanctioned Person. The Bank shall be entitled to set specific conditions for determining the Client’s Beneficial Owner.

   2. The Bank shall be entitled to specify the scope and extent of required documents and information. The Bank shall be obliged, within the scope of fulfilment of its duties arising from law and from internal regulations,²⁹ to identify and check the Clients; fulfil its duty to notify; ascertain and process data on participants in the Banking Service; and keep files on data obtained in this way, this all in accordance with the contractual arrangements and with law.³⁰

   3. Copying of documents. The Bank shall be entitled to make copies of submitted documents for its own need.

   4. Recording the communication. In accordance with investment services legislation, all telephone calls and electronic communication of Clients are recorded. Copies of the calls and communication recordings shall be available upon request for the period of five years or, where required by competent authorities, for the period of up to seven years. The Bank shall be entitled to archive the recorded telephone calls and electronic communication for a longer period if it is allowed by law. The communication recordings shall be made and archived even if no transaction has been entered into and no investment service has been provided.

   5. The Client undertakes to take such measures and act in such a way that he/she can avoid any action, either by himself/herself or through another person, which could be perceived as accepting a bribe, bribery or indirect bribery according to applicable law.³¹

3. Duty to Notify

   1. Bank’s duty to notify. The Bank shall make public the General Conditions, Product Terms and Conditions, Notices, Tariff of Fees, and exchange rate lists at its points of sale (branches) and on the Bank’s Internet pages.

   2. Client’s duty to notify. To ensure a proper provision of a Banking Service, the Client shall be obliged to inform the Bank, without any unnecessary delay, about:

1. Any changes in his/her/its contacts, identification data, and additional data disclosed to the Bank pursuant to Article 3.2 hereof, and in the data concerning persons acting on behalf of the Client and the Beneficial Owner,

2. Any fact that may make the Client a Person with a special relation to the Bank,

3. Any change in circumstances determining a status of a Politically Exposed Person or a U.S. Person, or change in the tax residence country,

4. Other changes and circumstances that have or may have a considerable impact on the provision of Banking Services, on the discharging of Client’s duties to the Bank, and on the legal position (e.g., starting of a winding up/liquidation process, introduction of insolvency proceedings, legal incapacity/insanity etc.), of the Client or persons acting on behalf of the Client or of the Beneficial Owner,

5. Any loss of documents whose importance for the provision of Banking Services is crucial, as well as of documents identifying the Client or persons acting on behalf of the Client.

1. The Client shall be obliged, at Bank's request, to demonstrate (and furnish proof of) the origin and source of funds as well as communicate to the Bank any information and to prove facts that the Bank is obliged to ascertain, including the justification of the nature and purpose of a specific transaction or a business relationship.

2. The Client shall further be obliged to communicate and prove to the Bank information and facts, which the Bank may require for tax, accounting or other regulatory purposes. If the Client, while utilising the Banking Services, participates in a cross-border arrangement that is reportable pursuant to the relevant tax regulation,³² he/she shall be obliged to notify the Bank about it without any delay.

3. Authenticity and correctness of presented documents. The Bank shall act in a good faith in the authenticity and truthfulness of presented papers, documents and provided information and shall not be obliged to accept them in case of justified doubts.

4. Basic registers and public authorities’ information systems. The information obtained by the Bank in the exercise of its right to use the data from the basic registers and information systems of public authorities³³ shall be equivalent to the information provided and duly documented by the Client or by an authorised third party. The Bank shall be entitled to take appropriate legal actions in relation to the Banking Services provided, including their modification or termination, in accordance with such information.

1. Client’s and Bank’s Actions

   1. Manner in which the Client acts. The Client shall take actions in respect of the Bank either in person or through the Corporate Agent or Proxy. In specific cases, the Bank may accept that also other persons shall act within the given scope on behalf of the Client, provided that they act in compliance with law and in a required manner. The Bank shall be entitled to decide that the Client shall be obliged to take certain actions in respect of the Bank in person or through Corporate Agents. If another legal person is a member of a statutory body of the Client – legal person, such a member of the Client’s statutory body shall be represented in dealings with the Bank (i) either solely by a natural person authorised by the aforesaid legal person to represent it in the Client’s statutory body, (ii) or by a natural person who is a member of a statutory body of the aforesaid legal person.

   2. The Bank shall be entitled to verify the authorisation of a person acting on behalf of the Client and to decline or defer the execution of any order or request until the Bank considers it indisputable that the given person is authorised to act on behalf of the Client in the given matter. The Bank shall further be entitled to decline or defer the execution of any order or request in case that it is not provided with any and all documents (in particular consents, approvals, and statutory declarations) necessary for the provision of a relevant Banking Service, or if such documents lack certain required particulars or fail to provide sufficient proof of certain facts.

   3. Requisite particulars of a power of attorney. The Client's signature on the power of attorney must be officially certified (notarised) or made in the presence of a Bank's employee or in another manner acceptable for the Bank. The Bank shall be entitled to require that certain acts should be based on a special power of attorney. Where required by law, the power of attorney must be made in the form of a notarial record or in another required form.

   4. Manner in which the Bank acts. The Bank shall act through its employees or third parties that are authorised to take a given action or whose authorisation to act on behalf of the Bank arises from law. Where the Bank considers it appropriate, it shall be entitled to substitute a signature of persons authorised to act on behalf of the Bank by printed or mechanical means, especially in case of a bulk correspondence or automatically generated correspondence.

   5. Verification of signatures. Signatures of the Client or persons acting on behalf of the Client on documents by which a contractual relationship with the Bank is established, changed, or terminated, as well as on a rejection of a change/amendment to the General Conditions and/or any other Contract Document pursuant to Article 31 hereof, must be made in the presence of a Bank's employee or must be officially certified unless, in a specific case, the Bank accepts another manner of certification (e.g., via a direct banking service). Documents sent to the Bank via the data mailbox information system must be signed with the recognised electronic signature³⁴ of the Client or persons acting on his/her behalf, unless the Bank accepts otherwise in a particular case. The Bank shall be entitled to specify which documents should be signed in accordance with the Specimen Signature, provided that the Client has established it.

   6. Legal incapacity. If, in expectation of his/her own legal incapacity (incompetence), the Client decides to demonstrate his/her will to have his/her affairs handled in a certain manner or by a certain individual, the Client must express his/her will to the Bank in form of a public deed.

   7. When dealing with the Bank, a person acting on behalf of the Client shall be obliged to adhere to any and all restrictions and regulations set out by law, a decision of a court or another authority, or Client’s instructions governing his/her acting behalf of the Client. Failing this, such a person shall be obliged to compensate the Bank for any damage incurred due to the breach of this duty.

   8. If the Client had been temporarily legally incapacitated, he/she shall be obliged to present to the Bank without any unnecessary delay a final judicial decision or an extract from the Register of Inhabitants demonstrating his/her restored legal capacity and, where the foregoing is not applicable, a statutory declaration to this effect. The Client shall be obliged to compensate the Bank for any damage incurred due to the breach of the aforesaid duty or due to the untruthfulness of the statutory declaration.

2. Mutual Communication

   1. Manner of communication. The Client and the Bank may agree on a mutual communication via electronic means or other technical means. In case of a telephone/video call, both the Client and the Bank shall identify themselves in an agreed manner or in a manner causing no doubts in terms of the identity of a communicating person. At the Bank’s request, the Client shall also identify any third parties involved in the communication on the part of the Client.

   2. Language of communication. Any communication concerning the contractual relationship between the Bank and the Client shall be in Czech, unless agreed otherwise. The Bank shall not be obliged to accept a document in a foreign language and shall be entitled to ask to be presented with an official translation into the Czech language of a presented document written in a foreign language. In case of documents drawn up in several language versions, the existing Czech version shall always prevail.

   3. Venue of communication. The mutual communication between the Client and the Bank shall take place through the Client's Point of Sale unless stipulated otherwise by the Bank or agreed otherwise between the Bank and the Client. The Client shall also fulfil his/her/its duty to inform in the aforesaid manner.

   4. Video calls. If there is a third party participating in a video call together with the Client, the Client shall be responsible for his/her participation and identification, if required by the Bank. The Client acknowledges that during the video call, information subject to banking secrecy may be disclosed to the third party.

3. Client's Orders and Applications

   1. Terms of execution of orders and applications. The Bank shall be entitled to reject an order or application that are incomplete, unintelligible, formally incorrect, and/or contain crossing out or corrections, as well as an order or application submitted in a copy. The Bank shall not be obliged to execute a requested action in case of serious operational/technical reasons or if it is against the law. Further, the Bank shall be entitled to defer executing an order or processing an application, or to decline them if the Bank fails to have obtained the information and documents referred to under Article 4.3 hereof, or if a reasonable concern occurs that the Client shall not be able to meet his/her duties in respect of the Bank or in case of the existence of any outstanding overdue receivables of the Bank in respect of the Client.

   2. Identification and proving one’s identity. In accordance with the applicable law,³⁵ the Bank shall be entitled to identify each person presenting an order or application, or depositing or withdrawing cash, regardless of the amount of a specific transaction.

   3. Changing and cancelling an order. The Client may only change or cancel his/her order or application after an agreement with the Bank, provided that law does not prohibit such a change or cancellation. Any and all orders or applications submitted by the Client shall become void as at the Conclusive Date, unless specified otherwise by law.

   4. Embargoes and sanctions. As at the date of executing the Contract and as at the moment of providing the Banking Service, the Client declares that he/she/it is not a Sanctioned Person or a party to any agreement or transaction with a Sanctioned Person and does not deal with goods or provide services that are subject to Sanctions. The Bank shall be entitled not to execute any Banking Service or any order or request by the Client if the Client becomes a Sanctioned Person or if the provision of a Banking Service or execution of a Client’s order or request may result in a breach of a Sanction by the Bank or of a similar measure imposed by the Bank or SG Financial Group. In such a case, the Bank shall not be responsible for any delay in or a failure to execute the Banking Service or the order or request. In that case, the Bank shall further be entitled to demand information and documents related to the Client’s order or request, or to terminate or cancel (withdraw from) the Contract and, in the case of transactions in financial markets, the Bank shall be authorized to execute the close-out netting pursuant to the applicable Contract (such events being considered Events of Default under the applicable Contract). The Client acknowledges that the Bank shall be entitled to disclose to the competent authorities any information requested. The Client shall not be exempted from his/her/its obligation to make any payment or pay any debt to the Bank if the Bank refuses to receive or accept a payment from the Sanctioned Person or a payment subject to Sanctions or a similar measures imposed by the Bank or by the SG Financial Group.

4. Delivering of Mail

   1. Delivering to the Client. The Bank shall deliver the Mail at the Contact Address or to a specific Internet banking mailbox established by the Client. If there are special reasons for doing so, the Bank may also deliver the Mail to the Client in another similar manner, e.g., into the Client’s data mailbox.

   2. The Bank shall be entitled to determine which specific Mail shall be delivered to the Client at his/her/its Contact Address, irrespective of any other manners of delivery agreed upon in the Contract. If the Client is not a consumer, the Bank shall be entitled to deliver the Mail at the registered office address, provided that it is different from the Contact Address.

   3. Delivering to the Bank. The Mail sent to the Bank must be delivered to the Client's Point of Sale, unless the Bank communicates to the Client an alternative address or unless agreed or accepted otherwise by the Bank pursuant to Article 8.4 hereof.

   4. Manner of delivery. The Mail may be delivered in person, by post, by courier/messenger service, or via Internet banking. The Bank may also accept delivery of the Mail by other means if it has no reasonable doubt as to the identity of the Client as the sender and the contents of the Mail. The Bank may also agree with the Client on delivering the Mail through the agency of a Proxy deliverer. The Bank shall deliver to the Client the contractual documents and/or their amendments pursuant to Article 31 hereof preferably to a mailbox activated in a specific Internet banking service. If the Client has not have such a service arranged, the Bank shall preferably use the e‑mail address agreed upon with the Client for communication with the Bank and sending contractual documentation and amendments thereto.

   5. Moment of delivery. The Mail delivered by the Bank hand-to-hand to the Client at the Contact Address or with a delivery receipt shall be delivered in accordance with the applicable law³⁶ at the moment of its receipt/acceptance by the Client. If the Client refuses to accept the Mail, fails to collect the Mail at a substitute date or otherwise thwarts delivery of the Mail, or the Mail is returned to the Bank from the Contact Address as undeliverable, the Bank shall proceed as if the Mail had been duly delivered to the Client at the Client’s Contact Address, starting from the moment the Mail is returned to the Bank as undeliverable or undelivered because the Client’s had thwarted its delivery. This applies even if the Client had not learned of deposit of the Mail. However, irrespective of the foregoing clause, the Bank shall always proceed as if the Mail had been delivered to the Client after 10 working days have elapsed from the moment of dispatch of the mail at an address in the Czech Republic or after 15 working days have elapsed from the moment of dispatch of the mail at an address abroad.

   6. As for other Mail not delivered hand to hand or with a return receipt, the Bank shall proceed as if the Mail were delivered on the 3^rd working day after being sent (domestic Mail) or on the 15^th working day after being sent (Mail sent abroad). However, this clause shall not apply in case that the Bank learns of the delivery/receipt of the Mail before the aforesaid deadlines.

   7. Without any prejudice to the provisions of Article 8.2 hereof, the Client and the Bank may agree that certain Mail addressed to the Client shall be handed over to the Client's Point of Sale to be personally collected by the Client. In such cases, the Bank shall proceed as if the Mail were delivered as at the moment of being deposited at the Client's Point of Sale. In the event that such Mail is left uncollected for a period longer than 6 months, the Bank shall be entitled to destroy such Mail.

   8. As for the Mail delivered via Internet banking, the Bank shall proceed as if the Mail were delivered as at the moment of being placed in a relevant mailbox. As for the Mail delivered by fax, the Bank shall proceed as if the Mail were delivered as at the moment at which the sender's apparatus generates a confirmation of a successful dispatching. As for the Mail sent by electronic mail, the Bank shall proceed as if the Mail were delivered as at the moment of being sent by the Bank’s server, even if the particular Mail is returned to the bank as undeliverable.

   9. The Bank shall not be held liable for the malfunction or misuse of communication means (especially e-mail) or electronic communication networks (e.g. mobile operator networks, Wi-Fi networks, fixed internet connection) used for communication with the Client, as they are not under its direct control. The protection of these services, their functioning and the confidentiality of messages sent by them are the responsibility of their providers. Therefore, the Bank shall not be liable for any damage caused to the Client by such misuse or malfunction.

   10. Bank’s response to returned Mail. If a specific Mail is returned repeatedly (at least twice) because the Client has refused to accept it, failed to collect it at a substitute date or otherwise thwarts delivery of the Mail, or the Mail is returned to the Bank from the Contact Address as undeliverable the Bank shall be entitled to deliver any and all further Mail to the Client's Point of Sale for personal collection, or at the Client’s permanent residence address or registered office address, provided that it is different from the Contact Address.

5. Establishing the Contractual Relationship

   1. The Bank executes Contracts with the Client at its points of sale, electronically or via other technical means, using instruments that make it possible to identify an individual signing a Contract (e.g. an electronic signature) and capture the contents of a Contract. A Contract shall be entered into for an indefinite period of time unless specified otherwise therein.

   2. The Contract shall not be executed until an agreement is reached about all its particulars and prerequisites. The Client cannot assert any claim or entitlement to executing the Contract; the Bank shall be entitled to stop negotiating about executing the Contract even without giving a reason. The document in which the Client accepts an offer made by the Bank must not contain any alterations and must not refer to other terms and conditions but to these General Conditions or relevant Product Terms and Conditions. If the Contract is executed in other than written form, it shall be understood that the contents of the Contract shall be identical to that agreed upon by the parties or confirmed by the Bank in a written confirmation sent to the Client. The Client and the Bank assume the risk of changed circumstances with respect to rights and duties of contracting parties arising under the Contract and also rule out the application of the provisions of Section 1766 of the Civil Code³⁷ to their contractual relationship established under the Contract.

6. Terminating the Contractual Relationship

   1. Cancellation by the Bank. The Bank shall be entitled to cancel the Contract or its severable part in case that the Client seriously breaches his/her contractual duties or legal obligations related to the Banking Services or if the Bank learns of other facts that might seriously impair Client's ability to meet his/her obligations properly. The Bank shall also be entitled to cancel the Contract as a result of any action on the part of the Client that may impair the trust and confidence between the Client and the Bank. The Contract shall cease to exist at the date a notice of cancellation is delivered to the Client or within another deadline set forth by the Bank. Client’s outstanding debts shall become due and payable on the first Business Day after the cancellation of the Contract, unless the Bank sets out a later date in the notice of cancellation.

   2. Mutual settlement. The Bank and the Client shall be obliged to settle their respective receivables and debts existing as at the date of expiry/termination of the Contract after the contractual relationship is terminated. In such case, the Bank shall only refund a proportionate part of the fee, charge or another payment related to Banking Services if the Contract or law expressly require so. After the contractual relationship is terminated, the Client shall be obliged to return to the Bank any and all entrusted instruments and/or objects that the Bank or any third party handed over to the Client in association with the provision of the Banking Service. Upon the cancellation of the Contract, Client’s and Bank’s liabilities under the Contract shall expire as at the effective date of the cancellation.

   3. Limitation period. The Client agrees that, unless it is contrary to law in a specific case, Bank’s any and all rights and receivables in respect of Clients – Consumers or other Clients shall lapse after the period of three (3) or fifteen (15) years, respectively, and, where a given legal relationship is governed by law effective prior to coming into the effect of the Civil Code³⁸, after the period of ten years of the date at which they could be exercised/claimed by the Bank for the first time.

7. Opening and Maintaining the Accounts

   1. The Bank shall open and maintain Accounts upon entering into a Contract.

   2. Identification of the Account. The Bank shall assign a Unique Identifier to each Account, which the Bank and the Client shall state in their mutual communication concerning the given Account. The Account name that must contain the Client’s name and surname or tradename. If required by law, an official communication, regulation or announcement of the CNB, or in case of material operational reasons as a result of which the Bank shall not be able to proceed otherwise, the Bank shall be entitled to change the Unique Identifier unilaterally. The Bank shall inform the Client about this fact sufficiently in advance before the intended change; if the Unique Identifier is to be changed for operational reasons on the part of the Bank, the Bank shall proceed in accordance with Article 31 hereof. The Bank shall not bear, fully or partly, the costs incurred by the Client in association with the change of the Account number. The Bank shall not open anonymous Accounts or Accounts owned by several persons.

   3. Minimum deposit and balance. For certain types of accounts, the Bank shall set forth a minimum allowed deposit and a minimum allowed balance in a Notice, which the Client should adhere to.

   4. Purpose of the Account. The Client shall be obliged to inform the Bank whether he/she shall or shall not use the Account for business purposes. Accounts opened for Clients – Consumers are intended exclusively for their personal, i.e., non-business needs, while Accounts opened for natural persons (business) are intended exclusively for the purposes of their business activities and Accounts opened for legal persons are intended for business purposes or other purposes. The Client must not use the Account for other purpose than the agreed one.

   5. Service package. The Bank provides a service package along with selected Account types. Products and services listed in the Tariff of Fees in relation to the given Account type are provided as part of a specific service package.

   6. Notice on the Payment System. Further terms and information concerning the Accounts and payment system, in particular domestic payments, payments made abroad, and cash and cashless transactions provided along with the Accounts, including cheques, deadlines and time periods for the execution of payment transactions, and terms and conditions of payments made via direct banking services are contained in the Notice on the Payment System.

8. Cancelling the Accounts

   1. Grounds for the termination/expiry of the contract. The contract may first and foremost be terminated by the Client pursuant to Article 12.2, or by the Bank pursuant to Article 18.3, or cancelled pursuant to Article. 10.1, or expire upon the Conclusive Date pursuant to Article 12.5 hereof.

   2. Termination of the contract by the Client. The Client shall be entitled to terminate a contract with a notice period of 10 calendar days Or, as the case may be, 30 calendar days, if a payment card has been issued in connection with the Account. The notice period shall start on the next succeeding day after the date of delivery of the notice to the Bank. If the Client terminates a contract in the manner set forth in the Czech Banking Association‘s code “Client Mobility – Changing the Bank”, the notice period shall start at the date stated in a relevant application for the change of a bank.

   3. Clearance. If the Client takes any step resulting in a termination of the Account contract or receives a notice of termination or cancellation by the Bank of the Account contract, he/she shall be obliged to give to the Bank an instruction for handling any balance possibly remaining in the Account. If the Bank does not receive such an instruction, it may transfer the remaining balance to any of the Client’s accounts. If the Client does not have another Account, the Bank shall record an unsettled receivable equal to the balance remaining in the Account until such an instruction is received from the Client. Upon the termination of the Account contract, the Bank shall cancel the Account. This provision shall not apply in case that the funds in such an Account are blocked in favour of a third party until a certain deadline is reached or a specific condition is met, while such third party has neither given his/her written consent to unfreeze the funds, nor has the agreed-upon deadline elapsed or another specific condition been met. In such case, the Bank shall not pay out funds from the Account and shall not cancel it, either, until the above conditions are met.

   4. Orders and applications concerning the handling of the funds in the Account shall be cancelled by the Bank as at the date at which the Account shall be cancelled. The Bank shall terminate the provision of Banking Services tied to the given Account as at the date on which the Account is cancelled (at the latest).

   5. Consequences of Client’s death. The contract shall not expire upon the Client’s death but on the second Business Day following the Conclusive Date provided that the debit balance occurs in the Account or the balance in the Account equals zero at the Conclusive Date, or on the second Business Day following the origination in the Account of the debit balance or balance equal to zero, if such a balance occurs at any time after the Conclusive Date. The above shall not apply if the debit balance in the Account has resulted from an authorised debit or overdraft facility provided to a natural person (business).

9. Debit Balance in the Account

   1. Permitting an authorised debit balance. The Bank and the Client may agree on the provision of an authorised debit balance with the Account. The rights and obligations of the Bank and the Client shall be governed by a relevant Contract and provisions of law applicable to credit contracts.

   2. Consequences of an unauthorised debit balance. An unauthorised debit balance is caused by the drawdown of funds in excess of the balance available on the Account or in excess of the authorised debit balance. If an unauthorised debit balance occurs in the Account for whatever reason, the Client shall be obliged to pay to the Bank, without any delay, any owed and outstanding amounts including interest and fees. The unauthorised debit balance shall continue to exist if an unauthorised debit balance occurs again in the Account on the same day on which all previous outstanding amounts shall have been repaid in full. Throughout the duration of an unauthorised debit balance in the Client's Account, the Bank shall be entitled to open a special (internal) account to register the unauthorised debit balance receivable, including interest and related fees.

   3. Interest on an unauthorised debit balance. The Bank shall be entitled to impose unauthorised debit interest and default interest (interest on late payment) on an unauthorised debit balance in the Account. The unauthorised debit interest and default interest shall be computed in accordance with a relevant Notice on Interest Rates. Throughout the duration of the unauthorised debit balance, the rate of interest on the unauthorised debit balance may be altered/modified in the manner specified in the relevant Product Terms and Conditions.

   4. Default interest and interest on unauthorised debit balance shall become due and payable as at the moment the Bank is entitled to claim them. The Bank shall also be entitled to reduce the aforesaid penalty interest for a period and with an effect determined by the Bank itself. The Bank shall inform the Client about this fact.

   5. The Bank shall inform the Client about the interest rate currently applied to the unauthorised debit balance and about the current amount of the default interest, penalties and fees in accordance with law and pursuant to these General Conditions.

   6. Significant unauthorised debit balance. If a significant unauthorised debit balance within the meaning of the Consumer Credit Act³⁹ occurs in the Account and lasts for a period longer than 1 month, the Bank shall dispatch to the Client a notification required by law in the manner agreed upon in the Contract. A significant unauthorised debit balance shall be considered a serious breach of contractual duties within the meaning of Article 10.1 hereof.

10. Handling the Funds in the Account

    1. Handling the funds in the Account by the Client. The Authorised Individual using the Specimen Signature related to the respective Account, as well as the Proxy, shall be the only persons allowed to handle the funds in the Client's Account, unless agreed otherwise for a specific payment instrument. The manner and scope of the handling of the funds in the Account shall be arranged in a relevant Contract or in another way. Unless expressly determined otherwise by the Client, Authorised Individuals may handle the funds in the Account separately. An Authorised Individual (other than the Client) may not authorise other persons to handle the funds in the Client's Account. The Bank shall be entitled to cancel a Specimen Signature or, as the case may be, another power of disposal over the account, if it is proved beyond all doubt that a given Authorised Individual is no longer authorised to act on behalf of the Client.

    2. The Specimen Signature and Proxy's authorisation, as well as any changes/alterations to or cancellation of these documents shall become binding for the Bank starting from the first Business Day following the day on which the Bank has received them from the Client. The Bank shall execute Orders in accordance with the documents binding for the Bank at the moment of processing of a particular Order, no matter when the Order has been delivered to the Bank.

    3. The Client shall not be entitled to withdraw liquid funds from a newly opened Account in cash or transfer them to another account before the first Business Day after the Business Day on which the Account has been opened by the Bank.

    4. The Client shall only be entitled to handle the funds in the Account up to the amount of liquid funds available in the Account, less the minimum balance in case it has been determined by the Bank for the given Account. The Client shall be obliged to keep sufficient funds in the Account to cover anticipated payments, Client’s debts owed to the Bank, and fees charged by the Bank for Banking Services.

    5. The Bank shall be entitled to limit the handling of the funds in the Client's Account in accordance with law. The right to draw funds, pursuant to applicable law,⁴⁰ from an Account to which the Client’s right to handle the funds has been restricted can only be exercised by the Client – Consumer, in person at the Client’s Point of Sale or using a debit card issued along with the Account.

    6. Handling the funds in the Account by the Bank. The Bank shall be entitled to handle the funds in the Client's Account if it is allowed by law or by the Contract. The Client agrees that the Bank shall be entitled to debit funds from the Client's Account for the following purposes:

1. Payment of due and payable interest;

2. Settlement adjustment resulting from an erroneous adjustment performed by the Bank itself or by another bank;⁴¹

3. Payment required by law;

4. Payment of all charges, fees and costs in association with the provision of Banking Services, including fees charged by other banks and entities taking part in the payment system operations;

5. Payment of the amount of a cheque or money order already honoured by the Bank in case of failure of their subsequent honouring by the cheque drawee or collecting bank;

6. Satisfying of Bank's receivables (including costs incurred by the cheque drawee or collecting bank) arising after the amount of the cheque or money order has been credited to the Client's Account, in case that the Client had not adhered to the contractual conditions applicable to honouring of cheques or money orders or, as the case may be, if it is later ascertained that the Client had accepted a counterfeit or altered cheque or money order;

7. Settlement of credited payments from abroad, unless the sending bank ensured the coverage/transfer of funds to the credit of the Bank;

8. Returning pensions and other legitimate allowances (however, only up to the amount of the credit balance in the Account) to which the Client is no longer entitled, if the payer expressly requests that the unjustified payment should be returned;

9. Returning a direct debit amount credited to the Client’s Account and reclaimed by the payer;⁴²

10. Returning a payment if the payee or payer Account number is listed on a list of unauthorised Internet games;⁴³

11. Payments of insurance premiums to Komerční pojišťovna, a.s., if a relevant insurance policy allows for such manner of payment, or

12. Satisfying any other due receivables of the Bank in respect of the Client, including the lapsed (time-barred) ones.

1. The Bank shall be entitled to deduct funds from the Client's Account even in case that a debit balance occurs in the Account as a result of such deduction.

2. The Bank shall further be entitled to debit funds from the Client's Account based on one-off (non-recurring) payment Orders submitted in writing even in case of an unauthorised debit balance in the Account resulting from exceeding an allowed period of time for overdraft (authorised debit drawing), up to the amount of the original authorised debit balance.

1. Statements of Accounts

   1. Form and manner of delivering. The Bank shall inform the Client about the balance of funds in the Account and about executed transactions by an account statement, either electronic or paper-based. The frequency and manner of delivery shall be individually agreed between the Client and the Bank. The Bank shall provide the Clients – Consumers with settlement reports concerning statements of their Payment Accounts pursuant to the Payments Act once per month for free, via an Internet banking service or by e-mail.

   2. If Electronic Statements are delivered via an agreed-upon Banking Service (e.g., Internet banking) and the particular Banking Service is cancelled, statements of accounts shall be delivered to the Client at his/her e-mail address, if it has been arranged, or in a paper-based form (hard copy) in the manner agreed upon for the delivery of other Mail. If the Bank, while delivering the Electronic Statements at the agreed-upon e-mail address, learns that such an address has been misused, or they are at least twice returned as undeliverable because the Client had made their receipt impossible, any further Electronic Statements shall be delivered to the Client via an Internet banking service, provided that the Client has activated such a service, or in a paper-based form (hard copy) in the manner agreed for delivering other Mail. The agreed-upon frequency of delivering the statements shall remain unaltered in either case. The provisions of this Article shall also apply to Bank’s notices informing the Client on the amount of a receivable under the Contract based on which the Bank has provided the Client with the Credit.

   3. The Bank shall always inform the Client about the balance in the Account as at the end of a calendar year by providing or making accessible a statement of the Account.

   4. Checking the statements of accounts. Having received statement of account, the Client shall be obliged to check without any unnecessary delay whether all settled transactions have been authorised and properly executed. If a Client that is not a Client – Consumer fails to file a complaint by the deadline set out in the Bank’s complaints procedures, the relevant transactions shall be deemed to have been settled correctly.

2. Interest and Taxation

   1. The Bank shall pay interest on the balance in the Account based on an annual interest rate. The Bank shall settle interest monthly, unless agreed. The interest rate and other information concerning interest and taxation of the revenue in the Account shall be governed by the Contract or set out by the Bank in the Notice on Interest Rates.

   2. Determining and changing the interest rate. The Bank shall base the interest rate on the interest rates published by the CNB, taking into account the developments in the money market, business policy of the Bank and financial risk management procedures. The interest rate set out for a given Account in the Notice on Interest Rates effective on the day the Account has been opened is the crucial instrument for determining the actual interest rate. The Bank shall set an interest rate applicable to credit balances of the Accounts of Clients – Consumers depending on the reference interest rate as envisaged in the Payments Act⁴⁴, which shall be a CNB two-week REPO rate⁴⁵. The Bank shall not be entitled to change the interest rates unilaterally beyond the scope of a change of the aforesaid reference rate, always for a period of time from the last change of the given interest rate applied to the Account of the Client – Consumer, The Bank shall change the interest rate applicable to credit balances of the Accounts of Clients – Consumers by changing the Notice on Interest Rates, in the manner and with the effect specified under Article 31 of the General Conditions. The Bank shall be entitled to change the percentage (and also the construction, if it is agreed upon with the Client) of the interest rate applicable to credit/debit balances of other Clients’ Accounts unilaterally, depending on market circumstances, Bank’s costs of financing, and other relevant circumstances.

   3. Interest rate change effectiveness. Any change/amendment to the Notice on Interest Rates shall come into the effect at the moment of publishing a new version of the Notice on Interest Rates on the Bank’s Internet pages, unless stated otherwise in the Notice on Interest Rates or General Conditions. The new interest rate shall be applied to all existing Accounts as from the effective date of a change/amendment of the specific Notice on Interest Rates, unless a later date is stipulated for the interest rate change in the Notice on Interest Rates.

   4. Interest-rate scheme (day count). For the computation of interest on the balances in Accounts denominated in CZK and in all foreign currencies (except AUD, GBP, JPY and PLN), the following interest-rate scheme shall be used: year = 360 days / month = 30 days. For AUD, GBP, JPY and PLN, the following interest-rate scheme shall be used: year = 365 (or 366) days / month = the real number of days in a month, unless stipulated otherwise in the Contract or Product Terms and Conditions.

   5. Computation of interest on a credit balance. Computation of interest on a credit balance in the Account shall start on the day on which the funds shall be credited to the Client's Account and be terminated on the day preceding the day on which the funds shall be withdrawn or transferred; in case of deposit Accounts on the day preceding the deposit's due date. The interest is computed and credited in the currency of the Account. The interest on the credit balance in the Account shall always become due and payable on the last day of the calendar month for which it is paid.

   6. Computation of interest on a debit balance. Computation of interest on a debit balance in the Account shall start on the day on which the debit balance occurs and be terminated on the day preceding the day of its settlement. Interest on the authorised debit balance in the Account shall always become due and payable on the last day of the calendar month for which it is paid.

   7. Tax on interest. Interest shall be subject to taxation pursuant to the applicable law in force at the date on which interest shall be credited to the Client's Account. Whenever funds are paid out from the Client's Account, as well as in other cases specified by law, the Bank shall deduct/withdraw or secure the tax in accordance with applicable law. The Client shall be obliged to inform the Bank without any delay that he/she/it is not a real owner of the interest accrued and credited to the Client's Account.

3. Payment Services

   1. Bank’s duty to inform. Throughout the duration of a contractual relationship and in relation to the provision of the Payment Services, the Bank shall provide the Client – Consumer upon his/her request with free information on the Bank, Payment Service to be provided, means of communications with the Bank, Payment Services Contract entered into with the Bank, as well as Bank’s and Client’s duties and liability,⁴⁶ primarily via an Internet banking service pursuant to the Payments Act. By accepting the Payment Services Contract, the Client – Consumer shall further confirm that he/she has received, well in advance of entering into the Payment Services Contract, information on the Bank, Payment Service to be provided, means of communications with the Bank, the Payment Services Contract in question, as well as Bank’s and Client – Consumer’s duties and liability, to the extent required by the Payments Act. However, in case of Transactions outside EEA or payment transactions in currencies of other countries than EEA member states, the Bank shall not be obliged to inform the Client – Consumer about a maximum deadline of the execution of a Payment Service and a fee charged for such a Payment Service prior to the provision of such a Payment Service or before entering into a Payment Services Contract.

   2. The Bank shall provide the Clients – Consumers with information on the fee for services associated with the Payment Account and an annual overview of the fee for the services provided in association with the Payment Account pursuant to the Payments Act; i.e., the respective amounts shall be denominated in CZK notwithstanding the currency of the Account. The Bank shall provide the annual overview of the fee in the manner agreed for delivering the statements of the Account. The provisions of Article 15.2 hereof shall be applied accordingly.

4. Terminating a Payment Services Contract

   1. Termination of the Contract by the Client – Consumer. The Client – Consumer shall be entitled to terminate a Payment Services Contract at any time (even if the Contract has been entered into for a definite period of time). The notice period shall be 30 calendar days starting from the next following day after the date of delivery to the Bank of the notice of termination. The contract relating to the Account can be terminated by the Client pursuant to the provisions of Article 12.2 hereof. The Bank shall be entitled to charge a fee for terminating the Payment Services Contract as per the Tariff of Fees in case that the Client has terminated the Payment Services Contract pursuant to this Article and, consequently, the Contract shall be terminated sooner than 6 months from the date of its execution. This clause shall not prejudice the provisions of Article 31.6 hereof.

   2. Termination of the Contract by a Client other than a Client – Consumer. The Client who is not a Client – Consumer shall be entitled to terminate a Payment Services Contract entered into for an indefinite period at any time. The notice period shall be 3 months starting from the next following day after the date of delivery to the Bank of the notice of termination. This clause shall not prejudice the provisions of Article 12:2 hereof.

   3. Termination of the Contract by the Bank. The Bank shall be entitled to terminate a Payment Services Contract entered into for an indefinite period at any time, even without giving a reason. In case of Clients – Consumers, the notice period shall be 2 months, unless the Bank sets out a longer period in the notice of termination, starting from the next following day after the date of delivery to the Client of the notice of termination. In case of other Clients, the notice period shall be 30 calendar days, unless the Bank sets out a longer period in the notice of termination, starting from the next following day after the date of delivery to the Client of the notice of termination.

5. Documentary Payments and Guarantees

   1. The Bank may execute an order to procure or change the documentary collection handed over to it by the Client. A contract for the procurement or change of the documentary collection between the Client and the Bank shall be entered into in a form of an implied agreement at the moment at which the Bank executes the order.

   2. The Client shall be liable for the correctness of instructions detailed in the order.

   3. The Client's signature on the order shall be verified by the Bank against the Client's Specimen Signature relating to the Account specified by the Client in the order.

   4. The Bank shall be entitled to notify (advice) the Client of the fact that another bank has issued a financial (bank) guarantee for the benefit of the Client or, as the case may be, that an existing financial (bank) guarantee has been changed, and charge a fee for this Banking Service as per the Tariff of Fees.

   5. The Bank shall be entitled to notify (advice) the Client of the fact that a documentary Letter of Credit has been issued to the Client by a third party or, as the case may be, that a documentary Letter of Credit has been changed, and charge a fee for this Banking Service as per the Tariff of Fees.

   6. If a documentary Letter of Credit is issued to the Client, the Bank shall be entitled to check (against the Specimen Signature pertaining to any of Client’s Accounts kept with the Bank) the Client’s signature on a covering note annexed to the presented documents containing a number of the account, to which the proceeds of Letter of Credit should be credited. If the Client’s signature does not match the Specimen Signature, the Bank shall be entitled not to credit the proceeds of Letter of Credit and agree with the Client on further arrangements.

6. Cheques

   1. By submitting a collection Order, the holder of a cheque or money order asks the Bank to honour the cheque or money order immediately or to mediate the collection thereof. The Bank, and only the Bank, shall be authorised to decide the manner in which a cheque is processed. The Bank shall process cheques drawn in the currencies specified in the Bank's exchange rate list. If a cheque in another currency is presented, the Bank shall be entitled to determine a substitute currency for the processing of the cheque.

   2. The Bank shall not be held liable for any damage incurred by honouring a lost, stolen, counterfeit or altered cheque or money order.

   3. The Bank reserves the right to suspend the honouring of a cheque or money order until it is verified by the issuing or honouring bank.

   4. The Bank and Client may terminate a contract concerning cheques, traveller's cheques or money orders with a notice period of 30 days. The notice period shall commence on the first day following the day of delivery of the written notice.

7. Foreign Currency Transactions and Credits

   1. Cashless payments. When selling foreign currencies to the Client in a cashless form in exchange for CZK, the Bank shall use the “Deviza Prodej“ Rate (foreign currency sell rate – cashless). When purchasing them from the Client in exchange for CZK, the Bank shall use the “Deviza Nákup“ Rate (foreign currency buy rate – cashless).

   2. Cash. In case of a purchase of foreign currencies (cash) from the Client in exchange for CZK, the Bank shall use the "Valuta Nákup" Rate (foreign currency buy rate – cash); when selling foreign currencies (cash) to the Client in exchange for CZK, the Bank shall use the "Valuta Prodej" Rate (foreign currency sell rate – cash).

   3. The conversion between foreign currencies shall be made through Czech crowns, using the manner specified in Articles 21.1 and 21.2 hereof.

   4. Exchange Rates shall be quoted in the exchange rate list of the Bank, which the Bank may unilaterally change/amend. Changes in Exchange Rates shall become effective as soon as published by the Bank. The Client shall not be informed about the changes in Exchange Rates in advance.

   5. Foreign currency risks. The Client acknowledges that if the requested credit should be provided in a foreign currency, the Client should prudently consider a possible fluctuation of exchange rates of relevant foreign currencies to Czech crown. Any unfavourable exchange rate development might result in an increase of the total amount of an FX credit to be repaid after it is converted into Czech crowns. The total amount of an FX credit to be repaid can also be influenced by unfavourable development of an FX exchange rate or by possible substantial depreciation of Czech crown. The Client further acknowledges that the Bank at the same time provides similar credits and other financial instruments denominated in CZK that shall hedge the Client against the foreign currency risks.

8. Complaints

   1. Complaints shall be processed in accordance with the complaints rules of the Bank. Unless stipulated otherwise in the complaints rules or unless another agreement is made, the Client shall make his/her complaints or requests at the Client's Point of Sale.

9. Ombudsman

   1. If a repeated complaint has not been resolved to the Client’s satisfaction during a complaints procedure executed in accordance with the Bank’s complaints rules and grievance handling procedure, the Client shall be entitled to turn to the independent Ombudsman.

   2. The Ombudsman's activity is regulated and defined in the Charter of the Ombudsman available at Bank’s points of sale or on its Internet pages.

10. Banking Service Fees and Reimbursement of Costs

    1. Charged fees. The Client shall be obliged to pay to the Bank fees and settle other payments for provided Banking Services and for transactions associated with Banking Services, which the Bank charges in accordance with the Tariff of Fees valid at the time the given Banking Service is provided or transaction executed, unless agreed otherwise between the Client and the Bank. The Bank may only inform a Client about individually charged fees, which are always more favourable than those charged as per the Tariff of Fees, in advance pursuant to Article 8.1 hereof. In specific cases, the Bank may charge the Client for Banking Services and related actions at fees lower than those stated in the Tariff of Fees or it may charge an individually determined/agreed fee. The Client shall be obliged to pay the charged fees duly and timely. The Bank shall be entitled to make the provision of a Banking Service dependent on the payment of a fee or its part.

    2. Payment of the fees. The Bank shall be entitled to debit the funds corresponding to a fee or another payment to be paid for provided Banking Services and for transactions associated with Banking Services. They shall be debited from the Client’s Account in respect of which or in association with which the Banking Services are provided or, as the case may be, from any other Account of the Client kept with the Bank, and within deadlines set forth by the Bank. The fees and other payments shall be due and payable as at the last day of the relevant period for which they are charged, unless specified otherwise in the Tariff of Fees. The fees shall be charged in the currency of the Banking Service or in the currency in which the Banking Services is provided or the Account is denominated, unless agreed otherwise.

    3. Costs. The Client shall reimburse costs and expenses reasonably incurred by the Bank as a result of the provision of a relevant Banking Service or transactions associated therewith, or in connection with the fulfilment of its obligations required by law, even in case that such costs and expenses or amounts thereof are not known in advance. The Bank shall always proceed in such a way as to minimize the costs incurred.

11. Satisfying of Bank's Receivables; Default Interest

    1. Offsetting. The Client agrees that the Bank shall be entitled to offset a due and payable financial receivable of the Bank in respect of the Client against any financial receivable of the Client in respect of the Bank irrespective of the currency of the receivable and a legal relationship from which it arises. The Client further agrees that the Bank shall be entitled to offset its receivables even against such receivables of the Client that are not yet due and payable and/or cannot be affected by an execution of a ruling. For the purposes of offsetting, the Bank shall be entitled to convert one currency to another using the relevant Bank Rate in accordance with Article 21 hereof. The Client shall not be entitled to offset a due and payable financial receivable of the Client in respect of the Bank against any financial receivable of the Bank in respect of the Client irrespective of the currency of the receivable, its due date (maturity), and a legal relationship from which it arises, without the Bank’s prior consent.

    2. Default interest. If the Client's is in default in paying due and payable receivables to the Bank, the Bank shall be entitled to charge the Client with default interest (interest on late payment) whose amount shall be set forth in the Notice on Interest Rates. The payment of default interest and/or other possible penalty payments, especially of a contractual fine, shall not prejudice the Bank’s right to claim compensation for a potential loss suffered and/or the right for defrayal of costs related to the recovery of the receivable.

    3. Third party delivery. The Bank shall be entitled to accept, even without the Client’s consent, or reject, notwithstanding the Client’s consent, any delivery offered by a third party in order to satisfy the Client’s obligation to the Bank, including a partial delivery.

12. Assignment and Pledge

    1. The Client shall not be allowed, without prior express consent of the Bank made in writing, to assign or pledge his/her receivables in respect of the Bank (including security/collateral assignment of a receivable or right), or to pledge his/her receivables in respect of the Bank, including the receivables arising from a contract for opening and maintaining an Account, or to assign the Contract, or its part, or rights and duties arising thereof. The aforesaid shall not apply to the assignment to the Bank (including the securing assignment of a receivable or right) of Client’s receivable in respect of the Bank and to pledging such receivables in favour of the Bank, nor shall it apply to the assignment of a receivable from a heir charged with the bequest (Client) to a legatee based on a testator’s will, as foreseen by law.

    2. The Client agrees that the Bank shall be entitled to assign the Contract to a third party.

13. Insurance of Deposit

    1. Clients' Deposits in the Bank shall be insured in accordance with law⁴⁷. Deposits made by financial institutions, health insurance companies and government funds shall not be insured. The system of insurance of receivables with respect to deposits shall not apply to bills of exchange/promissory notes and other securities. Detailed information about the insurance of deposits and its relation to specific Banking Services shall be available at points of sale and, as the case may be, also on the Bank’s internet pages.

14. Banking Secrecy, Protection of Personal Data and Client's Consents

    1. Banking secrecy and exceptions thereto. Banking secrecy rules shall apply to all Banking Services in accordance with applicable law. The Bank shall not disclose any information on matters subject to the banking secrecy without Client's consent unless in cases and within the scope required by law. Due to the nature of the products, the Client acknowledges that the Bank may disclose information on balances of funds and securities and executed transactions pursuant a relevant Contract to an individual is entitled to handle the funds in the Account and securities as well as execute or enter into transactions.

    2. Data processing as in accordance with law. For the purposes of Banking Services, the Bank shall be obliged to collect and process data on its Clients and other persons, including personal data, which are required so that the Bank can to provide a Banking Service without taking any unreasonable legal and factual risks. If the Client refuses to provide such data to the Bank, the Bank shall be entitled to refuse to provide him/her/it with the required Banking Service. Detailed information on Clients’ personal data processing and on related rights can be found on the Bank’s Internet pages and in the document titled Information on Personal data Processing.

    3. Consents to processing Personal Data of the Client – legal person. The Client – legal person agrees that its data (including data indicating Client's solvency and credibility, and relevant materials necessary for assessment thereof, e.g., Client’s books/financial statements), may be processed, along with other pieces of information acquired by the Administrators in connection with their activities, from public sources (e.g. public records and registers, Internet applications, and other public sources of information), and/or from third parties by the Bank and handed over Administrators, in order to improve the quality of the Clients’ care, pursue Marketing Activities, inform other Corporations about the solvency and credibility of the Client, and analyse such data. The Client agrees that the Bank may process the aforesaid data for the purposes and to the extent referred to above, starting from the moment at which this consent is given until four years elapse from the termination of the last contractual or other legal relationship between the Client and the Bank. This consent to the processing of data, given in accordance with applicable law⁴⁸ shall be given voluntarily and the Client shall be entitled to withdraw it in respect of any of the Corporations. Any withdrawal of such consent must be made in writing.

    4. Duty to notify performed by the Client – legal person. The Client – legal person shall be obliged to inform its employees or other natural persons about processing of their personal data it has transferred to the Bank for the purpose of processing in connection with the provision of the Banking Services to the Client – legal person. Detailed information on the processing of personal data and related rights is provided in the document Information on the Processing of Personal Data available on the Bank’s Internet pages.

15. Bank’s Liability

    1. The Bank shall be liable to the Client for a proper and timely fulfilment of its duties under Contracts. Bank's duty shall be deemed to be fulfilled on time if fulfilled within the deadlines required by law, by the Contract, or else, within reasonable deadlines adequate to the nature of a given duty, business practice and standard banking practice. The Bank shall be liable to the Client for any damage caused by such breach of aforesaid duties under Contracts.

    2. The Bank shall not be liable to the Client for any damage in case that:

1. The damage has been caused by an illegal act on the part of the Client or a third party;

2. The damage has been caused by breaching duties under the Contract on the part of the persons acting on behalf of the Client;

3. The damage has been caused by the fact that the Bank abode by Client’s instructions and requests or suffered by the Client due to his/her own decision of a business or non-business nature;

4. The damage has been caused by the fact that the Bank proceeded in compliance with the Contract or the Client breached the Contract;

5. The damage has not been caused intentionally or by gross negligence;

6. Any breach of Bank’s duties has been caused by a Client's action or by lack of assistance on the part of the Client;

7. A breach of a duty has been caused by an exceptional, unexpected and uncontrollable obstacle independent of the Bank’s will, or by circumstances excluding the liability where a given legal relationship is governed by law effective prior to coming into the effect of the Civil Code⁴⁹.

The exceptional, unexpected and uncontrollable obstacle independent of the Bank’s will or circumstances excluding the liability shall mean, in particular, the force majeur, including natural disasters, terrorist acts, wars, civil riots, strikes, lockouts, measures taken by institutions whose services the Bank uses in connection with the payment system, measures taken by Czech and foreign government authorities and/or courts, and other obstacles that may occur independently of the Bank's will and that the Bank could not reasonably foresee at the time the commitment originated.

3. Bank’s liability for unauthorised or erroneously executed payment transactions is defined in the Notice on the Payment System or in relevant Product Terms and Conditions applicable to a specific Payment Instrument.

1. Security

   1. While providing Banking Services, the Bank shall be entitled to require that Client’s debts owed to the Bank be secured with a reasonable security or additional security, and to do so even in the course of the provision of a given Banking Service, especially in case of a significant deterioration of Client's financial situation or considerable change in his/her legal position. The failure to provide such a security or additional security may be considered by the Bank as a substantial violation of the Contract by the Client.

   2. The Bank shall be entitled to realise the security under the terms and conditions set forth in a relevant Contract.

   3. In relation to the subject of security that secures the Client’s debts to the Bank, the Client undertakes not to transfer, assign or dispose of such a subject of security, nor otherwise allow the acquisition of any title or rights thereto by a third party, nor put it into trust, nor provide it as collateral in favour of a third party other than the Bank, without prior written consent obtained from the Bank. The Client undertakes that the third party securing the Client’s debts to the Bank and different from the Client shall not transfer, assign or dispose of such a subject of security, nor otherwise allow the acquisition of any title or rights thereto by a third party, nor put it into trust, nor provide it as collateral in favour of a third party other than the Bank, without prior written consent obtained from the Bank.

   4. The secured debts shall not be transferred to the acquirer of the subject of security (assignee) without prior written consent obtained from the Bank.

   5. If, after the transfer of the ownership title to the subject of security, there is a written request from the Client or a person providing the security and different from the Client addressed to the Bank to accept the acquirer of the subject of security as a new debtor instead of the Client, the Bank shall be entitled to express its opinion on such a written request within 30 calendar days of the delivery of such a written request at the address of the Client’s Point of Sale.

2. Changing/Amending the Contract

   1. Right to propose changes. The Bank shall be entitled to propose changes to the General Conditions, especially as a result of amendments and changes to law, in order to ensure the improvement of the quality of Banking Services offered by the Bank to Clients and with regard to the Bank's business objectives. The course of action specified in Article 31 hereof shall also apply to changes or amendments to the Product Terms and Conditions, Notices and the Tariff of Fees, as well as to other changes or amendments to the Contract proposed by the Bank, unless specified otherwise in the Contract.

   2. Informing about an intended change. The Bank shall inform the Client in writing about an intended change or amendment to the General Conditions no later than 2 months before the proposed effective date thereof. The Bank shall inform the Client, who is not a Client – Consumer, about an intended change or amendment to the Tariff of Fees with respect to the Payment Services no later than 30 calendar days before the proposed effective date thereof. The Bank shall provide the information about the intended change or amendment, including the proposed effective date, in the manner specified under Article 8.4 hereof, in a statement of account. The Client shall be obliged to familiarise himself/herself with the drafted version. The Bank shall be obliged to make the drafted version of the General Conditions available at its points of sale and publish it on the Bank’s Internet pages.

   3. Effectiveness and rejection of a change to the Payment Services. Unless the Client rejects the proposed changes or amendments to the General Conditions relating to the Payment Services in writing by the last Business Day before a proposed effective date thereof (at the latest), he/she shall be deemed to accept the proposed changes or amendments thereof as from the effective date proposed by the Bank. The changes or amendments to the General Conditions may concern both newly introduced and already provided Banking Services, unless the Bank sets out otherwise in the General Conditions. If the Client – Consumer rejects the proposed changes or amendments to the General Conditions relating to the Payment Services in writing, he/she/it shall be entitled to terminate the Contract with an immediate effect and free of charge. If a Client different from a Client – Consumer rejects such a proposal, the Client and the Bank shall be entitled to terminate the Contract with an effect as from the effective date of such a change or amendment to the General Conditions.

   4. Effectiveness and rejection of a change to services other than Payment Services. If the Client disapproves of the proposed changes or amendments to the General Conditions relating to other than the Payment Services, he/she/it shall be obliged to reject the proposed changes or amendments by a written notice served to the Bank no later than 30 calendar days before the proposed effective date of the change or amendment. The Bank shall subsequently be entitled to notify the Client within 15 calendar days from the receipt of the rejection notice that the unchanged version of the General Conditions shall keep being applied to him/her/it. If the Bank fails to do so, the Client shall become entitled to terminate the obligation under the Contract within 15 calendar days from the lapse of the deadline for the notification referred to in the foregoing sentence. In such case, the notice period shall be 1 month starting from the delivery of the notice of termination to the Bank. If the Client does not reject the proposed changes or amendments, or rejects them but fails to exercise his/her/its right to terminate the obligation under the Contract as specified above, it shall be deemed that he/she/it has accepted the proposed changes or amendments to the General Conditions as from their effective date proposed by the Bank.

   5. Form of the rejection notice and notice of termination. The notice of termination and on the rejection of proposed changes or amendments by the Client referred to in Articles 31.3 and 31.4 hereof must be made out in writing, the Client’s signature on these documents must be either notarised or attached at the presence of a Bank’s employee (unless the Bank accepts another manner of verification), and the documents must be served to the Bank in accordance with Article 8.3 hereof.

   6. Limitations on right to reject the change. The Client shall only be entitled to reject a change or amendment to the General Conditions and, as the case may be, terminate the Contract if the proposed change or amendment directly affects a Banking Service provided to the Client pursuant to the Contract.

   7. Substantial increase in a fee. The Client – Consumer shall be entitled to reject a substantial increase in a fee for provided Banking Services. Procedures specified in Articles 31.3 to 31.6 hereof shall be accordingly applied to the rejection and/or termination of the Contract by the Client.

   8. Changes with an immediate effect. Differently from the foregoing Articles, the Bank shall be entitled to change or amend unilaterally and with an immediate effect:

1. The General Conditions, Product Terms and Conditions, Notices, and Tariff of Fees, provided that such a change or amendment is exclusively to the Client’s benefit, or if the change is caused by an introduction of a new Banking Service that has no impact on the existing fees;

2. A commercial name (brand name) of a Banking Service that has no impact on the contracting parties’ rights and duties under the Contract;

3. Any particulars or data given for information only and not agreed upon by the parties (e.g. Bank’s registered office, company names of Members of the Bank's Financial Group etc.).

The Bank shall notify the Client of the changes referred to in this Article well in advance, in the manner set forth in Article 8.4 hereof or on the Bank’s Internet pages.

32. Governing Law and Settlement of Disputes

    1. The legal relationship between the Bank and the Client shall be governed by the law of the Czech Republic. Where given Contracts are governed by law effective prior to coming into the effect of the Civil Code⁵⁰, the legal relationship between the Client and the Bank shall be governed by the Commercial Code⁵¹.

    2. The Client and the Bank shall make reasonably diligent effort to settle any controversy between them amicably, taking into account justified interests of both the Client and the Bank. Unless the Client and the Bank have agreed otherwise, possible disputes shall be resolved by Czech courts.

    3. In cases specified by law (e.g. in case of a controversy over the payment system or consumer loans), the Client may approach a financial arbitrator under the terms and conditions set forth by relevant law.⁵² This shall not prejudice the Client's right to turn to a court.

    4. A financial arbitrator (xxx.xxxxxxxxx.xx) shall be the appropriate body authorised to decide out of court any and all consumer disputes concerning financial services, to the extent and within the scope set forth in Act No. 229/2002 Coll., on Financial Arbitrator, as amended.⁵³ Cases that are outside the jurisdiction of the financial arbitrator shall be decided by the Czech Trade Inspection Authority (xxx.xxx.xx) or by an entity authorised by the Czech Ministry of Industry and Trade and published at its Internet pages (xxx.xxx.xx).

    5. If the Bank breaches its legal obligations under the Contract or under law, the Client shall be entitled to lodge a complaint with the supervisory authority specified under Article 1.1 hereof.

33. Transitory Provisions

    1. In case of Contracts governed by law effective prior to coming into the effect of the Civil Code⁵⁴, the Client’s Contact Address shall be the address stated in the relevant Contract, in a contract related to a provided Banking Service, or otherwise communicated by the Client to the Bank in writing and identified as a mailing address.

34. Severability of Provisions

    1. If any article of the Contract, Product Terms and Conditions, General Conditions, Notices or Tariff of Fees becomes invalid, ineffective or unenforceable, or contravenes applicable law, it shall be considered fully severable from other articles or from the rest of the given document. Other articles of the Contract, Product Terms and Conditions, General Conditions, Notices and Tariff of Fees shall therefore remain valid and effective in their entirety.

35. Products and Services in KB’s New Banking Application

    1. The provisions of this Article 35 shall only apply to the Frame Agreement on Products and Services, Contracts based on the Frame Agreement, Contracts that can be negotiated or handled in the KB+ Internet Banking, as well as to contractual relationships where the application of this Article results from the meaning and import of its other provisions.

    2. The Bank and the Client preferably communicate electronically using the contact e-mail address or contact telephone number indicated by the Client, whereby the Client has confirmed they are used for communication between the Client and the Bank, in particular for sending the documentation and/or their amendments and sending passwords and codes, unless agreed otherwise. The mailbox in the KB+ Internet Banking is also used for communication between the parties.

    3. The third and fourth sentences of Article 8.4 hereof entitled “Manner of delivery” shall be replaced by the following text: "The Bank shall deliver to the Client the contractual documents and other documents and/or their amendments pursuant to Article 31 hereof to his/her mailbox in the KB+ Internet Banking or at the contact e-mail address whereby the Client has confirmed they are used for communication between the Client and the Bank, in particular for sending the documentation and/or their amendments. The Bank may determine the documents it shall preferably deliver to the Client’s mailbox in the KB+ Internet Banking.”

Wherever these Conditions refer to Article 8.4 hereof, the wording of this Article 35.3 shall accordingly apply.

4. Unless the context indicates otherwise, the following rules shall apply to contractual relationships referred to under Article 35.1 when interpreting these Conditions:

1. The Tariff of Fees shall mean the Pricelist of Products and Services;

2. The Notice on the Payment System shall mean the Payment Rules;

3. The Contract shall also mean the Frame Agreement on Products and Services;

4. Internet banking shall mean the KB+ Internet Banking;

5. The authorised debit drawing shall mean the Overdraft.

1. Articles 14.3, 15.1 and 15.2 hereof shall not apply to the contractual relationships regulated by this Article 35.

2. Biometric signature. A dynamic biometric signature is a handwritten electronic signature. If the Client signs the Contract and/or other documents with a dynamic biometric signature, the Bank shall be entitled to send to the Client one copy without the data record containing the dynamic biometric data of the Client’s signature. Such a copy without the dynamic biometric data record shall be considered as the original copy of the signed document in the negotiations between the Client and the Bank.

1. Definition of Terms and Rules of Interpretation

   1. Capitalised terms used herein shall have the following meaning:

“Account” shall mean a Current Account or Deposit Account of the Client kept with the Bank.

“Administrator” shall be SG, the Bank, Members of FSKB and Persons Controlled by SG, Amundi Czech Republic, investiční společnost, a.s., Company ID: 60196769, and Amundi Czech Republic Asset Management, a.s., Company ID: 25684558.

“Authorised Individual” shall be a person listed in the Client's Specimen Signature.

“Bank” shall mean Komerční banka, a.s., registered office at Xxxxxx 0, Xx Xxxxxxx 00/000, Postal Code: 114 07, IČO (Company ID): 45317054, entered in the Commercial Register kept by the Municipal Court in Prague, Section B, Insert 1360.

“Banking Services” shall mean any banking deals, services and products provided by the Bank based on its banking licence, including investment services provided by the Bank acting as a security broker/dealer.

“Bank's Financial Group Member” or “FSKB Member” shall be Komerční pojišťovna, a.s., IČO (Company ID): 63998017; Modrá pyramida stavební spořitelna, a.s., IČO (Company ID): 60192852; KB Penzijní společnost a.s., IČO (Company ID): 61860018; ESSOX s.r.o., Company ID: 26764652, Factoring KB, a.s., IČO (Company ID): 25148290 and other entities in which the Bank has or shall acquire an ownership interest consisting in a direct or indirect share in their equity capital.

“Beneficial Owner” shall mean a natural person that is able, actually or legally, exercise direct or indirect influence in a legal person, trust, or another entity without legal subjectivity. The Beneficial Owner shall be:

1. In case of a commercial corporation: a natural person who, either by him/herself or in conjunction with persons acting in agreement with him/her, has more than 25% of voting rights in such a commercial corporation or whose stake in the equity capital is in excess of 25%; or who, either by him/herself or in conjunction with persons acting in agreement with him/her, controls the aforesaid entity; or who should receive at least 25% of profits generated by that commercial corporation; or who is a member of the statutory body, a representative of a legal entity in such a body, or whose position is similar to that of a member of the statutory body in case that there is no beneficiary owner or such a beneficiary owner cannot be determined according to the above rules;

2. In case of an association, public benefit society, unit owners association, church, religious society, or another legal entity incorporated pursuant to the act regulating the status of churches and religious societies: a natural person who has more than 25% of voting rights in such an entity; or who should receive at least 25% of the funds distributed by that entity; or who is a member of the statutory body, a representative of a legal entity in such a body, or whose position is similar to that of a member of the statutory body in case that there is no beneficiary owner or such a beneficiary owner cannot be determined according to the above rules;

3. In case of a foundation, institute, endowment fund, trust, or another entity without legal subjectivity: a natural person or a beneficiary owner of a legal entity who is in the capacity of a founder, trustee, beneficiary (or where no beneficiary has been appointed, an individual to whose benefit the foundation, institute, endowment fund, trust, or another entity without legal subjectivity has been founded or has acted), and individuals entitled to supervise the management of the foundation, institute, endowment fund, trust, or another entity without legal subjectivity.

“Business Day” shall mean a day that does not fall on a Saturday, a Sunday, a public holiday or other holidays within the meaning of the applicable law, on which the Bank is open for the provision of Banking Services and on which other institutions that take part in the provision of Banking Services, or on which the provision of the Banking Services depends, are open and provide the relevant services.

“CBA” shall stand for the Czech Banking Association.

“CNB” shall stand for the Czech National Bank, registered office at Xxxxxx 0, Xx Xxxxxxx 00, Postal Code: 115 03.

“Client” shall mean any person that uses Banking Services, or a person requesting a provision of Banking Services.

“Client – Consumer” shall mean a natural person who executes and performs the Contract for purposes not associated with his/her business or job activities, or a person requesting a provision of a Banking Service.

“Client's Point of Sale” shall be the point of sale (branch) of the Bank that keeps an Account for the Client or at which the Client has entered into the relevant Contract.

“Contract” shall mean a contract or agreement for the provision of a Banking Service entered into by the Client and the Bank.

“Corporate Agent” shall mean a statutory body of a legal person, or members of a statutory body of a legal person who are entitled to act externally on behalf of the legal person.

“Conclusive Date” shall be a day on which the Bank learns, in a trustworthy manner, about the death of the Client or his/her being declared missing, i.e., a day on which conclusive documents of the fact that the Client died or was declared dead or missing are received by the Bank from the basic registers and/or public authorities’ information systems or are delivered to the Client's Point of Sale (these documents can be, e.g., death certificate, a court or notary memorandum of performing the inheritance proceedings, decision of the court with a legal power clause declaring the Client dead or missing).

“Contact Address” shall be an address agreed upon in the Contract or in another contract related to the provided Banking Services, or an address communicated by the Client to the Bank for the purpose of delivering the Mail. If no such address is agreed upon or communicated by the Client, the Contact Address shall be a permanent residence address (in case of the Client – Consumer) or a registered office address (in case of other Clients). A P.O. BOX can also be considered a Contact Address.

“Electronic Statements” shall mean settlement reports (account statements) in the Portable Document Format (PDF) in which the Bank informs the Client about executed transactions and the balance in a relevant Account, delivered to the Client via an Internet banking service or in another agreed-upon manner (e.g. by e-mail).

“Exchange Rate” or “Rate” shall mean an exchange rate published by the Bank.

“Mail” shall be reports (including settlement reports), documentation and other correspondence or other shipments between the Bank and the Client related to the provision of Banking Services.

“Marketing Activities” shall be a set of activities whose focused on (1) learning of Clients circumstances or condition, life style, and needs by surveying his/her ideas, choices, specific needs, and events; (2) informing the Clients of products and services provided by the Corporation and selected business partners listed in the Third Parties List available at the Bank’s internet pages, in the Personal Data Protection section; (3), presenting targeted proposals for ordering, mediating or acquiring such products and services, and (4) evaluating the appropriate data for these purposes, also by means of electronic devices.

“Notice on Interest Rates” shall mean an overview of all interest rates applied to deposits and credits, as well as associated rates. This overview is not a Notice as envisaged in the General Conditions.

“Notice on the Payment System” shall be a Notice regulating terms and conditions of the provision of payment services, in particular deadlines and time periods for the execution of payment transactions.

“Notices” shall mean communications in which further conditions and technical features of providing the Banking Services are specified in accordance with the General Conditions or relevant Product Terms and Conditions. The following documents are not Notices: the Notice on Interest Rates, and Bank’s exchange rate list.

“Order” shall be a payment order, i.e., an instruction in which the Client asks the Bank to execute a payment transaction.

“Payment Account” shall be an Account that is a payment account as envisaged by the Payments Act, i.e., an account used for the execution of payment transactions.

“Payment Instrument” shall be a device and/or set of procedures agreed between the Bank and the Client in relation to the Client, by which the Client can submit (initiate) a payment order. A paper-based Order submitted to the Bank shall not be considered, among others, a Payment Instrument.

“Payment Services” shall be Banking Services falling within the scope of payment services as envisaged by the Payments Act (e.g., payments/transfers made from Payment Accounts, issuing of Payment Instruments and depositing cash into Payment Accounts).

“Person with a Special Relation to the Bank” shall be a person specified under Section 19 of Act No. 21/1992 Coll., On Banks, as amended.

“Person Controlled by SG” shall be an entity controlled by SG that, at the same time, either (i) has or shall acquire an ownership interest in an entity with the registered office on the territory of the Czech Republic consisting in a direct or indirect share in its equity capital, or (ii) has a registered office on the territory of the Czech Republic. If such an entity is an FSKB Member, this entity is included in the list of FSKB Members.

“Politically Exposed Person” shall be a natural person who is or has been entrusted with a prominent public function on the national or regional level, or has a close personal or business relationship to such a person, or a relationship arising out of the ownership or control of an entity established for the benefit of a Politically Exposed Person.

“Product Terms and Conditions” shall mean Bank’s terms and conditions regulating the provision of separate Banking Services.

“Proxy” shall mean a natural or legal person authorised by the Client by power of attorney to represent the Client in relation to the Bank within the scope stipulated by the power of attorney, or authorised to represent the Client under provisions of law or court decision. If, in justified cases, the Bank accepts an authorization of a Client’s employee to act on behalf of the Client, the person so authorized shall be deemed a Proxy.

“Sanctions” shall mean any economic or financial sanctions, trade embargoes or similar measures enacted, administered or enforced by any of the following entities (or by any of their authorities): (i) the United Nations, (ii) the United States of America, (iii) the European Union or any of its present or future Member States, or (iv) the United Kingdom of Great Britain and Northern Ireland.

“Sanctioned Person” shall mean any person, whether or not having legal personality that (i) appears in any list of designated persons subject to the Sanctions, (ii) is located in or incorporated under the laws of a country or territory that is subject to the Comprehensive Sanctions, (iii) is owned or controlled, whether directly or indirectly (as defined in the relevant Sanctions), by a person listed above under paragraphs (i) or (ii), or (iv) is, or shall be after any period of time, subject to the Sanctions.

“Specimen Signature” is a model signature of an Authorised Individual, including a graphic image of the signature or its graphic image along with a protective element, accepted by the Bank, serving for the purposes of his/her identification while handling the funds in the Account, filing an application for the provision of a Banking Service, or taking other agreed-upon steps in association with a Banking Service. The Specimen Signature must have all particulars of a power of attorney.

“SG” shall stand for Société Générale SA, B 552 120 222, registered office at: 00, Xxxxxxxxx Xxxxxxxxx, 00000 Xxxxx, Xxxxxx.

“Tariff of Fees” shall mean a list of all charges, other fees and payments for the Banking Services and operations associated with the Banking Services.

“Transactions outside EEA” shall mean payment transactions made from or to a country that is not a member of the European Economic Area.

“Unique Identifier” shall mean an unambiguous specification of a payment service user and his/her payment account expressed by IBAN (possibly with an account number attached) and BIC or, in case of domestic payments, by an account number and bank code.

“U.S. Person” shall mean (a) a natural person who is a citizen of the United States or a United States resident or (b) a legal person incorporated or controlled under the law of the United States.

2. Unless the context suggests otherwise, the following rules shall apply to the interpretation of these General Conditions and the Contract:

1. Any reference to the Bank’s Internet pages shall mean a reference to xxx.xx.xx or other Internet addresses the Bank currently uses or shall use in association with providing the Banking Services,

2. Any reference in the Contract or other documents to an article of the General Conditions or another document numbered in Xxxxx xxxxxxxx shall mean a reference to an article numbered with an Arabic numeral of the same value,

3. The Contract shall mean the Contract itself including any and all constituent parts thereof, in particular these General Conditions, relevant Product Terms and Conditions, Notices and the Tariff of Fees,

4. An “order” shall mean the “Order” or another instruction given by the Client to the Bank,

5. A payment transaction shall mean depositing of funds into an Payment Account or withdrawal of funds from an Payment Account, or a cashless transfer of funds to or from an Account,

6. A check-up of the Client shall mean, for the purpose of Article 3.1 hereof, a check and inspection of the Client as envisaged by the Act No. 253/2008 Coll., On Selected Measures Against Legitimisation of Proceeds of Crime and Financing of Terrorism, which includes scrutinizing the purpose of transactions, continuous monitoring of business relations with the Client, identification of a Beneficial Owner and examination of the source of funds.

7. The post shall mean a provider of postal services;

8. The persons acting on behalf of the Client shall be the Proxy, Authorised Individual, or Corporate Agent;

9. Bank’s points of sale shall mean subsidiaries of the Bank providing Banking Services and usually labelled as branches or commercial divisions;

10. Direct banking shall mean internet and/or telephone banking;

11. Permanent residence shall mean permanent or other residence;

12. The “Qualified Client” shall mean the “Client – Consumer”.

37. Repealing Provisions

    1. These General Conditions come into effect as of 01 January 2024.

    2. These General Conditions repeal and replace the previous General Conditions effective as of 07 March 2023. The Client’s consent as per article 28 hereof shall be effective only in respect of those Clients who shall enter into a contractual relationship or make an amendment to an existing contractual relationship with the Bank, whose inseparable part these General Conditions are, at or after the effective date of these General Conditions at the earliest. For Clients who had signed, refused to sign, or withdrawn such consent earlier, the legal force of the consent granted, denied, or withdrawn remains unaffected even after the General Conditions are amended.
