Účel stratégie vykonávania pokynov

Pri vykonávaní pokynov klientov týkajúcich sa finančných nástrojov je Investin, o.c.p., a.s. (ďalej len „INVESTIN“) povinný na základe § 73p zákona č. 566/2001 o cenných papieroch a investičných službách a o zmene a doplnení niektorých zákonov v znení neskorších predpisov (ďalej len „zákon“) vykonávať tieto pokyny tak, aby dosiahla pre klienta najlepší možný výsledok. INVESTIN v súvislosti s touto povinnosťou zaviedol účinné postupy, ktorých súčasťou je aj Stratégia vykonávania pokynov (ďalej len „Stratégia“), ktoré zabezpečujú realizáciu najlepšieho možného výsledku pre klienta.

Stratégia platí pre všetkých klientov, bez ohľadu na

skutočnosť, do akej kategórie sú zaradení (neprofesionálny klient, profesionálny klient a oprávnená protistrana) a pre všetky finančné nástroje, vo vzťahu ku ktorým je INVESTIN oprávnený poskytovať klientom investičné služby. INVESTIN poskytuje svojim klientom túto Stratégiu pred poskytnutím investičnej služby, pričom klient podpisom príslušnej zmluvy udeľuje svoj predchádzajúci súhlas s touto Stratégiou.

Definícia použitých pojmov

• klient: fyzická alebo právnická osoba, ktorej INVESTIN poskytuje službu,

• neprofesionálny klient: klient INVESTIN kategorizovaný ako neprofesionálny klient v zmysle § 8a zákona,

• profesionálny klient: klient INVESTIN

Instruction Execution Strategy

Purpose of the Instruction Execution Strategy

When executing clients' instructions concerning financial instruments, Investin, o.c.p., a.s. (“INVESTIN”) is obliged, on the basis of Section 73p of Act No. 566/2001 on Securities and Investment Services and on Amendments to Certain Acts, as amended (the “Act”), to execute these instructions in such a way as to achieve the best possible result for the client. In connection with this obligation, INVESTIN has implemented effective procedures, which include the Instruction Execution Strategy the (“Strategy”), which ensure the implementation of the best possible result for the client.

The Strategy applies to all clients, regardless of the category in which they are included (retail client, professional client and eligible counterparty) and to all financial instruments in relation to which INVESTIN is entitled to provide investment services to clients. INVESTIN provides its Strategy to its clients prior to the provision of investment services, and the client, by signing the relevant agreement, gives their prior consent to the Strategy.

2.

Definitions

• client: a natural or legal person to whom INVESTIN provides a service,

• retail client: an INVESTIN client categorized as a retail client within the meaning of Section 8a of the Act,

• professional client: an INVESTIN client

• pokyn klienta: pokyn klienta na nákup alebo predaj finančného nástroja, prijatý INVESTIN za účelom jeho vykonania alebo jeho postúpenia tretej strane na vykonanie na účet klienta, v prípade pravidelného investovania sa pokynom na nákup finančného nástroja a/alebo finančných nástrojov rozumie aj pripísanie peňažných prostriedkov klientom na určený účet klienta vedený v INVESTIN,

• finančný nástroj: nástroj finančného trhu uvedený v Informácii o finančných nástrojoch,

• miesto výkonu: regulovaný trh, mnohostranný obchodný systém, organizovaný obchodný systém, systematický internalizátor, tvorca trhu, iný poskytovateľ likvidity alebo osoba vykonávajúca obdobné činnosti v nečlenskom štáte,

• regulovaný trh: mnohostranný systém organizovaný organizátorom trhu, ktorý spája alebo umožňuje spájanie záujmov viacerých osôb nakupovať a predávať finančné nástroje v rámci systému a v súlade s pevne určenými pravidlami spôsobom, ktorého výsledkom je uzavretie obchodu s finančnými nástrojmi prijatými na obchodovanie podľa jeho pravidiel a ktorý funguje pravidelne a v súlade so zákonom,

• mnohostranný obchodný systém (ďalej len

„MTF“): systém organizovaný obchodníkom s cennými papiermi alebo organizátorom trhu, ktorý spája alebo umožňuje spájať záujmy viacerých osôb nakupovať a predávať finančné nástroje v rámci systému a v súlade s pevne určenými pravidlami spôsobom, ktorého výsledkom je uzavretie obchodu s finančnými nástrojmi,

categorized as a professional client within the meaning of Section 8a of the Act, who has applied for reassignment to the professional client category;

• eligible counterparty: an INVESTIN client categorized as an eligible counterparty on the basis of an explicit agreement between INVESTIN and the client pursuant to Section 73u of the Act, who has applied for reassignment to the eligible counterparty category;

• client's instruction: a client's instruction to buy or sell a financial instrument received by INVESTIN for execution or its transfer to a third party for execution on the client's account, in the case of regular investments, an instruction to purchase a financial instrument also means the crediting of funds by the client to the designated account of the client kept with INVESTIN,

• financial instrument: a financial market instrument listed in the Information on Financial Instruments,

• place of execution: a regulated market, a multilateral trading facility, an organized trading facility, a systematic internaliser, a market maker, another liquidity provider or a person carrying out similar activities in a non- member country,

• regulated market: a multilateral facility organized by a market operator that combines or allows combination of interests of several persons to buy and sell financial instruments within the system in accordance with the set rules in a way that results in the closing of trades in financial instruments allowed for trading under its own rules and that operates continuously and in accordance with the law,

• multilateral trading facility (“MTF”): a system organized by a securities dealer or market operator that combines or allows combination of interests of several persons to buy and sell financial instruments within the system in accordance with the set rules in a way that results in the closing of trades in financial instruments,

• organizovaný obchodný systém (ďalej len

„OOS“) je obchodný systém umožňujúci interakciu dopytu a ponuky väčšieho počtu strán, ktorá vedie k uzavretiu obchodu. Nie je možné na ňom obchodovať s akciami,

• systematický internalizátor: obchodník s cennými papiermi, ktorý na organizovanom, opakovanom a systematickom základe obchoduje na vlastný účet tak, že vykonáva pokyny klienta mimo regulovaného trhu, OOS alebo MTF,

• OTC trhy („Over The Counter“) - všetky trhy mimo regulovaného trhu, systematického internalizátora a mimo MTF, najmä trhy, na ktorých poskytuje likviditu nevyhnutnú na vykonanie pokynu tvorca trhu, iný poskytovateľ likvidity alebo osoba vykonávajúca obdobné činnosti v nečlenskom štáte. INVESTIN musí získať predchádzajúci výslovný súhlas klienta s realizovaním obchodov na OTC trhu, a to vo forme všeobecného súhlasu na všetky obchody klienta alebo vo forme individuálnych súhlasov na jednotlivé obchody.

3.

Rozsah predmetu Stratégie

Stratégia sa vzťahuje na všetkých klientov, t.j. neprofesionálnych klientov, profesionálnych klientov aj oprávnené protistrany. Stratégia sa vzťahuje na investičné služby a investičné činnosti vykonávané INVESTIN v zmysle § 6 zákona:

• prijatie a postúpenie pokynu klienta týkajúceho sa jedného alebo viacerých finančných nástrojov,

• vykonanie pokynu klienta na jeho účet,

• riadenie portfólia,

• umiestňovanie finančných nástrojov bez pevného záväzku,

a to vo vzťahu k finančným nástrojom v rozsahu povolenia na poskytovanie investičných služieb.

• organized trading facility (“OTF”) is a trading system that allows the interaction of demand and supply of multiple parties which leads to the conclusion of trades. It cannot be used to trade stocks,

• systematic internaliser: a securities trader who trades on their own account on an organized, repeated and systematic basis by executing client instructions outside a regulated market, OTF or MTF,

• OTC (“Over-The-Counter”) markets – all markets outside a regulated market, a systematic internaliser or MTF, in particular markets where the market maker, another liquidity provider or a person performing similar activities in a non-member country provides the liquidity necessary to execute an instruction. INVESTIN must obtain the client's prior express consent to the execution of trades on an OTC market in the form of a general consent for all trades of the client or in the form of individual consents for individual trades.

3.

Scope of the Strategy

The Strategy applies to all clients, i.e., retail clients, professional clients and eligible counterparties. The Strategy applies to investment services and investment activities performed by INVESTIN in accordance with Section 6 of the Act:

• acceptance and transmission of a client's instruction concerning one or more financial instruments,

• execution of the client's instruction on their account,

• portfolio management,

• placement of financial instruments without a firm commitment,

in relation to financial instruments within the scope of the authorization to provide investment services.

INVESTIN Stratégiu neuplatní:

• v prípade podania výslovného pokynu / inštrukcie klienta, v prípade, ak klient zadá pri pokyne výslovnú inštrukciu, napríklad označenie miesta vykonania pokynu INVESTIN bude postupovať v súlade s touto výslovnou inštrukciou,

• v prípade výslovnej inštrukcie berie klient na vedomie, že výslovná inštrukcia klienta môže zabrániť INVESTIN, aby realizoval opatrenia, ktoré navrhol a zaviedol za účelom dosiahnutia najlepšieho možného výsledku pri vykonávaní týchto pokynov s ohľadom na parametre obsiahnuté v týchto pokynoch,

Pravidlá pre vykonávanie pokynov klientov

Pri vykonávaní pokynov na účet klienta sa INVESTIN zaväzuje realizovať všetky nevyhnutné kroky, ktoré budú viesť k zabezpečeniu najlepšieho možného výsledku vykonania pokynu (tzv. Best Execution) na účet klienta.

INVESTIN pri vykonávaní pokynov na účet klienta rozhoduje o relatívnej dôležitosti kritérií určených v bode 5 Stratégie, pričom relatívna dôležitosť kritérií sa stanovuje na základe dostupných informácií z trhu, odbornej skúsenosti INVESTIN z finančných trhov tak, aby INVESTIN dodržal zabezpečenie požiadavky najlepšieho vykonania pokynu na účet klienta.

INVESTIN pri vykonávaní pokynov analyzuje dostupné miesta výkonu pokynu tak, aby mohol identifikovať tie miesta výkonu, ktoré umožňujú vykonávať pokyny pre klientov s trvalo najlepším možným výsledkom. Zároveň INVESTIN pri výbere miesta výkonu pokynu zohľadňuje kritéria uvedené v bode 5 Stratégie.

V prípade, ak klient požaduje vykonanie výslovnej inštrukcie a INVESTIN vykoná pokyn klienta v súlade s výslovnými inštrukciami klienta, povinnosť INVESTIN dodržať princíp najlepšieho vykonania

INVESTIN will not apply the Strategy:

• in case of submission of an explicit instruction of the client, in case the client submits an explicit instruction such as an indication of the place of execution when INVESTIN will proceed in accordance with this explicit instruction,

• in the case of an explicit instruction, the client acknowledges that the client's explicit instruction may prevent INVESTIN from implementing measures it proposed and implemented in order to achieve the best possible result in the execution of these instructions, taking into account the parameters contained in these instructions,

Rules for executing client instructions

When executing instructions on the client's account, INVESTIN undertakes to take all necessary steps that will lead to ensuring the best possible result of the execution of the instruction (so-called best execution) on the client's account.

INVESTIN decides on the relative importance of the criteria specified in Section 5 of the Strategy when executing instructions on the client's account, while the relative importance of the criteria is determined on the basis of available market information and INVESTIN's professional expertise in financial markets so that INVESTIN complies with the best execution of the instruction on the client's account.

When executing instructions, INVESTIN analyses the available places of execution so that it can identify those places of execution that allow the execution of instructions for clients with the best possible result. At the same time, INVESTIN takes into account the criteria set out in Section 5 of the Strategy when selecting the place of execution of an instruction.

Kritériá pre najlepšie vykonávanie pokynov

INVESTIN musí zohľadniť pri vykonávaní pokynov za účelom dosiahnutia najlepšieho možného výsledku kritériá stanovené zákonom. Výnimkou je len prípad, keď klient požaduje vykonanie výslovnej inštrukcie.

Pri vykonávaní pokynov posudzuje INVESTIN predovšetkým kritériá:

• cena finančného nástroja,

• náklady na vykonanie pokynu,

• rýchlosť pri vykonaní pokynu,

• pravdepodobnosť realizácie pokynu a podmienky vyrovnania,

• objem, typ pokynu,

• prípadne iné faktory, ktoré majú význam pri vykonávaní pokynu.

INVESTIN určí relatívnu dôležitosť jednotlivých kritérií pri vykonávaní pokynov klientov. Relatívna dôležitosť týchto kritérií je určovaná hľadiskami:

• vlastnosti klienta (vyplýva zo zaradenia klientov do kategórie profesionálneho alebo neprofesionálneho klienta),

• vlastnosti pokynu (upravený spôsob povinností je pri výslovných inštrukciách klienta),

• vlastnosti finančného nástroja, ktorý je predmetom pokynu,

• vlastnosti miesta výkonu na ktorom môže byť pokyn realizovaný.

Pri určení relatívnej dôležitosti jednotlivých kritérií

Criteria for the best execution of instructions

INVESTIN must take into account the criteria set by law when executing instructions in order to achieve the best possible result. The only exception is when the client requests the execution of an explicit instruction.

When executing instructions, INVESTIN assesses in particular these criteria:

• the price of the financial instrument,

• the cost of executing the instruction,

• speed at execution of the instruction,

• the probability of execution of the instruction and the conditions of settlement,

• volume and type of instruction,

• or other factors relevant to the execution of the instruction.

INVESTIN will determine the relative importance of individual criteria in executing client instructions. The relative importance of these criteria is determined by the following aspects:

• the client characteristics (resulting from the classification of the client into the category of professional or retail clients),

• the properties of the instruction (modified method of obligations is in the case of explicit instructions from the client),

• the characteristics of the financial instrument that is the subject of the instruction,

• the characteristics of the place of execution at which the instruction may be executed.

In determining the relative importance of the

INVESTIN zohľadňuje komplexne všetky kritériá a zohľadňuje primerane hľadiská, pri ktorých sú pokyny klientov vykonávané so zámerom dosiahnuť najlepší možný výsledok pre klienta. Najlepší možný výsledok vykonávania pokynov sa hodnotí predovšetkým vo vzťahu k cene finančného nástroja, k nákladom súvisiacim s vykonaním pokynu, k xxxxxxxxx xxxxx a k iným poplatkom tretích strán.

Pri neprofesionálnych klientoch sa najlepší možný výsledok stanoví na základe zváženia podmienok, ktoré vychádzajú z ceny finančného nástroja a všetkých nákladov hradených klientom, vrátane poplatkov tretích strán, zapojených do vykonania pokynu.

Pri profesionálnych klientoch platí, že na dosiahnutie najlepšieho možného výsledku pokynu zadaného takýmto klientom INVESTIN vyhodnocuje i iné faktory ako je cena a náklady.

Ak INVESTIN vykonáva pokyn klienta vo vzťahu k finančným nástrojom obchodovaným výhradne na OTC trhoch, INVESTIN ako prioritné kritérium použije pravdepodobnosť vykonania a vyrovnania pokynu klienta. Za určitých okolností pri vykonávaní pokynov môže INVESTIN na základe vlastného úsudku v prípade niektorých klientov, pokynov, finančných nástrojov alebo miest výkonu vyhodnotiť ako významné aj iné kritériá, najmä rýchlosť vykonávania pokynov, podmienky vyrovnania pokynov, objem a typ pokynu, prípadne iné nepriame náklady, ktoré sú v konkrétnom prípade nevyhnutné pri vykonaní pokynu klienta.

INVESTIN nenesie zodpovednosť za nezrealizovanie pokynu klienta a/alebo za nevykonanie maximálneho úsilia na zabezpečenie povinností vyplývajúcich zo Stratégie v prípade, ak k realizácii alebo vyrovnaniu nedôjde z dôvodu porušenia povinností klienta.

Pre účely posúdenia najlepšieho možného výsledku nebude INVESTIN porovnávať výsledky, ktoré sa dosiahli na základe aplikácie Stratégie s výsledkami, ktoré by mohli byť dosiahnuté pre klienta inou spoločnosťou na základe aplikácie

individual criteria, INVESTIN comprehensively takes into account all the criteria and takes into account adequately the aspects in which client instructions are executed with the intention of achieving the best possible result for the client. The best possible result of the execution of instructions is assessed in particular in relation to the price of the financial instrument, the costs associated with the execution of the instruction, market fees and other third party fees.

For retail clients, the best possible outcome is determined by considering conditions that are based on the price of the financial instrument and all costs paid by the client, including third party fees involved in executing the instruction.

For professional clients, INVESTIN also evaluates other factors such as price and cost to achieve the best possible result of an instruction given by such a client.

If INVESTIN executes a client instruction in relation to financial instruments traded exclusively on OTC markets, INVESTIN will use the probability of execution and settlement of the client instruction as a priority criterion. In certain circumstances, INVESTIN may, at its discretion in the case of certain clients, instructions, financial instruments or places of execution, consider other criteria to be relevant, in particular the speed of instruction execution, instruction settlement conditions, volume and type of instruction or other indirect costs which are necessary in a specific case when executing the client's instruction.

INVESTIN will not be liable for non-execution of the client's instruction and/or for non-implementation of maximum efforts to meet the obligations arising from the Strategy in the event that the execution or settlement does not occur due to a breach of the client's obligations.

For the purposes of assessing the best possible result, INVESTIN will not compare the results achieved under the application of the Strategy with the results that could be achieved for the client by another company based on the application of that

Pokyny klienta týkajúce sa pravidelného investovania má INVESTIN právo vykonať najneskôr do 14 pracovných dní od pripísania peňažných prostriedkov na určený účet klienta v INVESTIN. Pokyny klienta týkajúce sa pravidelného investovania môže INVESTIN vykonávať ako alokované pokyny viacerých klientov, pričom INVESTIN bude prihliadať na alokovaný pokyn pri plnení tejto stratégie ako na pokyn jedného klienta.

6.

Výber miesta výkonu pre jednotlivé finančné nástroje

Pravidlá vykonávania pokynov obsahujú informácie o rôznych miestach výkonu pokynov na účet klienta, na ktorých INVESTIN môže realizovať pokyny klientov. INVESTIN v zozname miest výkonu pre vykonávanie pokynov klientov uvádza predovšetkým trhy, kde môže INVESTIN trvale vykonávať pokyny pre klienta s najlepším možným výsledkom. Aktuálny zoznam miest výkonu na nachádza na webovom sídle INVESTIN.

INVESTIN môže využívať jeden alebo viac nasledujúcich trhov pri realizácií pokynov klientov:

• regulované trhy,

• mnohostranné obchodné systémy (MTF),

• Organizované obchodné systémy (OOS),

• systematickí internalizátori,

• tvorcovia trhov,

• iní poskytovatelia likvidity,

• osoby vykonávajúce obdobné činnosti v nečlenskom štáte.

S výnimkou podania výslovnej inštrukcie klienta, INVESTIN realizuje pokyny vo vzťahu k výberu príslušného miesta výkonu nasledujúcim spôsobom:

• realizácia konkrétnych pokynov berie do úvahy

INVESTIN has the right to execute the client's instructions regarding regular investment no later than 14 working days from the crediting of the funds to the client's designated account with INVESTIN. INVESTIN may execute the client's instructions regarding regular investment as allocated instructions of several clients, while INVESTIN will take into account the allocated instruction when fulfilling this strategy as an instruction of a single client.

6.

Selection of the place of performance for individual financial instruments

The instruction execution rules contain information on the various places of instruction execution on the client's account, where INVESTIN can execute client instructions. In the list of places of execution for the execution of client instructions, INVESTIN primarily lists markets where INVESTIN can continuously execute instructions for the client with the best possible result. An up-to-date list of places of execution can be found on the INVESTIN website.

INVESTIN may use one or more of the following markets to execute client instructions:

• regulated markets,

• multilateral trading facilities (MTFs),

• organized trading facilities (OTFs),

• systematic internalisers,

• market makers,

• other liquidity providers,

• persons carrying out similar activities in a non- member country.

With the exception of the client's explicit instruction, INVESTIN executes instructions in relation to the selection of the appropriate place of performance as follows:

• the implementation of specific instructions

špecifické faktory pre príslušný trh a pre príslušné finančné nástroje a to predovšetkým pri trhoch s nízkou likviditou,

• pre určité finančné nástroje bude INVESTIN realizovať pokyny len na jednom mieste výkonu,

• ak INVESTIN vyberie konkrétne miesto výkonu, pokyn na toto miesto výkonu podá na realizáciu a nechá ho tam až do čiastočného alebo konečného vyrovnania, uplynutia doby pokynu alebo zrušenia pokynu,

• pokyn klienta môže byť realizovaný mimo regulovaný trh, OOS alebo MTF s dodržaním povinnosti realizácie pokynu za najlepších podmienok. Pre to, aby INVESTIN mohol realizovať pokyn mimo regulovaný trh, OOS alebo MTF je potrebný predchádzajúci výslovný súhlas klienta,

• v prípade finančných nástrojov obchodovaných na jednom alebo viacerých regulovaných trhoch, na ktorých INVESTIN nemá priamy prístup, INVESTIN pri zohľadnení kritérií uvedených v bode 5 postúpi pokyn tretej osobe (prostredníctvom ktorej vstupuje na tieto regulované trhy) v prípade, ak INVESTIN usúdi, že takto dosiahnutý výsledok vykonania pokynu bude predstavovať pre klienta najlepší možný výsledok vykonania pokynu,

• súčasne INVESTIN môže postúpiť pokyn inej tretej strane, ak INVESTIN usúdil, že iná tretia strana predstavuje pre klienta najlepšie miesto výkonu pokynu.

INVESTIN neprijíma žiadnu odmenu, zľavu ani nepeňažnú výhodu za smerovanie pokynov klientov na konkrétne miesto výkonu, čo by bolo v rozpore s požiadavkami opatrení na zamedzenie konfliktu záujmov alebo prijímania a uhrádzania poplatkov, provízií alebo nepeňažných výhod.

• for certain financial instruments, INVESTIN will execute instructions only at one place of execution,

• if INVESTIN selects a specific place of execution, it submits the instruction to this place of execution for execution and leaves it there until partial or final settlement, expiry of the instruction period or cancellation of the instruction,

• the client's instruction may be executed outside the regulated market, OTF or MTF in compliance with the obligation to execute the instruction under the best conditions. For INVESTIN to be able to execute an instruction outside the regulated market, OTF or MTF, the prior explicit consent of the client is required,

• in the case of financial instruments traded on one or more regulated markets to which INVESTIN does not have direct access, INVESTIN will, subject to the criteria set out in Section 5, forward the instruction to a third party (through which it enters those regulated markets) provided INVESTIN considers that the result of such execution of the instruction will represent the best possible result of the execution of the instruction for the client,

• at the same time, INVESTIN may forward the instruction to another third party if INVESTIN has determined that the other third party represents the best place of execution for the client to execute the instruction.

INVESTIN does not accept any remuneration, rebate or non-monetary benefit for directing client instructions to a specific place of execution, which would be contrary to the requirements of measures to avoid conflicts of interest or to receive and pay fees, commissions or non-monetary benefits.

INVESTIN je povinný po vykonaní pokynu alebo transakcie na účet klienta informovať klienta o tom, kde bol pokyn vykonaný. Pravidelné správy zahŕňajú podrobné údaje o cene, nákladoch, rýchlosti a pravdepodobnosti vykonania pokynu pri jednotlivých finančných nástrojoch.

INVESTIN je povinný pre každý druh finančných nástrojov raz ročne vypracovať a zverejniť súhrn informácií z piatich najlepších miest výkonu z hľadiska objemov obchodovania na ročnej báze, kde sa vykonávali pokyny klientov v predchádzajúcom roku a údaje o dosiahnutej kvalite vykonávaných pokynov.

7.

Spôsoby vykonania pokynu

S výnimkou prípadu, keď INVESTIN prijal výslovnú inštrukciu klienta, INVESTIN vykonáva pokyny klientov jedným z nasledujúcich spôsobov:

• vykonanie pokynu, keď INVESTIN má priamy prístup na miesto výkonu,

• v prípadoch, keď INVESTIN nemá priamy prístup na miesto výkonu, postúpi pokyn na vykonanie tretej strane, ktorá ho vykoná na mieste výkonu.

8.

Podanie výslovnej inštrukcie klienta

Pri podaní výslovnej inštrukcie klienta INVESTIN realizuje tento pokyn v súlade s výslovnou inštrukciou klienta. INVESTIN upozorňuje klienta, že prijatím výslovnej inštrukcie klienta:

• INVESTIN nebude môcť zabezpečiť dosiahnutie najlepšieho výsledku vykonania pokynu na základe pravidiel v Stratégií s cieľom dosiahnuť najlepší možný výsledok pri vykonávaní pokynov vo vzťahu ku výslovnej inštrukcii klienta,

INVESTIN is obliged to inform the client of the place where the instruction was executed after the execution of the instruction or transaction on the client's account. Regular reports include details of the price, cost, speed and probability of execution of the instruction for each financial instrument.

INVESTIN is obliged to prepare and publish, once a year for each type of financial instruments, a summary of information from the five best places of executions in terms of trading volumes on an annual basis where client instructions in the previous year were executed, including data on the quality of executed instructions.

7.

Methods of executing instructions

Unless INVESTIN has received an explicit instruction from a client, INVESTIN executes client instructions in one of the following ways:

• execution of the instruction when INVESTIN has direct access to the place of execution,

• in cases where INVESTIN does not have direct access to the place of execution, it will forward the instruction to a third party who will execute it at the requested place of execution.

8.

Submission of an explicit instruction by the client

Upon receiving an explicit instruction of the client, INVESTIN will execute this instruction in accordance with the explicit instruction of the client. INVESTIN warns the client that by receiving the client's explicit instruction:

• INVESTIN will not be able to ensure the achievement of the best result of the execution of the instruction on the basis of the rules contained in the Strategy in order to achieve the best possible result in the execution of the

• INVESTIN nemôže zaručiť vykonanie pokynu a ukončenie tranakcie,

• výsledok dosiahnutý takto vykonaným pokynom na základe výslovnej inštrukcie klienta sa bude považovať za najlepší možný.

V prípade, keď sa výslovná inštrukcia klienta dotýka iba určitej časti pokynu (napríklad miesto výkonu), INVESTIN bude uplatňovať Stratégiu pre tie časti pokynu, ktoré nie sú ovplyvnené výslovnými inštrukciami klienta, a to v prípade ak to povaha jednotlivého obchodu umožňuje.

9.

Vyhodnocovanie a zmena Stratégie

INVESTIN pravidelne monitoruje a vyhodnocuje Stratégiu na účely identifikácie a nápravy nedostatkov. Predovšetkým pravidelne vyhodnocuje účinnosť Stratégie a to, či miesta výkonu do nej zahrnuté umožňujú získať najlepší možný výsledok pre klienta a či je potrebné urobiť zmeny svojich opatrení na vykonávanie pokynov. Stratégia musí byť aktualizovaná aspoň raz ročne a pri podstatných zmenách, ktoré majú vplyv na schopnosť INVESTIN získavať najlepší možný výsledok pre svojich klientov pri vykonávaní pokynov. sa vyhodnocuje aspoň raz ročne. INVESTIN je povinný informovať svojich klientov o každej podstatnej zmene Stratégie prostredníctvom zverejnenia jej aktualizovanej verzie na webovom sídle INVESTIN.

10.

Informačné povinnosti

INVESTIN je povinný preukázať svojim klientom na ich žiadosť, že vykonal ich pokyny v súlade so Stratégiou a preukázať Národnej banke Slovenska na požiadanie dodržanie tejto povinnosti. Ak INVESTIN vykonáva pokyny pre neprofesionálnych klientov, poskytne týmto klientom zhrnutie

• the result achieved by such an instruction based on the explicit instruction of the client will be considered the best possible.

In the event that the client's explicit instruction concerns only a certain part of the instruction (for example, the place of execution), INVESTIN will apply the Strategy to those parts of the instruction that are not affected by the client's explicit instruction, provided the nature of the individual trade allows it.

9.

Evaluation and revision of the Strategy

INVESTIN regularly monitors and evaluates the Strategy for the purpose of identifying and correcting deficiencies. In particular, it regularly evaluates the effectiveness of the Strategy and whether the place of executions included in it allow to obtain the best possible result for the client and whether it is necessary to make changes to its measures for the execution of instructions. The Strategy must be updated at least once a year, and in the event of significant changes that affect INVESTIN's ability to obtain the best possible result for its clients when executing instructions, it is evaluated at least once a year. INVESTIN is obliged to inform its clients of any significant changes to the Strategy by publishing its updated version on the INVESTIN website.

10.

Information obligations

INVESTIN is obliged to prove to its clients, upon their request, that it has executed their instructions in accordance with the Strategy, and also to prove to the National Bank of Slovakia, upon its request,
