• All intellectual property rights shall be exclusively owned by Amgen Inc (or its designated Amgen Group member).

• In no event shall Buyer, unless duly authorized, act in any way whatsoever as agent for Amgen, to represent Amgen, pledge Amgen’s credit, enter into any contract or undertaking of any sort, make any promise, warranty or representation on behalf of Amgen (or any other Amgen Group member) or settle any claim or express any opinion on behalf of Amgen (or any other Amgen Group member) as to the merit of such claim with respect to the Products or any related matter.

• Buyer will not make any press release, statement or public announcement that in any way mentions or refers to any Amgen Group member without Xxxxx’x prior written consent.

• In addition the reimbursement of all costs incurred by Amgen or any Amgen Group member due to late payment shall be paid, provided, however, that such amount shall not exceed the maximum amount permitted by applicable law.

• Amgen shall have the right to use any Amgen Group member to act as Xxxxx’x representative for the performance of any obligation arising under this Agreement.

• Buyer shall indemnify, defend and hold harmless Amgen (including any Amgen Group member) from and against any claims, costs, expenses and damages arising out of any abnormal or improper use, misuse or neglect of the Products, including without limitation storage of the Products other than in accordance with the Package Leaflet, and for any breach of this Agreement.

• Amgen shall have the right to use any Amgen Group member to act as Amgen’s representative for the performance of any obligation arising under this Agreement.

• Buyer shall cooperate with Amgen in the case of any recall of Products, including providing full support to deliver requested information to Amgen and any designated Amgen Group member (e.g. track trace reports) and in taking all necessary steps to remove the relevant batch from the market place at Amgen’s cost.

• Each party shall indemnify, defend and hold harmless the other party (including any Amgen Group member or Buyer Group member) from and against any claims, costs, expenses and damages arising out of the breach of this Article.

• Buyer will not make any press release, statement or public announcement that in any way mentions or refers to any Amgen Group member without Amgen’s prior written consent.
