1. | Indledning | Introduction |
1.1 | Disse abonnementsbetingelser (”Aftalen”) om brug af People-People’s HR-løsninger (”Abonnementet”) regulerer den i tilbuddet (”Tilbuddet”) anførte kundes (”Kunden”) brug af People-People’s services og løsninger som defineret i Tilbuddet. Såfremt Kunden tilkøber yderligere serviceydelser hos People-People, omfattes sådanne automatisk af Aftalen, medmindre andet er aftalt. I tilfælde af fortolkningstvivl skal den danske version af Aftalen have forrang over den engelske. | These subscription terms (the ”Agreement”) regulates the customer’s (the “Customer”) use of People-People’s HR- solutions (the “Subscription”) as specified in the proposal (the “Proposal”) made available to each Customer. Where the Customer purchases additional services from People-People, such services are automatically covered by the Agreement unless otherwise agreed. In case of any ambiguity in interpretation, the Danish version of the Agreement shall prevail over the English version. |
1.2 | Det samlede aftalegrundlag udgøres af denne Aftale og Tilbuddet. Denne Aftale accepteres og indgås ved Kundens accept af Tilbuddet, som er sendt samtidig med denne Xxxxxx. 2. | Abonnementet | Subscription |
2.1 | Abonnementets omfang | Scope of the Subscription |
2.1.1 | People-People yder mod løbende betaling i henhold til denne Aftale Kunden et tidsbegrænset ikke-overdragelig Abonnement i overensstemmelse med Aftalen og Tilbuddet (“Omfanget”). | People-People provides the Customer with a limited, non-transferable Subscription, subject to ongoing payment in accordance with this Agreement and the Offer (the "Scope"). |
2.1.2 | Omfanget af Abonnementet er betinget af Tilbuddets forudsætninger, herunder eventuelle aftalte løsninger, juridiske enheder, parter, processer eller antal ydelser, som under det relevante Tilbud. | The Customer's use of the Subscription is conditional upon the assumptions of the Offer, including any agreed solutions, legal entities, parties, processes, or number of services specified under the relevant Offer. |
2.1.3 | Abonnementet inkluderer ikke IT-systemer, licenser eller brugsret af nogen art til tredjeparts-systemer eller tjenester såsom, men ikke begrænset til, HR-IT-systemer (HRIS), job-portaler, personlighedsprofiler eller lignende omkostninger. Disse påhviler Xxxxxx som reel ejer og bruger af disse. | The Subscription does not include IT-Systems, software, licenses, or rights of use of any kind to third party systems or services such as, but not limited to, HR IT Systems (HRIS), job- portals, employee assessments or similar costs. These are the responsibility of the Customer as the actual owner and user of these. |
2.1.4 | Kunden er til enhver tid ansvarlig for, at Kundens brug af Abonnementet sker i overensstemmelse med Omfanget af Abonnementet, jf. ovenfor. | The Customer is always responsible for ensuring that their use of the Subscription is in accordance with the Scope of the Subscription as per above. |
2.2 | Begrænsninger i Abonnementet | Limitations to the Subscription |
2.2.1 | Kunden må alene anvende Abonnementet i Kundens egen organisation og må ikke lade tredjemand anvende Abonnementet, eller dele deraf, i tredjemands organisation(er). | The Customer may only use the Subscription within their own organization and must not allow any third party to use the Subscription, or parts thereof, in third-party organization(s). |
2.2.2 | Informationer, data og illustrationer, der udgør hele eller dele af Abonnementet, må ikke deles med tredjepart eller på nogen måde anvendes til at drive direkte eller indirekte konkurrerende virksomhed med People-People, herunder ved at videreformidle løsninger, praksisser, eller dokumenter etc. erhvervet via Abonnementet. Denne bestemmelse begrænser ikke Kundens ret til at lade relevante myndigheder få adgang til relevant materiale og dokumentation. | Information, data, and illustrations that constitute all or part of the Subscription must not be shared with third parties or used in any way to engage in direct or indirect competitive business with People-People, including by disseminating solutions, practices, or documents, etc., acquired through the Subscription. This provision does not limit the Customer's right to provide relevant authorities with access to relevant materials and documentation. |
2.2.3 | Aftalte priser er betinget af antal ansatte, juridiske enheder samt specificeret Abonnement, og Kunden er ansvarlig for kun at anvende Abonnementet inden for de aftalte rammer. ”Ansatte” omfatter alle Kundens ansatte hvis forudbestemte eller faktiske arbejdstid udgør mere end 3 timers arbejde ugentligt i gennemsnit over en hvilken som helst 4-ugers periode. | Agreed prices are contingent upon the number of employees, legal entities, and specified Subscription, and the Customer is responsible for using the Subscription only within the agreed-upon limits. "Employees" include all employees whose planned or actual working hours amount to more than 3 hours per week on average over any 4-week period. |
2.3 | Levering af Abonnementet | Delivery of the Subscription |
2.3.1 | Det i Tilbuddet angivne Abonnement leveres med omhu og dygtighed i overensstemmelse med branchens standarder og bedste praksis efter nærmere aftale med Kunden ud fra Kundens behov og prioriteringer. | The Subscription specified in the Offer is delivered with care and skill in accordance with industry standards and best practices, based on the Customer's needs and priorities, as agreed upon with the Customer. |
2.3.2 | Abonnementet leveres i en kombination af personlige møder, telefon- eller videokonferencer, e-mailkorrespondance etc. alt efter hvad der påkræves i den enkelte situation. Det konkrete behov afvejes og aftales løbende med Kunden. | The Subscription is delivered through a combination of personal meetings, phone or video conferences, email correspondence, etc., depending on what is required in each situation. The specific requirements are evaluated and agreed upon with the Customer on an ongoing basis. |
2.4 | Ændring af Abonnementet | Change of Subscription |
2.4.1 | Skifte til et mindre Abonnement skal ske med iagttagelse af opsigelsesvarslet jf. punkt 3.3 i nærværende. Skifte til et større Abonnement kan ske straks. Efter en ændring vil det nye Abonnementet være uopsigeligt i de næstkommende 6 måneder. | A downgrade to a smaller Subscription must be made with observance of the notice period specified in clause 3.3 of this Agreement. Upgrading to a larger Subscription can be done immediately. After a change, the new Subscription is non-terminable for the following 6 months. |
2.4.2 | Såfremt Kunden efter aftale med People- People bestiller specifikt udviklingsarbejde eller projektarbejde, herunder specialtilpasning af indhold udover hvad der er inkluderet i Abonnementet, afregnes dette månedsvis efter medgået tid i overensstemmelse med People-People’s til enhver tid gældende timesatser, som oplyses på forespørgsel. Intet arbejde af denne art igangsættes uden Kundens forudgående skriftlige accept af anslået tidsforbrug. | If, by agreement with People-People, the Customer specifically orders development work or project work, including customizing content beyond what is included in the Subscription, it will be billed monthly based on the time spent, in accordance with People- People's applicable hourly rates, which will be provided upon request. 2.5.3 | People-People vil løbende og efter eget valg og egen prioritering ændre og forbedre Abonnementet med nye løsninger etc., når People-People finder det nødvendigt. Sådanne løbende opdateringer og ajourføringer medfører ingen indskrænkninger eller ændringer i Abonnementet eller Omfanget, og Kunden er altid berettiget til at anvende den seneste version af Abonnementet. | People-People will continuously and at its sole discretion change and improve the functionality of the Subscription. Such changes and improvements do not involve limitations or changes in the Subscription, or the Scope and the Customer is always entitled to use the latest version of the Subscription. |
2.5.4 | People-People er berettiget til at foretage ændringer i Abonnementerne, herunder ændre services, eller dele heraf, som People- People finder nødvendigt for generelt at kunne levere den bedst mulige service over for sine kunder. 2.6 | Bortfald af Abonnementet | Termination of the Subscription |
2.6.1 | Abonnementet bortfalder uden varsel pr. det tidspunkt, hvor Aftalen er ophørt, uanset om det sker som følge af opsigelse eller ophævelse, og uanset hvilken part der har opsagt eller ophævet Aftalen. | The Subscription terminates without notice at the time when the Agreement ceases, regardless of whether it occurs as a result of termination or rescission, and regardless of which party has terminated or rescinded the Agreement. |
3 | Varighed og opsigelse | Duration and Termination |
3.1 | Abonnementet er uopsigeligt i de første 6 måneder efter ikrafttrædelsesdatoen, som angivet i Tilbuddet. | The Subscription is non-terminable during the first 6 months from the effective date stated in the Offer. |
3.2 | Aftalen er fortløbende og fornyes automatisk, efter bindingsperiodens udløb jf. punkt 3.1, for en måned ad gangen, medmindre andet er aftalt i Tilbuddet, og medmindre Kunden har opsagt Aftalen i overensstemmelse med punkt 3.3. | The Agreement is ongoing and automatically renews, after the initial period stated in point 3.1, monthly unless otherwise agreed in the Offer, and unless the Customer has terminated the Agreement in accordance with point 3.3. |
3.3 | Efter bindingsperiodens udløb kan Kunden til enhver tid opsige Aftalen til udgangen af en kalendermåned med skriftligt varsel på løbende måned plus tre (3) måneder. | After the initial period the Customer may terminate the Agreement at any time, with written notice at the end of a calendar month, plus three (3) months. |
4 | Pris og Betaling | Subscription Fee and payment |
4.1 | Prisen for Abonnementet | Subscription Fee |
4.1.1 | Prisen for Abonnementet er specificeret i Tilbuddet, som denne Aftale er vedlagt. Prisen for Abonnementet er beregnet ud fra de forudsætninger, der fremgår af Tilbuddet, herunder f.eks. Kundens antal ansatte og omfattede selskaber. | The price for the Subscription is specified in the Offer attached to this Agreement. The price for the Subscription is calculated based on the assumptions stated in the Offer, including, for example, the Customer's number of employees and covered companies. |
4.2 | Prisregulering | Subscription Fee Regulation |
4.2.1 | Prisen på Abonnementet reguleres årligt pr. 1. januar hvert år i overensstemmelse med udviklingen i Nettoprisindekset, dog sådan at prisen minimum øges med 5% årligt. | The price of the Subscription is adjusted annually on January 1st each year in accordance with the development of the Danish Net Price Index, however with an increase of minimum 5% annually. |
4.2.2 | People-People kan i tillæg til ovenstående og med seks (6) måneders varsel regulere prisen baseret på uforudset udvikling i People- People’s driftsomkostninger, som ikke skyldes People-People’s forhold. Kunden har ved sådanne prisreguleringer ret til at opsige Aftalen med sædvanligt varsel. | In addition to the above, People-People may adjust the price based on unforeseen developments in People-People's operating costs that are not attributable to People- People, with a notice period of six (6) months. In such cases, the Customer has the right to terminate the Agreement with the usual notice period. |
4.3 | Fakturering og betalingsbetingelser | Invoicing and Payment Terms |
4.3.1 | Kunden faktureres månedsvis forud. Fakturabeløbet beregnes på månedsbasis på baggrund af det faktisk antal ansatte pr. d. 15. i den foregående måned. | The Customer is invoiced monthly in advance. The invoice amount is calculated monthly based on the actual number of employees as of the 15th of the previous month. |
4.3.2 | Fakturaen fremsendes senest d. 22. i hver måned og betalingsbetingelser er 14 dage netto fra faktureringsdato, medmindre andet er anført i Tilbuddet. | The invoice is issued no later than the 22nd of each month, and the payment terms are 14 days net from the invoicing date unless otherwise stated in the Offer. |
4.3.3 | Ved betaling efter forfald tilskrives der renter på 5,0% pr. påbegyndt måned samt et gebyr på kr. 100. | In case of payment after the due date, interest at a rate of 5.0% per commenced month will be charged, along with a fee of DKK 100. |
5 | Behandling af personoplysninger | Processing of personal data |
5.1 | Kunden forpligter sig, i overensstemmelse med persondataforordningen (GDPR) og Databeskyttelsesloven, til at give People- People sikker digital adgang til alle relevante personoplysninger om Kundens medarbejdere via krypterede systemer og services som f.eks. ’remote desktop’, VPN, SharePoint og/eller via log-in på eksterne digitale services som Kunden abonnerer på. | The Customer undertakes, in accordance with the General Data Protection Regulation (GDPR) and the Danish Data Protection Act, to provide People-People with secure digital access to all relevant personal data of the Customer's employees at any given time, using encrypted systems and services such as 'remote desktop', VPN, SharePoint, and/or login to external digital services that the Customer subscribes to. |

6 | Misligholdelse | Breach of contract |
6.1 | Spørgsmål om misligholdelse afgøres på baggrund af dansk rets almindelige regler om misligholdelse medmindre andet følger af Aftalen. | People-People and the Customer are liable to each other in accordance with the general rules under Danish law unless otherwise provided for in this Agreement. |
6.2 | Parterne er berettiget til uden varsel og til øjeblikkeligt ophør at ophæve Aftalen, såfremt væsentlig misligholdelse indtræder. Følgende omstændigheder udgør blandt andet væsentlig misligholdelse: (i) People-People’s væsentlige misligholdelse af Aftalen, herunder manglende lydhørhed/reaktion jf. punkt 2.3 hvor denne misligholdelse ikke er afhjulpet senest 14 kalenderdage efter modtagelse af meddelelse om. (ii) Kundens manglende rettidige betaling, hvor Xxxxxx ikke senest 14 kalenderdage efter modtagelse af meddelelse om manglende betaling har afhjulpet misligholdelsen ved at betale det opkrævede beløb. (iii) Kundens misligholdelse af denne Aftales punkt 2 om Abonnementet. | The parties are entitled to terminate the Agreement without notice and with immediate effect in the event of a material breach. 7.2.1 | Hverken People-People eller Kunden kan holdes ansvarlig for den anden parts indirekte tab eller følgeskader opstået i forbindelse med Aftalen og anvendelsen af Abonnementet, herunder driftstab, tab af profit eller goodwill samt andre former for følgeskade. 7.3 | Ansvarsbegrænsning | Limitation of liability |
7.3.1 | People-People’s ansvar for alle kumulerede krav i henhold til Aftalen er under alle omstændigheder begrænset til det højeste beløb af; (i) 200.000,00 kr.; eller (ii) de samlede forfaldne betalinger for den seks (6) måneders periode, der går umiddelbart forud for en eventuel skadegørende omstændighed. Hvis Aftalen ikke har været i kraft i seks (6) måneder, opgøres beløbet forholdsmæssigt på baggrund af den aftalte betaling i den periode, som Aftalen har været i kraft. | People-People's liability for all cumulative claims under the Agreement is in any event limited to the higher amount of: (i) 200,000.00 DKK; or (ii) the total sum of the due payments for the preceding six (6) month period immediately prior to any damaging circumstances. 10 | Lovvalg og værneting | Choice of law and arbitration |

10.2 | Enhver tvist, der måtte opstå mellem parterne i forbindelse med denne Aftale, skal søges løst gennem forhandlinger mellem parterne i god tro. | Any dispute that may arise between the parties in connection with this Agreement must be resolved through negotiations between the parties in good faith. |
Hvis forhandlingerne ikke fører til en løsning, skal tvisten afgøres ved de danske domstole, København Byret. | If the negotiations do not lead to a solution, the dispute must be settled by the Danish courts, Copenhagen City Court. |
