General terms of business

Indledning
Nærværende forretningsbetingelser, eventuelt aftalebrev, for- udgående korrespondance samt eventuelle skriftlige, aftalte ændringer hertil udgør den samlede aftale („Aftalen“) mellem kunden („Kunden“) og Beierholm Godkendt Revisionspartnerselskab, CVR nr. 32 89 54 68 („Beierholm“). I tilfælde af konflikt mellem vil- kårene i forretningsbetingelserne og aftalebrev skal vilkårene i aftalebrevet have forrang.
Kundens angivelse af særlige vilkår i egne forretningsbetingelser anses ikke som en fravigelse af Aftalen, medmindre Beierholm har accepteret disse.
Ved indgåelse af Aftalen accepterer Xxxxxx at modtage nyheds- mails fra Beierholms afdeling for kommunikation og marketing. Kunden kan til enhver tid afmelde sig nyhedsmails.
1 Beierholms ydelser
Beierholms ydelser („Ydelsen“) er beskrevet på xxx.xxxxxxxxx.xx. I tilfælde, hvor der er udarbejdet aftalebrev, vil dette supplere den beskrivelse, der fremgår af hjemmesiden. Udvidelse eller ind- skrænkning i omfanget og arten af den aftalte Ydelse skal afta- les skriftligt mellem parterne. Merarbejde, som Beierholm i den forbindelse udfører, vil være omfattet af Aftalen og underlagt samme vilkår, dog med forbehold for justeringer af Beierholms honorar og tidsplan.
Beierholm vil bestræbe sig på at levere Ydelsen i overensstem- melse med en mellem parterne aftalt tidsplan. Medmindre Kunden og Beierholm udtrykkeligt og skriftligt angiver et endeligt leve- ringstidspunkt, er alle angivne datoer alene skønsmæssige.
I det omfang, at det af Aftalen fremgår, hvorledes Ydelsen er be- mandet med partnere og medarbejdere, som er ansvarlige for le- vering af Ydelsen, er Beierholm berettiget til at erstatte anførte personer med andre partnere og medarbejdere.
Beierholm er ikke forpligtet til at ajourføre anbefalinger, konklu- sioner, rapporter eller andre produkter, hverken i mundtlig eller skriftlig form, efter at disse er overdraget og kommunikeret til Kunden i endelig form.
Beierholm indgår i et globalt samarbejde, HLB International, som deler navn, viden og ekspertise, men som hver især er selv- stændige, juridiske enheder. Anvendes andre HLB International- enheder end Beierholm i forbindelse med levering af ydelser, er disse underlagt selvstændige aftaler og er således ikke omfattet af denne Aftale, medmindre det direkte fremgår af Aftalen.
Introduction
These general terms of business, together with any engagement letter, prior correspondence and any written agreed amend- ments thereto, constitute the overall agreement (the ‘Agree- ment’) between the client (the ‘Client’) and Beierholm Godkendt Revisionspartnerselskab, CVR no. 32 89 54 68 (‘Beierholm’). In the event of a conflict between the terms in the general terms of business and the engagement letter, the terms in the engage- ment letter will prevail.
The Client’s statement of special terms in the Client’s own gener- al terms and conditions will not be regarded as a derogation from the Agreement unless accepted by Beierholm.
By entering into the Agreement, the Client agrees to receive newsletters from Xxxxxxxxx’x Communication and Marketing De- partment. The Client may unsubscribe from newsletter emails at any given time.
1 Beierholm’s services
Beierholm’s services (the ‘Services’) are described on www.beier- xxxx.xx. Where an engagement letter has been prepared, it will supplement the description provided on the website. Any exten- sion or limitation of the scope and nature of the agreed Servic- es must be agreed in writing between the parties. Any additional work performed by Xxxxxxxxx in this connection will be covered by the Agreement and be subject to the same terms. However, Xxxxxxxxx’x fees and schedule may be adjusted accordingly.
Beierholm will endeavour to provide the Services in accordance with the schedule agreed between the parties. Unless the Client and Beierholm expressly specify a final delivery date in writing, all stated dates are estimates only.
Where the Agreement stipulates the partners and employees responsible for providing the Services, Beierholm will be entitled to replace any such specified persons with other partners and employees.
Beierholm is not obliged to update recommendations, conclu- sions, reports or other products, either in oral or written form, after these have been supplied and communicated to the Client in their final form.
Beierholm is a member of a global network, HLB International, of separate legal entities sharing the same name, know-how and ex- pertise. Any services supplied by HLB International entities other than Beierholm will be subject to separate agreements and will not be comprised by this Agreement, unless expressly stated in the Agreement.
I det omfang, at Ydelsen omfatter Beierholm BeJour Online Ser- vice, henvises tillige til Bilag A („Driftsaftale“).
2 Kvalitetssikring
Alle Ydelser, der leveres af Beierholm, er underlagt virksomhe- dens interne kvalitetssikring, herunder procedurer for beman- ding, kvalitetskontrol og klageadgang.
Beierholm er underlagt kvalitetskontrol i medfør af lov om god- kendte revisorer, hvidvaskloven, databeskyttelsesreglerne samt regler, der er fastsat af Beierholms internationale netværk, HLB International. I forbindelse med gennemførelse af kvalitetskon- trollen kan Beierholm i nødvendigt omfang videregive fortrolige oplysninger til relevante myndigheder m.fl. Modtagerne heraf vil være pålagt fortrolighedsforpligtelse, og oplysningerne vil alene blive anvendt med henblik på kvalitetskontrollen.
Beierholm forpligter sig til at undersøge enhver klage omhygge- ligt og inden for rimelig tid under hensyntagen til sagens karak- ter. Har Beierholm leveret en mindre tilfredsstillende eller man- gelfuld Ydelse, kan Kunden som et alternativ til en drøftelse med den sædvanlige kontaktperson hos Beierholm rette henvendelse til Beierholms direktion. Kunden er i denne sammenhæng for- pligtet til senest 2 uger efter at have konstateret eventuelle fejl og mangler ved den leverede Ydelse at kontakte Beierholm. I den forbindelse har Beierholm pligt til at afhjælpe eventuelle fejl og mangler inden for rimelig tid. Kontakter Kunden ikke Beierholm in- den for tidsfristen, mister Xxxxxx retten til afhjælpning.
3 Samarbejde
Parterne skal holde hinanden orienteret om ethvert væsentligt forhold vedrørende levering af Ydelsen.
Det er Xxxxxxx og dennes personales opgave på enhver relevant måde at bistå Beierholm i forbindelse med levering af Ydelsen, herunder:
– At stille alt relevant materiale til rådighed, organiseret syste- matisk, give de nødvendige oplysninger samt træffe alle nød- vendige beslutninger inden for rimelig tid henset til opgavens art og omfang
Any advice, statements, declarations, expectations, forecasts or recommendations that form part of Beierholm’s provision of the Services will not constitute any kind of assurance that Beierholm has taken into account, determined or predicted future events or circumstances, including changes in legislation, the interpre- tation thereof and/or case law.
To the extent that the Services include Beierholm BeJour Online Service, please see Annex A (‘Operating Agreement’).
2 Quality assurance
All Services provided by Beierholm are subject to the company’s internal quality assurance programme, including procedures for manning, quality control and complaints.
Beierholm is subject to quality control pursuant to the Danish Act on Approved Auditors and Audit Firms (Lov om godkendte revisorer og revisionsvirksomheder), the Danish Anti-Money Laundering Act (Hvidvaskloven), data protection rules and rules laid down by Beierholm’s international network, HLB International. In connection with the performance of the quality control, Xxxxx- xxxx may disclose confidential information to relevant authori- ties etc. as required. The recipients of such information will be subject to a duty of confidentiality, and the information will not be used for any other purpose than quality control.
Xxxxxxxxx undertakes to examine any complaint carefully and with- in a reasonable period of time in relation to the nature of the case. If Beierholm has provided unsatisfactory or inadequate Services, the Client may, as an alternative to discussing the matter with its usual contact person at Beierholm, contact Xxxxxxxxx’x Executive Board. In this context, the Client is obliged to contact Xxxxxxxxx no later than two weeks after having ascertained any errors and de- ficiencies in the Services provided. Xxxxxxxxx is obliged to remedy any such errors and deficiencies within a reasonable period of time. If the Client does not contact Beierholm within the time limit, the Client will forfeit the right to remedial action.
3 Collaboration
The parties are obliged to keep each other informed of any signifi- cant matter relating to the provision of the Services.
The Client and its staff are obliged to assist Beierholm in any relevant way in connection with the provision of the Services. This includes:
– making available all relevant material, organised systematically, providing the necessary information and making all neces- sary decisions within a reasonable period of time, taking into account the nature and scope of the engagement.
– At knytte medarbejdere med tilstrækkelige kompetencer og ressourcer til opgaven
– At sikre, at Kundens øvrige samarbejdspartnere i nødvendigt omfang aktivt samarbejder med Beierholm
– At medvirke aktivt til, at Beierholm kan overholde al relevant national og international lovgivning
– At sikre, at Beierholm modtager alt materiale og alle oplysnin- ger af relevans for opgaven.
Det er Kundens ansvar rettidigt og fuldstændigt at afgive alle relevante oplysninger. Kunden bærer risikoen for de konsekven- ser, som upræcise, ukorrekte og/eller ufuldstændige oplysninger medfører for Beierholms Ydelse. Xxxxxxxxx opfordrer i den for- bindelse Xxxxxx til at tilgå sin digitale postkasse, så relevante oplysninger kan indsendes til Beierholm rettidigt. Medfører Kun- dens forhold eller manglende overholdelse af ovenstående mer- arbejde for Beierholm i forhold til, hvad man kunne forudsætte ved Aftalens indgåelse, er Beierholm berettiget til kompensation herfor baseret på almindelig timepris, uanset eventuel aftale om fast honorar.
Beierholms rolle er:
– At levere Ydelsen i overensstemmelse med Aftalen
– At efterleve relevant lovgivning samt standarder, vejledninger og FSR – danske revisorers etiske regelsæt i forbindelse med levering af Ydelsen.
4 Pris og betaling
Beierholms honorar beregnes efter medgået tid inkl. tid til trans- port/rejse baseret på Beierholms til enhver tid fastsatte time- satser for de partnere og medarbejdere, der udfører arbejdet, medmindre andet udtrykkeligt fremgår af aftalebrev og eventuelle skriftlige tillæg hertil. Timesatser reguleres som udgangspunkt en gang årligt uden særskilt varsel eller meddelelse herom.
Beierholms angivelse af et honorar ved aftaleindgåelse bygger på de forudsætninger, som parterne har angivet. Det følger her- af, at selv om der er aftalt et fast honorar for Ydelsen, er Xxxxx- xxxx berettiget til i følgende situationer, hvor enten betingelse a), b) eller c) er opfyldt, at foretage korrektioner til det bereg- nede honorar:
a) Forudsætningerne for levering af Ydelsen er ændret
b) Forudsætningerne var ikke korrekte eller fuldstændige
c) De i afsnit 3 (Samarbejde) anførte forpligtelser er ikke overholdt
– allocating employees with adequate competences, skills and resources to the engagement.
– ensuring that the Client’s other business partners actively collaborate with Beierholm as required.
– actively assisting Xxxxxxxxx in complying with all relevant national and international legislation.
– ensuring that Xxxxxxxxx receives all material and information of relevance to the engagement.
The Client is responsible for providing all relevant informa- tion in a timely and complete manner. The Client bears the risk of the consequences that inaccurate, incorrect and/or incom- plete information entails for Beierholm’s Services. In this con- nection, Xxxxxxxxx encourages the Client to access its digital mailbox so that relevant information can be sent to Beierholm in a timely manner. If the Client’s circumstances or non-compli- ance with the above entail additional work for Xxxxxxxxx in re- lation to what could be assumed on conclusion of the Agree- ment, Beierholm is entitled to compensation for this based on standard hourly rates, regardless of any fixed fee agreement.
Beierholm will:
– provide the Services in accordance with the Agreement.
– comply with relevant legislation as well as standards, guide- lines and the Code of Ethics of FSR – Danish Auditors in con- nection with the provision of the Services.
4 Fees and invoicing
Xxxxxxxxx’x fee is calculated according to hours used, including time for transport/travel, based on Beierholm’s hourly rates ap- plicable at any given time for the partners and employees who perform the work, unless otherwise expressly stated in the en- gagement letter and any written addenda to the engagement letter. As a general rule, the hourly rates will be adjusted once a year without separate notice or communication.
Beierholm’s specification of a fee on conclusion of the Agreement is based on the assumptions stated by the parties. It follows from this that even if a fixed fee has been agreed for the Services, Beierholm is entitled to adjust the estimated fee in the following situations, where either condition a), b) or c) has been met:
a) The assumptions for the provision of the Service have changed;
b) The assumptions were not correct or complete.
c) The obligations laid down in clause 3 (Collaboration) have not been complied with.
d) Omstændighederne, jf. a) - c), kan ikke tilskrives Beierholm eller forhold, som Beierholm er ansvarlig for.
Derudover er Beierholm berettiget til at opkræve særskilt ho- norar for arbejde, som ligger uden for det aftalte omfang i den oprindelige aftale om fast honorar.
Er der forud for arbejdets påbegyndelse ikke indgået aftale om fast honorar, beregnes honoraret efter medgået tid, jf. ovenfor. Moms er ikke inkluderet i honorar og timesatser, medmindre det- te udtrykkeligt fremgår af aftalebrev og eventuelle skriftlige til- læg hertil.
Omkostninger, der relaterer sig til levering af Ydelsen, såsom ud- læg, rimelige rejseomkostninger, indkvartering og leveomkostnin- ger betales af Xxxxxx ud over det aftalte honorar, medmindre andet er aftalt i et aftalebrev og eventuelle skriftlige tillæg her- til. Xxxxxxxxx er berettiget til at tilbageholde Ydelsen, såfremt Xxxxxx er i misligholdelse med betaling/sikkerhedsstillelse, eller der foreligger anticiperet misligholdelse.
Xxxxxxxxx er berettiget til at fakturere honorar (herunder aconto- honorar), omkostninger og udlæg månedsvis bagud. Dog kan større omkostninger og udlæg faktureres straks ved afholdelse. Beierholm forbeholder sig ret til i særlige situationer at kræve forudbetaling eller anden sikkerhed for betalingen.
I de tilfælde hvor Beierholm varetager administration/bogføring og/eller lønbehandling for Kunden, faktureres der særskilt for li- censer i forbindelse med levering af ydelsen. I de tilfælde hvor Kunden ikke har adgang til et system, men Beierholm arbejder i systemet på vegne af Kunden i forbindelse med levering af Ydel- sen, vil licens til brugen af systemet blive faktureret til Kunden.
Licensbetaling vil blive opkrævet som en forudbetaling.
Hvis Aftalen opsiges, vil Beierholm, uanset grunden til opsigelsen være berettiget til et honorar for det arbejde, som er udført ind- til datoen for ophøret af Ydelsen. Honoraret beregnes på bag- grund af gældende timesatser og timeforbrug.
Betalingsbetingelserne er netto kontant 15 dage fra faktura- dato. Ved betaling efter forfaldsdato beregnes rente på 1,25% pr. md.
d) The circumstances, see a) to c), cannot be attributed to Xxxxxxxxx or to circumstances for which Xxxxxxxxx is responsible
In addition, Beierholm is entitled to charge a separate fee for work that falls outside the agreed scope of the original agree- ment on a fixed fee.
If no fixed fee agreement has been entered into prior to the com- mencement of the work, the fee will be calculated based on hours used, see the above. Fees and hourly rates are exclusive of VAT, unless otherwise expressly stated in the engagement letter and any written addenda thereto.
Any costs related to the provision of the Services, such as out- of-pocket expenses, reasonable travelling expenses, accommo- dation and subsistence expenses, are payable by the Client in addition to the agreed fee, unless otherwise agreed in an en- gagement letter and any written addenda thereto. Beierholm is entitled to withhold the Services if the Client is in breach of pay- ment/pledging of collateral or there is anticipated breach.
Beierholm is entitled to invoice its fee (including on-account fee), costs and out-of-pocket expenses monthly in arrears. However, major costs and out-of-pocket expenses may be invoiced imme- diately upon incurrence thereof. Beierholm reserves the right to demand advance payment or other security for the payment in special situations.
In cases in which Beierholm handles administration/bookkeeping and/or payroll management for the Client, licences in connection with the provision of the Services will be invoiced separately. In cases where the Client does not have access to a system, but Xxxxxxxxx works in the system on behalf of the Client in connec- tion with the provision of the Services, the Client will be invoiced for the licence for use of the system.
Any licence payment will be charged as an advance payment.
If the Agreement is terminated, Beierholm will be entitled to a fee for the work performed up to the date of termination of the Services regardless of the reason for such termination. The fee is calculated on the basis of current hourly rates and hours used.
The terms of payment are fifteen days net cash from date of invoice. In case of late payment, interest will be charged at a rate of 1,25% per commenced month.
5 Ansvarsbegrænsning
Xxxxxxxxx er ansvarlig for den leverede Ydelse under Aftalen i overensstemmelse med dansk rets almindelige regler.
Medmindre andet aftales, kan Beierholms ansvar i forbindelse med levering af Ydelsen, der ikke indebærer afgivelse af erklæringer med sikkerhed, ikke overstige 5 gange det fakturerede og betal- te honorar for Ydelsens udførelse, dog maksimalt DKK 5.000.000 uanset Ydelsens omfang og honorarets størrelse. Hvis det fak- turerede og betalte honorar for Ydelsens udførelse udgør mere end DKK 2.500.000, kan Beierholms ansvar i forbindelse med leve- ring af Ydelsen, der ikke indebærer afgivelse af erklæringer med sikkerhed, dog ikke overstige 2 gange det fakturerede og betalte honorar for Ydelsens udførelse, dog maksimalt DKK 10.000.000 uanset Ydelsens omfang og honorarets størrelse. Såfremt der er tale om en løbende Ydelse, opgøres honoraret i forbindelse med ansvarsbegrænsning som det i de seneste 12 måneders fakture- rede og betalte honorar for denne Ydelse.
Beierholm er ikke ansvarlig for indirekte tab eller følgeskader, herunder tab af goodwill, image, omdømme, indtjening og fortje- neste, eller for tab, forvanskning eller genetablering af data m.v. Beierholm er ikke ansvarlig for tab eller skader forårsaget af cy- berangreb eller it-nedbrud.
Beierholm kan ikke holdes ansvarlig for krav, der måtte opstå som et resultat af falsk, misvisende eller ufuldstændig information, data eller dokumentation, som er tilvejebragt af andre end Beierholm.
Beierholm kan ikke holdes ansvarlig for mundtlige rapporteringer eller udkast til produkter, som efterfølgende skal erstattes af endelige produkter.
Xxxxxxxxx er kun ansvarlig over for Kunden og påtager sig ikke ansvar over for andre parter (herunder tredjemand), som måtte benytte den af Beierholm leverede Ydelse eller viden, medmindre andet følger af dansk ret. Kunden forpligter sig til at godtgøre Beierholm for tab, forpligtelser, udgifter og andre omkostninger, som Beierholm med rimelighed måtte pådrage sig i forbindelse med krav fra sådanne andre parter samt krav mod Beierholm som følge af Kundens misligholdelse af Aftalen.
Ovenstående ansvarsbegrænsninger gælder, uanset om skaden skyldes grov eller simpel uagtsomhed.
6 Fortrolighed
Parterne er gensidigt forpligtet til at behandle den viden, alt ma- teriale og alle oplysninger om den anden part samt oplysninger modtaget fra den anden part i forbindelse med arbejdets udfør- sel fortroligt.
Alle medarbejdere i Beierholm er pålagt tavshedspligt.
5 Limitation of liability
Beierholm is responsible for the Services provided under the Agreement in accordance with the general rules of Danish law.
Unless otherwise agreed, Beierholm’s liability in connection with the provision of non-assurance Services cannot exceed five times the fee invoiced and paid for the provision of the Services, however, maximum, DKK 5,000,000, regardless of the scope of the Services and the amount of the fee. If the invoiced and paid fee for the performance of the Service amounts to more than DKK 2,500,000, Xxxxxxxxx’x liability in connection with the delivery of the Service, which does not involve the submission of declara- tions with security, may not exceed 2 times the invoiced and paid fee for the performance of the Service, however, a maximum of DKK 10,000,000 regardless of the scope of the Service and the size of the fee. In case of ongoing Services, the fee is calculated in connection with the limitation of liability as the fee invoiced and paid for these Services in the past 12 months.
Beierholm is not liable for indirect or consequential losses, in- cluding loss of goodwill, image, reputation, earnings and profits, or for loss, corruption or recovery of data etc. Beierholm will not be liable for any loss or damage caused by cyberattacks or IT breakdowns.
Beierholm cannot be held liable for any claims that may arise as a result of false, misleading or incomplete information, data or documentation provided by parties other than Beierholm.
Xxxxxxxxx cannot be held liable for oral reports or drafts for products that are subsequently to be replaced by final products.
Beierholm is only liable to the Client and will not assume any lia- bility to other parties (including third parties) who may use the Services or knowledge provided by Beierholm, unless otherwise follows from Danish law. The Client is obliged to compensate Bei- erholm for any losses, liabilities, expenses and other costs that Beierholm may reasonably incur in connection with claims from such other parties as well as claims brought against Beierholm as a result of the Client’s breach of the Agreement.
The above limitations of liability apply regardless of whether the damage or loss is due to gross or ordinary negligence.
6. Confidentiality
The parties are mutually obliged to treat as confidential any and all knowledge, material and information about the other party as well as information received from the other party in connection with the performance of the work.
All employees in Beierholm are bound by a duty of confidentiality.
Parterne må ikke i nogen form videregive den anden parts fortro- lige oplysninger til tredjemand, medmindre:
– Der gives samtykke hertil
– Oplysningerne er af en sådan karakter, at de er bestemt til videregivelse
– Videregivelse sker til anden rådgiver under fortrolighedsfor- pligtelse, og videregivelse er nødvendig for opgavens udførsel
– Videregivelse sker til opfyldelse af en pligt i henhold til gæl- dende lov, regulering eller gyldigt påbud fra myndighederne.
Uanset fortrolighedsforpligtelsen er Beierholm berettiget til at anvende Kundens navn og en kort beskrivelse af opgaven i for- bindelse med markedsføring af Beierholm.
Det er Beierholms politik at opretholde et højt sikkerhedsniveau omkring enhver kommunikation, hvad enten den er i brevform eller elektronisk, men Beierholm kan ikke gøres ansvarlig for sikker- heds- og fortrolighedsbrister ved transmission via elektroniske kommunikationsmidler.
7 Brugs-, ejendoms- og ophavsret
Xxxxxxxxx har og beholder alle ophavsrettigheder og immateri- elle rettigheder til programmer, systemer, metoder og modeller, samt alle andre rettigheder til resultaterne af Beierholms arbej- de, i overensstemmelse med gældende lovgivning. Kunden opnår alene en ret til at bruge og videregive det førnævnte i det om- fang, dette er forudsat i parternes Aftale. Sådanne programmer, systemer, metoder og modeller m.v. må ikke videregives til tredje- mand, uden at Beierholm har givet skriftlig tilladelse hertil.
8 Interessekonflikt
Det er Beierholms praksis at kontrollere, om der foreligger en interessekonflikt, før Beierholm påtager sig at levere den på- gældende Ydelse. Xxxxxxxxx leverer mange forskellige Ydelser og kan ikke give sikkerhed for, at alle situationer, hvor der kan fore- ligge en interessekonflikt, straks afdækkes. Xxxxxxxxx henstiller derfor til Xxxxxx om straks at underrette Xxxxxxxxx, hvis denne skulle blive opmærksom på en mulig interessekonflikt.
Såfremt en aktuel eller potentiel interessekonflikt er identifice- ret, og Beierholm vurderer, at Kundens interesser kan vareta- ges tilstrækkeligt ved iværksættelse af relevante procedurer, vil Beierholm drøfte sådanne procedurer med Kunden.
Either of the parties must not disclose the other party’s confi- dential information to any third party unless:
– consent is granted to such disclosure.
– the information is of such a nature that it is intended for disclosure.
– the information is disclosed to another consultant who is bound by a duty of confidentiality, and such disclosure is nec- essary for the performance of the engagement.
– the information is disclosed in order to comply with an obliga- tion under applicable legislation, regulation or valid order from public authorities.
Regardless of the duty of confidentiality, Beierholm is entitled to use the Client’s name and a brief description of the engagement in connection with marketing of Beierholm.
Xxxxxxxxx’x policy is to maintain a high level of security for all communication, be it in letter form or electronically, but Beier- holm cannot be held liable for security and confidentiality breach- es in connection with transmission via electronic means of com- munication.
7 Rights of use, proprietary rights and copyrights Beierholm holds and will retain all copyrights and intellectual property rights to programs, systems, methods and models, as well as any and all other rights to the results of Xxxxxxxxx’x work, in accordance with the applicable legislation. The Client solely ob- tains a right to use and disclose the above to the extent provided for in the parties’ Agreement. Such programs, systems, methods and models etc. must not be disclosed to any third parties with- out Xxxxxxxxx’x written permission for this.
8 Conflict of interest
Xxxxxxxxx’x practice is to check whether there is a conflict of interest before undertaking to provide the Services in question. Beierholm provides a wide range of Services and cannot guaran- tee that all situations in which there may be a conflict of inter- est are immediately identified. Xxxxxxxxx therefore recommends that the Client notifies Xxxxxxxxx immediately if the Client be- comes aware of a potential conflict of interest.
If a current or potential conflict of interest is identified and Bei- erholm finds that the Client’s interests can be adequately safe- guarded through the implementation of relevant procedures, Xxxxxxxxx will discuss such procedures with the Client.
9 Persondata
Beierholm respekterer vores kunders forventninger om per- sondatabeskyttelse og fortrolighed. Beierholm indsamler og behandler persondata i overensstemmelse med gældende lov- givning, herunder EU’s generelle forordning om databeskyttel- se (GDPR), Databeskyttelsesloven og særlovgivning, herunder revisorloven.
Xxxxxxxxx anvender databehandlere til at opbevare og behandle persondata, der er modtaget fra Xxxxxx eller dennes repræsen- tant. Ved indgåelse af Aftalen accepterer Kunden, at Beierholm kan videregive Xxxxxxx oplysninger til koncernrelaterede selska- ber samt medlemsfirmaer i Beierholms internationale netværk i den udstrækning, det er nødvendigt for at levere den aftalte Ydelse og/eller i forbindelse med varetagelse af Kundens interes- ser. Er der tale om fortrolige eller følsomme personoplysninger, skal der indhentes et skriftligt samtykke fra Kunden.
I det omfang, at Beierholm modtager persondata fra Kunden om tredjemand, og Beierholm fungerer som databehandler, er det Kundens ansvar at sikre, at Kunden har ret til at videregive sådanne persondata til Beierholm. I de tilfælde, hvor Beierholm er selvstændig dataansvarlig, f.eks. ved revisionsydelser, er det Beierholms egen opgave at sikre den nødvendige lovhjemmel.
I det omfang, at Beierholm er databehandler, henvises der tillige til Bilag B (Databehandleraftale).
Beierholm har udarbejdet retningslinjer for behandling af person- oplysninger og en politik for dataetik. Denne politik kan findes på xxx.xxxxxxxxx.xx/xx-xxxxxxxxx/xxxxxx-xxxxxxxxx-xx-xxxx- personoplysninger. Det er op til Xxxxxx selv at informere med- arbejdere, samarbejdspartnere m.fl. om Beierholms politik for behandling af personoplysninger og dataetik.
10 Elektronisk kommunikation
Beierholm og Xxxxxx accepterer brugen af elektronisk kommuni- kation i forbindelse med levering af Ydelsen, godkendelse af ma- teriale (årsregnskaber, skatteopgørelser, selvangivelser m.v.) og løbende korrespondance. Enhver part er ansvarlig for at beskytte egne systemer og interesser i forbindelse med elektronisk kom- munikation.
Beierholm og Beierholms underleverandører er ikke ansvarlige for fejl, tab (herunder tab af data), uautoriseret adgang, virus, forsinkelse, ødelæggelse m.v. i forbindelse med eller forårsaget af elektronisk kommunikation og information, forudsat lovgivningens krav til sikkerheden omkring sådan kommunikation er overholdt.
9 Personal data
Beierholm respects our Clients’ expectations for personal data protection and confidentiality. Xxxxxxxxx collects and processes personal data in accordance with applicable legislation, including the EU’s General Data Protection Regulation (GDPR), the Danish Data Protection Act (Databeskyttelsesloven) and special legisla- tion, including the Danish Act on Approved Auditors and Audit Firms.
Beierholm uses data processors for storage and processing of personal data received from the Client or its representative. On conclusion of the Agreement, the Client accepts that Beierholm may disclose the Client’s data to affiliated companies as well as member firms in Beierholm’s international network to the ex- tent necessary for the provision of the agreed Services and/or in connection with the handling of the Client’s interests. If this concerns confidential or sensitive personal data, written consent must be obtained from the Client.
To the extent that Xxxxxxxxx receives personal data from the Client about third parties and Beierholm acts as data processor, the Client will be responsible for ensuring that the Client has the right to disclose such personal data to Beierholm. In cases where Beierholm is an independent data controller, for example in con- nection with audit services, Beierholm will itself be responsible for ensuring the necessary lawfulness of processing.
To the extent that Beierholm is a data processor, reference is also made to Annex B (Data Processing Agreement).
Beierholm has prepared guidelines for the processing of personal data and a data ethics policy. This policy can be found at https:// xxx.xxxxxxxxx.xx/xx/xxxxx-xxxxxxxxx/xxxxxxx-xxxxxx. The Client is itself responsible for informing employees, partners et al. about Beierholm’s policy for processing personal data and data ethics.
10 Electronic communication
Xxxxxxxxx and the Client accept the use of electronic communi- cation in connection with provision of the Services, approval of material (financial statements, tax statements, tax returns etc.) and ongoing correspondence. Both parties are responsible for protecting their own systems and interests in connection with electronic communication.
Beierholm and Xxxxxxxxx’x subcontractors are not liable for any error, loss (including loss of data), unauthorised access, virus, de- lay, destruction etc. in connection with or caused by electronic communication and information, provided that the statutory re- quirements for the security of such communication have been complied with.
Parterne er indforstået med, at elektronisk kommunikation er usikker, at data kan blive ødelagt, og at meddelelser ikke altid le- veres omgående (eller overhovedet) eller kan komme til uvedkom- mendes kendskab.
11 Aftalens ophør
Er Beierholm valgt som revisor, kan dette hverv bringes til ophør i overensstemmelse med de herfor gældende regler.
Medmindre der i aftalebrevet er angivet et opsigelsesvarsel, op- hører Aftalen, når Ydelsen er leveret.
Uanset hvad der måtte følge andetsteds i Aftalen, er Beierholm berettiget til skriftligt at opsige Aftalen med øjeblikkelig virkning, såfremt det vurderes, at Beierholms hele eller delvise opfyldelse af Aftalen som følge af lov, gældende ret eller omstændigheder- ne (herunder ændringer i Kundens ejerskab eller kontrol) vil være ulovlig, i strid med reglerne om uafhængighed, som Beierholm er underlagt, og/eller Beierholms interne regler og/eller forskrifter.
Ved Aftalens ophør skal Kunden betale Beierholm for de indtil da leverede Ydelser og/eller uafregnet tidsforbrug samt påløbne omkostninger og udlæg. Kunden skal desuden betale Beierholm rimelige omkostninger affødt af Aftalens ophør.
12 Overdragelse
Ingen af parterne må transportere eller overdrage rettigheder eller forpligtelser i medfør af Aftalen uden den anden parts for- udgående, skriftlige samtykke. Xxxxxxxxx er dog som led i hel eller delvis overdragelse af Beierholms virksomhed berettiget til at overdrage rettigheder og forpligtelser i henhold til Beierholms aftaler med Xxxxxx til anden revisionsvirksomhed, herunder som led i intern omstrukturering, betinget af, at dette ikke påfører Xxxxxx væsentlig ulempe eller meromkostninger.
Parterne i Aftalen er Beierholm og Kunden, og ingen af disse må transportere eller overdrage rettigheder eller forpligtelser i medfør af Aftalen, uden den anden parts forudgående, skriftlige samtykke.
13 Misligholdelse
Såfremt en af parterne væsentligt misligholder sine forpligtelser i henhold til Xxxxxxx, er den anden part berettiget til at ophæve Aftalen, medmindre misligholdelsen afhjælpes inden for rimelig tid efter, at den ikke-misligholdende part gør den misligholden- de part opmærksom på den væsentlige misligholdelse og kræver afhjælpning.
The parties are aware that electronic communication is insecure, that data may be damaged or destroyed and that messages are not always delivered promptly (or at all) or may be disclosed to unauthorised parties.
11 Termination of the Agreement
If Xxxxxxxxx has been appointed as the Client’s auditor, this engage- ment may be terminated in accordance with the applicable rules.
Unless a period of notice has been stated in the engagement let- ter, the Agreement will terminate once the Services have been provided.
Regardless of what may be specified elsewhere in the Agreement, Beierholm is entitled to terminate the Agreement in writing with immediate effect if it is assessed that Xxxxxxxxx’x full or partial performance of the Agreement would be unlawful under applica- ble legislation, law or circumstances (including changes in the Cli- ent’s ownership or control) to which Beierholm is subject and/or in accordance with Beierholm’s internal rules and/or regulations.
Upon termination of the Agreement, the Client must pay Beier- holm for the Services provided until such termination and/or un- settled hours used as well as costs and out-of-pocket expenses incurred. The Client must also pay Xxxxxxxxx’x reasonable costs incurred as a result of the termination of the Agreement.
12 Assignment
Neither of the parties may transfer or assign any rights or ob- ligations under the Agreement without the other party’s prior written consent. However, as part of a full or partial transfer of Beierholm’s business, Beierholm is entitled to assign rights and obligations under Beierholm’s agreements with the Client to an- other audit firm, including as part of an internal reorganisation, provided that this does not cause the Client significant inconven- ience or additional costs.
The parties to the Agreement are Beierholm and the Client, and neither of the parties may transfer or assign any rights or ob- ligations under the Agreement without the other party’s prior written consent.
13 Breach of contract
If one of the parties is in material breach of its obligations under the Agreement, the other party will be entitled to terminate the Agreement unless the breach is remedied within a reasonable period of time after the party not in breach makes the party in breach aware of the material breach and demands remedial action.
Ophævelse kan dog tidligst ske, såfremt den væsentlige mis- ligholdelse ikke er bragt til ophør 14 dage efter afsendelse af skriftligt påkrav. Påkravet skal angive den væsentlige mislighol- delsesgrund, og at Aftalen vil blive ophævet, såfremt forholdet ikke er berigtiget inden 14-dages-fristens udløb.
Enhver misligholdelse af Kundens betalingsforpligtelser betrag- tes som væsentlig misligholdelse og berettiger Xxxxxxxxx til at ophæve Aftalen uden varsel.
I tilfælde af væsentlig misligholdelse er en part berettiget til er- statning i henhold til dansk rets almindelige regler, jf. dog afsnit 5 om ansvarsbegrænsning.
14 Force majeure
Ved force majeure suspenderes Beierholms forpligtelser i henhold til Aftalen, så længe Beierholm er påvirket af force majeure.
Force majeure dækker over forhold uden for Beierholms rimelige kontrol, som medfører, at Beierholm ikke er i stand til opfylde sine forpligtelser, og som Beierholm ikke med rimelighed burde eller kunne have forudset eller taget i betragtning forud for Aftalens indgåelse, herunder f.eks. cyberangreb, epidemier, andre sund- hedskriser og andre forhold uden for Beierholms rimelige kontrol. Forhold hos underleverandører vil også blive anset for force ma- jeure for Beierholm, forudsat at disse opfylder betingelserne for force majeure, som anført i nærværende afsnit 14.
15 Lovvalg og værneting
Enhver uenighed eller tvist mellem parterne om forståelsen af Aftalen og/eller disse forretningsbetingelser afgøres under an- vendelse af dansk ret ved de danske domstole og med Beierholms hjemsted som værneting.
However, such termination may take place at the earliest if the material breach has not been brought to an end 14 days after the demand for remedial action was sent. The demand must contain a statement of the grounds for material breach and stipulate that the Agreement will be terminated if the breach has not been remedied before the 14-day deadline has expired.
Any default on the Client’s payment obligations will be regarded as material breach and will entitle Beierholm to terminate the Agreement without notice.
In the event of material breach, the party not in breach will be en- titled to damages in accordance with the general rules of Danish law, see, however, clause 5 on limitation of liability.
14 Force majeure
In the event of force majeure, Xxxxxxxxx’x obligations under the Agreement will be suspended for as long as Beierholm is affected by force majeure.
Force majeure covers circumstances beyond Xxxxxxxxx’x reason- able control which result in Beierholm being unable to meet its obligations and which Beierholm should not or could not reason- ably have foreseen or taken into account prior to the conclusion of the Agreement, including, for example, cyberattacks, epidemics, other health crises and other circumstances beyond Xxxxxxxxx’x reasonable control. Subcontractors’ circumstances will also be regarded as force majeure for Beierholm, provided that they meet the conditions for force majeure as stated in this clause 14.
15 Governing law and jurisdiction
Any disagreement or dispute between the parties regarding the understanding and interpretation of the Agreement and/or these general terms of business will be settled under the rules of Dan- ish law by a Danish court of law, with the court of jurisdiction for Xxxxxxxxx’x registered office being regarded as the proper venue.
These “General Terms of Business” and appendices hereto are translated from the Danish version of “Beierholms generelle forretningsbetingelser”. In the event of a discrepancy between the Danish version and a translation hereof, the Danish version will be applicable.
