Miscellaneous. 16.1 The Supplier shall be held liable for any dam- ages and pay any costs incurred by the Pur- chaser through any failure by the Supplier to fulfill his obligations under these Purchasing Conditions. The Supplier shall further be re- sponsible for the observance of these Purchas- ing Conditions by his subcontractors. 16.2 Any provision of these Purchasing Conditions which is or becomes unenforceable or ineffec- tive and any lacuna or loophole herein shall not affect the validity of the remaining provisions. The parties hereto undertake to agree on a replacement provision which comes as close as possible to their original intent. 16.3 These Purchasing Conditions shall be con- strued and governed in accordance with Ger- man law. The United Nations Convention on Contracts for the International Sale of Goods of 11 April 1980, in force since 1 January 1991, shall not apply. Standard trade terms shall be interpreted in line with Incoterms. 16.4 Unless otherwise agreed, the sole place of performance shall be Leverkusen.

Miscellaneous. Where one or more of these provisions are or prove wholly or partly invalid or incomplete, this shall not affect the validity of the remaining provisions. The parties undertake to agree a valid provision in place of the invalid provision that comes closest to what was intended by the parties in line with the invalid provision’s meaning and commercial success. The same applies in the event of incompleteness.
