50% Threshold means, at any point in time, including, without limitation, following the exercise of the Class A Warrant and/or the Class B Warrant, the record ownership by the Investor or its Affiliates of such number of shares of Series C Preferred Stock, Class B Warrant Shares and/or Common Stock of the Company which if (a) owned outright as Common Stock, or (b) as to Series C Preferred Stock (including, without limitation, Class A Warrant Shares), was fully converted into Common Stock, would represent in the aggregate fifty percent (50%) or more of the issued and outstanding shares of Common Stock of the Company at such point in time.
