Seller will cooperate with submitting the Application as reasonably requested by Buyer at no cost to Seller. In the event Buyer fails to submit the Substantial Application by the Permit Application Date and/or the Application by the 2nd Permit Application Date, Seller shall be entitled to withdraw from escrow $100,000.00 of the Deposit as liquidated damages for such delay in filing the Application by Buyer ("Delay Damages"), unless Buyer establishes that the delay is beyond the reasonable control of Buyer and through no fault of Buyer. If Buyer fails to submit the Substantial Application by the Permit Application Date and/or the Application by the 2nd Permit Application Date, Seller shall either terminate the Agreement and the Deposit less the Delay Damages shall be released to Buyer, or be deemed to have extended (after payment of the Delay Damages, if applicable), the Permit Application Date to August 29, 1997 ("Extended Permit Application Date").
