Without limiting the generality of the foregoing, there shall be no restriction on Enanta hereunder with regard to (y) the use of Abandoned Compounds outside the Field during the Term or (b) the use of Abandoned Compounds, whether within or outside of the Field, after the expiration of the Term.
If such discontinuation involves a Development Candidate which contains a Sunesis-Derived Compound or a Jointly-Derived Compound, and the decision to discontinue occurs solely because of Merck’s opinion of the economic prospects or marketing potential of the Development Candidate containing a Sunesis-Derived Compound or a Jointly-Derived Compound, then such compounds shall be deemed Abandoned Compounds.
Subject to the terms and conditions of this Agreement, Celgene shall not make, use or sell Analogs or Derivatives of Development Compounds or Development Back-Up Compounds or Abandoned Compounds, provided, however, that the foregoing shall not apply to any Compound that Celgene has under development as of the Effective Date, as reasonably documented by Celgene.

In addition to the foregoing, Merck shall also grant and hereby grants to Sunesis a worldwide, nonexclusive license under other intellectual property rights owned or controlled by Merck which Merck reasonably deems necessary to practice and exploit the rights granted above under such Collaboration Technology with respect to Collaboration Compounds that have met the Lead Compound Criteria as of the effective date of termination of the Agreement (including any Abandoned Compounds).
For the avoidance of doubt, the Parties agree that, notwithstanding any provision in Sections 2.6.3, 4.3.2(c) and/or this Section 7.3, Sunesis shall only have the right to develop and/or commercialize Abandoned Compounds that modulate the activity of BACE or the Substitute Target if Merck does not have an Active Program for BACE or the Substitute Target, as the case may be.
Sunesis agrees to pay to Biogen a reverse royalty equal to [*] percent ([*]%) on aggregate Net Sales by Sunesis, its Affiliates or its Sublicensees of Abandoned Compounds, where the manufacture, sale or use of such Abandoned Compound is covered by a Valid Claim.
