Examples of Acceding Guarantors in a sentence
This Agreement may be amended only upon execution and delivery of an amendment or supplement hereto executed by the Senior Collateral Agent, each Junior Lien Representative then a party hereto, ILFC, Grandparent Holdco, Parent Holdco, the Borrower, each Subsidiary Holdco and, following their accession hereto in accordance with the terms hereof, the Acceding Guarantors.
This Agreement shall become effective as to the Argentine Guarantors and the Acceding Guarantors on the relevant Accession Date.
If any Guarantor which is a Subsidiary of the Borrower is no longer required to be an Obligor in order to comply with Clause 19.17(a) (Acceding Guarantors) the Borrower may by written notice to the Agent require that such Guarantor be released from its obligations under this Agreement as a Guarantor.
If it would be unlawful for any such entity to become an Acceding Guarantor it shall not be required to become an Acceding Guarantor provided that UPCF procures that other members of the Restricted Group become Acceding Guarantors in accordance with the terms of this clause 9.17 within 60 days of UPCF becoming aware of such unlawfulness so as to ensure compliance with clause 11.1(w).
If any Guarantor which is a Subsidiary of the Original Borrower is no longer required to be an Obligor in order to comply with clause 19.17.1 (Acceding Guarantors) the Ultimate Holding Company may by written notice to the Agent require that such Guarantor be released from its obligations under this Agreement as a Guarantor.
Subject as set out in Clause 2 (Conditions precedent) above, on and from the Restatement Date, the Acceding Guarantors shall be bound by the terms of the Amended Credit Agreement as Guarantors.
