Access and Utility Easement definition
Access and Utility Easement shall refer to those non-exclusive reciprocal, mutual and perpetual easements and rights-of-way as reasonably necessary to enable the Brewery and City to perform the installation, construction, maintenance, repair, operation, removal, extension, replacement, alteration, inspection, increasing or decreasing in size, and any other purposes related thereto, of electric lines, gas lines, telecommunications services, water and sanitary sewer service connections (exclusive of water and sewer mains) (“Utilities”) over, through, and across that portion of the Airport Property and Brewery Property, as shown and described as “Access and Utility Easement” on Exhibit B attached hereto and incorporated herein, to serve improvements on the Airport Property and the Brewery Property (including but not limited to Airport Related Facilities), and together with a right of ingress and egress thereto along and over the said Access and Utility Easement.
Access and Utility Easement means a non-exclusive easement granted by virtue of this Lease by Landlord or its affiliates to Tenant in accordance with Section 38 of this Lease, granting to Tenant or its affiliates and any entity providing utility service to Tenant, as well as the users of the Leased Premises the non-exclusive right of pedestrian and vehicular access over the Access Easement Area and the roadway system that is a part of the Master Plan Improvements (as such term is defined in the Operating Agreement), as well as the right to enter into the Access and Utility Easement Area for purposes bringing thermal energy and electric energy to the Expansion Project, including the right to maintain above ground manholes and vents and other appurtenances necessary for the forgoing purposes.

At Closing, Seller shall deliver possession of the Property to Purchaser, subject to Seller’s rights pursuant to the Access and Utility Easement Agreement, the Rental Agreement, and the ▇▇▇▇▇▇▇▇ ▇▇▇▇ Lease Agreement.
Landlord shall have the right to review and approve the locations of the Tower Compound and the Access and Utility Easement prior to executing this Lease.
