In the event of any ambiguity or conflict between this Agreement and either the ACMI Agreement or the HLA Agreement relating solely to DHL’s obligations to reimburse or otherwise fund any severance or retention incurred by ABX, the terms of this Agreement shall control.
For avoidance of doubt, such termination is option only applicable in relation to Lease Term One, all the other Lease Terms for both Aircraft-1 and Aircraft-2 are to remain in full force and effect as per terms and conditions of this ACMI Agreement, including for the avoidance of doubt, the applicable Security Deposit payments, and in case of any further Lease Terms are terminated by Lessee, clause 4.4 will be in force.
At DHL’s request, ABX shall operate the Existing Lease Aircraft and/or New Lease Aircraft in accordance with the ACMI Agreement and such operation shall terminate automatically without any further action by DHL or ABX upon either the termination by DHL of the Existing Lease Aircraft or the New Lease Aircraft under the ACMI Agreement or the termination or expiration of the ACMI Agreement.
In such case, any Block Hours flown by such replacement aircraft shall be compensated according to the terms of the ACMI Agreement and, after the BSA Commencement Date, shall count towards the Monthly Minimum Block Hour Guarantee.
The term of this Sublease shall commence on the date hereof and shall end upon the expiration of the "transition period" provided pursuant to that certain ACMI Service Agreement of even date herewith, by and between Sublessor and Sublessee (the "ACMI Agreement").
This Guaranty and all guaranties, covenants and agreements of Guarantor contained herein shall continue in full force and effect and shall not be discharged until such time as all the Guarantied Obligations shall be paid in full and all the agreements of Groundco and Guarantor hereunder and under the ACMI Agreement shall have been duly performed.
This Guaranty is continuing, absolute and unconditional and a guaranty of payment, performance and compliance and not of collectibility, and is in no way conditioned or contingent upon any attempt to collect from or enforce performance or compliance by Groundco or the exercise or assertion of any other right or remedy to which Airco is or may be entitled under or in connection with the ACMI Agreement.
Nothing in this Amendment shall limit, impair or constitute a waiver of the rights, powers or remedies available to the Administrative Agent or the Lenders under the Credit Agreement or any other Credit Document.
The termination of this Agreement shall not result in the termination of any other Agreement among SLAS and JET or JET Operations, including the ACMI Agreement, Consulting Agreement or any Aircraft Lease Agreement, which shall continue until terminated in accordance with their terms.
All notices and other communications to be made or given pursuant to this Guaranty shall be made or given in the manner provided in Subsection 14.5 of the ACMI Agreement, and if to Guarantor, to the following location: DHL Holdings USA Inc.
