Acquired Affiliate definition

Acquired Affiliate means an Affiliate of a Loan Party that is merged into, acquired by, or that sells assets to, a Loan Party, which Affiliate is not a Loan Party prior to such merger, acquisition or sale.
Acquired Affiliate means, with respect to a Party, a Person (a) with respect to which such Party acquires control (as defined in Section 1.8) after the Effective Date and (b) that was a Third Party at the time of such acquisition.
Acquired Affiliate. Acquired Competing Products” and “Acquisition Date” each have the meaning as set forth in Section 15.4.1.

  • All such amounts properly accrued through the Closing with respect to the current plan year thereof will be paid by the Company or another Acquired Affiliate at or prior to Closing, or will be properly recorded on the Company Statements.

  • If Atara or its Acquired Affiliate effects such divestiture by way of one or more licenses or sublicenses, then Atara or its Acquired Affiliate shall be entitled to receive license fees, milestones and royalties on sales of any Acquired Competing Product so divested; provided that neither Atara nor its Acquired Affiliate funds or continues to conduct development or commercialization of such Acquired Competing Product.

  • If Atara notifies Bayer about its intention to divest an Acquired Competing Product in accordance with Section 15.4.2(ii), then Atara or its Acquired Affiliate shall effect such divestment within [[***]] months of the Acquisition Date; provided, that such [[***]] months period shall be extended for an additional period not to exceed [[***]] days if necessary to obtain any merger clearance required to complete such divestiture.

  • With the exception of an Acquired Affiliate, Banc One shall cause any of its current or future Affiliates to execute agreements identical to the Ancillary Agreements, in the event such Affiliate desires to engage in any mortgage banking activity of a type which is the subject matter of such Ancillary Agreements.

  • In the event Banc One acquires Servicing Rights in bulk pertaining to Mortgage Loans (which are not excluded loans discussed in Section 3.7) after the Closing Date, not in the context of an Acquired Affiliate or Excluded Affiliate acquisition, Banc One shall offer to sell to HomeSide Lending the related Servicing Rights in a fashion similar to that outlined in Section 5.1.2(a).

  • Permitted Affiliate means with respect to any Person (a) any Person that directly or indirectly controls such Person, and (b) any Person which is controlled by or is under common control with such controlling Person. As used in this definition, the term “control” of a Person means the possession, directly or indirectly, of the power to vote eighty percent (80%) or more of any class of voting securities of such Person or to direct or cause the direction of the management or policies of a Person, whether through the ownership of voting securities, by contract or otherwise.
