Acquired Party Family definition

Acquired Party Family means in the case of a Change of Control of a Party or its Affiliate, such Party or such Affiliate existing immediately prior to the Change of Control transaction and any subsidiaries thereof (then existing or thereafter created).
Acquired Party Family is defined in Section 10.7(c).
Acquired Party Family means in the case of a Change of Control of a Party or its Affiliate, (a) such entity subject to the Change of Control and each Affiliate of such entity existing immediately prior to the Change of Control transaction and (b) any subsidiaries of such entity and its Affiliates in clause (a), whether then existing or thereafter created .

Related to Acquired Party Family

  • Acquired Party means the COMPANY, any subsidiary and any member of a Relevant Group.

  • Acquired Person means, with respect to any specified Person, any other Person which merges with or into or becomes a Subsidiary of such specified Person.

  • Required Party has the meaning set forth in Section 4.03 of this Agreement.

  • Excluded Party has the meaning set forth in Section 7.4(b).

  • Excluded Parties shall have the meaning assigned to such term in Section 9.16.

  • Acquired Entity means any entity acquired by the Company or a Related Company or with which the Company or a Related Company merges or combines.

  • Excluded Persons means (A) the Company or any Regency Entity; (B) a trustee or other fiduciary holding securities under an employee benefit plan of the Company or any Regency Entity; (C) an underwriter temporarily holding securities pursuant to an offering of such securities; or (D) a corporation owned, directly or indirectly, by the shareholders of the Company in substantially the same proportions as their ownership of stock in the Company.

  • After-Acquired Intellectual Property has the meaning assigned to such term in Section 4.02(d).

  • Acquired Intellectual Property has the meaning given in Section 2.1(b).

  • Acquired EBITDA means, with respect to any Acquired Entity or Business for any period, the amount for such period of Consolidated EBITDA of such Acquired Entity or Business (determined as if references to the Borrower and the Restricted Subsidiaries in the definition of Consolidated EBITDA were references to such Acquired Entity or Business and its Subsidiaries), all as determined on a consolidated basis for such Acquired Entity or Business.

  • Excluded Person means each Defendant, the directors and officers of each Defendant, the subsidiaries or affiliates of each Defendant, the entities in which each Defendant or any of that Defendant’s subsidiaries or affiliates have a controlling interest and the legal representatives, heirs, successors and assigns of each of the foregoing.

  • Collateral source shall have the meaning set forth in Section 8.5.

  • Dependent person means a person who cannot demonstrate financial independence from parents or persons other than a spouse and who does not meet the criteria for independence established in Section 5 of this administrative regulation.
