The Unit Addendum Term for an Acquired Restaurant will be the remaining term of the relevant Franchise Agreement for such Acquired Restaurant.
All Permits used by or in connection with the Acquired Owned Real Property and Acquired Leased Premises are in good standing and not in default in any material respect, and, to Seller's Knowledge, there is no event that, with the passage of time or giving of notice, or both, would constitute a violation of or breach of any such Permit, except where the violation or breach would not be reasonably likely to have a material adverse effect on any such Acquired Restaurant.
To the extent required by applicable law or regulation, each Acquired Restaurant possesses a Liquor License.
During the Unit Addendum Term for each Acquired Restaurant, the Royalty Fee due in respect of such Acquired Restaurant will be the Royalty Fee set forth in the relevant Franchise Agreement for such Acquired Restaurant.
Each of the Liquor Licenses is in full force and effect and adequate for the current conduct of operations at the Acquired Restaurant for which it is issued, and, subject to the matters disclosed in the following sentence, has been validly issued.
Schedule 3.1(v) contains a list of --------------- each restaurant owned and/or operated by the Acquired Companies (other than restaurants operated by unaffiliated third parties on properties leased by the Acquired Companies) (the "Acquired Restaurants") showing the state, county, city or other jurisdiction in which such Acquired Restaurant is located.
Further, for the avoidance of doubt, the closing of an Acquired Restaurant shall count as a closure of a Restaurant for purposes of calculating Net Restaurant Growth.
The Permits listed on Schedule 2.1(i) attached hereto are the only permits that have been required for Seller to operate the Business and the Acquired Assets in accordance with Applicable Laws of any Authority, except to the extent that the failure to have a Permit would not reasonably be expected to have a material adverse effect on any such Acquired Restaurant.
