Acquirer Common Units definition

Acquirer Common Units means common units representing limited partner interests in Acquirer. “Acquirer Debt” has the meaning set forth in Section 5.3(a).
Acquirer Common Units shall have the meaning specified in Section 2.3(a).

  • Contributor has such knowledge and experience in financial and business matters so as to be capable of evaluating the merits and risks of an investment in the Acquirer Common Units and is capable of bearing the economic risk of such investment.

  • On and after the Closing, Contributor shall not engage in any business or other operations other than the holding and distribution of the Company Class A Common Stock, Company Class B Common Stock, Acquirer Common Units and the Acquirer Warrants and any ancillary actions related thereto.

Acquirer Common Units means LP Units representing limited partner interests in the post-Conversion Acquirer that are entitled to receive the minimum quarterly distributions, which shall be set forth in the partnership agreement at $0.125 per LP Unit, and other distributions, as declared by the General Partner.
