Examples of Acquiror Representatives in a sentence
Acquiror Representatives shall be permitted to make copies of and extracts from, the accounts, minute books, other records, books of account, other books, deeds, leases, title documents, insurance policies, Contracts, tax returns, records and files of Target, and such other information relating to Target, and its business, properties and personnel as Acquiror shall reasonably request.
Notwithstanding any other provision in this letter, Citigroup hereby confirms that Acquiror and the Acquiror Representatives shall not be limited from disclosing the U.S. tax treatment or U.S. tax structure of the transactions contemplated hereby.
Seller shall make available to Acquiror or the Acquiror Representatives, upon written request and at Acquiror’s expense, Seller’s personnel to provide reasonable assistance (provided such assistance shall not materially affect the normal operations of Seller or its business) to Acquiror or the Acquiror Representatives in locating and obtaining any Claims Data maintained by Seller.
Acquiror shall not, and shall cause the Acquiror Representatives not to, destroy or dispose of the Claims Data, unless consented to in writing by Seller.
In connection with the defense, prosecution or settlement of the Proceedings, Seller shall, and shall cause the Seller Representatives to, reasonably cooperate with and give Acquiror or the Acquiror Representatives access to all Claims Data during regular business hours, and upon five (5) days prior written notice, at Seller’s principal place of business or at any location where such Claims Data is located, and Acquiror shall have the right, at its own expense, to make copies of such Claims Data.
Notwithstanding the foregoing provisions of this Section 7.2, Acquiror may disclose such confidential information (a) to the extent required to comply with applicable laws; (b) to the Acquiror Representatives with respect to the transactions contemplated hereby (so long as such parties agree to maintain the confidentiality of such information); and (c) to any Governmental Entity in connection with the transactions contemplated hereby.
The Acquiror Representatives shall be entitled to stay on board each Transferor Vessel until the relevant Vessel Delivery Date for familiarization and as observers only without interfering with vessel operations.
Acquiror Representatives shall be permitted to make copies of the files of Target, as Acquiror shall reasonably request.
Notwithstanding the foregoing provisions of this Section 7.02, the Company shall not be required to grant access or furnish information to the Acquiror Representatives to the extent that such access or the furnishing of such information is prohibited by any Law or contract.
