The Guarantor hereby waives diligence, presentment, filing of claims with a court in the event of merger or bankruptcy of the Borrower or any other ACS Bermuda Group Member, any right to require a proceeding first against the Borrower or any other ACS Bermuda Group Member, the benefit of discussion, protest or notice and all demands whatsoever (except as specified above), and covenants that this Article VII shall not be discharged as to any such Loan except by payment in full of the Guaranteed Obligations.
The provisions of this Article VI shall continue to be effective or shall be revived or reinstated, as the case may be, if at any time any payment of any of the Senior Claims is rescinded or must otherwise be returned by any Senior Claimant upon the insolvency, bankruptcy or reorganization of any ACS Bermuda Group Member, or otherwise, all as though such payment had not been made.
