ACTING AS AGENT definition

ACTING AS AGENT. The Vendor acknowledges, understands and agrees that Colliers is acting as agent on behalf of its Client and that all contracts and transactions are made on behalf of Colliers Client. The Client is the ultimate recipient of the Vendor’s services and is responsible for any payments or liability. Colliers is not liable for any payments due hereunder and shall have no liability under this Agreement.

ACTING AS AGENT. Any transaction lawfully and properly carried out by the Underwriter pursuant to Clause 7 (except for the subscription by the Underwriter itself for any Shortfall Underwritten Shares pursuant to Clause 7.2 and the obligations contained in Clause 8.2) shall constitute a transaction carried out at the request of the Company and as its agent and not in respect of the Underwriter’s own account. The Underwriter shall not be responsible for any loss or damage to any persons arising from any such transaction or for any alleged insufficiency of any dealing price at which any of the Rights Shares may be sold by any such person or for the timing of any such transaction, except where such loss or damage arises from the gross negligence or default of the Underwriter or any agent appointed by it for such purpose.
