Actual Cash Amount definition

Actual Cash Amount has the meaning set forth in Section 1.9(a)(ii).

Actual Cash Amount means the Company Parties’ aggregate amount of Cash as of the close of business on the Business Day immediately prior to the Closing Date, determined in accordance with the Accounting Principles, and included in the Purchased Assets.

• With respect to Section 4.2 of the Distribution Agreement, the Parties agree that the Review Period shall be extended to be the one hundred and fifty (150) calendar days after receipt by Spinco of the Actual Cash Amount statement.

• As promptly as practicable after the Election Date (and in no event later than three (3) Business Days after the Election Date), the Exchange Agent shall determine the Actual Cash Amount and the allocation of Merger Consideration and shall notify CME Holdings of such determination (the date of such determination, the “Determination Date”).

• If the final determination of the Actual Cash Amount and the Actual Retained Working Capital Amount results in any additional amount payable to Halyard beyond the foregoing payment, Xxxxxxxx-Xxxxx shall promptly pay such additional amount.

More Definitions of Actual Cash Amount

Actual Cash Amount means the actual amount of Cash of the Group Companies calculated in accordance with Schedule 6 (Effective Time Statements);

Actual Cash Amount means the Cash less Debt as at the Completion Date as calculated in accordance with Schedule 9;
