Actual Cumulative EBITDA definition
Actual Cumulative EBITDA shall be EBITDA for the three (3)-fiscal year period ended December 31, 2015. The calculation of Actual EBITDA and Actual Cumulative EBITDA shall be determined as follows:
Actual Cumulative EBITDA shall have the meaning set forth in Annex III.
Actual Cumulative EBITDA means the sum of the Corporation’s actual annual EBITDA for the Corporation’s 2017, 2018 and 2019 fiscal years, as determined by the Committee.

If the Actual Cumulative EBITDA Ratio is 0.60 or less, Buyer may terminate the Definitive Agreement.
For the avoidance of doubt, if Actual Cumulative EBITDA calculated based on a Final EBITDA Notice is less than one hundred percent (100%) of Projected Cumulative EBITDA, Buyer shall make no Cumulative EBITDA Payment or Premium Performance Payment.

Actual Cumulative EBITDA means the cumulative total of Adjusted EBITDA for each of the fiscal quarters commencing on April 1, 2004 through the last day of the fiscal quarter immediately preceding the fiscal quarter in which the Actual Cumulative EBITDA is calculated; provided, however, that if the Actual Cumulative EBITDA is calculated on the last day of a fiscal quarter, the Actual Cumulative EBITDA shall also include the Adjusted EBITDA for that fiscal quarter. At no time shall Actual Cumulative EBITDA include Adjusted EBITDA for partial fiscal quarters.
Actual Cumulative EBITDA means the sum of the EBITDA for the 2018 Earnout Period and the 2019 Earnout Period.
