Actual Substantial Completion Date definition

Actual Substantial Completion Date means the date upon which Substantial Completion of the Lessor Work occurs.
Actual Substantial Completion Date means the date on which the Landlord’s Work (other than the Remaining Landlord’s Work (as defined below)) is substantially completed, as hereinafter defined, such that Tenant may, subject to completion of Tenant’s Work and installation of Tenant’s furniture, fixtures and equipment, and obtaining a certificate of occupancy, lawfully use and occupy the Premises (collectively, the “Substantial Completion Conditions”).
Actual Substantial Completion Date shall be defined as the date on which both the Tenant Improvement Work and the Base Building Work has been Substantially Completed. “Substantial Completion” and “Substantially Completed” shall each mean (x) with respect to the Tenant Improvement Work, the date on which the Tenant Improvement Work has been completed except for those items of work and adjustment of equipment and fixtures in the Premises, the incompleteness of which do not cause material interference with Tenant’s use of the Premises and access thereto, and which can be completed after Tenant commences its occupancy of the Premises without causing material interference with Tenant’s use of the Premises and access thereto (the “Tenant Improvement Work Punch List Items”) and (y) with respect to the Base Building Work, the date on which the Base Building Work has been completed except for (i) minor, punch list-type items of work and adjustment of equipment and fixtures that can be completed after or during the performance of the Tenant Improvement Work or after Tenant’s occupancy of the Premises without causing material interference with the performance of the Tenant Improvement Work, Tenant’s occupancy of the Premises or Tenant’s use of the Amenities in accordance with Section 2.1.2 of the Lease, and (ii) landscaping elements (the “Base Building Work Punch List Items” and, together with the Tenant Improvement Work Punch List Items, the “Punch List Items”). The Tenant Improvement Work Punch List Items shall be set forth in a so‑called punch list prepared and signed by Tenant and Landlord (provided, however, that Landlord and Tenant shall mutually agree upon a time when Landlord and Tenant intend to walk through the Premises and compile the Tenant Improvement Work Punch List Items, and, if Tenant does not accompany Landlord on such walk‑through at the mutually agreed upon time, Tenant shall be bound by the punch list compiled by Landlord). Landlord shall use diligent efforts to complete, as soon as conditions practically permit, all Punch List Items, and Tenant shall cooperate with Landlord in providing access during the performance as may be required to complete such work in a normal manner.

Examples of Actual Substantial Completion Date in a sentence

  • In the event that, subject to Excused Delays, the Project Improvements are not Substantially Completed by the date which is 180 days after the Scheduled Substantial Completion Date (the "Second Delayed Scheduled Substantial Completion Date"), then, in addition to the abatement of Base Rent under the immediately preceding sentence, all Base Rent hereunder shall xxxxx for one additional day for each day from the Second Delayed Scheduled Substantial Completion Date to the Actual Substantial Completion Date.

More Definitions of Actual Substantial Completion Date

Actual Substantial Completion Date shall be defined as the date on which the Landlord’s Work for each Premises Component has been Substantially Completed. “Substantial Completion” and “Substantially Completed” shall each mean the date on which the Landlord’s Work for each Premises Component has been completed except for so-called “punch-list” items of work and adjustment of equipment and fixtures the incompleteness of which do not cause material interference with Tenant’s use of the Premises Component for the Permitted Uses. After Substantial Completion, Landlord shall proceed diligently to complete all “punch-list” items within thirty (30) days after the occurrence of Substantial Completion (except for long-lead items or items which can only be performed during certain seasons or weather, which items shall be completed diligently as soon as the season and/or weather permits).
Actual Substantial Completion Date means either (a) the date a Certificate of Occupancy is issued for the Suite 350 Premises, or (b) if the City or other appropriate authority does not require that a Certificate of Occupancy or other similar document be issued for the Suite 350 Premises, the date that Tenant is reasonably able to occupy and use the Suite 350 Premises for its intended purposes, regardless of whether such date was delayed by Tenant Delay or other Force Majeure.
Actual Substantial Completion Date shall be the date on which Landlord’s Work is Substantially Completed. The “Substantial Completion Date” shall be the Actual Substantial Completion Date, unless Landlord’s Work is delayed by Tenant Delays, in which event the Substantial Completion Date shall be the date that the Actual Substantial Completion Date would have occurred but for such Tenant Delay. Landlord anticipates that Landlord’s Work will be Substantially Complete by not later than the date which is the later of (x) the Commencement Date and (y) the date which is ten (10) months after the Delivery Date (the “Scheduled Substantial Completion Date”), subject to delays due to Force Majeure or attributable to Tenant Delay as set forth herein.
Actual Substantial Completion Date with respect to Landlord’s Work shall be defined as the date on which (i) the Landlord’s Work has been Substantially Completed, and (iii) the issuance of a temporary or permanent Certificate of Occupancy by the appropriate City of Boston authority permitting the use of the Premises by Tenant. If Landlord obtains a temporary Certificate of Occupancy, Landlord shall use diligent efforts to satisfy any conditions to such temporary Certificate of Occupancy and to obtain a permanent Certificate of Occupancy with an reasonable period of time. Landlord shall give Tenant at least forty-eight (48) hours prior written notice of the Actual Substantial Completion Date.
Actual Substantial Completion Date with respect to any Building shall be defined as the date on which: (i) the portion of Landlord's Work to be performed with respect to such Building is substantially complete, other than Punch List Items, as hereinafter defined, and (ii) subject to Paragraph G of this Section 4.0, Landlord has obtained a certificate of occupancy permitting Tenant to legally occupy such Building, and (iii) the portion of Landlord's Work to be performed with respect to the Garage is substantially complete, other than Punch List Items, and (iv) subject to Paragraph G of this Section 4.0, Landlord has obtained a certificate of occupancy ("Garage Certificate of Occupancy") permitting Tenant to legally use the Garage. Any dispute with respect to any Substantial Completion Date shall be submitted to arbitration in accordance with Section 16.32 of the Lease and the decision of the arbitrators as to such dates shall be deemed conclusive and binding on both Landlord and Tenant. Nothing contained in this paragraph shall limit or qualify or prejudice any other covenants, agreements, terms, provisions and conditions contained in this Lease.

Nothing contained in this paragraph shall limit or qualify or prejudice any other covenants, agreements, terms, provisions and conditions contained in this Lease.
