AdColony Acquisition Agreement means that certain Share Purchase Agreement dated as of February 26, 2021 among Holdings, DT Media, AdColony and AdColony Holdco without giving effect to modifications, amendments, supplements, consents, waivers or requests (including the effects of any such requests) that are materially adverse to the interests of the Lenders (in their capacity as such) which have not been consented to by the Administrative Agent.

  • New Management Agreement means the management agreement to be entered into between Buyer and the Manager for the operation and management of the Hotel on and after the Closing Date.

  • Existing Management Agreement means that certain management agreement between the Seller and the Existing Manager for the operation and management of the Hotel.
