Additional Mice definition

Additional Mice means (a) the mice developed by Kirin Brewery Company, Ltd. (“Kirin”) using certain transchromosomal technology and licensed to Medarex pursuant to the Collaboration and License Agreement between Medarex and Kirin, dated September 4, 2002 (the “Kirin Agreement”), and (b) the mice developed through the crossbreeding of the HuMAb Mice with the mice described in clause (a) of this Section 1.1 and licensed to Medarex pursuant to the Kirin Agreement.

  • It is acknowledged and agreed by Medarex and Genmab that, subject to the limitations set forth in Section 16.3.1 in respect of Antibodies raised in the Additional Mice, there is [***] of Antibodies [***] of Bispecific Antibodies that may be included in any Exclusive Antibody License nor any limit to the number of Antibody Availability Notices that Genmab may provide with respect to any Exclusive Antibody License.

  • In each such written request, Genmab shall specify the number of [***]-Mice and/or [***] Mice that it wishes to be provided with Genmab and Medarex agree that Genmab shall have no right to breed or otherwise reproduce the Additional Mice.

  • In the event that Genmab conceives or develops any [***] to any Additional Mice in connection with the use of such Additional Mice and in violation of the terms of this Agreement, Genmab shall notify Medarex thereof and assign to Medarex any and all of Genmab’s right, title and interest in and to any such [***].

  • Subject to Section 20.1.2 of this Agreement, on a Research Antigen-by-Research Antigen basis, Medarex hereby grants to Genmab an option to expand the rights granted by Medarex to Genmab in the Research License during the applicable Research License Period with respect to a particular Research Antigen to include rights with respect to the Additional Technology and the Additional Mice (and Mice Materials derived from such Additional Mice) (each an “Additional Technology Research Option”).

  • Medarex and Pfizer shall, during the Contract Period, as a matter of course as described in the Research Plan, or upon each other’s written or oral request, furnish to each other samples of biochemical, biological or synthetic chemical materials which are part of Pfizer Technology, Medarex Technology or Program Technology;excluding HuMAb Mice, Additional Mice or other human antibody transgenic animals owned by Medarex.

  • Notwithstanding the foregoing, Medarex’s obligations to immunize Additional Mice on behalf of Pfizer shall be subject to the availability of Medarex’s supply of such Additional Mice.

  • With respect to the Additional Mice and the Additional Technology, in the event of any conflict between the terms and conditions of any such sublicense and the terms and conditions of the [***] the terms and conditions of [***] shall control.

  • With respect to the Additional Mice and the Additional Technology, each license granted by [***] to [***] under [***] and each sublicense granted by [***] to [***] under [***] and each further sublicense under such license or [***] granted by [***] pursuant to the terms of this Agreement, shall be [***].

Related to Additional Mice

  • Additional Members means those Members, if any, admitted to the Company after the Effective Date.

  • Additional Member has the meaning set forth in Section 12.02.

  • transitional matter means a matter that needs to be dealt with for the purpose of effecting the transition from the provisions of the Acts amended by this Act as in force before this Act comes into operation to the provisions of those Acts as in force after this Act comes into operation.

  • Additional Indication means any indication other than the Initial Indication.

  • Additional SDU Study means a deliverability study that a Developer may elect to pursue as that term is defined in OATT Section 25 (OATT Attachment S). For purposes of Section 23.4.5 of this Attachment H, “Affiliated Entity” shall mean, with respect to a person or Entity:

  • Additional Units means such Units (as defined herein) as are issued in respect of Additional Securities."

  • Additional Cost has the meaning assigned to such term in Section 3.01.

  • Additional Services shall have the meaning set forth in Section 2.03(a).

  • Additional Service means any Services/Deliverables within the scope of the Contract, but not specifically provided under any Statement of Work, that once added will result in the need to provide the Contractor with additional consideration.

  • Additional Work to mean additions or deletions or modifications to the amount, type or value of the Work and Services as required in this Contract, as directed and/or approved by the County.

  • Substitute Improvements means the substitute or additional improvements of the Issuer described in Article V hereof.

  • Additional Costs has the meaning given that term in Section 4.1.

  • Additional Products means products, services and applications that are not part of the Services but that may be accessible, via the Admin Console or otherwise, for use with the Services.

  • Intent-Based Replacement Disclosure means, as to any Qualifying Preferred Stock or Qualifying Capital Securities, that the issuer has publicly stated its intention, either in the prospectus or other offering document under which such securities were initially offered for sale or in filings with the Commission made by the issuer under the Securities Exchange Act prior to or contemporaneously with the issuance of such securities, that the issuer will redeem or purchase such securities only with the proceeds of replacement capital securities that have terms and provisions at the time of redemption or repurchase that are as or more equity-like than the securities then being redeemed or repurchased, raised within 180 days prior to the applicable redemption or repurchase date. Notwithstanding the use of the term “Intent-Based Replacement Disclosure” in the definitions of “Qualifying Capital Securities” and “Qualifying Preferred Stock”, the requirement in each such definition that a particular security or the related transaction documents include Intent-Based Replacement Disclosure shall be disregarded and given no force or effect for so long as the Corporation is a bank holding company within the meaning of the Bank Holding Company Act of 1956, as amended.

  • Additional Book Basis means the portion of any remaining Carrying Value of an Adjusted Property that is attributable to positive adjustments made to such Carrying Value as a result of Book-Up Events. For purposes of determining the extent that Carrying Value constitutes Additional Book Basis:

  • Additional Party means any employee, worker, agent or sub-contractor of the Company, or anyone entitled to an indemnity, reimbursement or contribution from the Company in respect of a claim by an Interested Party.

  • Permanent Supportive Housing means voluntary, flexible supports to help individuals with psychiatric disabilities choose, get, and keep housing that is decent, safe, affordable, and integrated into the community. Tenants have access to an array of services that help them keep their housing, such as case management, assistance with daily activities, conflict resolution, and crisis response consistent with evidence-based practice standards published by the Substance Abuse and Mental Health Services Administration.

  • Additional Property means, in respect of a Series, the rights and benefits provided in respect of the Series, or applicable Class, pursuant to any letter of credit, surety bond, cash collateral account, spread account, guaranteed rate agreement, maturity liquidity facility, tax protection agreement, interest rate and/or currency swap agreement, loan agreement, enhancement agreement or other similar arrangement as contemplated under the Pooling and Servicing Agreement and as provided for in the related Series Purchase Agreement.

  • Massive Multiauthor Collaboration Site (or “MMC Site”) means any World Wide Web server that publishes copyrightable works and also provides prominent facilities for anybody to edit those works. A public wiki that anybody can edit is an example of such a server. A “Massive Multiauthor Collaboration” (or “MMC”) contained in the site means any set of copyrightable works thus published on the MMC site.
