Additional New Notes definition

Additional New Notes means up to $20.0 million in aggregate principal amount of New Notes having identical terms to the New Notes that, subject to compliance with Article 10 of the New Indenture, may be issued after the New Closing Date pursuant to the New Indenture.
Additional New Notes shall have the meaning specified in Section 2.11.

Additional New Notes means the additional New Notes of an aggregate principal amount of £3.05 million to be issued by the Company to Noteholders, other than Luxfer Group Limited, who either are (i) qualified institutional buyers as defined under Rule 144A under the US Securities Act who have agreed to purchase such New Notes in a transaction not subject to the registration requirements of the Securities Act or (ii) "qualified investors" within the meaning of Directive 2003/71/EC as implemented in the relevant EU member state who have agreed to purchase such New Notes in an offshore transaction complying with Rule 903 or Rule 904 of Regulation S under the US Securities Act;

Related to Additional New Notes

  • Additional Notes means additional Notes (other than the Initial Notes) issued from time to time under this Indenture in accordance with Sections 2.01 and 4.09 hereof.

Additional Senior Debt shall include any Registered Equivalent Notes and Guarantees thereof by the Guarantors issued in exchange therefor.

  • Additional Indebtedness means any Additional Specified Indebtedness that (1) is secured by a Lien on Collateral and is permitted to be so secured by:
