Additional Notes may be issued in an unlimited aggregate principal amount, subject to certain conditions specified in the Indenture.
The Initial Notes and the Additional Notes, to the maximum extent possible, shall be considered collectively as a single class for all purposes of the Indenture; provided that the Additional Notes will not be issued with the same CUSIP as the existing Notes unless such Additional Notes are fungible with the existing Notes for U.S. federal income tax purposes or if the Company otherwise determines that any Additional Notes should be differentiated from the Initial Notes.
The Additional Notes shall be executed on behalf of the Company by an Officer and authenticated by the Trustee pursuant to Section 2.2 of the Indenture.
The Additional Notes can be issued without the consent of any Holder, subject to compliance with any covenants set forth in the Indenture.
This Note is an Additional Note under the Indenture and the Company shall be entitled to issue further Additional Notes as provided in Section 2.1(a) of the Indenture.
