Additional Optioned Shares means the outstanding Shares owned by the Securityholders following the exercise of the Option;

  • The Optionor covenants and agrees with the Optionee that it shall take all action necessary to authorize and effect the transfer of the Additional Optioned Shares from the Securityholders to the Optionee upon exercise of the Additional Option, and that it shall not at any time take any action which has the effect of frustrating the grant and the timely exercise of the Additional Option and the transfer of the Additional Optioned shares hereunder.

  • To the knowledge of the Optionor, the transfer of the Additional Optioned Shares hereunder will not violate any Applicable Law, the constating documents of the Optionor or any contractual obligations of the Optionor.

  • The Parties will thereafter use reasonable commercial efforts to effect the sale of the Additional Optioned Shares by the Securityholders to the Optionee for and in consideration of the Additional Option Exercise Price.

  • To the knowledge of the Securityholder, the transfer of the Additional Optioned Shares hereunder will not violate any Applicable Law, the constating documents, if any, of the Securityholder or any contractual obligations of the Securityholder.

  • Each Securityholder hereby appoints and designates the Agent as agent hereunder and appoints and designates the Agent as agent to carry out the responsibilities and exercise the powers and rights set out in this Agreement, including without limitation relating to the exercise of the Additional Option and transfer of the Additional Optioned Shares.

Related to Additional Optioned Shares

  • Optioned Shares means the shares of Common Stock that are issued pursuant to the exercise of the Options;

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Non-Vested Shares means any portion of the Restricted Stock subject to this Agreement that has not become vested pursuant to this Section 2.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Rollover Option has the meaning set forth in Section 2.4(a).

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Optioned Stock means the Common Stock subject to an Option.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Number of Option Shares means shares of Stock, as adjusted from time to time pursuant to Section 9.

  • Unvested Shares means "Unvested Shares" as defined in the Award Agreement.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Option Share has the meaning ascribed to it in section "4.7" hereinbelow;

  • Incentive Shares means Shares awarded pursuant to the provisions of Article 12.

  • Director Option means an Option granted pursuant to Section 6.

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Additional Ordinary Shares means Ordinary Shares issued by the Guarantor following the issuance of the Subscribed Ordinary Shares;

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Remaining Shares has the meaning set forth in Section 4.1.2.

  • Stock Purchase Right means a right to purchase Common Stock pursuant to Section 11 below.

  • Founder Shares Lock-up Period means, with respect to the Founder Shares, the period ending on the earlier of (A) one year after the completion of the Company’s initial Business Combination and (B) subsequent to the Business Combination, (x) if the closing price of the Common Stock equals or exceeds $12.00 per share (as adjusted for stock splits, stock dividends, reorganizations, recapitalizations and the like) for any 20 trading days within any 30-trading day period commencing at least 150 days after the Company’s initial Business Combination or (y) the date on which the Company completes a liquidation, merger, capital stock exchange, reorganization or other similar transaction that results in all of the Company’s stockholders having the right to exchange their shares of Common Stock for cash, securities or other property.
