Additional Settling Participant definition

Additional Settling Participant means and includes (i) the California Electricity Oversight Board, and (ii) any Participant that has joined this settlement in accordance with the terms of Article VIII.
Additional Settling Participant means and includes (i) any Participant other than a California Party that became a Settling Participant under the Settlement Agreement;

  • Each Additional Settling Participant shall be bound to this Agreement as of the Settlement Effective Date.

  • The Parties acknowledge and agree that, upon the filing of this Agreement at FERC, any Participant that elects to be bound by this Agreement may become an Additional Settling Participant and shall be bound by its terms by notifying FERC that the Participant wishes to become a Settling Participant or that the Participant does not oppose the application of this Agreement to that Participant.

  • Each Additional Settling Participant shall be deemed to have provided all of the releases of claims against Settling Supplier set forth in Article VII.

  • Any amount shown on the Allocation Matrix as owed by a Party other than Settling Supplier, or by an Additional Settling Participant, will be reflected on the books of the ISO and PX as an additional amount owed by that Party or Additional Settling Participant.

  • This Agreement is not intended to confer upon any person or entity that is not a Party or an Additional Settling Participant any rights or remedies hereunder, and no one, other than a Party or an Additional Settling Participant, is entitled to rely on any representation, warranty, covenant, release, waiver, or agreement contained herein.

  • Any entity that directly sold capacity, energy, and/or ancillary services to, or purchased capacity, energy, and/or ancillary services from, the ISO and/or PX markets during the Settlement Period (“Participant”) may elect to be bound by the terms of the Settlement Agreement as an Additional Settling Participant.

  • Under the Settlement Agreement, the California Electricity Oversight Board is an Additional Settling Participant.

  • Termination by Reliant under this Section 12.6, or any other failure of this agreement to become effective as to the California and/or Xxxxx Classes shall in no manner affect Reliant’s settlement with the California Parties, the Other Claimant Parties and any Additional Settling Participant.

  • If APX becomes an Additional Settling Participant pursuant to Section 8.1, no payments shall be made to APX under this Agreement unless and until APX repays to the ISO and/or PX a good faith estimate not opposed by the APX net buyers after reasonable consultation, in an amount agreed to by the California Parties, of the portion of the refunds paid to APX pursuant to the APX Settlement that represents APX’s share of refunds to be paid by Settling Supplier for the Refund Period in the EL00-95 Proceeding.


More Definitions of Additional Settling Participant

Additional Settling Participant means (i) the entities defined in Article XI who may become bound by the terms of the Settlement and this Agreement and receive benefits hereunder, and (ii) the SWP, which has agreed to become bound by the terms of the Settlement and this Agreement pursuant to the SWP Side Letter.
Additional Settling Participant means and includes (i) the California Electricity Oversight Board, and (ii) any Participant that has elected to join this settlement in accordance with the terms of Article VIII.
Additional Settling Participant means and includes (i) any Participant other than a California Utility that became a Settling Participant under the 2004 Agreement; (ii) any Participant that becomes a Settling Participant pursuant to a FERC order permitting late opt-in; and (iii) any Participant that on or subsequent to the First Amendment Effective Date, pursuant to Sections 8.2 or 8.6 of this First Amendment, becomes a Settling Participant. For the avoidance of ambiguity, each Additional Settling Participant shall be deemed to be a Settling Participant.

  • Individual Settlement Payment means the amount payable from the Net

  • Final Settlement means permanent settlement of the Contractor’s actual allowable costs or expenditures as determined at the time of audit, which shall be completed within three years of the date the year-end cost settlement report was accepted for interim settlement by the State. If the audit is not completed within three years, the interim settlement shall be considered as the final settlement.

  • Settlement Method Election Date With respect to any Settlement of any Transaction, the 2nd Scheduled Trading Day immediately preceding (x) the Valuation Date for such Transaction, in the case of Physical Settlement, or (y) the First Unwind Date for such Transaction, in the case of Cash Settlement or Net Share Settlement.

  • Cash Settlement Amount means the “Cash Settlement Amount” as determined by the Calculation Agent in accordance with Paragraph 6.

  • Cash Settlement shall have the meaning specified in Section 14.02(a).

  • Administrator/Benchmark Event Date means, in respect of an Administrator/Benchmark Event, the date on which the authorisation, registration, recognition, endorsement, equivalence decision, approval or inclusion in any official register is (i) required under any applicable law or regulation; or

  • Structured settlement annuity means an annuity purchased in order to fund periodic payments for a plaintiff or other claimant in payment for or with respect to personal injury suffered by the plaintiff or other claimant.

  • Termination Settlement Date means, for any Terminated Obligation, the date customary for settlement, substantially in accordance with the then-current market practice in the principal market for such Terminated Obligation (as determined by the Calculation Agent), of the sale of such Terminated Obligation with the trade date for such sale occurring on the related Termination Trade Date.

  • Maximum Settlement Amount means the maximum amount the Company may be required to pay pursuant to this Settlement, which is the sum of Three Hundred Thousand Dollars ($300,000), excluding any of the Company’s employer-side share of FICA, FUTA, and other similar, mandatory employer-side payroll taxes. In no event shall the Maximum Settlement Amount exceed the foregoing sum.

  • Monthly Settlement Date means the 25th day of each calendar month (or if such day is not a Business Day, the next occurring Business Day).

  • Net Share Settlement Amount For any Settlement Date, an amount equal to the product of (i) the number of Warrants exercised or deemed exercised on the relevant Exercise Date, (ii) the Strike Price Differential for the relevant Valuation Date and (iii) the Warrant Entitlement.

  • Viatical settlement broker means a person, including a life insurance producer as provided for in section 508E.3, who, working exclusively on behalf of a viator and for a fee, commission, or other valuable consideration, offers or attempts to negotiate viatical settlement contracts between a viator and one or more viatical settlement providers or one or more viatical settlement brokers. Notwithstanding the manner in which the viatical settlement broker is compensated, a viatical settlement broker is deemed to represent only the viator, and not the insurer or the viatical settlement provider, and owes a fiduciary duty to the viator to act according to the viator’s instructions and in the best interest of the viator. “Viatical settlement broker” does not include an attorney, certified public accountant, or a financial planner accredited by a nationally recognized accreditation agency who is retained to represent the viator and whose compensation is not paid directly or indirectly by the viatical settlement provider or purchaser.

  • Structured settlement payment rights means rights to receive periodic payments under a structured settlement, whether from the structured settlement obligor or the annuity issuer, where:

  • Alternate Adjusted Regular Purchase Share Limit means, with respect to a Regular Purchase made pursuant to Section 2(a) hereof, the maximum number of Purchase Shares which, taking into account the applicable per share Purchase Price therefor calculated in accordance with this Agreement, would enable the Company to deliver to the Investor, on the applicable Purchase Date for such Regular Purchase, a Regular Purchase Notice for a Purchase Amount equal to, or as closely approximating without exceeding, One Hundred Fifty Thousand Dollars ($150,000).

  • Net Settlement Amount means the Gross Settlement Amount, less the following payments in the amounts approved by the Court: Individual PAGA Payments, the LWDA PAGA Payment, Class Representative Service Payment, Class Counsel Fees Payment, Class Counsel Litigation Expenses Payment, and the Administration Expenses Payment. The remainder is to be paid to Participating Class Members as Individual Class Payments.
