Additional Sponsor definition

Additional Sponsor means any one of (a) a member of the Charterer Group (as at the date of this Agreement), (b) an Affiliate of any member of the Charterer Group which is approved by all the Facility Lenders (acting reasonably) or (c) any other person which is approved by all the Facility Lenders. Additional Sponsor Date means the date upon which Additional Sponsor acquires up to a maximum of fifty per cent. (50%) of the membership interests in the Borrower and at its option, a maximum of up to fifty per cent. (50%) of the shares in the Bareboat Charterer, upon, and subject to, the satisfaction of each of the conditions precedent set out in Schedule 2, Part 5 of this Agreement.
Additional Sponsor shall have the meaning ascribed to such term in Section 1.4(a) hereof.

Related to Additional Sponsor

  • Prototype Sponsor Means the entity specified on the Adoption Agreement which sponsors this prototype plan.

  • Underlier Sponsor means S&P Dow Jones Indices LLC.

  • Project Sponsor and “Sponsor” means an Applicant/Co-Applicants who receives a Carryover Allocation of Tax Credits and any other person who acquires an ownership interest in any owner of a project which has received a Carryover Allocation of Tax Credits from the Division.

  • Financial Sponsor means any Person, including any Subsidiary of such Person, whose principal business activity is acquiring, holding, and selling investments (including controlling interests) in otherwise unrelated companies that each are distinct legal entities with separate management, books and records and bank accounts, whose operations are not integrated with one another and whose financial condition and creditworthiness are independent of the other companies so owned by such Person.

  • Additional Filing Date means the date on which the Additional Registration Statement is filed with the SEC.

  • Non-Lead Sponsor means the Note A-2 Holder in its capacity as the sponsor with respect to the Non-Lead Securitization Note in connection with the Non-Lead Securitization.

  • Traditional member of the National Guard or federal reserves means an active member of the Selected Reserve subject to mobilization and deployment for which he or she attends monthly and annual training periods.

  • School-Sponsored Activity means any activity conducted on or off school property (including school buses and other school-related vehicles) that is sponsored, recognized or authorized by the Board of Education.

  • Sponsor shall have the meaning given in the Recitals hereto.

  • Named Fiduciary means the Fiduciary or Fiduciaries named herein or in the Adoption Agreement who jointly or severally have the authority to control and manage the operation and administration of the Plan.

  • Additional Member means a Person admitted as a Member of the Company as a result of an issuance of Shares to such Person by the Company.

  • Program sponsor means the independent contracting organization which sponsors the Program.

  • Additional Holder shall have the meaning given in Section 5.10.

  • Corrections support staff member means an adult or juvenile

  • Initial Development Plan has the meaning set forth in Section 3.2(b).

  • Additional Members means those Members, if any, admitted to the Company after the Effective Date.

  • Additional Filing Deadline means if Cutback Shares are required to be included in any Additional Registration Statement, the later of (i) the date sixty (60) days after the date substantially all of the Registrable Securities registered under the immediately preceding Registration Statement are sold and (ii) the date six (6) months from the Initial Effective Date or the most recent Additional Effective Date, as applicable.

  • Initial application means the Application first provided to MFA on or before an Application Deadline to request an allocation of Tax Credits.

  • Retaining Sponsor CREFI, acting as retaining sponsor as such term is defined under Rule 2 of Regulation RR.

  • Section 385 Expanded Group shall have the meaning set forth in Treasury Regulation Section 1.385-1(c)(4) for an “expanded group”.

  • Additional Units means such Units (as defined herein) as are issued in respect of Additional Securities."

  • Initial Member has the meaning set forth in the introductory paragraph.

  • Additional Funds shall have the meaning set forth in Section 4.3.A.

  • Participating Retail Health Clinic means a Retail Health Clinic which has a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield Plan to provide services to you at the time services are rendered.

  • Participating Hospice Care Program Provider means a Hospice Care Program Provider that either: (i) has a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield to provide services to participants in this benefits program, or; (ii) a Hospice Care Program Provider which has been designated by a Blue Cross and/or Blue Shield Plan as a Participating Provider Option program.

  • Additional Limited Partner means a Person admitted to the Partnership as a Limited Partner pursuant to Section 10.4 and who is shown as such on the books and records of the Partnership.
