Adjusted Closing Working Capital Amount definition

Adjusted Closing Working Capital Amount means the difference of (i) Adjusted Currents Assets, less (ii) Adjusted Current Liabilities.
Adjusted Closing Working Capital Amount means the difference of (i) Adjusted Currents Assets, less (ii) Adjusted Current Liabilities. “Adjusted Current Assets” means, as of immediately prior to the Closing, the current assets of the Company and its Subsidiaries, as computed inaccordance with GAAP consistent with the Company Balance Sheet.
Adjusted Closing Working Capital Amount means the difference of the consolidated current assets minus consolidated current liabilities, in each case of the Company and its Subsidiaries as of immediately prior to the Effective Time, excluding (i) the Deductions and (ii) all Tax assets and liabilities, including any provision for deferred Tax assets or liabilities, it being understood that the Adjusted Closing Working Capital Amount may be a negative number.

Adjusted Closing Working Capital Amount means the difference of the consolidated current assets minus consolidated current liabilities (which shall include, for the purposes hereof, a liability of $125,000 in respect of the Special Tax Items), in each case of the Company and its Subsidiaries as of immediately prior to the Effective Time, excluding (i) the Deductions and (ii) all Tax assets and liabilities (other than the liability of $125,000 in respect of the Special Tax Items), including any provision for deferred Tax assets or liabilities, it being understood that the Adjusted Closing Working Capital Amount may be a negative number.
