The Buyers hereby covenant and agree to cause A&E Opco LLC to become a Subsidiary of the Company immediately after the Closing, and the Buyers hereby acknowledge that certain of the Seller Parties representations and warranties contained in Section 3 are dependent upon the occurrence of such event.
MLP has the meaning given such term in the introduction to this Agreement.
DGPC means Druk Green Power Corporation Limited including its successors and permitted assigns;
Co-op A private, cooperative housing corporation, having only one class of stock outstanding, which owns or leases land and all or part of a building or buildings, including apartments, spaces used for commercial purposes and common areas therein and whose board of directors authorizes the sale of stock and the issuance of a Co-op Lease.
GP means Gottbetter & Partners, LLP.
Operating Partnership has the meaning set forth in the preamble.
