Such existing leases and commitments to lease constitute or will constitute operating leases for both tax and financial accounting purposes and the lease expense and minimum rental commitments with respect to such leases and lease commitments are as disclosed in all material respects in the notes to the AFC Financial Statements.

The AFC Financial Statements fairly present the consolidated financial condition and operating results of AFC and its subsidiaries at the dates and during the periods indicated therein (except to the extent corrected by or disclosed in a subsequently filed AFC SEC Document).
There has been no change in AFC accounting policies except as described in the notes to the AFC Financial Statements or in AFC SEC Documents.
Attached hereto as SCHEDULE 6.D. (and except as described therein) are true, correct and complete copies of (i) AFC's audited financial statements (including balance sheet, statement of operations and statement of cash flows) for its fiscal year ending December 31, 2000, December 30, 2001 (collectively, the "AFC Financial Statements") and (ii) the Companies' unaudited financial statements for the year ending December 29, 2002 (the "Current Company Financial Statements").
