Affidavits definition

Affidavits means and include the Affidavits executed by the some of the heirs of original OWNERS/VENDORS in pursuance of the DevelopmentAgreement dated 07.07.2013. The terms and conditions as contained in the said Affidavits, so far it relates to the ownership , rights, titles, interests and entitlements of the heirs of the deceased Land owners and the rights, titles, interests and entitlements of the Vendor/Seller as Developer therein, shall be construed and interpreted as the terms of these presents and they shall be binding and forceful on the Vendors, Developer and Purchaser herein.
Affidavits means, with respect to any Person, an affidavit of such Person, in form and substance reasonably satisfactory to the Company, stating that the affiant thereunder is a Citizen of the United States, and disclosing such additional information (including, but not limited to, ownership and voting percentages, and status as a Citizen of the United States) with respect to all or any of its Related Persons, and such agreements or other documents (including, but not limited to, partnership agreements, limited liability company agreements, certificates of incorporation, bylaws and investment adviser agreements) of the affiant or all or any of its Related Persons, as may be required by the Company in its reasonable discretion.
Affidavits means affidavits substantially in the forms attached as Exhibit B.

  • Waivers means, with respect to a Participating Entity or a Property of which a Participating Entity Interest of Contributor represents a direct or indirect interest, the waiving of any and all rights that Contributor may have with respect to, and (to the extent possible) that any other person may have with respect to, or that may accrue to Contributor or other person upon the occurrence of, a Conveyance Action relating to such Participating Entity or Property, including, but not limited to, the following rights: rights of notice, rights to response periods, rights to purchase the direct or indirect interests of another partner in such Participating Entity or Property or to sell Contributor’s or other person’s direct or indirect interest therein to another partner, rights to sell Contributor’s or other person’s direct or indirect interest therein at a price other than as provided herein, or rights to prohibit, limit, invalidate, otherwise restrict or impair any such Conveyance Action or to cause a termination or dissolution of such Participating Entity because of such Conveyance Action. Contributor further covenants that it will take no action to enjoin, or seek damages resulting from, any Conveyance Action permitted hereunder by any holder of a direct or indirect interest in a Participating Entity or a Property in which a Participating Entity Interest of Contributor represents a direct or indirect interest.

  • Authorizations means all filings, recordings, and registrations with, and all validations or exemptions, approvals, orders, authorizations, consents, franchises, licenses, certificates, and permits from, any Governmental Authority.

  • Financing Statements The meaning specified in Section 9-102(a)(39) of the UCC.

  • Written application or "written election" means a written instrument, prescribed by the board

  • Statements has the meaning assigned to such term in Section 2.18(g).

  • Instruments means all “instruments,” as such term is defined in the Code, now owned or hereafter acquired by any Credit Party, wherever located, and, in any event, including all certificated securities, all certificates of deposit, and all promissory notes and other evidences of indebtedness, other than instruments that constitute, or are a part of a group of writings that constitute, Chattel Paper.

  • Applications means all of the following: “New Drug Application” (“NDA”), “Abbreviated New Drug Application” (“ANDA”), “Supplemental New Drug Application” (“SNDA”), or “Marketing Authorization Application” (“MAA”), the applications for a Product filed or to be filed with the FDA pursuant to 21 C.F.R. Part 314 et seq., and all supplements, amendments, and revisions thereto, any preparatory work, registration dossier, drafts and data necessary for the preparation thereof, and all correspondence between the Respondent and the FDA related thereto.   • Reports means the reports described in Schedule B as well as any other reports or information required to be provided under the Enabling Legislation or this Agreement;

  • Affidavit and Undertaking means the affidavit and undertaking provided by the Bidder substantially in form and manner as annexed in Annexure I hereto;

  • Receiving state means the state to which a child of a military family is sent, brought, or caused to be sent or brought.

  • Closing Statements has the meaning set forth in Section 3.3(b).

  • Recording means the electronic, mechanical, stenographic or other recording made as required by Indiana Rule of Trial Procedure 74.

  • Resolutions shall have the meaning set forth in Section 7.5.

  • Additional Documents has the meaning specified therefor in Section 5.12 of the Agreement.

  • Secretary means the Secretary of the Department of Health and Human Services or his designee.

  • Deeds has the meaning set forth in Section 5.2.1 hereof.

  • Consenting Stakeholders has the meaning set forth in the preamble to this Agreement.

  • General Affirmations means the terms and conditions in Attachment C, attached hereto and incorporated herein for all purposes, that Provider affirms and agrees to by executing this Contract.
