Affiliate Customer means a Customer that is an Affiliate of Talen Generation, LLC (or any successor-in-interest or permitted assignee of Talen Generation, LLC to the Purchase and Sale Agreement).

Affiliate Customer. List shall mean the output (in either electronic or printed form as reasonably requested by Flamingo Buyer) of that portion of the Customer Database that includes (a) the information set forth in Section 4.2(g) of the Flamingo Disclosure Letter, to the extent available in the Customer Database as of a time no earlier than 48 hours prior to the Closing but in no event after the Closing, for customers of the Casino Property, who (i) have visited the Casino Property during the 24 month period prior to the Closing (but not including such data for the ten day period prior to the Closing) and (ii) have visited any other property owned or operated by H▇▇▇▇▇’▇ or its Affiliates and (b) the names, addresses and dates of stay for customers at the hotel located at the Casino Property for twelve (12) months prior to the Closing Date; provided, however, that the Affiliate Customer List shall not include any “do not mail” customers. Assumed Contract shall mean the Contracts related to the Casino Property which exist as of the Closing Date, which are either (i) set forth on Section 1.1(a)(iii) of the Flamingo Disclosure Letter, or (ii) not listed on Section 1.1(a)(iii) of the Flamingo Disclosure Letter but (a) reflected in the income statements of Flamingo prepared through the Closing Date and which are not otherwise, individually or in the aggregate, material to the Casino Property or (b) entered into prior to Closing with the approval of Flamingo Buyer or which did not require the approval of Flamingo Buyer pursuant to Section 7.1(a) of the Purchase Agreement. Boardwalk shall mean Martial Development Corp., a New Jersey corporation and Boardwalk Regency Corporation, a New Jersey corporation, together.

• If Services are suspended as a consequence of the breach, fault, act or omission of Customer or any Customer Affiliate, Customer shall pay to Verizon all reasonable costs and expenses incurred by the implementation of such suspension and/or reconnection of the Service.

• Primary Customer agrees to notify the Affiliate Customers of any such notices received, agreements made and actions taken on behalf of any such Affiliate Customer.

• Each Affiliate Customer hereby represents and warrants to Bank that it is an Affiliate of Primary Customer, and that all necessary action was taken by the Affiliate Customer’s governing body to provide Primary Customer all necessary power and authority to act on behalf of Affiliate Customer in connection with the Services and Accounts of such Affiliate Customer as contemplated by this Agreement.

• The Primary Customer hereby represents and warrants to Bank that each Affiliate Customer is an Affiliate of Primary Customer, and that Primary Customer has all necessary power and authority to act for and on behalf of each Affiliate Customer in connection with this Agreement, the Services and Accounts.

• Unless expressly stated in an Order Form, no right or license, express or implied, is granted in the Agreement for the use of any Liferay, Liferay Affiliate, Customer, Customer Affiliate or third party trade names, service marks or trademarks, provided that Customer grants Liferay and its Affiliates a license to include the name and logo of Customer in listings made available to the public for the sole purpose of identifying Customer as a customer of Liferay.

• If and to the extent Datadog Processes Customer Personal Data on behalf of a Participating Affiliate, Customer is entering into this DPA on behalf of itself and such Participating Affiliate to the extent required under applicable EU Data Protection Law.

• If an Enrolled Affiliate ceases to be Customer’s Affiliate, Customer must promptly notify Microsoft, and Microsoft may terminate the former Affiliate’s Enrollment.

• If the Service (or part thereof) is suspended as a consequence of the breach, fault, act or omission of Customer or any Customer Affiliate, Customer will pay to EITC reasonable costs and expenses incurred by the implementation of such suspension and/or reconnection of the provision of the Service.
