Affiliate Securities definition

Affiliate Securities has the meaning set forth in Section 8.4.
Affiliate Securities means any securities issued by an Affiliate of the Company.
Affiliate Securities means all “securities” of any “affiliates” (as the terms “securities” and “affiliates” are used in Rule 3-16 of Regulation S-X under the Securities Act of 1933, as amended from time to time, and any successor statute) of the Company, as issuer of the Second Lien Notes.

  • Without limiting the foregoing, the Company's directors shall have no personal liability to the Company or its Securityholders for monetary damages (i) for not voting to take enforcement action with respect to the Subordinated Notes or other Affiliate Securities owned by the Company, if any, prior to the occurrence of a Bankruptcy Event or (ii) at any time for breach of any such director's fiduciary duty (if any) except for such director's gross negligence or willful misconduct.
